1 ASIA VENTURE CHALLENGE 2014 cmpetitin Official Rules and Submissin Requirements The Spirit f the Cmpetitin The ASIA VENTURE CHALLENGE cmpetitin, frmerly Asia Mt Crp cmpetitin, and the prestigius qualifying cmpetitins purprt t stimulate and nurish the Entrepreneurial Spirit in MBAs and ther graduate students arund the wrld. In particular, these cmpetitins seek t encurage entrepreneurially riented graduate students t develp and grw new ventures based either n their wn ideas and technlgies r thse develped by thers, including faculty members at their respective clleges and universities. These cmpetitins als seek t prvide the participating graduate students with frums in which they develp skill in pitching their ventures t investrs and receive cnstructive feedback fr increasing the prbability f successfully launching their ventures. Finally, each year the Venture Labs Investment Cmpetitin, frmerly the Glbal Mt Crp Cmpetitin will prvide the best f these ventures with substantial resurces t assist the winning student team in launching its venture. T prvide a relatively level playing field fr student teams frm arund the wrld, the directrs f the majr cmpetitins have develped the fllwing set f rules that all participating teams are expected t satisfy. At the same time, the directrs recgnize that n set f rules, n matter hw thrugh r carefully develped can ever cver all circumstances. Accrdingly, all teams and the universities that they represent are expected t abide by the specific rules enumerated belw as well as the verall spirit f these cmpetitins. The directrs reserve the right t disqualify any team that vilates the rules, regulatins r the spirit f the cmpetitins. ASIA VENTURE CHALLENGE cmpetitin Eligibility Requirements The ASIA VENTURE CHALLENGE cmpetitin hsted by Thammasat Business Schl will be held frm 11 t 13 March After the deadline f team s cnfirmatin ASIA VENTURE CHALLENGE reserves the right t replace an pen berth at its discretin. By winning the ASIA VENTURE CHALLENGE cmpetitin, the team will be eligible t cmpete in the Venture Labs Investment Cmpetitin (VLIC), frmerly Glbal Mt Crp, held by McCmbs Schl f Business at The University f Texas at Austin frm May 01-03, ASIA VENTURE CHALLENGE hsted by Thammasat Business Schl reserves the right t disqualify any team that vilates the rules, regulatins r the spirit f the cmpetitin. Participatin Fr 2014, we cntinue t widen the participatin at the ASIA VENTURE CHALLENGE cmpetitin ver previus years. We have tried t invite schls frm acrss Asia t participate, hwever, if yu knw f an Asian schl that yu think might like t cmpete but has nt been invited. 2 Preliminary Rund Based n the psitive feedback f the change implemented in 2006 t Thammasat Asia Mt Crp (TUAMC) cmpetitin, ASIA VENTURE CHALLENGE will use the Preliminary Rund as a screening rund. In the Preliminary Rund, Summary New Venture Plans will be assessed by a panel f management cnsultants and finance prfessinals wh have deep experience in Asian business. As certain cuntries have submitted numerus teams t cmpete, in 2007 the TUAMC cmmittee has instituted a change t the preliminary rund selectin prcess t ensure a crss Asia representatin f teams and experience. The panel will select the best Summary New Venture Plan frm each represented Asian cuntry, and all ther plans, utside f thse Universities already selected, will be pled and ranked fr the remaining spts. These tp teams will be invited t attend ASIA VENTURE CHALLENGE cmpetitin in persn, and enter the Presentatin Runds. Teams frm Nn Asian Cuntries The rganizers reserve the right t invite up t fur teams frm nn Asian cuntries t cmpete in the Presentatin Runds n an exhibitin basis. This means that nn Asian teams may nt be eligible fr all mnetary prizes (depending n any stipulatins impsed by dnrs, details will be annunced n the cmpetitin website in due curse) and will nt be eligible t represent Asia in the Venture Labs Investment Cmpetitin (VLIC). In the event that an exhibitin basis team attains a psitin in the cmpetitin which carries a mnetary prize fr which they are ineligible r which carries the right t represent Asia in the VLIC that prize and that right will be awarded t the next highest placed Asian team. Traveling Expenses and Htel Accmmdatins Htel accmmdatin fr all teams invited t (and attending) ASIA VENTURE CHALLENGE and fr ne faculty advisr per team have been blcked as part f a grup rate, hwever cst f ROOMS ARE ON THE ACCOUNT OF EACH PARTICIPATING UNIVERSITY. All internatinal travel and incidental expenses will als be the respnsibility f the teams themselves. Venture and Team Eligibility Rules Student Invlvement. The cmpetitin is fr student created, managed, and wned ventures. In ther wrds, students must (1) have played a majr rle in cnceiving the venture, (2) have key management rles in the venture, and (3) wn significant equity in the venture. In general, a member f the student team shuld be CEO, COO, r President f the venture, r members f the student team shuld ccupy 50% r mre f the functinal area management psitins that reprt directly t the CEO, COO, r President. Members f the student team shuld als wn 50% r mre f the equity allcated t the management team and key advisrs. An equity psitin f less than 50% f the equity allcated t the management team and key advisrs, and/r less than 20% f the ttal equity f the venture will be suspect and require the students t shw evidence that they were a majr cause in the venture creatin. 3 bjective f this rule is t exclude ventures frmed and managed by nn-students wh have given tken equity t MBAs fr writing their business plan. Team Cmpsitin. This is a cmpetitin fr graduate students, and at least ne graduate student must be a member f the venture s startup management team. A team with a few undergraduates will be allwed t cmpete, and the undergraduates may participate fully. All graduate students, nt just MBA candidates, are eligible t participate in the cmpetitin. This includes executive MBAs. Nn-students may be members f the venture s management team and may participate in planning the venture. Hwever, nly students may participate in the cmpetitin. In ther wrds, nly students may present the plan and answer questins frm the cmpetitin judges. The maximum number f students n a cmpetitin team is five (5); althugh there is n restrictin n the ttal size f the venture s funding team. Student Enrllment. The cmpetitin is fr students enrlled in the current academic year. Students wh graduated in the preceding academic year are nt eligible t participate. Hwever, an exceptin will be made fr students wh bth wrte their business plans fr academic credit and graduated during the preceding summer. An exceptin will als be made fr students frm universities suth f the equatr that have a different academic year. Nature f Ventures. The cmpetitin fcuses n new, independent ventures in the seed, start-up r early grwth stages. In additin t what is utlined in the abve paragraph, generally excluded are the fllwing: buy-uts, expansins f existing cmpanies, rll-ups, real estate syndicatins, tax shelters, franchise based utlets, licensing agreements fr distributin in a different gegraphical area and spin-uts frm existing crpratins. Licensing technlgies frm universities r research labs is encuraged assuming there has been n previus cmmercializatin. Key in these types f ventures is demnstrating significant added value t the technlgy thrugh the effrts f the management team. Prir Activity. Ventures may cmpete nly nce in the ASIA VENTURE CHALLENGE. Als, ventures may nt cmpete in any f the Mt Crp qualifying cmpetitins after they have cmpeted in the Venture Labs Investment Cmpetitin (VLIC) (Glbal Mt Crp ). Hwever, ventures may cmpete in different Mt Crp qualifying cmpetitins in different academic years, prvided that they meet all ther Prir Activity and Mt Crp Qualificatin Rules. Ventures with revenues in prir academic years are excluded. Ventures that have raised investment capital frm surces utside f friends and family befre the current academic year are excluded. Hwever, bth student and ther team members may have wrked n an idea r new technlgy in previus academic years r in the case f the student team members even prir t entering graduate schl, prvided that their venture had n revenues and raised n utside investment capital, and/r did nt undertake any ther frmal startup activities prir t the current academic year. University Spnsred. The business plan must be prepared under faculty supervisin. Ideally, the business plan will be prepared fr credit in a regularly scheduled curse r as an independent study. The business plan must represent the riginal wrk f members f the team. All universities with participating teams are strngly encuraged t send faculty r ther university advisrs t the team t mst, if nt all, all f the cmpetitins in which their teams cmpete. Drpping Out f a Cmpetitin. If a team des nt cmpete in a cmpetitin after registering a Cnfirm Attendance Frm, the team will be disqualified frm cmpeting in the Glbal Mt Crp Cmpetitin and any ther Mt Crp participating cmpetitin that year. 4 ASIA VENTURE CHALLENGE cmpetitin Submissin Requirements Cnfidentiality and Intellectual Prperty Guidelines The authrs f the business plan will retain all rights t the plan regarding its use at all times prir t and fllwing the cmpetitin except as stated belw. Due t the nature f the cmpetitin, we will nt ask judges, reviewers, staff r the audience t agree t r sign nn-disclsure statements fr any participant. All public sessins f the cmpetitin, including but nt limited t ral presentatins and questin/answer sessins, are pen t the public at large. Any and all f these public sessins may be bradcast t interested persns thrugh media which may include radi, televisin and the internet. Any data r infrmatin discussed r divulged in public sessins by entrants shuld be cnsidered infrmatin that will likely enter the public realm, and entrants shuld nt assume any right f cnfidentiality in any data r infrmatin discussed, divulged r presented in these sessins. Thammasat Business Schl at Thammasat University, the rganizer f the ASIA VENTURE CHALLENGE cmpetitin may make phtcpies, phtgraphs, videtapes and/r auditapes f the presentatins including the business plan and ther dcuments, charts r material prepared fr use in presentatin at the ASIA VENTURE CHALLENGE cmpetitin. Students retain all prprietary rights. The University may use the materials in any bks r ther printed materials and any videtape r ther medium that it may prduce, prvided that any prfits earned frm the sale f such items is used by The University slely t defray the csts f future ASIA VENTURE CHALLENGE cmpetitins. The University has nn-exclusive wrld rights in all languages, and in all media, t use r t publish the materials in any bks, ther printed materials, videtapes r ther medium, and t use the materials in future editins theref and derivative prducts. Business Plan Guidelines An electrnic cpy f the final plan is due n r befre 24 February Teams nt meeting this deadline may be disqualified. Plans shuld be submitted as a single, printable PDF file. Plans are limited t n mre than 16 pages (nt including a single cver page r single table f cntents page). The 16 pages are limited t a maximum f 10 pages f text and 6 pages f appendices. Page frmat is 1½ line spacing with 1 inch tp, bttm, left and right margins, 12 pint fnt. This line spacing and fnt requirement applies t the textual cntent f the dcument and nt t titles and descriptins accmpanying pictures, graphs, tables r wrksheets. All pages must be numbered excluding the cver page. The cver page must include venture name and university affiliatin. Financial data shuld include a cash flw statement, incme statement, and balance sheet. Include an explanatin f the ffering t investrs indicating hw much mney is required, hw it will be used, and the prpsed structure f the deal, i.e., stck, debentures, etc. The team is nt required t reveal its desired deal, althugh the judges may ask questins abut it. Als, delineate the pssible exit strategies. Appendices shuld be included nly when they supprt the findings, statements and bservatins in the plan. Because f the number f teams in the Cmpetitin, judges may nt be able t read all the material in the appendices. Therefre, the text prtin f the plan (10 pages) must cntain all pertinent infrmatin in a clear and cncise manner. Judges will use the three-part Glbal Mt Crp Judge's Evaluatin frm. Part I (valued at 40%) is designed t help assess the written business plan Thammasat Business Schl at Thammasat University

5 fcusing n key elements and the effectiveness f the summary financial data. Part II (20%) assesses the pise and prfessinalism f the presentatin. Part III (40%) evaluates the perceived viability f the venture. This quantitative assessment is meant t cmplement, nt replace, the qualitative evaluatin f the judges in their determinatin f winners. Plans shuld be sent at asiaventurechallenge@gmail.cm, please subject the as New Venture Plan frm team. Presentatin Guidelines In the Divisinal Rund, each team will be given 15 minutes t present its new venture plan fllwed by a 15 minutes fr questins and answers sessin between the presenting team and the judges. These time limits will be strictly enfrced. In the Play-Off rund, each team will have 40 minutes t prvide an verview f its new venture plan and interact with the judges. T prvide greater realism, please nte that the entire 40 minutes is interactive time, there is n prtected time. Judges will be free t ask questins whenever they wish. The 40 minutes time limit will be strictly enfrced. In the Challenge Rund, each team will have 25 minutes t prvide an verview f its new venture plan and interact with the judges. T prvide greater realism, please nte that the entire 25 minutes is interactive time, there is n prtected time. Judges will be free t ask questins whenever they wish. The 25 minutes time limit will be strictly enfrced. In the Final Rund, each team will have 45 minutes t prvide an verview f its new venture plan and interact with the judges. Each student member f the team must participate in the frmal presentatin f the plan. Teams and their advisrs may nt bserve the questins and answers sessins f ther teams in their divisin until after they have presented their wn plan. A team, nce it has finished its presentatin, may bserve bth the presentatin and Q&A sessin f the teams that fllw it. Equipment needs: Each presentatin rm will be set up with a LCD prjectr and screen. Each team will need t bring its wn laptp cmputer which must be PC cmpatible. The team is respnsible fr assuring their machine wrks n the LCD prjectr and screens prvided.
