2 The Canada-Jerusalem C-Develpment and C-Prductin Incentive The Canada-Jerusalem C-Develpment and C-Prductin Incentive ( Incentive ) is a cllabratin between the Canada Media Fund ( CMF r Party ) and the Jerusalem film fund at the Jerusalem Develpment Authrity ( JDA r Party ) ( CMF and JDA, cllectively the Parties ) t create a jint prgram that encurages c-develpment and cprductin f televisin and digital media prjects. The ttal maximum cntributin fr each funded prject in develpment shall be CDN $100,000 (r apprximately 287,000 Israeli shekel), and the ttal maximum cntributin fr each prject in prductin shall be CDN $250,000 (r apprximately 715,000 Israeli shekel). Cntributin frm each cuntry in each prject will be determined n a case by case basis. The Canadian cntributin t each prject will take the frm f a repayable advance fr develpment prjects and a repayable cntributin fr the prductin prjects ver the Canadian share f the budget (see Appendix fr details). The Israeli cntributin t each prject will take the frm f a repayable cntributin ver the Israel share f the budget. Fr the Canadian share f the budget, the maximum cntributin awarded thrugh the Incentive shall nt exceed: Fr develpment prjects in televisin and digital media, 75% f the Canadian eligible csts; Fr prductin f televisin prjects, 49% f the Canadian eligible csts; Fr prductin f digital media prjects, 75% f the Canadian eligible csts 1. Fr the Jerusalem share f the budget, the maximum cntributin awarded thrugh this incentive shall nt exceed the JDA s supprt systems criteria regarding the genre and suitable supprt track f the prject. Eligible Prjects must meet the fllwing criteria: 1. The prject is a live-actin televisin prject in ne f the fllwing genres: drama, children and yuth, variety and perfrming arts; r a digital media prject f ne f the fllwing types: dcumentary, drama, animatin, Virtual Reality, Augmented Reality, vide game, and is prduced fr the apprpriate digital platfrm. 2. The prject must invlve at least ne Israeli prducer and/r Israeli prductin cmpany r studi that perates in Jerusalem with prven experience in the audivisual market, in additin t ther criteria established by JDA as details fr every genre and suitable supprt track n the Jerusalem Film Fund website, and at least ne Canadian prductin cmpany eligible under CMF criteria. 3. The minrity c-prducer shuld wn at least 20% f the prject s cpyright. The share f wnership f cpyright f each c-prducer shuld be prprtinate t each cuntry s cntributin t the prject. 4. In the case f a tripartite c-prductin, the investment by the third-cuntry c-prducer must be frmally invlved in the prject develpment and/r prductin befre the applicatin t the Incentive. 5. The Israeli prtin f the prject must respect ther criteria established by JDA and the Canadian prtin f the prject must respect ther criteria established by the CMF. 6. Televisin prjects must cmply with the rules pre-established in the Israel-Canada Audivisual C-Prductin Agreement, Signed in March 18th Fr all digital media prjects (develpment and prductin): at least 75% f the eligible csts are Canadian csts. 1

The wnership, financial cntrl and creative cntributins (based n key creative psitins) are t be determined in the c-develpment and/r c-prductin agreement between prducers; hwever, the CMF and JDA encurage that these elements be prprtinal t each party s funding cntributins; 8. Fr the Canadian share f a prject, if the prject is a prject made fr televisin, it shuld include a financial cntributin f 10% f the Canadian share f the budget frm an eligible Canadian bradcaster. If the prject is meant fr digital platfrms, there is n requirement fr a bradcaster cntributin. 9. Withut prejudice f these and ther criteria established by the parties, all prjects and respective cntracts must bserve natinal legislatin in its respective cuntry f prductin. 10. The maximum perid fr the delivery f the results f the develpment phase shall nt exceed 12 mnths fllwing the first payment. The maximum perid fr the delivery f the results f the prductin phase shall be determined n a case-by-case basis. Evaluatin criteria Prjects will be evaluated by representatives f the CMF and JDA based n the fllwing criteria: Cultural value f the prject: 50 pints Originality and creativity f the prpsal (max. 30 pints) Blending f Israel and Canada cultural r cmmunity cncepts in a way that engages audiences frm bth territries and beynd (max. 20 pints) Track recrd and target audience: 30 pints Track recrd, experience and achievements f the creative team (max. 15 pints) Track recrd, experience and achievements f the prductin cmpany (max. 15 pints) Feasibility f the prject: 20 pints Feasibility f the develpment financial plan (max 10 pints) Realism f the agenda/timeline f the prject (max 10 pints) Key Dates Launch f the Call fr prjects: February 15, 2017 Clsing date t submit prjects: Octber 19, 2017 Annuncement f selected prjects: Nvember 30, 2017 The incentive team will facilitate intrductins between prducers and digital media agencies r territrial service prviders lcated in bth Canada and Jerusalem. 4 Applicatin Imprtant Infrmatin and Required Dcumentatin Applicatins must be submitted accrding t the deadlines published abve and n the Parties websites and in accrdance with the stipulatins nted in the applicatin frm. The prject must be submitted in English r French in Canada. Israeli prducers shuld cmply with the applicatin rules established in the JDA prgrams. The perid f eligibility f csts will start n the date the applicatin has been submitted and n funding will be applied t csts which ccurred prir t the applicatin submissin date. Only the csts related t the acquisitin f authr right is eligible retractively fr a perid f 12 mnths preceding the date f the submissin. Each cprducer will be respnsible t submit the cmplete applicatin t the authrity (CMF r JDA) f its wn cuntry. The same set f dcuments must be submitted by each cprducer and the applicatin frm must be signed by all cprducers. Canadian Prducers shuld submit the cmplete applicatin thrugh Jerusalem prducers shuld submit the cmplete applicatin at JDA, under the applicatin prcesses established by JDA. Applicatins must include the fllwing Administrative infrmatin: Fr all prjects (develpment/prductin, televisin/digital media) A list f the prjects prduced by the Jerusalem prductin cmpany A list f the prjects prduced by the Canadian prductin cmpany The deal mem r the c-develpment r c-prductin agreement Cntracts prving the acquisitin f necessary rights (e.g. ptin cntract, script writer s cntract etc.) Calendar n prject stages Budget Financing plan Fr develpment r prductin prjects in televisin Develpment Fee r License Fee frm an eligible Canadian bradcaster representing at least 10% f the Canadian share f the prject Applicatins must include the fllwing Creative infrmatin: Fr all prjects (develpment/prductin, televisin/digital media) CV f creative and prductin teams (screenwriters, directrs, prducers r equivalent psitins in digital media) Brief prject summary Fr televisin and digital media develpment prjects Treatment 3

There will be n bligatins fr the CMF and JDA t supprt any f the prjects submitted if the standards and bjectives f the JDA and CMF are nt met. Applicatin frms can be fund n the CMF website. 6 Appendix Develpment: Repayable advance fr the Canadian share f the prject Please refer t the CMF Develpment Guidelines - sectin 2.2. Prductin: Repayable cntributin fr the Canadian share f the prject The CMF will recup its cntributin frm revenue generated by explitatin f the prject. The cntributin will be recupable by the Parties n a pr rata pari passu basis until it is fully recuped. Once the CMF has recuped 100% f its cntributin, the CMF will participate in prfits in the same manner in which it recuped its cntributin, except that it will limit their share f prfits at 10% f the revenues. Fr greater clarity, pr rata and pari passu includes the cncept that the recupment cntributin will be prprtinal t the share f prject financing cmpared t ther surces f recupable financing. 5
