The ADCB Ambitin Award ("Cmpetitin") 2012 is a cmpetitin rganized by ADCB and Mtivate publishing, aimed at enabling an entrepreneurial ambitin within wmen in the UAE. The ADCB Ambitin Award is abut finding UAE based female entrepreneurs and creative thinkers with a visin fr a small start up business within the UAE r as a bst t an already live UAE SME business - and helping make that dream a reality. ADCB want t hear frm wmen in the UAE wh are striving t realize an entrepreneurial ambitin that will make a difference. All nminatins, entries and vtes related t the Cmpetitin must cmply with these terms and cnditins detailed herein ("ADCB Ambitin Award Rules"); failure t d s may result in disqualificatin. We are lking fr yur nminatins fr innvative small start up business ideas that demnstrate an entrepreneurial and ambitius spirit and have a plan ging frward as well as details f what the candidate is currently ding abut the ambitin. 2 Nminatin Prcess Nminatins will nly be cnsidered if they are submitted thrugh the fficial nminatin frm nline frm all frms must be submitted t the address ADCBAmbitinAward@Mtivate.ae t be cnsidered fr the cmpetitin. Each nminatin must fulfill the fllwing criteria: Candidate age Hbbies / Interests Current rle Career experience T nminate a Candidate the nminee must cmplete all sectins f the nminatin frm in English, submit an Executive Summary f n mre than 500 wrds describing the ambitin, what the nminee is ding abut it and why the entry deserves t win the Cmpetitin. This t be accmpanied by a 5 year business plan detailing prjectins and figures. Cntact details f a persn wh can be cntacted as a representative f the nminee are cmpulsry and shall be included as part f the nminatin. Only ne entry may be submitted n a single nminatin frm. Only ne entry may be submitted per candidate. Nminatins must be received n later than midnight (UAE time) 20 th SEPTEMBER All nminatins received thereafter will be invalid. N supplementary infrmatin will be cnsidered after receipt f the nminatin. The ADCB Ambitin Award prizes will be awarded t the winning Candidate nly fr their wn use and furtherance f their enterprise nly. Nminatrs f a winning prject will nt, by virtue f their having submitted a nminatin, be entitled t a share f prize mney, r t any ther payment, publicity r ther entitlement whatsever. On clicking the "Cnfirm All Details" buttn, nminatrs: (i) authrise ADCB, Mtivate Publishing and INSEAD r any third party acting n their behalf t reprduce and publish their nminatins in all frms f media (n persnal data relating t anyne assciated with the business r nminatr will be reprduced r published withut the individuals permissin); (ii) warrant t ADCB and Mtivate Publishing that all the infrmatin supplied as part f the nminatin is true, accurate, and cmplete; and (iii) acknwledge that if the entry reaches the final stages f the Cmpetitin the cntact persn detailed in the nminatin frm fr that entry will be cntacted by ADCB and Mtivate Publishing; and will have the chice whether r nt t prceed in the Cmpetitin. Selectin Prcess In the first instance a representative f ADCB and f Mtivate Publishing (screening members) will screen all entries t ensure that they have cmplied with the ADCB Ambitin Award ("Qualifying Entries"). The screening members will use the fllwing guidelines as criteria t select a shrtlist f ten (10) Qualifying Entries ("Shrtlist"). The screening members decisin n its selectin is final and is made at their sle discretin. The criteria used t select the Shrtlist, based n the infrmatin prvided in the nminatin, are encapsulated here as example but nt limited t : Innvative business start up ideas that demnstrate an entrepreneurial spirit and thse that will be feasible fr applicatin within the UAE; Terms and Cnditins Page 2

3 The written submissin answers all criteria set in the relevant applicatin frm; The written submissin details the ambitin and specifically what the Candidate is currently ding abut it and plans t d in the future.; and A five (5) year business plan is presented alng with a written 500 wrd executive summary. There is n fixed weighting given t these criteria but all small businesses must meet each f these criterins t be selected. The Shrtlist will be handed ver t public vte n the 1 st Octber 2012 and a scring system will decide the final tp 5 Candidates. Bis, written entries and head shts f all shrtlisted Candidates featured n The tp 5 Candidates vted by public vte will be asked t attend a panel day n the 13th Nvember 2012 at the Armani Htel, Dubai t present their idea and ambitin further in frnt f a panel f Judges. Judges t be made up f: Tw (2) ADCB representatives One (1) Mtivate Publishing representative One (1) INSEAD representative One (1) Safe and Sund representative The tp 5 Candidates will als be asked t attend a pht sht at the Mtivate Publishing studi n the date TBC. There will be ne (1) reserve ADCB representative and ne (1) reserve Mtivate representative in the event that either the ADCB representative r the Mtivate representative is indispsed at the time the jury (the Jury ) cnvenes t select the finalists at the panel day. Fr each f the tp 5 Candidates, the relevant prject cntact persn detailed in the nminatin frm will be cntacted by : 1-a representative f Mtivate Publishing t ensure that: (i) she is aware that the entry has been chsen as a tp 5 entry; and (ii) she agrees t take part in the Cmpetitin and t cmply with the ADCB Ambitin Award Rules; (iii) that the entry cmplies with the Cmpetitin criteria and the infrmatin prvided in the nminatin is crrect, true and accurate; and (iv) that the entry Candidate can attend the 13th Nvember 2012 panel day, the pht sht date TBC, and the 25 th Nvember 2012 Emirates Wman f the Year Award event at the Armani Htel, Dubai; -2-and by a representative f ADCB t ensure that the entry candidate will cnfrm t ADCB standard accunt pening plicies and execute the dcuments required by ADCB in respect f the accunt t be pened fr the purpses f the /10,000/US$ Award t be granted by ADCB. If any f these cnditins are nt met t the satisfactin f Mtivate Publishing and ADCB, the finalist in questin will lse its place as a tp 5 Candidate and the Jury will endeavr if any t replace it with the next reserve entry in rder f public vting scre. In additin, each f the tp 5 Candidates will be required t enter int clearance agreements with ADCB and Mtivate Publishing which will grant t ADCB, Mtivate Publishing and INSEAD respectively, withut limitatin, the rights t: film and use ftage f the finalists; and use the finalist's names, phtgraphs, either still r mving in all existing and future media, in perpetuity, fr all cmmercial and nn-cmmercial purpses ("Clearance Agreements"). 4 The tp 5 candidates will be invited and expected t participate in the ADCB Mtivate team fr the Pink Walkathn in Zabeel Park n the 9 th Nvember 2012 in supprt f Breast Cancer Awareness in the UAE. Candidates will be required t take part in a pht sht during the event which will be released t media. The tp 5 candidates will be invited with partners, and expected t attend Pink Pl as VIP guests f ADCB n the 10 th Nvember 2012 in supprt f Breast Cancer Awareness in the UAE. Candidates will be required t take part in a pht sht during the event which will be released t media. If a finalist is unwilling t enter int the Clearance Agreements she will lse her place as a finalist and the Jury will endeavr t replace it with the next reserve entry in rder f public vte scring. Finalists must adhere t the ADCB Ambitin Award Rules, satisfy the criteria cntained in thse rules and cnfrm t ADCB standard accunt pening plicies. ADCB and Mtivate Publishing reserve the right t disqualify any finalist at any time and withut any cmpensatin if they believe at their sle discretin that such finalist has failed t adhere t ADCB Ambitin Award Rules and ADCB standard accunt pening plicies r des nt meet the criteria. Any decisin made by ADCB and the Judges will be final and made at their sle discretin. Any disqualified finalist wh has received a grant will be required by law t return the grant t ADCB immediately upn first request by ADCB. Vting Prcess ADCB and Mtivate will shrtlist 10 Candidates fr public vte. Public vters can vte fr their favurite entry nline at nly. The entry will be classed within the tp 5 Candidates by a scring system. The tp 5 scring entries will be asked t mve t the panel day stage f the selectin prcess. Vting is limited t ne vte per persn. If any vte manipulatin is suspected (fr example, any Internet spamming r unslicited s, r any ther cnduct which ADCB r Mtivate Publishing believes is unfair r cntrary t the spirit f the Cmpetitin), ADCB and Mtivate Publishing will disqualify the entry frm the Cmpetitin. The fllwing are ineligible t vte fr this Cmpetitin r enter this cmpetitin: emplyees f ADCB, Mtivate Publishing, INSEAD and any cmpanies r agencies assciated with the Cmpetitin, the Judges and members f their immediate families and husehlds. The Award The winner f the2012 ADCB Ambitin Award will receive USD10,000 frm ADCB, ability t participate in an entrepreneurship elective as part f INSEAD s Glbal Executive MBA prgramme n the Abu Dhabi campus, AED 2000 in shpping vuchers frm BurJuman Mall, Dubai and a year s subscriptin t Emirates Wman and Gulf Business. 5 The Winner is required subject t disqualificatin t: Cnfrm t ADCB standard accunt pening plicies Sign standard ADCB accunt pening dcuments and ffer relevant identificatin and visa dcuments and any ther dcument as requested by ADCB. Open an accunt with ADCB where the USD 10,000 Award will be disbursed. The tp 5 entries will be invited t attend the Emirates Wman f the Year Award event n the 20th Nvember 2012 with a partner at the Armani Htel, Dubai. The winner f the Award will be revealed n the evening f the event nly and the Award presented t the winner n stage. The ceremny will be phtgraphed and featured in the December issue f the Emirates Wman magazine and the fllwing issue f ADCB s custmer magazine: Fcus magazine. Each f the tp 5 Candidates will receive tw tickets t attend the event but must bear all ther expenses incurred including but nt limited t transprt and accmmdatin if necessary frm their wn expenses. ADCB and Mtivate Publishing reserve the right t cancel r change the details f the Ceremny withut prir ntice. Publicatin and Intelligence Rights General ADCB, Mtivate Publishing and INSEAD reserve the right t use the award winners' names, and phtgraphs tgether with phtgraphs and details f the entry in any published material and advertising cnnected with the Cmpetitin withut restrictin. The imagery and published material featuring any f the shrtlisted 10, tp 5 Candidates and winner will remain the prperty f ADCB and Mtivate Publishing and all material can be used in future by ADCB, Mtivate Publishing and INSEAD in ther frmats. ADCB and Mtivate Publishing reserve the right t cancel r vary the Cmpetitin withut any prir ntice, and/r disqualify any candidate at any stage if they deem at their sle discretin that there are reasns fr such disqualificatin and withut any respnsibility n their part r cmpensatin t the disqualified candidate, and/r withdraw any f the awards at any stage fr and nt limited t disqualificatin, editrial reasns, r if circumstances arise ut f bth parties cntrl. Candidate t be available t present the award t the winner f the 2013 ADCB Ambitin Award in Nvember Gverning Laws and Jurisdictin The terms f this Agreement shall be gverned in accrdance with Abu Dhabi laws and the UAE federal laws, and the parties heret agree t submit t the jurisdictin f the Abu Dhabi curts.
