If yu have purchased these Services directly frm Cisc, this dcument is incrprated int yur Cllabrative Prfessinal Services General Service Terms under the Cisc Services Partner Prgram, a services exhibit that addresses transactin advanced services ( AS-T ) r an equivalent agreement executed between yu and Cisc which authrizes yur purchase f the Service. In the event f a cnflict between this Service Descriptin and yur Agreement r equivalent services exhibit r agreement, this Service Descriptin shall gvern. All capitalized terms nt defined in the Supplemental Glssary f Terms fr Cisc ACI Implementatin Review Service the end f this dcument have the meaning ascribed in the agreement executed between yu and Cisc. Fr purpses f an AS-T exhibit executed between Cisc and Authrized Channel, this Service Descriptin shall be deemed as a Statement f Wrk ( SOW ). Cisc shall prvide the Cisc ACI Implementatin Review Service described belw as selected and detailed n the Purchase Order fr which Cisc has been paid the apprpriate fee. Cisc shall prvide a Qute fr Services ( Qute ) setting ut the extent f the Services, quantities f deliverables and duratin that Cisc shall prvide such Services. Cisc shall receive a Purchase Order that references the Qute agreed between the parties and that, additinally, acknwledges and agrees t the terms cntained therein. Cisc ACI Implementatin Review Service Services Summary Cisc ACI Implementatin Review Service includes Applicatin Centric Infrastructure review services in the areas f ACI Prpsal Review, Advise and Implement Supprt and Prgram Management Supprt. These services prvide supprt t Authrized Channel in service delivery t its end user s Applicatin Centric Infrastructure addressing the fllwing: Datacenter Netwrking: DC Nexus Family f ACI Switches (Nexus 9000 Series) APIC Cluster Datacenter Ec-System Integratin: Ec-System L4-7 and VMM services integrated via published and supprted device packages Cisc shall prvide the fllwing services remtely during Standard Business Hurs (unless stated therwise): Prpsal Review Custmer Requirement (CR) The Custmer Requirement (CR) review prvides supprt t the ACI slutin prpsal by reviewing is the Authrized Channel s end user s slutin requirements fr ACI is supprtable by Cisc. Prvide the ACI Requirement Gathering Questinnaire Template, which specifies the required business and technical scping infrmatin that Authrized Channel must gather frm its end user t enable Cisc t review the Bill f Materials. Participate in up t ne (1) hur remte review sessin(s) ver a perid f up t ne (1) week t review the ACI Scping Questinnaire, and the High Level Physical Design. The review sessins shall cmmence within ne (1) week fllwing receipt by Cisc f the Scping questinnaire and High Level Physical Design frm the Authrized Channel. Dcument recmmendatins and changes if any in the ACI Prpsal Review Dcument and prvide it fr review. Prvide Cisc with cmpleted respnses t the ACI Scping Questinnaire Template within ten (10) Business Days f receipt. Prvide all supprting dcuments, which includes and nt limited t the High Level Physical Design. available fr remte discussins, and reviews f the Bill

Statement f Wrk (SOW) Review Statement f Wrk review service prvides supprt t the ACI slutin prpsal by reviewing the Statement Of Wrk prpsed by the Authrized Channel t its end user fr Plan, Build and Delivery f the ACI Slutin. The review will validate scpe and activities required fr deplyment f the Authrized Channel s end user s ACI slutin based n the Bill f Materials, ACI Scping Questinnaire, and High Level Physical Design. Prvide the ACI Scping Questinnaire Template which specifies the required business and technical scping infrmatin that Authrized Channel must gather frm its end user t enable Cisc t review the Statement f Wrk prvided by the Authrized Channel Review the Statement f Wrk alng with the ACI Scping Questinnaire, and the High Level Physical Design t validate that it addresses all the requirements fr deplying the ACI slutin. SOW review will be limited t ACI cmpnent f prject, nt cmplete prject Authrized Channel is undertaking. Participate in up t three (3), ne (1) hur, remte review sessin(s) ver a perid f up t tw (2) weeks t review with Authrized Channel the Statement f Wrk and prvide cmments and recmmendatins. The review sessins shall cmmence within tw (2) weeks fllwing receipt by Cisc f the Authrized Channel s Statement f Wrk. Dcument and prvide any recmmendatins and changes in the ACI Prpsal Review Dcument fr review. limited t Cisc-reviewed Bill Of Materials, and ACI High Level Physical Design Scping Questinnaire, Bill f Materials, Statement f Wrk and any ther supprting dcuments as needed by Cisc. Review the updated ACI Prpsal Review Dcument. Advisry and Implementatin Supprt ACI Adptin Strategy review This Service reviews and validates that the ACI Adptin Strategy is in alignment with Authrized Channel s end user s requirements fr migratin t an Applicatin Centric Infrastructure Slutin. Prvide the ACI Requirements Dcument (ARD) Template that Authrized Channel must use t enable Cisc t review the Adptin Strategy. The ACI Requirements dcument has tw sectins: Custmer Requirements sectin and the Adptin Strategy Sectin. ACI Architecture and Design review This Service review the Authrized Channel s detailed design including high level design aligned t custmer requirements and Lw Level Design and lw level design that cnsiders Authrized Channel s end user s current netwrk design criteria, future grwth requirements and Cisc Data Center leading practices. ACI Adptin Strategy Review Service is a pre-requisite and must have been cmpleted befre ACI Architecture and Design review. Review the Authrized Channel prvided ADD (ACI Design Dcument) alng with Authrized Channel prvided ARD (ACI Requirements Dcument) that dcuments end user requirements and ACI Adptin Strategy, end user s existing Netwrk Diagrams (Lgical, Physical, WAN), and Scale requirements, based n the Authrized Channel s end user s business and technical requirements fr deplying an Applicatin Centric Infrastructure, which is supprtable by Cisc. Practive Sftware Recmmendatin Reprt Cisc will cnsult with Authrized Channel via a series f meetings t develp an understanding f Custmer s Sftware management requirements and practices such as standards, migratin triggers, and implementatin methdlgies. The Practive Sftware Recmmendatin Reprt will cntain verall recmmendatins Each reprt cvers a single Sftware track and may include, amng ther infrmatin, the fllwing: Descriptins f new Sftware features

Remte Subject Matter Expertise Remte Subject Matter Expertise prvides skilled ACI prfessinals t supplement Authrized Channel s persnnel and spends in minimum interval f an hur t an entire day, as specified in Qute and Purchase Order, and will perfrm the fllwing types f tasks:. Prvides targeted cnsulting supprt as directed by Authrized Channel during nrmal business hurs. After hurs supprt available upn mutual agreement within scpe f engagement. Cnsult with Authrized Channel s staff t develp an understanding f Custmer s ACI design and implementatin, with a fcus n cncerns such as resiliency, self-recvery, scalability, disaster recvery, business cntinuance, virtualizatin, applicatin traffic requirements, and ability t handle increased traffic demands. Participate in remte meetings and peridic cnference calls t review Netwrk status, planning and the Services being prvided Mnitr a Authrized Channel-specific Cisc alias t facilitate cmmunicatin with Cisc designated Services team Utilize Authrized Channel s prvided data, scripts r internal tls t assist in cllecting data frm the Netwrk. Prvides guidance in the fllwing areas Device/Server Admin Functins Planning Of Mves, Adds, And Changes Change Windw Supprt Basic Design Cnsulting Retain respnsibility and accuntability fr utilizing remte subject matter expertise during cntract perid. Retain respnsibility and accuntability fr any deliverable t the custmer Utilize remte subject matter expertise in minimum ne hur interval. General Custmer Respnsibilities Authrized Channel shall ensure that, User understands and agrees i.) that Authrized Channel is prviding its wn prprietary services tgether with the Cisc Services herein; and ii) that in cnnectin with Authrized Channel s perfrmance f its wn prprietary services, Authrized Channel must have the necessary cnsents frm its end user t allw Authrized Channel t prvide t Cisc certain end user infrmatin, dcuments and/r ther technical data as required fr Cisc's subsequent use in cnnectin with Cisc Services. Authrized Channel will be slely respnsible fr dcumenting any recmmendatins made by Cisc during the delivery f the Services. Authrized Channel is slely respnsible fr all interactins and cmmunicatins with end user and the prvisin f services and deliverables t end user. Authrized Channel acknwledges that the cmpletin f Services is dependent upn Authrized Channel meeting its respnsibilities as indicated herein. Identify Authrized Channel s persnnel and define their rles in the participatin f the Services. Such persnnel may include but is nt limited t: architecture design and planning architects and engineers, and netwrk engineers. Ensure Authrized Channel s persnnel are available t participate during the curse f the Services t prvide infrmatin and t participate in scheduled infrmatin gathering sessins, interviews, meetings and cnference calls Authrized Channels expressly acknwledges and agrees that it is slely respnsible fr the determinatin and implementatin f its end user s netwrk design requirements and implementatin f any recmmendatins prvided by Cisc. Cisc shall nt be respnsible fr the inability f Services t meet Authrized Channel s end user s netwrk, design, business r ther

5 Page 5 f 5 requirements and Authrized Channel shall remain respnsible fr the accuracy r cmpleteness f the infrmatin during the prvisin f the Services described herein and fr the final determinatin f its end user s netwrk design, architecture, implementatin, business r ther requirements. License f Deliverables Cisc grants t Authrized Channel a limited, revcable, nnexclusive, nn-transferable license (a) t use, display, reprduce, mdify, and distribute Deliverables; and (b) create, use, reprduce, and distribute derivative wrks f the Deliverables. The license herein is granted slely fr Authrized Channel supprt f end users during the term f the agreement between Cisc and Authrized Channel and slely fr use with Cisc prducts. Authrized Channel may nt sublicense, t any persns r entity, any rights t reprduce r distribute the Deliverables. Cisc als may terminate this license upn written r ral ntice t Authrized Channel, with r withut prir ntice. ACI Applicatin Plicy Infrastructure Cntrller (APIC), ACI Sftware Licenses and interfaces with third-party prducts which address Layer 4-7 services using Cisc ACI APIC related suthbund APIs. APIC Cluster: Cnsists f a cluster f APIC cntrllers that are used t manage ACI infrastructure f Nexus 9000 Series switches and supprted ec-system devices. ACI Third Party Vendr means an independent technlgy supplier whse prducts are used in the User s ACI fr Layer L4-L7 services, leveraging Cisc ACI APIC related suthbund and / r Nrthbund APIs. Slutin means Cisc ACI Fabric prducts and ACI Third Party Vendr prducts. Representatin f Cisc Brand Authrized Channel agrees t cmply with the guidelines lcated at < which is incrprated herein by reference.
