4 Multiple District Four California Lions Clubs International Council of Governors Joint Spring Meeting Visalia, California Summarized Minutes June 8, COUNCIL SESSION I, JUNE 9, 2018 CALL TO ORDER: Council Chair (CC) Rob Manning called the meeting to order at 9:00 AM. He then introduced District Governor Steven Morgan, 4-L1 who gave the invocation. He then introduced District Governor Judy Barr, 4-L4 who led the Pledge of Allegiance. CC Rob introduced District Governor Eileen Guadagolo, 4-A1, who brought up ID candidate PCC Derek Ledda to lead the group in song (This Land). CC Rob then presented DG Kevin Patel, 4-A2 who led a 2-minute meditation with bells then a spiritual dance for peace to music. CC Rob welcomes everyone. INTRODUCTIONS: CC Rob Introduced the City Mayor Waren Gubler who spoke of the Jewel of the Joaquin Valley, Visalia and welcomed everyone. CC Rob established protocol: PID and area GMT coordinator PID Howard Hudson and Lynn, PID Robert G. Smith and Lion Vickie, visiting PID John Walker, Lion Lucy Manning his wife. He then introduced each Governor and their partner; IPCC David Radtke and Lion Penny, PCC Mary Rynearson, PCC and Endorsed International Director Candidate Lion Derek Ledda, PCC and GLT MD Coordinator Liz Crook; PCC and LCIF MD Coordinator Lion Roger Powell and PDG Judy, GMT Coordinator Buck Larson, GST Coordinator PDG Norm MacKenzie, New Club Development Coordinator PDG Karen Fillmore. CC Rob then asked al PDGs to stand and be recognized. The then introduced the District Governors Elect and partners, then 1VDGEs and partners, then 2VDGEs and partners and lastly, Executive Administrator Cass Cara. EXECUTIVE REPORTS: LCI Exhibit A CC Rob introduced IPID Howard Hudson. PID Howard introduced PCC Derek. PCC Derek thanked PID Howard and all. He thought he d be up there expressing a very different sentiment speaking to his disappointment of not being selected to move forward as International Director, but encouraged enthusiasm to do what is necessary in service, leadership and fellowship. In his journey he was guided by the saying Leadership is not a position or title its action and example to help support our goal in service. He spoke about service and supporting all Lions in the organization. As a Lion Family we have to be as nice to each other as we are to those we serve, and that we are careful with our criticism and liberal with our praise, so that as a Family we can move forward. He believes in this organization, so lets take this disappointment and turn it around to be even more engaged, to be able to do more to support not just locally but at the International level. Let them hear from you in a positive way what we need here in California and across the United States and around our world of Lions. That s how we take what is arguably a setback and turn it into a positive. He said that many of you said to him that all things happen for a reason; he s waiting for that reason (laughter from the audience) but first and foremost he thanked al so much for the fun, fellowship, sense of family we have as Lions. He will continue to feel the honor and pleasure of being a part of this great organization. Look at your leadership and request more. He doesn t know what he will do next and welcomes input. Its your support that got him this far. Thank you for all you ve done for the campaigned. PID Howard Board meeting in Miami, added a new Information technology committee. There will be ballot items 2025 LCIcon in Mexico City. There will be an IBD meeting Oct. Host night, Cal Lions mingle with the VIPs. The 4 sites they are looking at should work out. The committee includes DGE Sondra who is making gift baskets and DGE Ken Blackwood who is coordinating the greeters at LAX, which will requires a number of volunteers. After the board meeting the visit will be extended; Wed the 17th and the 18 th. Buses will take them to the Rose Float Barn in Irwindale to see the construction of the floats. Then lunch and tour of City of Hope, then long beach, Friday they will visit the Kids Sight First program, and then Saturday they will attend the Special Olympics baseball tournament all under the ORGANIZATIONAL COUNCIL OF GOVERNORS MEETING VISALIA, CA JUNE 8-10, 2018

They are working with the Convention Business Bureau of Long Beach; the hotel cost is $229 per night, but there will be several hotels available that will be less than $200. In Las Vegas, LCIF will be rolling out a 3 million dollar campaign. MyLCI is being revised, but you may still submit activities through that link. Membership is down, but he is encouraged by 19 new clubs and one in the pipeline. MD4 is leading the nation in new club starts. This will build momentum in the coming year. He acknowledges that DGEs are dedicated to this. PDG Buck will really be pushing folks. A new initiative is called New Voices, the target is gender parody; 34 % of membership is women, but we need to do better he said. He wasn t surprised to hear PCC Mary Rynearson will be the coordinator for this new initiative. He has the District Convention Dates, and indicated that IDs will be at those conventions. The President and Leadership medals have different criteria and it will be mailed to the DGs sometime in August along with the nomination forms, which he asks be submitted to him no later than January 15 th. He has to send all the forms to LCI at one time so late submissions will not be considered. The governor teams are what has made the Districts so successful and he looks forward to the coming year. Centennial MD4 OFFICE Exhibit B CC Rob welcomed PID John Walker and Lydia Martinez to the microphone. PID John is a member of the LCI Centennial committee. He said You Guys Rock. 240 million people served. 72% of the clubs participated. Membership awards; 675,000 new Lions 6,321 new clubs. Legacy Projects 30,000 worldwide 27% participation. Cali people served 57,000 worldwide; MD4 served 10% of the USA. 9.5% of the new members came from Cali. 9.5% and New clubs 20%; etc. He than awarded 3 individuals with a President s medal: PDG Anthony Martinez of the Parlier Lions Club 4-A2 for the Hands Across the Border Legacy 3 Project; the second award went to Eleanor Gaie Perry of the Fresno Diwata Lions Club 4-A2 for the work on the Legacy Project-Level 3: Construction of Water System, 2-Units of Drinking Machine/Fountain, Concrete Pedestal and Shed at ND Village Elementary School, Cotabato City, Philippines; 3 rd went to Rod Smith of the Arnold Lions Club 4-A1 for the Rehabilitation and Upgrade of Three-Senses Trail in Calaveras Big Trees State Park. CC Rob introduced EA Cass Cara. She reminded all to sign in. She emphasized the importance and extent of the responsibility of being Council Chair then thanked CC Rob for his wisdom and being a Stand-up Guy and her admiration for his wife Lucy. She then thanked the Council meeting Hosts DG Kevin Patel and PDG Betty Morris for the wonderful job they have been doing hosting the Council meeting. She outlined the financials in the Bluebooks and that PDG Kaz would speak to the investments; explained the General Reimbursement Policy and LCIcon Reimbursements; Where to find the meeting minutes; Badges and Crests; the Environmental Photo Contest; The upcoming Organizational Meeting with the committee workshop and Dropbox and Scrapbook Contest as well as the Student Speakers Topic. Next she highlighted the typical MD4 upcoming events such as; MD4 Excellence Awards, Peace Poster and Essay contests and ordering kits, ordering Student Speakers packets; The Fall meeting in Santa Maria; Academy Awards nominees. FOUNDATION REPORTS: LCIF Exhibit C CC Rob introduced LCIF-MD4 Coordinator PCC Roger Powell. PCC Roger reminisced of being in Visalia when he was a vice governor. He then identified District LCIF coordinators. He then recognized his wife PDG Judy. He indicated that the grants system will be combined with a single grant form. A new grant is coming for the Leos for up to $5000 for Leo Club projects that the Leos are doing, which begins on July 1 st. He mentioned a playground project in Santa Cruz that was outstanding and received a tremendous amount of publicity. A $75,000 donation was given to Diabetes Clinic in Ventura, which well be use as a model for the future. Disaster relief money has been sent to Hawaii and Guatemala. PCC Roger thanked the 2018 Host convention committee for an outstanding event and their assistance with the Melvin Jones Breakfast. He recognized 7 districts that will receive the chairperson s bronze for exemplary ORGANIZATIONAL COUNCIL OF GOVERNORS MEETING VISALIA, CA JUNE 8-10, 2018

The recognition will take place in the districts. He believes the goal of $550,000, has been reached. PRESENTATION CC Rob presented PCC Roger with a Presidential Certificate form Dr. Amada for MD4 for attaining highest total giving among all multiple districts in the Constitutional Area. CLF Exhibit D CC Rob introduced PDG Gil Smith, President. PDG Gil noted that the California Lions Foundation is also your foundation and that all of the donated money stays in California. He called on those who are the foundation directors to stand and be recognized. The foundation has been active for 18 months now and has raised $145,000 in reach of the $250,000 funding goal by end of fiscal year. One of the benefits for CLF is that grants from $ to $10,000 can be issued to smaller Clubs who don t have a 501c(3). Another way to donate is with stock certificates. PDG Gil said he is selling $20 raffle tickets to anyone who wants to buy some for the $10,000 pendant, donated and created by PDG Alberto Montes de Oca. The drawing will be held at LCIcon in Vegas. He welcomed DG Rajen Thapa 4-C3 to come to the mic whose district donated $5000 to CLF. PRESENTATION: CC Rob Presented a KK Fukushima in Lion Randy Rynearson s name to Mary Rynearson. PCC Mary graciously accepted the plaque. STUDENT CC Rob introduced PDG Chris Ohrmund. PDG Chris mentioned it has been a fantastic year not only for SPEAKERS the foundation but for the contest and that the students really took hold of the topic. The was indicated FOUNDATION that the foundation received $141,636 in donations so far this year. With happiness of a good bottom Exhibit E line there is also sadness. Lion Bill Reading foundation treasurer also was a board member of another foundation in Santa Barbara 4A3 that donated yearly to the SSF. After Lion Bill s passing they donated $55,000, but stated that this would be the last time they donate to SSF. This had been a large part of donations over the years. She called the DGs the backbone for the foundation and thanked them for always thinking of the foundation and bringing the donations up. AWARD CC Rob presented 4_A1 Governor Eileen with a trophy for Lion Joe Skaff of the Sonora Lions Club Landscape: Carson Peak-June Lake, CA as the winner of the Environmental Photo Contest BREAK MD4con CC Rob introduced PDG Betty Morris, Host of the 2020 MD4 Convention who introduced Melanie 2020 Freeborn to go over the proposal. Miss Freeborn welcomed all to Visalia. Downtown Convention center newly renovated and connected to the Marriott; additional hotels will be available: Comfort Suites across the street and other hotels throughout Visalia. The date of the event is Feb 18-23, She thanked the assembly and told them she will be available for any questions at the Visalia Convention Bureau. COMMITTEE REPORTS: GMT Exhibit F CC Rob introduced PDG Buck Larson, MD4 GMT Coordinator. PDG Buck mentioned while in South Carolina as a New Club Developer establishing a club and they are all looking to California to know what is going on. Make sure membership is sustainable and growing. Ready to go. He has never seen a better CC than Rob. He expressed his gratitude to Rob. He then recognized DG Rajen Thapa 4-C3 as an extraordinary Lion for having started 9 new clubs statewide. GST CC Rob introduced PDG Storming Norm MacKenzie, MD4 GST Coordinator. It s a team effort and we should be helping the clubs. He had 6 goals to complete and one was make sure all districts report a GST coordinators and make sure they and the DGs were aware of the new GST framework and global cause for diabetes prevention control. He indicated that they are reporting to LCI and MyLCI must be utilized. Each coordinator received 4 PowerPoints from him and they attended a webinar that went well. A setback was in retention is partly responsible for less activities in service. He recommended inviting folks to these events and to go through Leos to recruit young Lions. In the Northwest region he trained Leos to use the PlusOptix screens. 53% of clubs participated in service since July: activities = 38,409 number served = 7,992,869. Hi imagined if the participation was higher contributing to the worldwide statistics that the President wants. He plans to work with the Global Action Team to make it happen. LCIcon Hospitality Exhibit H Question STUDENT SPEAKERS No written Report Budget & Finance Exhibit I Comment Constitution & Bylaws Exhibit J CC Rob introduced Lion Leslie Drag, chair of the International Convention Hospitality Committee. Lion Leslie indicated that she was wearing the official parade uniform, the purple state shirt that was used the past two years, white pants, white socks and shoes and a fedora hat with a purple band that is scripted with the yellow words California. No bags, purses, backpacks. Lion Seann Valtr said that time is running out and if they can t get the hat and band in time what should they do and Lion Leslie said they could just write on a purple band in yellow; someone suggested glitter glue. She then indicated that the committee members, PDG Esther Lee, Sue Carner and Lily Harris would go around to the District Governor Elects to pick up the ticket sales. She asked if there are those who want to purchase tickets she would be around to buy them. She strongly advised those attending the convention to bring the committee report to the event with them as it contains pertinent information. The busses will be shuttling Lions to the parade sight and they are the 42 nd to step off. She feels the California Lions Breakfast will be one of the best there. The breakfast will be a buffet and on the first day of the plenary sessions at the MGM Grand. They will be saving place for the delegation and appreciates those who volunteer to help do that. The venue is a theater seating and not on a flat floor. To enter the plenary session where President George W. Bush will be speaking you will need to put any belongings in a clear plastic bag. She thanked the committee. CC Rob introduced Lion Ed Smith, Chair. Lion Ed indicated the contest would be in the Redwood room. He said he was introduced to the committee by DG Steven Morgan and thanked the committee and Governor members as well as Lion Alan Winkelstein and the host committee for assisting him. It has been a great pleasure to serve on the committee. CC Rob introduced PDG Kazuyoshi Sato, Chair who introduced the committee, but Lion Mike was sick at home. He thanks them, the CC and EA. He hopes all the committees stay within their budgets. The JPMorgan gained $10,000 since last year, and Lion Mike will be looking at this very closely. All committees will be sent a form to be filled out before they come to the first meeting. Noted that the Governors need to make sure the clubs pay their dues. All clubs who are in status quo for one year need to pay up. The committee thanked the Executive Administrator Cass for the four years they worked together also the Council Chair who has done so much for him. CC Rob thanked PDG Kaz and said he has be a mentor to him and has done so much for the multiple. CC Rob introduced Lion Seanne Valtr, Chair Chair Seanne indicated that PDG Larry Donoghue had been filling another members term and would not be back next year. She indicated that the committee added a section to the Policy and Procedures on protocol pertaining to inviting a speaker to their districts. She then reminded the LCIcon paraders to hydrate, hydrate, hydrate. Convention CC Rob introduced PDG Mike Schaefer, Chair ORGANIZATIONAL COUNCIL OF GOVERNORS MEETING VISALIA, CA JUNE 8-10, 2018

8 Multiple District Four California Lions Clubs International Council of Governors Joint Spring Meeting Visalia, California Summarized Minutes June 8, Management PDG Mike indicated that PDG John Ruiz the 2018 Convention Host will speak more about the convention Exhibit K in San Diego, then indicated that there were 425 attendees, 213 certified delegates and 187 Lions who voted at the convention in San Diego; he thanked the committee, Rob, Cass, his wife, his parents (laughter broke out). Two things he asked the incoming governors to look at: last year they removed from the Policy and Procedures Manual a sentence that allowed the District Governor to approve the club s form to be certified delegates that had not been sent to the office before the convention started and had to bring the form to the convention, he recommends this please be reinstated. The reason why is members show up and haven t the knowledge that for what ever reason the form was not there. We need to let the governors have the opportunity to make that exception. P&P section He said congratulations to 4-C5 for bidding the 2019 convention in Sacramento. The second thing is he recommends the Council create an ad hoc committee out of this multiple who has experience to negotiate with hotels for the convention and knows the legal contracts. We have a ton of talent in the multiple and the Convention Management committee is not in charge for getting bids for conventions, only helping those folks getting the information to bid. PDG John Ruiz indicated that there were 441 registrants after all the bills were paid they grossed a surplus of $21, and split the first $5000, plus to the District and MD4 s cut was $13, LRP Exhibit L CC Rob introduced Lion Dennis Kramer for PDG Ron Hurd, Chair. Lion Dennis explained planning can best be descried as knowing where you are, where you want to be, and how you are going to get there in an ever changing environment. They will still be available to all the districts to assist them in their long range and strategic planning. They strongly suggest that the districts look at their committees and what they are doing and begin to move in that direction. We have what can be best described as an embarrassment of resources to assist you. This year the committee has gone to the institutes to present to the new LIons. Based on the evaluation he s read it has been very successful. They look forward to hearing from them and serving them. CC Rob Recessed the meeting COUNCIL SESSION II JUNE 10, 2018 The session was opened with a pledge lead by DG Barr, then a song led by DG Gadagnolo, then a meditation led by DG Patel. Rob proclaimed, It s a Great Day to Be a Lion. Youth Exchange Exhibit M CC Rob introduced DG Judy Barr, Governor Member to present the report. DG Judy announced the Vice governor members. DG Judy informed that the California students would be heading out to Austria, Italy, France, Denmark, and Spain; $5, has been distributed for scholarships; The 26 EU students will spend 2 weeks in a homestays then they will go to Teresita Pines for their final week. This year the EU students will not be going up to Northern California. There are 23 Japanese students who will be staying in Northern California. She gave an example of what they do with the students: They have planned trips to Warner Brothers Studios, Disney, Knox Berry Farm, shopping at the malls, beach, and whale watching. Every day there are events planned. Donations fund these exciting activities for the students and she encouraged each district to participate. She indicated that after reviewing her report on the Institutes, LCI Learning & Development Programs Coordinator, Sheila Adams commented that we are doing a fantastic job. She asked the Governors to approve IPDG Manny Sanchez to be an MD4 Global Leadership Team member. She gave special thank you to DG Nick McNicolas who gave her great feedback and inspiration. CC Rob expressed what a reward it has been for him to work with PCC Liz because she does fabulous job with everything she does. Lion Amy Fink, Chair thanked the governors and announced governor members. She reemphasized how well the open house/workshop went at the MD4 convention in San Diego. She hopes this will continue in the future, as it was very informative and casual for the Lions. She then indicated that LCI has created this new marketing position on the board of directors and asked the governors to urge the club presidents to appoint someone skilled to the position. Communication is the key to success. Lion Any offered an example of a 24-year-old member who participated in a digital form and payment and encourages all Lions to embrace this new technology if they want to attract younger members. She indicated that the incoming chair David Williamson will do a great job. CC Rob introduced PDG Pat Casey Gillum. PDG Pat thanked EA Cass and PDG Kaz for their invaluable assistance in doing the review for the She indicated that Cass has many hats but suggests she closes the books sooner so that she can do the review sooner when she has the time and for the governors to make better decisions. One of the reasons the books can t be closed is because there are members who don t turn in their submissions in the current year. From a year-end perspective with the increase in dues the Multiple is in good shape. She indicated she missed the Multiple and would like to be on a committee in the future. CC Rob introduced Lion Becky Stewart Special Chairperson. Chair Becky thanked the Governors for their participation in Diabetes Awareness especially DG Bhee Donoghue 4-L3 who has led the multiple in projects. She directed to the DGEs that DG Bhee also has a committee with more than one nurse and doctor devoted to the cause and one club that holds a weekly event. Most of this year projects dealt with type II diabetes. A special note that type I diabetes is just as important. Type I is when the pancreases doesn t work at all. It is an autoimmune disease that is deadly especially for children. Becky presented a video on Diabetes, which is downloadable on the LCI site. CC Rob introduced PDG Larry Wehage who displayed the pictures of the last float that will be brought up to the MD4 office. The theme for the parade is Melody of Life and the Lion Float theme is Rock n the Vest. 7 years ago Wisconsin Lions developed a Rap video posted on YouTube. The late PID Karla Harris and her husband Clearance had that done. They have invited Clearance to ride in the parade. Each year they change Leadership and voting members. DGs are released from their obligations. They have DGEs Vice Governors stepping up to the board. He asked if distance is a problem they can appoint a representative. They will continue to pick up people who need a ride and said, no one will be left behind. There will be a golf tournament. Joint Council Meeting CC Rob introduced DGE Sondra Terisigni 4-L1. DGE Sondra indicated the date will June 6-9, Its at the Airtel Plaza Hotel, Van Nuys. Organizational Council DG Marianne Keesee turned the mick over to Red Lion Hotel. They would like you to get your Meeting reservation in as soon as possible because there will be a Murder Mystery that needs a lot of planning. Presentation CC Rob introduced Council Chair Elect Bob Stewart and asked PID Howard Hudson to come up and present CCE Bob with a Council Chair Pin. The then thanked PID Howard and Lynn Hudson who are good people. He then explained the GAT last year was new and uncharted and he thanked GLT PCC Liz Crooke, GMT PDG Buck Larson and GST PDG Norm MacKenzie. He then thanked DG Marianne and DG Steven who help him to decide to be Council Chair. DG Marianne joked that it cost her a good cigar. Last but not least he thanked his wife Lucy. He indicated it was a wonderful year with a wonderful group of governors then turned the mic over to CCE Bob Stewart who expressed the importance of his leadership and the prior council. 14 LIONS CLUBS INTERNATIONAL REPORT Multiple District 4 Council of Governors Joint Meeting EXHIBIT A.1 June 9, 2018 First of all, I want to congratulate every District Governor and their teams for the job they have done in bringing service to their communities this year. While the Multiple District has not had the growth we have experienced in previous years, service has been wonderful. While membership in MD4 has been lagging, worldwide membership continues to grow. And as a spur toward growing our membership even more, once again as a part of the Centennial Celebration, the new member entrance fee of $35 has been waived for the period of June 7 through June 30. While these new members will still be charged dues, this can be an incentive for you to invite family and friends to join the fellowship of Lions. And, there is still time for you to submit the club charter paperwork to start a new club before the end of the year. At the recent International Board of Directors meeting held in Miami, the Board took action to add Myanmar as the 214th country in the Lions Worldwide Family. And Mexico City was approved as the International Convention site for There are also going to be some constitutional issues on the ballot. But those are merely minor housekeeping adjustments, which will have little effect on our clubs. A new initiative will be launched in Las Vegas and that is the New Voices program. The objective of this will be to explore and encourage possibilities for bringing more gender parity to our association. A team of women is being assembled to lead this initiative. And I am pleased to share with you that PCC Mary Rynearson has been invited to be - and has accepted - one of four leaders of this initiative in the United States. We will learn more about this at the International Convention. But I think that we can all agree that PCC Mary will be a wonderful leader and organizer of this initiative. At the International Convention in Las Vegas, the host committee is in the final stages of preparation. A big question this year is the International Parade. Because of the heat in Las Vegas during the day, the parade has been shortened and will step off at 8:30 a.m. There will also be transportation to and from the MGM Grand for those who are going to march in the parade. There will also be plenty of water stations throughout the parade route. And, since this is always such a colorful and joyful event, in spite of the heat, I am encouraging everyone to go to the parade and enjoy it. As everyone is aware, the International Board of Directors will be holding their Fall meeting in Ojai. This will take place October at the Ojai Valley Inn. The host committee is continuing to work on putting together the Host Night dinner/reception. And while we had hoped to have information about that at this meeting, securing a site for that event is proving difficult given the limited facilities in the Ojai area. I am pleased to share with you that DGE Ken Blackwood will be coordinating the greeters at Los Angeles International Airport where most of the Board Members and Lions International staff will be flying into. We will know more about that in August when the final travel plans are secured. Then, following the Board Meeting, the Board Members will have an extension tour planned of the Los Angeles/Long Beach area on Thursday, Friday and Saturday, October First, they will be driven

15 LIONS CLUBS INTERNATIONAL REPORT EXHIBIT A.2 from Ojai to Irwindale to visit the Float Barn where they will be able to see the Lions Clubs International Float that will be well under way at that time. Then they will go to City of Hope for lunch and a tour of the facility including a visit to the Lions Family Center. After that they will go to Long Beach where they will be staying. Friday, plans are under way for a Kids Sight event that is being organized by PID Larry Dicus. And on Saturday, Lion Ron Copley is organizing a Special Olympics softball tournament where the Board Members can participate with the Special Olympians. So, the week will be eventful and memorable for the Board of Directors and anyone else who will be able to be there. Many of you are also aware that MD4 has submitted a bid to host the USA/Canada Lions Leadership forum in September The bid package was submitted in December. And in May, the site inspection team for the Forum came to Long Beach to see the venues and review the plans that have been made. PID Bill Iannacone, PID Larry Dicus and I were able to accompany them throughout the inspection tour. And I am pleased to share with you that the team was very impressed with the planning and with the venues. They will also be visiting the other sites who have submitted bids - York, Pennsylvania and Calgary, Alberta. The final site selection decision will be made at the USA/Canada Forum in Columbus this Fall. Should the bid come to Long Beach, it would be the first time ever that the Forum will be held in California. Looking ahead to the new year, I want to admonish the DGE's to please be aware of the announcement of the criteria for requesting Presidential and Leadership Medals for your spring conventions. This is something that is going to be ed to you in late summer. Please give this serious thought. And PLEASE get the nomination forms submitted to me no later than January 15, I must submit all the MD4 nomination forms at the same time. So, if I am waiting for one District Governor to submit, it will delay the submission of all the nominations for the entire Multiple District. I will need to review them all and then submit them to Lions Clubs International no later than the middle of February for the International President to review and approve them. There have been times when I have had to wait. And even then, I did not receive submissions from all the District Governors. As a result, some districts did not receive any medals. I do realize that not every DG will want to submit nominations. And if you will not be submitting a nomination, please let me know so that I will not be waiting for your paperwork to come in. Finally, because several of the DGE's have given me the dates for their conventions next Spring, I have started the process of inviting International Directors to your conventions. Since the springtime is a very popular time for conventions around the country, I do like to secure Directors as early as possible. And I have been able to invite for several districts already. If you haven't given me the dates for your conventions, please get them to me as soon as possible so that I can get the invitations out before Directors calendars are already full. Once more, thank you for all you have done this past year. And with the excitement of the new year ahead, I am very optimistic about what lies ahead for Multiple District Four this coming year.

He s a real stand up guy. A very compassionate and sensitive soul. And by no means does sensitive mean week. It has been a pleasure to work with him and his lovely wife Lucy; who doesn t love Lucy? I love Lucy. The position of Council Chair is not a showy notch on someone s achievement list. It s a job, a responsibility, challenge really for someone with the wisdom and foresight to handle anything that comes up and to help shape and guide the Lions of California. Each Council Chair has had their own style and abilities and attention span and that is what make this multiple valuable. I think the key is for all of you to be on the same page and that is accomplished with communication; transparent, honest, and thoughtful. Remember it is better to listen to all before taking a stand. I d like to personally welcome the Second Vice District Governors to the fold. It will be as wonderful of a journey as you make it. A word of advise: believe nothing of what you hear and only half of what you see. ;) Financial Report Financials provided to the Council are as of June 1, 2018 for the MD-4 Fiscal year. I have provided Governors with a club dues aging report to date. You will see in the reports that many of the committees did not use their budgets. The Aging Per Capita Tax (unpaid Club dues) Reports are 3 ways; MD4 only, Sub District only then both together. The later is the one you want to refer to when collecting the dues. PDG Kazuyoshi will explain the investments and any other questions you might have about MD4 financials. He will be conducting a training for the Vice Governors after lunch today. General Reimbursement Policy All Governors Elect and Vice Governors Elect, required committee members, as well as select DGs who have not been refunded by MD4, may submit a Rules of Reimbursement form with the hotel receipt, host meal receipt and flight receipt or mileage printout for reimbursement. The forms are by the big yellow box along with a stapler and envelopes and direct deposit forms. Expense Claim Form budgets. Expense form are available for committee members who need reimbursements from their LCIcon Reimbursements: The DGs are gifted with a reimbursement for the LCI convention. Respective of the rules; 5 nights lodging, flight or mileage, which ever is less, and up to 2 meals a day with receipts. There s a cap of 13I need the itemized receipts. I need to write the checks before the end of the fiscal year, so please submit this as soon as you can. Don t put it off. Meeting minutes are on the MD4 website under member recourses. The governors have the Fall, Mid- Winter/MD4con, the Vice have the last meeting and there is a copy in the sign-in book if any wants to see them (DO NOT TAKE please). Badges and Crests: I had the jacket crests ordered for the PDGs, DGEs, Vice DGs, IPCC, and CC, which have not arrived, so when they do, I will have to mail them to you all.

The judges were online judges, Mr. Christopher Potter, Mr. Mike Eliason, Mr. Roger Marcoux and Mr. Clovis Johnson IIII. As we enter the new year there are a few things that come up real fast. There will be a calendar in the directory and online, but I would like to ask all the Lions to help out the Governors by paying particular attention to these items The Organizational COG meeting, the first meeting, is always the first weekend in August and this one will be at the Red Lion in Redding 4-C1: DG Marianne will be telling us more about that. At this first meeting we hold the Committee Workshop, where all the committees, except the youth exchange program committee (because they re busy) get together and plan their actions for the year. I hope they will bring it to the cause to expand on their plan and seek input. They can keep their plans in the Dropbox if they like, which will aid the full committee and council chair as the year goes by. Most everyone is expected to be there and it looks like the very capable hands in 4-C1 have planned a very thoughtful event. I m looking forward to hearing more about that from DG Marianne. The meal form is available here and online. Also, at this meeting you ll be holding the MD4 Scrapbook Contest, which will be displayed and judged. The Partners of the Vice Governors usually handle the judging, but I m sure the new CC Partner will keep us informed of that part. Some years ago the council did approve digital format. Additionally, the Student Speaker Contest Topic will be determined. So anyone with a topic idea is encouraged to submit it. Lion Perry Lynn will be collecting those and I hope we will have a link on the MD4 website to accommodate that. Packet orders need to be submitted by October 1, so if the districts could put this in there announcements, it would really help; club participation is declining. Kindness Matters is the theme of the upcoming Peace Poster and Essay Contest. Those kits have been on sale at LCI for months The deadline to order the kit is October 1. I hope the governor teams will promote this as well. On a side note, in Santa Barbara on Memorial Day Weekend each year at the Mission is an event called I Madonnari, it s a free Italian street painting festival (chalk drawings). There are sponsors, musical entertainment, a market where vendors sell food. Coincidentally, one of the drawings was named Kindness Matters and it had nothing to do with Lions. I saw that Rotary had sponsored a drawing and their name was displayed in two place as a sponsor. I m just saying How are you marketing Lions? There are many ways. In the past the Districts sent out press releases announcing their new Governor does this happen now? The Fall meeting will be at the Santa Maria Radisson, hosted by 4-C6 and 4-A3. At this meeting any MD4 Convention ballot items need to be discussed and approved to make it to the ballot. Its usually a light meeting and may include Halloween costumes. Academy Awards Nominations will be submitted in November. This item is under discussion by the Governors. Then in December: As the holidays near everyone is busy, but the District Peace Poster and Essay winners will be must to the MD4 Office where the final contest will take place. MD4 Excellence Award submissions are due by December 31 to the MD4 office and Presidential Medal Nominations to PID Howard Hudson. Date TBD. And that is the tip of the iceberg so to speak. 18 TO: MD4 Council of Governors FROM: PCC Roger Powell, MD4 LCIF Coordinator RE: LCIF Report - June 2018 EXHIBIT C.1 Clearing Up Appointment Confusion First, I am pleased & honored that I have again been reappointed to the position of your MD4 LCIF Coordinator for the term. Six years ago LCIF changed the procedure for the appointment of Multiple District Coordinators. Previously that appointment had been left to the MD Councils of Governors. The change was to place the appointments under the LCI President &the LCIF Chairman. Confusion appears to continue among some here in MD4 who mistakenly maintain that the appointment remains at the pleasure of the COG, even though the change has repeatedly been published & reviewed in my reports & supported in person three years ago by PID Dana Biggs. Here is the definitive language from the LCIF web site. From licf.org. - Multiple District Coordinators "The LCIF Multiple District Coordinator serves as an ambassador for LCIF in all aspects, including fundraising, promotion, training and education about LCIF's grants and programs. This three-year position was approved by the Board of Trustees as part of the long-term LCIF development strategy. These individuals are appointed by the Lions Clubs International President and the Lions Clubs International Foundation Chairperson. The District Coordinators are then appointed by the LCIF Chairperson in consultation with the Multiple District Coordinator." [Emphasis added] This year's letter of appointment is now on file at the Santa Barbara office. Note also that the District Coordinators are appointed based on my recommendation to the LCI President & LCIF Chairperson. I have consistently consulted with DG's & DGE's before sending in a final list of recommendations. I truly hope that this resolves the confusion once & for all! FYI: 1. The LCIF Chairperson is automatically the Past International President. 2. This past year, for reasons not made clear to me, as your Multiple District LCIF Coordinator I have been excluded from training sessions such as the two Leadership Training Institutes. Both the current LCI President & the LCIF Chairperson are aware of this breach of International's LCIF program and, like me, look forward to its remedy in the coming year. 3. The education/training components regarding LCIF are crucial now more than ever as changes continue to be made to the Foundation's operations, especially in the area of grants. MD4 leaders need to keep abreast of these changes in order to assist districts & clubs in applying for LCIF assistance for projects & with receiving funds under the "Sharing Program." Role of LCIF Area Vice Leader This position is new for the coming three years of the major fundraising campaign described below. I was pleased to learn that PDG Gary Wong (4-C3) has been selected for this position. We have known one another since he was VDG in & continued to work together through the time I was Council Chair for his COG in Incidentally, that group has held an annual reunion almost every year since, so besides seeing one another at COG meetings & conventions, we have definitely kept in touch. Working with the LCIF Area Leader, the Area Vice Leader's duties include an emphasis on facilitating the success of the fundraising campaign in the multiple districts assigned to him/her. PDG Gary's appointment was made by International Campaign Chairperson PIP Dr. Jitsuhiro Yamada & Campaign Vice Chairperson PIP J. Frank Moore. While PDG Gary certainly supported my reappointment, this position is not a direct part of the MD Coordinator selection decision. He & I have already briefly discussed coordinating our efforts, & he immediately offered to assist in our MD's fundraising in any way I might request. New Fundraising Campaign LCIF is initiating a new & very ambitious fundraising campaign titled "Campaign 100: Empowering Service." The goal is to raise $300 million between now and the 2021 international convention. A consultant has been hired, so you can no doubt expect plenty of messages directly from LCIF about this effort throughout the next three years. MD4 on the Way to Another Banner Year: As of the most recent contribution reports, our MD4 Lions have responded to meet & grow closer to our goal of $550,000 for by giving over $515,000 by the end of April. We have seven districts where District Coordinators & Governors have already qualified for the LCIF Chairman's Bronze Medal. To achieve this award, the district must have raised 10% more than the previous year & contributed at least $30,000. They are 4-C3, C4, C6, L1, L2, L4, & L6. When the medals arrive, I expect to arrange to come to the districts to present them. Districts A1 & L6 received this award last year. To date we have one 100% participation district for this year. Congratulations 4-L4! A final report on our successes will come to the Council in August. Melvin Jones Breakfast in San Diego: On the Sunday of the MD4 convention in San Diego in February, we held our second Melvin Jones LCIF breakfast where, with the assistance of Past Int'l President/Past LCIF Chairman Sid Scruggs, outstanding clubs & districts were recognized & new Melvin Jones and Progressive Melvin Jones Fellowships were awarded. Last year ( ) 33 MD4 clubs and Districts A2 & L5 achieved 100% participation, an awesome effort! Heartfelt thanks to Governor Neal Seafelt, Convention Chair PDG John Ruiz and LCIF District Coordinator PDG Scott Leslie for making this event possible. GIVING IS GOOD!

Additionally about $7,800 in designated donations that have already been disbursed for the Kidsight program. Thanks to the generosity of the Council of Governors and the California Lions and clubs, CLF is well on its way to the established funding goal of $250,000 in order to begin providing grants to California Lions clubs, which should commence in the Lions year. As you know, the California Lions Foundation (CLF) was created to provide matching grants to California Lions Clubs for humanitarian, vision, environmental, disaster relief, and other projects to better serve our California communities. These matching financial grants will be available to clubs and districts to meet various needs and projects in their respective communities. The dollar range of CLF grants will be focused on projects from $500 to $10,000, which do not qualify for support from other Lions foundations. A CLF grant will also be able to be combined with a LCIF grant for larger projects. CLF is a great vehicle to help to Lions Clubs meet our community needs in California. All donations to CLF will be provided back to the Lions Clubs of California as matching project grants or as restricted charity project funds. As a 501 (c)(3) nonprofit corporation, CLF also accepts tax deductable donations for approved charity projects of individual Lions Clubs. CLF then provides the designated donations back to the club for use of their approved project. CLF wishes to acknowledge the support of the many Lions, Clubs and Districts for becoming 'Founding Members' of CLF. CLF has received one Corporate donation of $5,000, but we need to greatly expand this area to obtain additional corporate and company support. CLF is in the last stages of conducting its raffle for a beautiful jeweled pendant created and donated by PDG Alberto Montes de Oca. The pendant is 14K white gold with diamonds, blue sapphires, rubies, blue topaz and garnet and has an estimated retail value of about $10,000. Raffle tickets may be purchased for $20 each from CLF directors and all proceeds will go solely into the administrative fund at CLF. Tickets are still available. The drawing will be held July 1, 2018 during the California breakfast in Las Vegas at the LCI convention. Thanks again for all your support from inception to initial funding of CLF. In addition, there is also the All Fellows lapel pin that is given to those who hold all four (4) of the Foundation Fellowships, and a second All Fellows lapel pin is also available. The SSF display will be set-up on Saturday for our Final Contest. Anyone who has all four of the Fellowships and does not have an All Fellows pin, please contact me at the Foundation office and one will be sent to you. I am proud to announce that, so far this Lions year, the following Lions were or will be awarded All Fellows Lapel pins: IPDG Barbara Chamberlain 4-C6, El Cajon Valley Host Lions Club 4-L6, Lion Andrea De Guzman 4- L3, Lion Tony Forchette 4-L6, Lion Violy Sioson 4-L3, IPDG Grace Joe 4-L1, and Lion Michael Perryman 4-L5. The Foundation launched a program twelve (12) years ago called our Supporter Banner Patch and Year Chevron Program. To date 119 of the Al Ohrmund Supporter Awards have been received by Lions in MD-4. A priority for the Foundation is to continue to revitalize the Bequest Club. Members of this special Club are Lions or individuals who name the Foundation as a benefactor in their will or trust. This can be accomplished by simply informing the Foundation in writing that this has occurred. No amount needs to be mentioned. 26 Multiple District 4 Global Membership Team Report EXHIBIT F To the Council of Governors, Joint Council of Governors Meeting June 2018 We wish to thank you for the opportunity you have given us to work with the 15 districts of our great state to strengthen their membership programs. We have rolled out what we believe is the best comprehensive program that is teachable at all level of Lions. It has been very well received at the districts where we have been afforded the opportunity to share it. Our multiple had a very difficult first half of the year but we wish to thank all the districts for refocusing and making 2018 a year of growth. We are looking forward to continuing the momentum into our next Lions year. California has proven that we can grow our membership if we focus, and put the necessary effort into developing new clubs, and bringing the tools we have developed for strengthening our existing clubs. As we move forward we hope all the districts will avail themselves of the programs we have developed to assist them. We wish to thank the six districts that have had our comprehensive workshops presented and we hope the remaining nine districts will book them very soon. If our programs get to the club level as intended our membership will grow and become stronger. Our focuses for the coming year will be teamwork, work within the regions and zones of each district and bringing membership forward as a top priority. In regards to membership we expect all the governor teams to be inclusive of all three members so that membership growth will become steady. This coming year the 2 nd VDG s will be tasked with starting a new club and our team and the district GMT teams will be there to help them every step of the way. We plan to be at zone and region meetings in partnership with the district GMT s to bring the membership programs directly to club level. When the clubs receive the tools and learn how to implement them membership will grow and be sustainable. It is of vital importance that the clubs receive the necessary tools to assist them to grow. It will be imperative that the districts of our great multiple prioritize membership growth into the future. The next years will be pivotal in determining how effective Lions Clubs will be as we move into our second century. Through strong membership growth in this period we will assure that we will be even more effective in providing humanitarian service to the people of California. 27 EXHIBIT G.1 MD4 GLOBAL SERVICE TEAM PDG Norm MacKenzie, Coordinator TO: Council of Governors RE: 2018 Joint Council Report Since the Mid-Winter report the Multiple has increased its service activities 6% since establishing a data base from which to gauge all efforts by the districts in number and percentage of clubs participating, number of Lions hours and people served. At present the Multiple has completed a total of 36,686 service activities this Lions year with a total of 897,011 Lions hours and 7,729,261 people served. However, the question that needs to be asked is, how many non-lions were invited to observe and/or participate? If one potential member was recruited for every project completed, that would add 36,686 members to the Multiple. Really awesome potential when you think about it. GSTs and GMTs need to work hand-in-hand to take advantage of this opportunity. The biggest challenge since February is getting the clubs to elect or appoint a Club Service Chair. Training was held at the convention and most District GSTs have been making presentations to clubs and encouraging increased activities with Leos around our global causes, Diabetes, Environment, Hunger, Vision, and Childhood Cancer. Several GSTs registered for the Value of Service webinar. That Power Point was ed to all GSTs after the webinar. I have included two attachments of data showing the current cumulative figures for all districts compiled from MyLCI reports. The first one is the MD4 Cumulative Service Activity Campaign Summary (# and % of clubs participating in two or more Centennial Service Challenge Campaign) showing 9,407 activities completed by 390 clubs which is percent of the Multiple. The top districts with the # and % of clubs participating are C5 with a 96.15%, followed by L4 with 89.29%, L6 with 82.61%, L1 with 80.95% and C3 with 78.67%. The second spreadsheet is the MD4 Cumulative Service Activities Category Summary report which covers all categories and has some duplication in reporting as there are Centennial Challenges such as Environment and Youth in the report. However, it shows a higher number of activities totaling 27,279 with 5, 261, 296 million people served. Adding another 2, 467, 965 from the first attachment equals 7, 729, 261 people served we still have the month of June to add to the totals for the year. These numbers will increase significantly in the future by all clubs having a CSC. After getting everyone trained on MyLCI, a new system is being implemented July 1 and the newest challenge begins of re-training our team. Have no fear, it will be done without missing a beat. I am PDG Kazuyoshi Sato, chairman of the Budget & Finance committee. I would like to introduce the following members. Mike Ferrier Penny Radtke PDG Vicki Peeman Governor Tessy Prumatico 1 st Vice Gov. Calvin T. Zender 2 nd Vice Gov. Rich E. Silveria The committee has finished their work for the year. Thank you to the committee members who had a great time in preparing the budget for the year 2018/2019. We hope that all the committees will work within their budget and be frugal in spending their budget item as requested. The investment with J.P. Morgan is fine and Lion Mike Ferrier will keep a firm hand on the investments. The committee has produced a form for most committees to use to ask for their budget for 2019/2020. Items in the budget are broken down, so the budget and finance committee will know what the committees are doing with the funds. It should be noted that each district governor is responsible for collecting per capita tax (dues) for Lions Clubs International, MD-4, and their own district. All clubs in arrears for more than one year should be put on status quo. This will either force the club to be current on their dues or be dropped from being a club in good standing. The committee would like to thank our executive administrator Cass Cara, for helping with information in producing the budget for the coming year. Other duties allowed to the Chairperson of Constitution & By-Laws Committee and the committee itself as set forth in Multiple District Four By-Laws in Article IV, Section 7. The Committee has done a complete review of the Policy & Procedures Manual and upon the approval at the Winter Meeting the changes were updated into the Policy and Procedures Manual. We have included a separate convention election report as required by Lions Clubs International and Multiple District 4 Constitution and By-laws. The previous approval of the International Officer Speaker Protocol chapter 7 that gives instructions on how to get a speaker and have travel expenses covered by international and Individual districts of MD4. We have a few minor grammar fixes to the completed major update/revision to the Policies & Procedures Manual of MD-4. We, of the Constitution and By-Laws Committee, stand ready to discuss any matters that the District Governors consider appropriate to our committee.
