1 NOTICE OF ELECTION TO THE RESIDENT QUALIFIED ELECTORS OF DALLAS AREA RAPID TRANSIT: NOTICE IS HEREBY GIVEN THAT an election will be held within the boundaries of Dallas Area Rapid Transit ("DART"), which include the incorporated territory of the Cities of Carrollton, Cockrell Hill, Dallas, Farmers Branch, Garland, Glenn Heights, Irving, Plano, Richardson, Rowlett, and University Park, and the Towns of Addison and Highland Park (collectively, the "Municipalities") on August 12, 2000, as provided in the Order calling the election passed by the Board of Directors of DART, a substantial copy of which Order, as amended, is printed below: AN ORDER of the DALLAS AREA RAPID TRANSIT BOARD (Executive Committee) CALLING AN ELECTION TO BE HELD WITHIN THE TERRITORY OF DALLAS AREA RAPID TRANSIT AND MAKING PROVISIONS FOR THE CONDUCT OF THE ELECTION AND OTHER PROVISIONS RELATING THERETO WHEREAS, Dallas Area Rapid Transit ("DART") is a regional transportation authority created, confirmed, and operating under and pursuant to Chapter 452, Transportation Code, as amended (the "Act"); and WHEREAS, the boundaries of DART include the incorporated territory of more than a single municipality, namely, the Cities of Carrollton, Cockrell Hill, Dallas, Farmers Branch, Garland, Glenn Heights, Irving, Plano, Richardson, Rowlett, and University Park, and the Towns of Addison and Highland Park (collectively, the "Municipalities"); and WHEREAS, the Board of Directors (the "Board"), as the governing Executive Committee of DART, hereby finds and determines that (i) the proceeds of long-term bonds or notes are needed continuously to acquire, construct, and equip DART s public transportation system; (ii) such method of financing is the best available financing method to provide transportation services at the earliest practicable date for the residents of DART s service area, including all of the Municipalities; and (iii) the construction period needed to provide those services will take longer than five (5) years; and WHEREAS, because of these findings and determinations, the Board has determined that an election should be held under the alternative provisions, and subject to the limitations, contained in Section of the Act, pursuant to which the Board seeks the authority of its voters to pledge DART s sales and use tax revenues to the payment of bonds or notes, issued in one or more series or issues and having maturities C:\WINDOWS\DESKTOP\notice.DOC 07/14/00 4:25 PM

2 beyond five (5) years, for the purposes of accelerating the provision of extensions, improvements, and additions to its public transportation system and of providing complementary transportation services; THEREFORE, BE IT ORDERED BY THE BOARD OF DIRECTORS OF DALLAS AREA RAPID TRANSIT: Section 1. Findings. All of the recitals contained in the preambles of this Order are adopted and are incorporated herein as the official findings and determinations of and by the Board. Section 2. The Election. (a) An election (the "Election") is hereby called and shall be held within DART s corporate territory on August 12, 2000, which date is one of the uniform election dates specified in and permitted by the Texas Election Code (the "Code"), and which date is not less than fifteen (15) nor more than ninety (90) days from the date of this Order. (b) The following proposition (the "Proposition") shall be submitted at the Election, to-wit: PROPOSITION "Shall Dallas Area Rapid Transit ("DART") be authorized to pledge its 1% sales and use tax revenues to the payment of bonds or notes having a maturity longer than five (5) years for the purpose of acquiring, constructing, and equipping the Authority s transportation system in order to provide transportation services for the residents of the municipalities of Addison, Carrollton, Cockrell Hill, Dallas, Farmers Branch, Garland, Glenn Heights, Highland Park, Irving, Plano, Richardson, Rowlett, and University Park?" Section 3. Voting System and Form of Ballot. (a) Voting at the Election, and early voting therefor, shall be by the use of lawfully approved voting systems and ballots. (b) The preparation of the necessary equipment and the official ballots for the Election shall conform to the requirements of the Code and the Act so as to permit the voters to vote "FOR" or "AGAINST" the Proposition, which shall be set forth on the ballots in substantially the following form: BALLOT PROPOSITION "THE PLEDGE BY DALLAS AREA RAPID TRANSIT ("DART") OF ITS 1% SALES AND USE TAX REVENUES TO THE PAYMENT OF BONDS OR NOTES IN ORDER TO PROVIDE TRANSPORTATION SERVICES FOR THE RESIDENTS OF THE MUNICIPALITIES OF ADDISON, CARROLLTON, COCKRELL HILL, DALLAS, FARMERS BRANCH, GARLAND, GLENN HEIGHTS, HIGHLAND PARK, IRVING, PLANO, RICHARDSON, ROWLETT, AND UNIVERSITY PARK." -2-

3 Section 4. Eligible Voters and Voting Locations. (a) All resident, qualified voters of DART, being those qualified voters who reside within the corporate boundaries of the Municipalities, shall be eligible to vote at the Election. (b) The election precincts for the Election shall consist of the territory situated within those election precincts which are located within the boundaries of the Municipalities and which bear the precinct numbers set forth in Exhibit B attached hereto and incorporated herein. The voting locations for voting on the day of the Election for the respective precincts for the Election shall be as set forth on Exhibit B. See Exhibit B following the Spanish translation of this Order.) (c) Each eligible voter shall vote at the voting location specified in Exhibit B that is designated for the election precinct in which such voter resides. (d) The voting locations shall be open from 7:00 a.m. to 7:00 p.m., Central Daylight Time, on the date of the Election. Section 5. Administration of the Election. The Election shall be conducted in compliance with the Code, except as modified by the Act, and shall be administered by the Dallas County Elections Administrator (the "Elections Administrator") pursuant to a contract with the Board substantially in the form and substance presented to the Board at this meeting and hereby approved, and the President/Executive Director is authorized to execute and deliver such contract on behalf of DART. Section 6. Early Voting. (a) The Elections Administrator is hereby appointed as the Early Voting Clerk and shall conduct the early voting for the Election. (b) Early voting by personal appearance for the Election shall be conducted at the times and places identified and prescribed in Exhibit C to this Order. See Exhibit C following the Spanish translation of this Order.) (c) Early voting ballot applications and early voting ballots voted by mail shall be sent to the following address of the Early Voting Clerk: Bruce R. Stemmons Freeway, Suite 820 Dallas, Texas Applications for ballot by mail must be received no later than close of business on Friday, August 4, (d) Prior to the date of the Election, the Board shall appoint the Presiding Judges and the Alternate Presiding Judges to serve at the respective voting locations for the Election, the Early Voting Ballot Board, and such other officials as are necessary and appropriate to conduct the Election in accordance with the Code. Section 7. Bilingual Materials. The election materials enumerated in the Code shall be printed in both English and Spanish for use at each polling place and for early voting. The presiding election judge for each voting precinct shall appoint a sufficient number of election clerks who are fluent in both English -3-

4 and Spanish to serve the needs of the Spanish-speaking voters of each precinct in accordance with the requirements of the Code. Section 8. Returns. (a) The Central Counting Station is hereby established to receive and tabulate the voted ballots at the Election. (b) The election officers of each precinct and the Early Voting Ballot Board shall deliver the precinct election and early voting records to the presiding judge of the Central Counting Station. Section 9. Representations to Voters (a) The Board hereby represents and agrees with the voters at the Election that, unless an additional election is held under the Act and a majority of the voters thereat approve otherwise - (i) DART will not implement any increase in the rate of the existing, previously voted 1% sales and use tax; and (ii) the aggregate principal amount of bonds or notes of DART that (A) are payable from and secured solely by the revenues received by DART from the collection of a sales and use tax, (B) have maturities beyond 5 years from the date of issuance, and (C) are issued pursuant to the authority granted at this Election, shall never exceed $2.9 billion. (b) The Board intends to and declares that the representations and agreements set forth in subsection (a), above, are intended to be and shall constitute irrevocable and fully enforceable contracts with the voters, and may not be repealed, altered or rescinded by any succeeding executive committee or board of directors of DART. Section 10. Additional Information Pertaining to DART s Plans and Programs. (a) Additional information pertaining to DART s plans and programs, included herein pursuant to the authority granted in Section (d) of the Act, is contained in Exhibit A attached hereto and incorporated herein. (b) The information contained in Exhibit A includes summaries, estimates and forecasts of dates, designs, locations, and amounts that are based on DART s current expectations of future events over extended periods of time. Because of changing demographic, economic, and other circumstances, that are incapable of being known by DART on the date of this Order, such information is subject to change in the future. Accordingly, DART s current Transit System and Service Plan may be amended in accordance with the Act. A summary of this amendment process is described on page A-2 of Exhibit A, attached hereto. Section 11. Official Notice of the Election. Substantial copies of this Order, presented in both English and Spanish, shall serve as official notice (the "Notice") of the Election. The Notice shall be posted at least 21 days prior to the date of the Election at the bulletin board used for posting notices of the meetings of the Board and at the bulletin boards used for posting notices of meetings of the governing bodies of the Municipalities, and shall be published on the same day of three successive weeks in a newspaper of general circulation published within the territory of DART, the date of the first publication to occur not less than 21 days nor more than 30 days prior to the date of the Election. Section 12. Additional Distribution of Order Calling Election. (a) Additional copies of this Order, including its Exhibits and cover pages containing notice of the Election, summary information from -4-

5 this Order, and descriptions of the existing and proposed types of public transportation plans, facilities, and services that are provided and are to be provided by DART as a part of its Service Plan, shall be prepared by the President/Executive Director and printed in both English and Spanish in a form suitable for distribution to and use, reference, and analysis by the public. (b) The President/Executive Director is authorized, but is not required, to cause such additional copies to be made available to the public by mail or by newspaper insert or by such other means as may be deemed appropriate in order to make widely available to the public the information contained in this Order regarding the Election, its purposes, and the facilities, plans, and programs of DART. 6 EXHIBIT A This Exhibit summarizes the issue presented to the voters at the Election and contains summaries of DART s current Transit System and Service Plan, how the Service Plan may be amended, the projected future capital costs of DART s public transportation services, and DART s projected future funding methods if the voters approve the Proposition at the Election. Summary Of Issue Presented at the Election DART s public transportation services currently include bus, paratransit, light rail, commuter rail, high occupancy vehicle lanes ("HOV"), and vanpool and carpool services. DART funds these services with revenues received from its 1% sales and use tax (previously approved by the voters), farebox revenues, state and federal grants, and through the issuance of notes having maturities that do not exceed 5 years ("Short-Term Financing"). By law, DART may not pledge the revenues it receives from the collection of its 1% sales and use tax to secure bonds, notes, or other debt having maturities longer than 5 years ("Long-Term Financing") unless approved by the voters at an election. Recently, DART s member Municipalities and the public have asked the agency to accelerate and upgrade its transportation services by: Upgrading the type of rail service planned in the Northwest Corridor (Carrollton, Farmers Branch and North Irving) and the Southeast Corridor (Fair Park and Pleasant Grove) from diesel-powered commuter rail and single-track light rail to double-track light rail; Adding more rail service than previously planned (from the Las Colinas Urban Center in North Irving to Dallas/Fort Worth International Airport, and from downtown Garland to Rowlett); and Implementing new and upgraded services as quickly as possible. To date, DART has constructed its light rail system and complementary transportation services with Short-Term Financing. If Short-Term Financing continues to be DART s only financing option, service to its member Municipalities may be delayed by an average of 4 to 5 years beyond the dates the service could be provided if DART were permitted to issue bonds or notes having maturities longer than 5 years ("Long-Term Financing"). The Proposition at the Election asks the voters to decide whether DART shall have the authority to pledge its 1% sales and use tax to the payment of bonds or notes issued as a part of a Long-Term Financing strategy and permit DART to respond affirmatively to the public s demands. If approved by the voters at the Election, the Proposition will not increase the rate of the 1% sales and use tax currently collected in DART s member Municipalities. A-1

7 DART s Transit System and Service Plan The DART Transit System Plan identifies transit facilities and services necessary to carry out DART s mission and the proposed timing or phasing of transit projects. Attachment 1 contains DART s current Transit System Plan Map. The Transit System Plan is coordinated with the region s transportation plan, referred to as "Mobility 2025." The regional planning effort is administered by the North Central Texas Council of Governments in conjunction with all municipalities in the region, DART, the Texas Department of Transportation, and other regional and state agencies. The Transit System Plan is the long-range element of DART s Service Plan which is the agency s guiding policy document mandated by state law. DART s enabling law permits its Board of Directors to make major changes to the Service Plan, providing DART: holds a full public hearing and notifies by mail all property owners who live within 400 feet of the facility or fixed guideway; obtains affirmative approval for the change by a 2/3 vote of the Board of Directors after the public hearing; and obtains approval for any additional fixed guideway route from the governing body of any municipality in which the proposed guideway is to be located. 8 DART currently estimates that it will have the financial ability, without Long-Term Financing, to build the upgraded Fiscal Year 2000 Transit System Plan over an 18-year period. If the voters authorize DART to pledge its sales and use tax revenues to pursue Long-Term Financing strategies, DART projects that it will be able to open the listed rail extensions an average of 4 to 5 years sooner. 9 Long-Term Financing would permit DART to borrow funds in greater initial amounts, as is typically done by other governmental agencies for major infrastructure improvements. This would permit DART to enter into construction contracts at earlier dates than possible using available cash and Short-Term Financing. Projected Capital Cost of Transportation System Improvements This section describes the projected capital cost of DART s transportation system improvements from Fiscal Year 2001 through Fiscal Year 2013 (the final year of DART s currently planned rail expansion), assuming the Election Proposition is approved. Approximately $4 billion is projected to be spent on rail capital projects for: 2003; 23.5 miles of light rail extensions to Richardson and Garland by 2002, and Plano by Construction of approximately 50 miles of light rail in the other corridors discussed in this Exhibit. (See, Charts, above); and Implementation of miscellaneous rail capital expansion and replacement projects. DART also expects to spend approximately $1 billion for other transportation capital projects, including: Construction of approximately 110 miles of HOV lanes; Replacement, expansion, and overhaul of buses and paratransit vehicles; Replacement, expansion, and overhaul of operating, maintenance, and passenger facilities; and Completion of other miscellaneous capital and non-operating projects. Estimates of Long-Term Financing DART expects, in any event, to continue to fund its capital and operating programs with revenues from the 1% sales and use tax (previously approved by the voters), farebox collections, Short-Term Financing, and state and federal grant funds. If the Proposition at the Election is approved by the voters, DART expects to supplement these funding methods by implementing a Long-Term Financing strategy to accelerate the construction of the capital elements of the System Plan. Based on projected receipts of state and federal funds for transportation improvements, DART estimates that its Long-Term Financing program will result in the issuance of between $2.5 billion and $2.9 billion of bonds and notes with maturities of more than 5 and up to 30 years. Such bonds or notes would be payable from the revenues DART will receive from the previously voted 1% sales and use tax. DART is bound by the Board s financial standards and by Section 9 of the Order calling the Election to maintain the 1% sales and use tax at its current rate unless a higher rate is approved by the voters at a future election.
