1 NOTICE OF SCHOOLHOUSE BOND ELECTION TO THE RESIDENT, QUALIFIED ELECTORS OF THE STAFFORD MUNICIPAL SCHOOL DISTRICT: NOTICE IS HEREBY GIVEN that an election will be held in the STAFFORD MUNICIPAL SCHOOL DISTRICT, on the 7th day of November, 2017, in accordance with the following ordinance:

2 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF STAFFORD, TEXAS, CALLING A SCHOOLHOUSE BOND ELECTION FOR AND ON BEHALF OF THE STAFFORD MUNICIPAL SCHOOL DISTRICT; MAKING PROVISIONS FOR THE CONDUCT AND THE GIVING OF NOTICE OF THE ELECTION; AND CONTAINING OTHER PROVISIONS RELATING THERETO * * * * * WHEREAS, the City Council (the Council of the City of Stafford, Texas (the City has received a Resolution Requesting Schoolhouse Bond Election from the Board of Trustees of the Stafford Municipal School District (the District ; and WHEREAS, the Council finds and determines that it is necessary and advisable to call and hold an election, for and on behalf of the District, within the District on the proposition hereinafter set forth; and WHEREAS, it is hereby officially found and determined that said election shall be held on a uniform election date established by Section (a, Texas Election Code (the Code, as required by Texas law; and WHEREAS, the Council, pursuant to the applicable provisions of the Code, intends to conduct a joint election with other political subdivisions within Fort Bend County and Harris County, as necessary, and contract with the Fort Bend County Elections Administrator and any other elections administrator as is necessary (the Elections Administrator for election services; and WHEREAS, the Council finds and declares that the meeting at which this Ordinance is considered is open to the public, and that the public notice of the time, place and purpose of the meeting was given, as required by Chapter 551, Texas Government Code, as amended; now, therefore, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF STAFFORD, TEXAS: Section 1. Findings. (a The statements contained in the preamble of this Ordinance are true and correct and are hereby adopted as findings of fact and as a part of the operative provisions hereof. (b If the issuance of bonds is authorized by voters, taxes sufficient, without limit as to rate or amount, to pay the annual principal of and interest on the bonds and the costs of any credit agreements may be imposed. Based upon market conditions as of the date of this Ordinance, if the bonds are authorized, the estimated total tax rate of the District is expected to be approximately $ per $100 of taxable assessed valuation, which represents the sum of (i the most recently adopted tax rate for operations and maintenance, which is $ per $100 of taxable assessed valuation, plus (ii the estimated tax rate for voted debt obligations of the District, including the bonds, which is expected to be approximately $ per $100 of taxable assessed valuation. This estimated total tax rate is derived from projections obtained from the

3 District s financial advisor and the appraisal district and is provided without any assurance that such projections will be realized. At the time that bonds are issued, the actual total tax rate will depend upon, among other factors, prevailing interest rates, the assessed value of real property in the District, the availability of the Permanent School Fund Guarantee and general market conditions. (c As of: 1. the beginning of the District s current fiscal year, the aggregate amount of outstanding principal of the District s debt obligations was $57,420,000.00; 2. the beginning of the District s current fiscal year, the aggregate amount of outstanding interest on the District s debt obligations was $35,590,925.00; and 3. the date of adoption of this Ordinance, the District s ad valorem debt service tax rate is $0.19 per $100 of taxable property. The statements contained in these findings (i are based on information available to the District on the date of adoption of this Ordinance and provided to the City, including projections obtained from the District s financial advisor, (ii necessarily consist of estimates and projections that are subject to change based on facts, circumstances and conditions at the time that bonds approved pursuant to this Ordinance are issued and (iii are not intended to create a contract with the voters or otherwise limit the authority of the City to issue bonds for and on behalf of the District in accordance with other terms contained in this Ordinance. Accordingly, actual tax rates, interest rates, maturity dates, aggregate outstanding indebtedness and interest on such debt will vary and will be established after the bonds are issued. To the extent of any conflict between this subsection and other terms of this Ordinance, such other terms control. Section 2. Election Ordered; Date. An election (the Election shall be held for and within the District on Tuesday, November 7, 2017 ( Election Day, in accordance with the Code. Section 3. Proposition. At the Election the following proposition (the Proposition shall be submitted to the qualified voters of the District in accordance with law: CITY OF STAFFORD, TEXAS SPECIAL ELECTION CITY OF STAFFORD, TEXAS FOR STAFFORD MUNICIPAL SCHOOL DISTRICT PROPOSITION A SHALL THE CITY COUNCIL OF THE CITY OF STAFFORD, TEXAS (THE CITY BE AUTHORIZED TO ISSUE AND SELL, FOR AND ON BEHALF OF THE STAFFORD MUNICIPAL SCHOOL DISTRICT (THE DISTRICT, AT ANY PRICE OR PRICES, THE BONDS OF THE DISTRICT IN THE AGGREGATE PRINCIPAL AMOUNT OF $62,000,000 FOR THE CONSTRUCTION, ACQUISITION AND EQUIPMENT OF SCHOOL BUILDINGS IN THE DISTRICT, INCLUDING THE REPAIR, RENOVATION

4 AND EXPANSION OF SCHOOL BUILDINGS IN THE DISTRICT AND THE PURCHASE OF TECHNOLOGY, THE PURCHASE OF NECESSARY SITES FOR SCHOOL BUILDINGS AND THE PURCHASE OF NEW SCHOOL BUSES, WHICH BONDS MAY BE ISSUED IN VARIOUS ISSUES OR SERIES, SHALL MATURE SERIALLY OR OTHERWISE NOT MORE THAN 40 YEARS FROM THEIR DATES, AND SHALL BEAR INTEREST AT SUCH RATE OR RATES, NOT TO EXCEED THE MAXIMUM RATE NOW OR HEREAFTER AUTHORIZED BY LAW, AS SHALL BE DETERMINED BY THE CITY COUNCIL OF THE CITY WITHIN THE DISCRETION OF THE CITY COUNCIL AT THE TIME OF ISSUANCE; AND SHALL THE CITY COUNCIL BE AUTHORIZED TO LEVY AND PLEDGE, AND CAUSE TO BE ASSESSED AND COLLECTED, ANNUAL AD VALOREM TAXES ON ALL TAXABLE PROPERTY IN THE DISTRICT SUFFICIENT, WITHOUT LIMIT AS TO RATE OR AMOUNT, TO PAY THE PRINCIPAL OF AND INTEREST ON SAID BONDS AND THE COSTS OF ANY CREDIT AGREEMENTS EXECUTED IN CONNECTION WITH THE BONDS; SAID BONDS TO BE ISSUED AND SAID TAXES TO BE LEVIED, PLEDGED, ASSESSED, AND COLLECTED UNDER THE CONSTITUTION AND LAWS OF THE STATE OF TEXAS INCLUDING THE TEXAS EDUCATION CODE? Section 4. Official Ballot. (a Voting at the Election, and early voting therefor, shall be by the use of lawfully approved voting systems and ballots. (b The preparation of the necessary equipment and the official ballots for the Election shall conform to the requirements of the Code so as to permit the electors to vote FOR or AGAINST the aforesaid Proposition which shall be set forth on the ballots substantially in the following form: CITY OF STAFFORD, TEXAS SPECIAL ELECTION CITY OF STAFFORD, TEXAS FOR STAFFORD MUNICIPAL SCHOOL DISTRICT PROPOSITION A [ ] FOR [ ] AGAINST THE ISSUANCE OF $62,000,000 BONDS BY THE CITY OF STAFFORD, TEXAS, FOR AND ON BEHALF OF THE STAFFORD MUNICIPAL SCHOOL DISTRICT FOR THE CONSTRUCTION, ACQUISITION AND EQUIPMENT OF SCHOOL BUILDINGS IN THE DISTRICT, INCLUDING THE REPAIR, RENOVATION AND EXPANSION OF SCHOOL BUILDINGS IN THE DISTRICT AND THE PURCHASE OF TECHNOLOGY, THE PURCHASE OF NECESSARY SITES FOR SCHOOL BUILDINGS AND THE PURCHASE OF NEW SCHOOL BUSES AND THE LEVYING OF AN AD VALOREM TAX IN PAYMENT THEREOF Section 5. Persons Qualified to Vote. All resident, qualified electors of the District shall be eligible to vote at the Election.

5 Section 6. Election Precincts, Voting Locations and Voting Hours on Election Day. The election precincts for the Election shall consist of the territory within the boundaries of the District situated within one or more Fort Bend County and Harris County election precincts, which bear the precinct numbers set forth in Exhibit A attached hereto and incorporated herein. The voting location for voting on Election Day for each election precinct shall be as set forth in Exhibit A, or at such other locations as hereafter may be designated by the Elections Administrator. On Election Day the polls shall be open from 7:00 a.m. to Section 7. Early Voting Locations, Dates and Times. (a Early voting by personal appearance for all election precincts in Fort Bend County and Harris County shall be held at the locations, at the times and on the days set forth in Exhibit B, or at such other locations as hereafter may be designated by the Elections Administrator. (b The Elections Administrator, John Oldham, is hereby designated as the Early Voting Clerk to perform those functions for District voters who are qualified under state and federal law in their respective counties. The Early Voting Clerk shall receive applications for early voting by mail in accordance with the Code. (c Applications for ballots to be voted by should be directed to: Fort Bend County Elections Attention: John Oldham 301 Jackson Street Rosenberg, Texas vote@fortbendcountytx.gov Section 8. Joint Election. The City, by separate resolution, may participate in a joint election with other participating governmental entities in Harris County and Fort Bend County for the precincts in their respective counties who are also holding elections on Election Day and will contract with the respective County Elections Official for election services. Section 9. Appointment of Election Officers. Prior to the Election Day, the election judges, alternate judges, clerks and other personnel necessary for conducting the Election will be appointed by the Elections Administrator, and the election judges and alternate judges may be changed and the polling places may be combined for some precincts, pursuant to decisions of the Elections Administrator. The County Elections Administrator shall also be responsible for establishing the central counting station for the ballots cast in such election and appointing the personnel necessary for such station. The Council hereby authorizes the Mayor to appoint any such other officials not designated herein or appointed by the County Elections Administrator as are necessary and appropriate to conduct the Election in accordance with the Code. Section 10. Notice of Election. Notice of the Election shall be given in English, Spanish, Vietnamese and Chinese (Mandarin by (i publishing a substantial copy of this Ordinance one time, not earlier than the thirtieth day nor later than the tenth day prior to the date set for the Election, in a newspaper published in the District; (ii posting a copy of this Ordinance on the bulletin board(s used for posting notices of District s Board of Trustees meetings and in three public places within the boundaries of the District not later than the 21st day prior to the

6 date set for the Election; (iii posting a copy of this Ordinance on Election Day and during early voting by personal appearance in a prominent location at each polling place; and (iv posting this Ordinance, together with the notice of Election and the contents of the Proposition, on the District s internet website during the 21 days before the Election. Notice of the Election shall also be provided to the county clerks of Harris County and Fort Bend County not later than the 60th day before the Election Day. Section 11. Conduct of Election. Said Election shall be held in accordance with the Code, except as modified by the Texas Education Code and the Federal Voting Rights Act of 1965, including particularly Chapter 272 of the Code pertaining to bilingual requirements. Section 12. Necessary Actions. The Mayor, the City Secretary, the Superintendent of the District and any other officers or employees of the City or the District, in consultation with the City Attorney and bond counsel are hereby authorized and directed to take any and all actions necessary to comply with the provisions of the Code and the Federal Voting Rights Act of 1965 in carrying out and conducting the Election, whether or not expressly authorized herein. Section 13. Severability. If any provision, section, subsection, sentence, clause or phrase of this Ordinance, or the application of same to any person or set of circumstances is for any reason held to be unconstitutional, void, invalid, or unenforceable, neither the remaining portions of this Ordinance nor their application to other persons or sets of circumstances shall be affected thereby, it being the intent of the Council in adopting this Ordinance that no portion hereof or provision or regulation contained herein shall become inoperative or fail by reason of any unconstitutionality, voidness, invalidity or unenforceability of any other portion hereof, and all provisions of this Ordinance are declared to be severable for that purpose. 17 ORDENANZA DEL CONSEJO MUNICIPAL DE LA CIUDAD DE STAFFORD, TEXAS, QUE CONVOCA A UNA ELECCIÓN DE BONOS PARA LOCALES ESCOLARES PARA Y EN NOMBRE DEL DISTRITO ESCOLAR MUNICIPAL DE STAFFORD, QUE DISPONE LA CELEBRACIÓN Y LA NOTIFICACIÓN DE LA ELECCIÓN Y CONTIENE OTRAS DISPOSICIONES RELACIONADAS CON LA MISMA * * * * * EN VISTA DE QUE el Consejo Municipal (el Consejo de la Ciudad de Stafford, Texas (la Ciudad ha recibido una Resolución Solicitando una Elección de Bonos para Locales Escolares de parte de la Junta de Síndicos del Distrito Escolar Municipal de Stafford (el Distrito ; y EN VISTA DE QUE el Consejo halla y determina que es necesario y aconsejable convocar y celebrar una elección, para y en nombre del Distrito, dentro del Distrito sobre la proposición establecida en el presente; y EN VISTA DE QUE por el presente se halla y determina oficialmente que dicha elección debe celebrarse en una fecha de elección uniforme establecida por la Sección (a del Código Electoral de Texas (el Código, conforme lo requieren las leyes de Texas; y EN VISTA DE QUE, el Consejo, en conformidad con las disposiciones pertinentes del Código, tiene la intención de celebrar una elección conjunta con otras subdivisiones políticas dentro del Condado de Fort Bend y del Condado de Harris, según sea necesario, y un contrato de servicios electorales con el Administrador de Elecciones del Condado de Fort Bend y con cualquier otro administrador de elecciones si fuera necesario (el Administrador de Elecciones ; y EN VISTA DE QUE el Consejo halla y declara que la asamblea en la cual se considera esta Ordenanza está abierta al público, y que se dio aviso público de la hora, el lugar y el propósito de la asamblea, según lo exige el Capítulo 551 del Código de Gobierno de Texas y sus enmiendas; ahora, por lo tanto, EL CONSEJO MUNICIPAL DE LA CIUDAD DE STAFFORD, TEXAS, ORDENA: Sección 1. Hallazgos. (a Las declaraciones contenidas en el preámbulo de esta Ordenanza son verdaderas y correctas y, por el presente, se adoptan como determinaciones de hechos y como parte de las disposiciones operativas de la misma. (b Si los votantes aprueban la emisión de bonos, se pueden imponer impuestos suficientes, sin límite de la tasa o cantidad, para pagar el capital y el interés anuales de los bonos y los costos de cualquier acuerdo de crédito. En base a las condiciones del mercado a la fecha de esta Ordenanza, si se autorizan los bonos, se espera que la tasa impositiva total estimada del Distrito sea aproximadamente $ por cada $100 de tasación fiscal gravable, lo que representa la suma de (i la tasa impositiva adoptada más recientemente para operaciones y mantenimiento, que es $ por cada $100 de tasación fiscal gravable, más (ii la tasa impositiva estimada para las obligaciones de deuda del Distrito votadas, incluidos los bonos, la

18 cual se espera sea de aproximadamente $ por cada $100 de tasación fiscal gravable. Esta tasa impositiva total estimada se deriva de los pronósticos obtenidos del asesor financiero del Distrito y del distrito de tasación, y se proporciona sin ninguna garantía de que tales pronósticos se cumplan. Al momento de la emisión de los bonos, la tasa impositiva total real dependerá, entre otros factores, de las tasas de interés prevalecientes, la tasación fiscal de los bienes inmuebles en el Distrito, la disponibilidad de la Garantía de Fondo Escolar Permanente y las condiciones generales del mercado. (c 1. Al comienzo del año fiscal actual del Distrito, la cantidad total de capital pendiente de las obligaciones de deuda del Distrito era de $57,420,000.00; 2. Al comienzo del año fiscal actual del Distrito, la cantidad total de interés pendiente de las obligaciones de deuda del Distrito era de $35,590,925.00; y 3. A la fecha de adopción de esta Ordenanza, la tasa del impuesto ad valorem para el servicio de la deuda del Distrito es de $0.19 por cada $100 de propiedad gravable. Las declaraciones contenidas en estos hallazgos (i se basan en la información de la que dispone el Distrito a la fecha de adopción de esta Ordenanza y brindada a la Ciudad, incluidas las proyecciones obtenidas del asesor financiero del Distrito, (ii consisten necesariamente en estimaciones y proyecciones que están sujetas a cambio con base en los hechos, las circunstancias y las condiciones al momento en que se emitan los bonos aprobados conforme a esta Ordenanza y (iii no están pensadas para crear un contrato con los votantes ni de otro modo limitar la autoridad de la Ciudad en la emisión de bonos para y en nombre del Distrito de acuerdo con otros términos contenidos en esta Ordenanza. Consecuentemente, las tasas impositivas, las tasas de interés, las fechas de vencimiento, el endeudamiento total pendiente y el interés sobre tal deuda reales variarán y se establecerán tras la emisión de los bonos. En la medida en que haya algún conflicto entre esta subsección y otros términos de esta Ordenanza, esos otros términos regirán. Sección 2. Elección ordenada; fecha. Se celebrará una elección (la Elección para y dentro del Distrito el martes 7 de noviembre de 2017 ( Día de Elección, en conformidad con el Código. Sección 3. Proposición. 20 PREDIOS NECESARIOS PARA EDIFICIOS ESCOLARES Y LA COMPRA DE NUEVOS AUTOBUSES ESCOLARES, Y LA IMPOSICIÓN DE UN IMPUESTO AD VALOREM PARA EL PAGO DE LOS MISMOS Sección 5. Personas habilitadas para votar. Todos los votantes habilitados residentes del Distrito serán elegibles para votar en la Elección. Sección 6. Precintos electorales, lugares de votación y horario de votación del Día de Elección. Los precintos electorales para la Elección estarán formados por el territorio dentro de los límites del Distrito situados dentro de uno o más precintos electorales del Condado de Fort Bend y del Condado de Harris, que tienen los números de precinto indicados en el Anexo A adjunto a este documento e incorporado al mismo. El lugar de votación para votar el Día de Elección de cada precinto electoral será el que se indica en el Anexo A, o en otros lugares que de aquí en adelante puedan ser designados por el Administrador de Elecciones. El Día de Elección las casillas abrirán de 7:00 a.m. a Sección 7. Lugares, fechas y horarios de votación anticipada. (a La votación anticipada en persona de todos los precintos del Condado de Fort Bend y del Condado de Harris se llevará a cabo en los lugares, las fechas y los horarios indicados en el Anexo B, o en otros lugares que de aquí en adelante puedan ser designados por el Administrador de Elecciones. (b Por el presente de designa al Administrador de Elecciones, John Oldham, como el Oficial de Votación Anticipada para desempeñar esas funciones para los votantes del Distrito que están calificados bajo las leyes federales y del estado en sus respectivos condados. El Oficial de Votación Anticipada recibirá solicitudes de votación anticipada por correo de acuerdo con el Código. Elección conjunta. La Ciudad, mediante resolución separada, puede participar en una elección conjunta con otras entidades gubernamentales participantes en el Condado de Harris y el Condado de Fort Bend para los precintos en sus respectivos condados que también celebran elecciones el Día de Elección y contratará servicios electorales con el Funcionario Electoral del Condado respectivo. Sección 9. Designación de funcionarios electorales. Antes del Día de Elección, los jueces electorales, jueces alternos, funcionarios y demás personal necesario para la celebración de la Elección serán designados por el Administrador de Elecciones. Los jueces electorales y los jueces alternos se pueden cambiar, y se pueden combinar los lugares de votación para algunos precintos, en conformidad con las decisiones del Administrador de Elecciones. El Administrador

21 de Elecciones del Condado también es responsable de establecer la estación central de conteo de los votos emitidos en tal elección y designar el personal necesario de tal estación. Por el presente el Consejo autoriza al Alcalde a nombrar a cualquier otro funcionario no designado en el presente o nombrado por el Administrador de Elecciones del Condado según sea necesario y apropiado para la celebración de la Elección en conformidad con el Código. Sección 10. Aviso de Elección. Se dará Aviso de la Elección en inglés, español, vietnamita y chino (mandarín mediante (i la publicación de una copia sustancial de esta Ordenanza una vez, no antes del trigésimo día ni después del décimo día anteriores a la fecha programada de la Elección, en un periódico publicado en el Distrito; (ii la colocación de una copia de esta Ordenanza en la o las carteleras de anuncios utilizadas para colocar avisos de las asambleas de la Junta de Síndicos del Distrito y en tres lugares públicos dentro de los límites del Distrito no después del vigésimo primer día anterior a la fecha programada de la Elección; (iii la colocación de una copia de esta Ordenanza el Día de Elección y durante el periodo de votación anticipada en persona en un lugar destacado en cada lugar de votación; y (iv la colocación de esta Ordenanza, junto con el aviso de Elección y el contenido de la Proposición, en el sitio web del Distrito durante los 21 días anteriores a la Elección. También se dará aviso de la Elección a los secretarios de condado del Condado de Harris y del Condado de Fort Bend a más tardar el 60. o día anterior al Día de Elección. Sección 11. Celebración de la Elección. Dicha Elección se llevará a cabo de acuerdo con el Código, salvo lo modificado por el Código de Educación de Texas y la Ley Federal de Derechos de Votación de 1965, incluso, en particular, el Capítulo 272 del Código en relación con los requisitos bilingües. Sección 12. Medidas necesarias. Por el presente se autoriza e instruye al Alcalde, al Secretario de la Ciudad, al Superintendente del Distrito y a cualquier otro funcionario o empleado de la Ciudad o el Distrito para que, en consulta con el Abogado de la Ciudad y el asesor de bonos, tomen todas y cada una de las medidas necesarias para cumplir con las disposiciones del Código y la Ley Federal de Derechos de Votación de 1965 para celebrar y llevar a cabo la Elección, ya sean expresamente autorizadas en el presente o no. Sección 13. Divisibilidad. Si cualquier disposición, sección, subsección, oración, cláusula o frase de esta Ordenanza o la aplicación de ella a cualquier persona o conjunto de circunstancias fuera por alguna razón hallada inconstitucional, nula, inválida o imposible de hacer cumplir, ni las partes restantes de esta Ordenanza ni su aplicación a otras personas o conjuntos de circunstancias se verán afectadas por esto, siendo la intención del Consejo al adoptar esta Ordenanza que ninguna parte de ella o disposición o regulación contenida en la presente llegue a ser inoperativa o falle debido a la inconstitucionalidad, nulidad, invalidez o imposibilidad de cumplimiento de cualquier otra parte de ella, y todas las disposiciones de esta Ordenanza se declaran divisibles a tales efectos.
