16 Proprietary Data Only the ConsorAum Management Firm (CMF) and the Government will have access to member company technical and cost proposals (not the members of the NSC ExecuAve Commi?ee) The CMF has a Proprietary InformaAon Exchange Agreement in place with the NSC, which requires CMF to strictly protect confidenaal and proprietary informaaon disclosed by a member Individual NDAs between the CMF and the member companies can be requested 16
17 Intellectual Property ArAcles of CollaboraAon specify that ConsorAum Members can enter into individual agreements with other Members in regards to IP Background technology remains the property of the Member. Foreground technology shall be owned by the Member or Members who developed the technology ArAcles address Jointly Developed Intellectual Property The NSC ConsorAum will not receive any rights to any Member s intellectual property, nor will any of the NSC Steering Commi?ee members 17
18 Intellectual Property The OTA will provide specific Intellectual Property provisions The Bayh- Dole Act does not apply to OTAs neither does the Data Rights Provision of the FAR or DFARS clauses unless specifically wri?en into the OTA by the ContracAng Office IP rights are subject to negoaaaon with the Agreements Officer DOD retains the flexibility to negoaate appropriate IP provisions that reflect the unique needs of a paracular transacaon Agreements Officer has the authority to negoaate IP rights when necessary to achieve a project s objecaves and foster the Government s interest 18
19 Non- TradiAonal Defense Non-traditional Defense Contractor is a business unit that has not, for a period of at least one year prior to the issue date of the solicitaaon, entered into or performed on: (a) any contract that is subject to full coverage under the cost accounang standards prescribed pursuant to secaon 26 of the Office of Federal Procurement Policy Act (41 U.S.C. 422) and the regulaaons implemenang such secaon; or (b) any other contract in excess of $500,000 to carry out prototype projects or to perform basic, applied, or advanced research projects for a Federal agency, that is subject to the Federal AcquisiAon RegulaAon. Contribution of a Significant Extent or Significant Contribution by a Non-traditional Defense Contractor could include: Supplying new key technology or products Accomplishing a significant amount of the effort Contractor Causing a material reducaon in the cost or schedule, or increase in performance 19
20 Opportunity How much funding is available? From Dynamic Spectrum Industry Day OASD(R&E) has $150M budgeted, in addiaon to the Spectrum RelocaAon Funds Who decides how it is spent? The organizaaon that provides the funding typically performs the source selecaon How do we get it on contract? Aver the source selecaon process has taken place, the ConsorAum Management Firm will be directed by the Government to issue a sub- agreement with the successful offeror under the overarching Other TransacAon Agreement 20

The Government announced at Industry Day that the efforts will be funded by a variety of sources in addiaon to the Spectrum RelocaAon Fund, including at least $150 Million from OASD (R&E) and possible other Government agencies The need is real. Several Government organizaaons discussed their pain at Industry Day and there is an immediacy to their need What s next? Resources It is anacipated that the Government will award an Other TransacAon Agreement to the industry consoraum within the next few months (exact Aming is unknown; could be next month, could be several months).
