The September 8 th, 2014 Minutes were approved. Delegation Todd McLean, President of the Drayton Valley Chamber of Commerce thanked Council for allowing him time at the Joint Meeting. The Chamber has lost memberships and currently sits at 115 members, however they have made progress in the past few months.. Their goal is to have 170 members. They are finding it difficult to get a quorum at their meetings and volunteers for their programs. Todd said the Chamber is looking to restructure their membership process and have looked at how Rocky Mountain House and Edson run theirs. They have negotiated space and are now located in the Corner Mall beside the Post Office. The Chambers fundraising goal for 2015 is $170,000. Todd said the Chamber is predicting they could generate up to $45,000 which leaves approximately $125,000 needed Page 1 of 4

Brazeau asked the Chamber to submit their audited financials and they will place it on their agenda. Council thanked Todd for his information. Discussion Items Project Collaboration/Street Paving and Repairs The increasing cost of street repair/resurfacing and sidewalk repair/replacement continue to force required maintenance to be delayed until funding accumulates and/or conditions have deteriorated to the point of creating a safety hazard. The Village has budgeted to resurface and replace failing sections of sidewalk on 50 th Avenue this year and are interested in partnering with Brazeau in joint tendering for the purpose of cost reduction. The cost of this paving project is budgeted at $381, which includes Breton s new skateboard park. Brazeau has paving projects tentatively planned in 2016, however nothing in 2015 in the area. Shared Services/Joint Use Agreements The Village of Breton is interested in exploring the possibility of developing Shared Service and/or Joint Use Agreements that would be of benefit to participants. Some concerns for the village are succession planning with respect to Public Works, Water and Wastewater monitoring and the replacement of aging equipment. The CAO for the Village of Breton is to contact the Brazeau CAO with respect to getting samples of cost-share agreements. Manny Deol, Town of Drayton Valley CAO said the town may be able to help with the water treatment if the need arises. The New Building Canada Fund The New Building Canada Fund was launched in March The New Building Canada Fund (NBCF) is one component within the overall $53 billion New Building Canada Plan (NBCP). It is a $14 billion Fund that will support projects of national, regional and local significance that promote economic growth, job creation and productivity. This item is to stimulate discussion on how we can make use of this funding under the Small Communities Fund. The main item of discussion was the sewer trunk line. With the January 2015 deadline approaching Manny said he will make the application but would like to see more items on the list in case the sewer trunk line does not qualify for the grant. At the September 4 th Joint Meeting the sewer trunk line was a priority along with the ring road and 26 th Avenue. The Town of Drayton Valley said they did not have the document when the priorities list was submitted. The village said their priority was Infrastructure. They were told they could look at submitting further projects with the Town of Drayton Valley and Brazeau under another grant application. Page 2 of 4
4 Joint Council Meeting Village of Breton, Brazeau and Town of Drayton Valley December 1, 2014 Page 4 of 66 Intermunicipal Development Plan The Village of Breton has begun the process of reviewing and updating their Municipal Development and are interested in undertaking the development of an Intermunicipal Development as well. The purpose of an Intermunicipal Development Plan between Breton and Brazeau would: Provide for orderly development, protecting the area surrounding the Village for future expansion; Provide a framework for attracting economic opportunities; Improve opportunities to secure a long-term economic base for the region; Ensure that the Village is development ready and future thinking to attract economic activity; Ensure that the village is developed in a manner that is equitable and fair to residents. Under the Alberta Community Partnership 2014 Program Guidelines Schedule 1 Eligible Projects include the development of an intermunicipal development plan. It is the village s intention to make application to access this funding should Brazeau be in agreement. Brazeau indicated they will be doing a review of their Land Use Bylaw in May They are to receive information from a Consultant in January. Marco suggests all three CAO s meet with the consultant in January prior to completion of the LUB scheduled for the end of May Community Hall Cost Sharing Rick Ennis prepared a summary of the 2014 operating grants for Community Halls located within Brazeau and an estimated value for Brazeau will be looking at updating the Recreation Agreements for Rural Halls. As all halls are run individually they are subsidized differently. The halls are funded based on the needs as requested by the halls. The Town does not fund operational monies for halls located in Drayton Valley. One suggestion was that halls could take one year to look at the users, based on rural and urban users. But this would make budgeting difficult as the numbers change. Tourism and Economic Development Workshop December 19, 2014 Drayton Valley/Brazeau will be hosting an Economic Development and Tourism To Action Workshop on Friday December 19 th, 2014 from 8:30 a.m. to 4:00 p.m. at the Mackenzie Centre. Cessation of Fresh Water Use by Industry Brazeau wishes to initiate a discussion respecting planning for the cessation of selling treated water to industry. They will be hosting a meeting with industry players on February 4, 2015 and will invite surrounding municipalities. There is no ability at this time to stop new businesses from accessing water for sale. Brazeau is to set up a meeting with the Provincial Regulatory Bodies to discuss new science for using non-potable water especially for fracking. Regional Communications Protocol Brazeau wishes to introduce a Regional Communication Protocol to provide a framework to guide inter-municipal cooperation as laid out in the proposed document. Business Visitation Survey Results Section 8 and Section 9 of the Miller Dickinson Blais: Brazeau Business Visitation Initiative 2014 are provided. Section 8 identifies and frames strategic priorities and section 9 provides recommended actions for achieving the strategic priorities. Wanda Compton said the fourth results are available for information. Community Liaison/School Resource Officer Job Description Two agreements were presented to Council. One as a School Resource Officer Agreement and the other as a Community Liaison Officer Agreement. One would be focused on being in the schools full time and the other position both in the Schools and the Community in general. The Town had passed a resolution to call it Community Liaison Officer. Lynn Oberle questioned if anyone had spoken with the Wild Rose Public School Board and Brazeau said they had. They are looking to get Stats from the South School Division. After much discussion it was decided both positions were valuable and the best option was to contact the RCMP and get an officer in place as soon as possible. Director of Corporate Services, Town Brenda Christie, Director of Corporate Services, BACKGROUND: The Town of Drayton Valley and Brazeau Administration have been working throughout 2014 on revising the Recreation and Culture Cost Sharing Agreement, which ended December 31 st, Both municipalities recognize that the joint support for regional recreation and cultural services will benefit residents from the entire region. The agreement sets the cost sharing ratio to 50:50, for a term beginning January 1 st, 2015 and ending December 31 st, 2017 for all regional recreation and cultural facilities. The Intermunicipal Cooperation Agreement, signed by the Town of Drayton Valley and Brazeau, forms part of the Agreement. RECOMMENDATION: That Joint Council request that the Town of Drayton Valley and Brazeau present the Recreation & Culture Cost Sharing Agreement to their respective Council for approval.
32 Page 32 of 66 THIS AGREEMENT MADE EFFECTIVE THE 1 ST DAY OF JANUARY, BETWEEN: THE TOWN OF DRAYTON VALLEY a Municipal Corporation in the Province of Alberta, ( the Town ) and BRAZEAU COUNTY a Municipal Corporation in the Province of Alberta, ( the ) WHEREAS: The Town and the recognize that intermunicipal cooperation will benefit the citizens of both municipalities and the region as a whole; The Town and the have signed an Intermunicipal Cooperation Agreement providing governing principles and guidelines for the development of separate agreements for the sharing, purchasing or joint development of certain municipal services to the mutual benefit of both municipalities, of which this Recreation Agreement is one of those agreements; The Town and the recognize that the joint support for regional recreation and cultural services will benefit the residents of the Region and increase the quality of recreation and cultural facilities and programs; The Town and the agree that duplicate services do not benefit either municipality; The Residents of the Town and the utilize recreation facilities in both municipalities; The Town and the agree to share the operating costs of recreation facilities as set out in this Recreation Agreement on a 50/50 basis; The Town and the wish to enter into a Recreation and Culture Cost-Sharing Agreement which will set out the scope of services, responsibilities of parties, and cost of services to be provided at facilities as defined in this Agreement. 33 Page 33 of 66 THE PARTIES AGREE AS FOLLOWS ARTICLE 1.0 DEFINITIONS 1.1 In this Agreement, the definitions contained in the Intermunicipal Cooperation Agreement attached as Schedule A to this Agreement and signed by the parties on March 31, 2011 apply to this agreement. 1.2 In addition to the definitions contained in the IMCA, the following definitions apply to this Agreement: 1.2.a. 1.2.b. 1.2.c. 1.2.d. 1.2.e. 1.2.f. Capital Asset means an asset defined as a tangible capital asset in the CICA Public Sector Accounting Handbook section 3150 having a value that meets the threshold for a capital asset as specified in the Town and s Capital Asset Policy; Capital Cost means the cost for or betterment of a Capital Asset; Joint Council Meeting means a meeting during which the Town Council and the Council meet jointly, in accordance with the Act; Intermunicipal Cooperation Agreement or IMCA means the agreement entered into by the Parties on March 31, 2011; Operating Budget means the budget adopted by Brazeau Council or Town of Drayton Valley Council as part of its annual budget process which sets out the funding required for Operating Costs; Operating Costs means the costs identified in Council s or Town Council s Operating Budget for the Facilities and Services; 1.2.g. Quarter means a period of three months, ending March 31, June 30, September 30 and December 31 of each year; 1.2.h. 1.2.i. Region means the area within the boundaries of Brazeau and includes the area of the Town of Drayton Valley; Regional Recreation and Cultural Facility and Services or Facility and Services means a municipally owned recreation or cultural facility located in Brazeau or the Town of Drayton Valley that serves the recreational or cultural needs of the Region, identified in Schedule B and includes the programming offered at the Facility; Town Page 2

ARTICLE 2.0 Residents means those individuals living within the Region, Town Residents means those individuals living within the Town and Residents means those individuals living within the ; and User Fee means the fees charged by a Party for the use of its Facilities, including any programs offered at the Facilities; PURPOSE AND SCOPE OF AGREEMENT Purpose and Scope of Agreement 2.1. This Agreement specifies the terms upon which the Town and have agreed to share the Operating Costs of providing Facilities and Services The Parties agree that the provisions of the IMCA expressly apply to this Agreement unless they are expressly modified by this Agreement The Parties agree that the principles for cost-sharing for the Facilities and Services should: 2.3.a. 2.3.b. 2.3.c. 2.3.d. 2.3.e. be fair and equitable; create efficiencies in the management of Facilities through the coordination of staffing resources and activities, as managed through the Services provided by the Town and ; make the Facilities accessible to Residents upon payment of any applicable User Fees imposed by the Town or the for the Facilities; enhance the quality and diversity of programming available at the Facilities; and provide an opportunity for the Parties to deliver cost-effective programming at the Facilities while reducing the possibility of duplicating programming The Parties agree to share Operating Costs for the Facilities listed in Schedule B on the basis set out in this Agreement. The Parties agree that they may amend the list of Facilities on an as needed basis, but that the amounts to be paid under this Agreement will not be adjusted until the review provided for in Articles 3.5 and 3.6. 35 Page 35 of Each Party is entitled to manage the Facilities it owns in accordance with the purpose and scope of this Agreement, with the exception of the Eleanor Pickup Arts Centre (EPAC) which shall be managed in accordance with the Joint Ownership Agreement, dated, attached as Schedule D. 2.5.a. The Parties have entered into separate agreements in relation to Eleanor Pickup Arts Centre (EPAC). The financial arrangements in this Agreement do not apply to EPAC Each Party shall allow access to the Facilities to all Residents, subject to the payment of any User Fees or other charges The Town agrees that it shall not: 2.7.a. 2.7.b. charge Residents different User Fees than the User Fees it charges Town Residents; nor permit Town Residents preferential access to Facilities over Residents The agrees that it shall not: 2.8.a. 2.8.b. ARTICLE 3.0 charge Town Residents different User Fees than the User Fees it charges Residents; nor permit Residents preferential access to Facilities over Town Residents. TERM AND AMENDMENTS TO THIS AGREEMENT Term 3.1. The term of this Agreement commences on January 1, 2015 and expires December 31, 2017 unless terminated earlier in accordance with Article The Parties agree that at the expiry of the initial term, this Agreement shall be automatically renewed for a further three (3) year term, provided that the Parties: 3.2.a. 3.2.b. have conducted a formal review of the Agreement pursuant to Article 3.5.; and have agreed upon the Facilities to be covered by the Agreement and the cost-sharing provisions; and Town Page 4
36 Page 36 of c. have not provided written notice to the other Party indicating a desire to terminate the Agreement pursuant to Article At the end of the renewal term, if the Parties wish to continue cost-sharing, they may renegotiate the terms of a new agreement. Amendments to this Agreement 3.4. An amendment to this Agreement must: 3.4.a. 3.4.b. be agreed to by both Parties; and be in writing. Formal Review of this Agreement 3.5. The Parties agree they shall commence the formal review of this Agreement no later than six (6) months prior to the end of the initial term of this Agreement. The Parties agree they shall conclude the formal review no later than thirty (30) days before the end of the initial term of this Agreement, unless that deadline is extended by mutual agreement of the Parties set out in writing The Parties shall use the process outlined in Schedule A of the March 31, 2011 IMCA for formal review of this Agreement, except that the time for review shall be as modified by Article 3.5. ARTICLE 4.0 FUNDING AND COST-SHARING 4.1. The Parties agree that this Agreement applies only to the Operating Costs for the Facilities and Services. Capital Costs 4.2. The Parties agree that this Agreement does not apply to any costs for capital construction of a new recreation and/or cultural facility and/or the addition to a Facility. For greater clarity, the Parties agree that they will not seek the recovery from the other Party of any capital cost for a Facility or for an addition to a Facility or any new recreation or cultural facility under this Agreement. 37 Page 37 of A Party may approach the other Party to contribute to the capital cost for a new or expanded recreation or cultural Facility. If the other Party agrees to contribute to the capital cost for a new or expanded recreation or cultural Facility, the Parties shall enter into a separate agreement setting out the terms of that agreement Each Party, when requesting from the other Party a contribution for a capital cost for a new or expanded Facility, shall submit such request (s) by September 1 st prior to the year the contribution is required. User Fees 4.5. Each Party may set User Fees for its Facilities without consulting the other Party, having regard to, as per Articles 2.7. and 2.8.; 4.5.a. 4.5.b. 4.5.c. market rates for the provision of the same facility or service in neighbouring municipalities, the actual cost of providing the Facility or Service, and the desire to make regional facilities and services accessible to Residents A Party may provide input on the User Fees charged by the other Party through: 4.6.a. 4.6.b. 4.6.c. a Joint Council Meeting, their respective CAOs or when the Agreement is undergoing formal review or renegotiation. Joint Cost-Sharing of Facilities and Services 4.7. Recognizing that the Town incurs Operating Costs for the operation of its Facilities, the agrees to pay the Town a contribution of $ 887, for the Town s Net Operating Costs, based on the December, 2014 review of the 2011, 2012, 2013 Operating Costs, for the Facilities and Services, as provided for in Article Recognizing that the incurs Operating Costs for the operation of its Facilities, the Town agrees to pay the a contribution of $ 9, for the s Net Operating Costs, based on annual maintenance costs, for the Facilities and Services, as provided for in Article Town Page 6
38 Page 38 of The Parties agree to share the Operating Cost of jointly owned facilities which become governed by this Agreement on the basis of ownership percentage. As provided for in Article 2.5.a., Eleanor Pickup Arts Centre (EPAC) is governed by separate agreements and is not governed by this Agreement Beginning in 2016, each party shall adjust its contribution each year effective January 1 of that year as follows: 4.10.a. In the amounts set out in articles 4.7 and 4.8, respectively, multiplied by the Consumer Price Index, by province (monthly) (Alberta) (Source: Statistics Canada, CANSIM, table (for fee) and Catalogue nos X and X) ( CPI ) for the period July 2014 to July For greater certainty, the CPI is identified in the last column on the following web page (or current version of this data as it is available from Statistics Canada): b the amount calculated in article 4.10.a., multiplied by the Consumer Price Index, by province (monthly) (Alberta) (Source: Statistics Canada, CANSIM, table(for fee) and Catalogue nos X and x) ( CPI ) for the period July 2015 to July For greater certainty, the CPI is as it is available from Statistics Canada): Report and Payment Starting in 2015, on the fifteenth day following the end of each Quarter, the shall pay the Town one-quarter (1/4) of the contribution calculated in accordance with Article 4.7. and Article In 2015, no later than June 30, 2015, the Town shall pay the its full yearly payment. The Town shall pay the its full yearly payment for 2016 no later than June 30 th, 2016 and its full yearly payment for 2017, no later than June 30 th, 2017 calculated in accordance with Article 4.8. and Article No later than thirty (30) days after the last day of each Quarter, each Party shall provide the other Party a quarterly report which includes: 4.13.a. A trial balance for each sub-function, the purpose of which is to provide a listing and description of the costs and expenses of the Facilities including the amounts spent to date in the year. 39 Page 39 of 66 Annual Operating Budget Submissions No later than October 31 st of each year during the term of this Agreement, each party shall present and provide to the other party an estimate of the Operating Costs to provide the Facilities and Services for the next year, including any anticipated increases to the Operating Costs. Ownership of Assets and Resources Purchased under this Agreement Each Party shall retain ownership of its Facilities and all Capital Assets and any equipment purchased to operate or maintain those Facilities. ARTICLE 5.0 COUNTY AND TOWN OBLIGATIONS IN MANAGING, OPERATING AND MAINTAINING REGIONAL FACILITIES AND SERVICES General Facility Operations and Maintenance Obligations 5.1. The Parties shall operate the Facilities: 5.1.a. 5.1.b. in accordance with generally acceptable operating and maintenance standards for that Facility; in an efficient and cost-effective manner; and 5.1.c. with due regard to the Facility Management Principles outlined in Schedule C. /Town Obligations 5.2. If either party wishes to provide input into a Facility, it may do so at a Joint Council Meeting or through its Chief Administrative Officer to the Chief Administrative Officer of the other municipality. ARTICLE 6.0 DEFAULT AND TERMINATION OF THIS AGREEMENT Notice of Default 6.1. If either Party believes that the other Party has failed to perform or observe any covenant contained in this Agreement that the Party is required to perform or observe, the Party not in Town Page 8
40 Page 40 of 66 default shall treat the default as a Concern and must follow the process under Article 4 of the IMCA If the default is a failure to pay in accordance with Article 4, the Party not in default shall provide notice to the other Party and request payment within thirty (30) days. Termination of Agreement 6.3. A Party may not initiate termination of this Agreement until after the Dispute Resolution process outlined in the IMCA has been undertaken to address any concern or issue arising from this Agreement. If the resolution cannot be achieved through the Dispute Resolution process, a Party must provide one (1) year written notice to the other party outlining their intention to terminate the Agreement. ARTICLE 7.0 GENERAL MATTERS Conflicts 7.1. If there is any conflict between the body of the IMCA and this Agreement, this Agreement shall govern. Schedules 7.2. The following Schedules form part of this Agreement: Schedule A - IMCA March 31, 2011 Schedule B - Regional Recreation and Cultural Facilities Schedule C - Facility Management Principles Schedule D - Eleanor Pickup Arts Centre Joint Ownership Agreement Whole Agreement 7.3. This Agreement, when effective, and the IMCA supersede and replace all other existing agreements between the Parties with respect to the subject matter of this Agreement. Town Page 9
