4 SECTION I: INVITATION FOR EXPRESSIONS OF INTEREST (EOI) Date: May 11, 2014 Notice No. NDCL/17/ Sealed Expressions of Interest (EOI) are invited from the qualified and eligible consultants (national/international firms) for Consultancy Services for Marketing of Nepal Telecom s Services in order to accomplish the effective marketing of Nepal Telecom s services as specified in the TOR, within the stipulated time. To fulfill this purpose Nepal Telecom invites sealed Expressions of Interest (EOI) from national/international firms for the Notice No. NDCL/17/ for Consultancy Services for Marketing of Nepal Telecom s Services. The project shall be financed by Nepal Telecom s own funds. 2. A complete set of EOI documents may be purchased by any interested consultant (national/international firms) on the submission of a written application to the office mentioned in clause no.11 of this section and upon payment of a non-refundable fee of NRs. 25,000 (Nepalese Rupees: Twenty Five Thousand only) or US$ 260 (US Dollars: Two Hundred and Sixty only) or Euro 190 (Euro: One Hundred and Ninety only). The format of the written application for the procurement of EOI shall be as per the Sample Form No The consultants (national/international firms) shall procure the EOI document by themselves or personnel/firm authorized by them, from the office mentioned in Clause No. 11 of this section or shall deposit the amount for purchasing the EOI document in the bank specified below to procure document via e-procurement portal, and shall submit the same purchased document while submitting their proposal, with the seal and sign of the authorized person(s) on each and every page. The EOI proposals from the consultants that do not conform to conditions mentioned above shall not be accepted. If interested consultants (national / international firms) wishes to collect the document by courier service, additional US$ 75 (US Dollars: Seventy Five only) or Euro 55 (Euro: Fifty Five only) or NRs (Nepalese Rupees: Seven Thousand only) will be charged to the consultants (national/international firms). 5 4. The consultants (national/international firms) shall provide Consultancy Services for Marketing of Nepal Telecom s Services as specified in the Terms of Reference (TOR). The Terms of Reference are available at Nepal Telecom s Material Management department and also at Nepal Telecom s e-procurement site 5. Interested consultants (national/international firms) having qualifications, eligibility and adherence to the "Terms of Reference" are requested to submit Expressions of Interest (EOI) along with the company profile, signed curriculum vitae, certified copies of experience and educational certificates, along with other relevant documents etc. in accordance with the forms attached with the TOR. 6. The Request for Proposal (RFP) will be issued only to the consultants (national/international firms) that are short-listed from their submitted EOIs. The shortlisted consultants shall submit their Technical and Financial Proposals as part of their RFPs. At least three (3) and maximum six (6) consultants will be short-listed as per the Evaluation Criteria specified in Annex-II of this TOR document. 7. Consultants and Local Partners which have been currently engaged by other Telecom Service Providers in NEPAL related to the assignment mentioned in the TOR and any of their affiliates as well as employees of such entities will not be eligible to apply. 8. The consultant (national/international firms) that is selected for this assignment in Nepal Telecom shall not enter into any consultancy contract with any of the other Telecom Service Providers in NEPAL until completion of all contractual obligations. 9. Any of the interested consultants (national/international firms) can participate by submitting only one application for EOI. If any of the consultants participates by submitting more than one application, then all applications consisting of that consultant shall be rejected. Any firm(s), whether it is a partner of Joint Venture or individual, can participate in only one application for EOI. If any firm participates in more than one application, then all such applications consisting of that firm shall be rejected. The consortium of JV shall not be more than two partners and shall be required to submit Partnership Agreement or Joint Venture Agreement between them. Besides, the names, addresses, profiles of such firms or companies and the name of lead firm or company must be submitted. All members of the JV shall undertake in their Agreement that each partner shall be jointly and severally be liable to any or all obligations and responsibilities arising out of the contract with Nepal Telecom. The lead firm of the consortium of JV shall confirm unconditional acceptance of full responsibility of executing this assignment of Consultancy Service. This confirmation shall be submitted along with the EOI; and failure to submit such agreement and confirmation shall disqualify the application(s). 6 10. The consultant (national/international firms) shall associate with a Native (Local) Partner firm and submit a Partnership Agreement between the firms. Failure to submit such Agreement shall disqualify the application(s). Additionally, the following documents need to be submitted officially by the Native (Local) Partner firm along with the Expression of Interest (EOI): i. Company Registration Certificate ii. Tax Clearance Certificate of last financial year iii. VAT and PAN Registration Certificate 11. The consultants (national/international firms) may submit their EOI documents through e-submission via Nepal Telecom s e-procurement portal (i.e. For e-submission, at first, the consultant has to register in Nepal Telecom s e- procurement portal (i.e. then through the same portal, the consultant has to procure EOI document and prepare entire proposal in the traditional way (i.e. in hard copy with sign and seal of the authorized person on each and every page of the document). In addition to this, the consultant has to scan all the documents and upload them in Acrobat Reader (.pdf) format. For details, please visit Nepal Telecom s e-procurement portal. The consultant has to furnish all the original hard copies of such bid document to NT within fifteen (15) days from the date of opening of submitted EOI documents. The consultant, who submits bids both in hard copy (manual submission) as well as through e-submission on the Bid Opening Date, shall be treated as two separate bids by the same consultant and hence will be disqualified. However, the consultant who has submitted the bid electronically may submit the hardcopy before the bid submission dead line, only if they submit a valid official letter requesting the withdrawal of the e-submitted bid proposal along with the bid. All EOI documents (proposals) received within the specified deadline date mentioned above shall be opened in the presence of the applicants' representatives who choose to attend on May 26, 2014 at Hours at the office of NEPAL TELECOM as specified in Clause No.11 (above). The opening process will not be hampered even if applicants' representative(s) are not present. The Consultant s representatives who are authorized by the Consultant can only participate in EOI Opening. The consultant s representative shall submit the authorization letter as per the Sample No. 2. The Consultant s representative who is present in EOI Opening shall sign a EOI opening checklists evidencing their attendance. 15. If the last date of submission and opening of applications falls on a government holiday, then the immediate next working day shall be considered as the last day for submission and opening of proposals. 16. A prospective Consultant requiring any clarification of the EOI documents may notify the Nepal Telecom in writing at the mailing address indicated in the invitation for EOI. Nepal Telecom will respond in writing to any request for clarification of the EOI documents received not later than fifteen (15) days prior to the deadline for the submission of EOI. Written copies of the Nepal Telecom's response (including an explanation of the query but without identifying the source of the inquiry) will be sent to all prospective Consultants who have purchased the EOI document. Non submission of queries within the time stipulated as above shall be considered as acceptance by Consultant for all the EOI Document s terms and conditions as interpreted by Nepal Telecom. 17. At any time prior to the deadline for submission of proposals, NEPAL TELECOM may amend the EOI document by issuing addenda. Any addendum issued shall be part of the EOI document. Such addendum shall be sent to all the consultants who purchased the EOI from Nepal Telecom. The issued addendum shall also be published in Nepal Telecom s Web site. Nepal Telecom may, at its discretion, extend this deadline for the submission of EOI proposal by amending the documents at any time prior to opening date of the EOI proposal. The notice of extension shall be published in daily newspaper and Nepal Telecom s website. 18. NEPAL TELECOM reserves the right to accept or reject any or all Expressions of Interests without assigning any reason whatsoever. 8 ANNEX-I ELIGIBILITY CRITERIA FOR CONSULTANTS CAPACITY, QUALIFICATIONS AND WORK EXPERIENCE OF THE CONSULTANT S/N Description 1.0 Category A: General Experience of Consulting Firm 1.1 At least ten (10) years experience in providing Business and Marketing Consultancy Services 2.0 Category B - Expertise and Work Experience in Similar works 2.1 The Consultant shall have provided Business and Marketing Consultancy Services in at least 3 different countries in the last ten (10) years, which shall be supported by submission of a certified copy of certificate of experience from the Consultant s clients. 2.2 The Consultant shall have the experience of providing Business and Marketing Consultancy Services in at least 3 different Telecommunications Service Providers in the last ten (10) years, which shall be supported by submission of a certified copy of certificate of experience from the Consultant s clients. 3.0 Category C: Qualification and Experience of Key Human Resources 3.1 Team Leader: Minimum qualification of MBA with specialization in Marketing, along with a Bachelor s Degree in Electrical/Electronics/Communication Engineering and a minimum of ten (10) years working experience in the field of Business and marketing, with experience in the Telecom Sector. 3,2 Experts: Minimum qualification of MBA with specialization in Marketing and a minimum of seven (7) years working experience in the field of Business and marketing, with experience in the Telecom Sector 4.0 Category D: Financial Capability 4.1 The Consultant Firm s annual turnover shall be at least 5 Million USD in the last three (3) consecutive years, which shall be supported by submission of certified copy(s) of audited financial statements of the last five years 5.0 Category E: Participation of Native (Local)Human Resources 5.1 The Local Partner Firm shall have provided Business and Marketing Consultancy in the last 5 years to at least 2 companies in Nepal: 5.2 The Local Partner Firm s annual turnover shall be at least 5 Million NRs. in the last three (3) consecutive years, which shall be supported by submission of certified copy(s) of audited financial statements of the last five years 5.3 Minimum qualification and expertise of Local Professional staff Minimum qualification of MBA and a minimum of five (5) years working experience in the field of Business and Marketing Bidders are required to provide certified detailed documentation on all categories listed above for verification, to be eligible for the next stage of bidding. Consultants and Local Partners which have been currently engaged by other Telecom Service Providers in NEPAL related to the assignment mentioned in the TOR and any of their affiliates as well as employees of such entities will not be eligible to apply.
