By entering these agreements, Terma has established the necessary solid and reliable base for our future investment in technology, production facilities, and human resources. As provider of the industry's only complete and operational 3D-Audio/Active Noise Reduction product, Terma offers unique capabilities for any airborne platform. The Audio/ANR solution improves situational awareness and survivability of the pilots and crew. F-16s and A-10s of the U.S. Air Force have now operated Terma EW systems for more than 15 years. A partnering agreement was signed in 2003, and soon after, Terma North America was established, with headquarters in Arlington, VA, and a main facility in Warner Robins, GA. This achievement, and others, have now earned Terma the title Transatlantic Company of the Year, awarded by AmCham Denmark.

Horisontal Tail Leading Edges Missionized Gun-Pod Center Fuselage Composite Panels Radar Electronics Terma is involved in a number of programs as supplier to the F-35 Lightning II Terma has entered into a long-term contract with Lockheed Martin Aeronautics (LMA) for the manufacture of composite parts for the international F-35 Lightning II program. The contract, valued at more than USD 95 million including follow-on options, covers the manufacture and assembly of the Horizontal Tail Leading Edges for all types of the F-35. The contract includes a sole source position for the life of the agreement (through 2019). Terma has been collaborating with LMA since 1976 on the original F-16 program and since 2002 on the F-35 program. Terma s first contract for the Leading Edges was awarded during the System Design and Development phase in Their partnership has been strengthened by this agreement, which also positions Terma as a strong partner for LMA and for the F-35 program as a whole. Jens Maaløe, President & CEO, Terma, said: The agreement solidifies Terma s position on the F-35 program and shows how collaboration can benefit Terma, Lockheed Martin, and the F-35 program as a whole. The companies will explore technologies, set a path forward to achieve manufacturing efficiencies to meet rigorous quality requirements, and work towards establishing Terma as a premier supplier of composite parts. Terma also entered into a long-term contract with Northrop Grumman Corporation for the manufacture of component parts for the F-35 program. The agreement, which has a value of more than USD 97 million upon completion of all follow-on options, further emphasizes the company's commitment to supporting the burgeoning relationship with Terma and Danish industry. The contract covers production of composite components, including door, panel, skin assembly, and straps through 2019 for all three aircraft variants. By entering these agreements, we have established the necessary solid and reliable base for our future investments in technology, production facilities, and human resources, said Jens Maaløe. Terma s involvement in the F-35 Lightning II program since Denmark entered the program in 2002 comprises eight different production programs within advanced composite structural parts and electronics. To date, Terma s aggregate order intake relative to the F-35 Lightning II program amounts to approx. USD 380 million. 2 TERMA UPDATE. JUNE 2013

3 Hearing in 3D is Believing and can Save your Life As provider of the industry's only complete and operational 3D-Audio/Active Noise Reduction (ANR) product, Terma offers unique capabilities for any airborne platform be it fighter, rotary-wing, or transport. Terma's 3D-Audio/ANR solution improves situational awareness and survivability of the pilots and crew, while at the same time reducing workload, improving speech intelligibility, and reducing hearing loss and fatigue. The Danish F-16 Missile Warning System utilizes 3D-Audio/ANR (photo: RDAF, Flyvevåbnets Fototjeneste) With operational and combat proven airborne capabilities, Terma has positioned itself as the market leader and benchmark for others to meet, when it comes to 3D-Audio/ANR. Programs such as the Danish F-16 Missile Warning System upgrade program and the U.S. Army Advanced Distributed Aperture System (ADAS) Program are two examples which utilize the Terma aircraft audio upgrade. For the latter, Terma provided all 3D-Audio/ANR capabilities which formed part of the Raytheon integrated solution being demonstrated on a Sikorsky UH-60 Black Hawk helicopter. The successful capability demonstration resulted in statements such as: 3D-Audio/ANR capabilities have been successfully demonstrated on a Sikorsky UH-60 Black Hawk I could tell what the pilot was doing without him telling me, which is incredible. 4 Terma Aerostructures: Design and Production of Advanced Composite Structures Lockheed Martin Corporation F-35 with Gun Pod In a world where the need for speed and agility dominates, the development of strong and light-weight materials has become increasingly important. Composite structures are an example of a new technology that allows commercial and military aircraft to become lighter and thus more fuel efficient. Terma has more than 25 years of experience in working with aerospace composites and composite-to-metal bonded assemblies and provides a wide range of high-performance small to medium-sized advanced aerospace composite structures. We pride ourselves in delivering a quality product that has been tested to the highest standards. Design and Documentation A dedicated team of highly qualified aerospace engineers covers design of aircraft structures, static and dynamic stress calculations, systems engineering, requirements management, thermal and CFD engineering, and not to forget ILS engineering. The design team works hand in hand with production engineering to deliver cost-efficient quality products. One-Stop Shop Advanced Production Terma is a one-stop shop with the capabilities of machining, surface treatment, special-processes, design, and engineering with the know-how to combine composites, bonding, and metallic products, while integrating wiring and electronics to form ready-to-install subassemblies. Terma has a fully integrated composites center located in Denmark. This enables us to produce high quality composite parts to the exacting standards required by the aerospace industry. Extensive Experience from Production for the F-35 In addition to the F-35 Gun Pod, Terma is in rate production with several advanced composite panels, doors, and conventional edges for the F-35. This has given extensive experience with running in and maintaining a competitive rate production of high-precision composite parts. In 2004, Terma won the contract to design, develop, qualify, and produce F-35 Gun Pods for General Dynamics. The F-35 Gun Pod is a full monocoque composite structure in carbon fiber. It has passed engineering test and qualification and has flown on the F-35 in February The pod is currently in the LRIP production phase. The F-35 Multi Mission Pod (see photo below) is partly based on the OML of the F-35 Gun Pod and will provide real estate on the F-35, which can be used to expand the F-35 Special Mission functionality, by allowing the F-35 to fly Next Generation EW and ISR systems, such as jammers and EO sensors. 5 Terma - a True Transatlantic Company 15 years of successful business in the U.S. gave Terma the AmCham award as the 2013 Transatlantic Company of the Year. Terma's business with the United States took a big leap forward in 1998 with a contract on several hundred Electronic Warfare Management Systems for the U.S. Air National Guard and Air Force Reserve F-16s and A-10s. The system was subsequently named AN/ALQ-213(V) by the U.S. nomenclature administration. In 2003, the U.S. Air Force offered Terma a partnering agreement as the first non-u.s. company. The agreement required Terma to set up a facility near the Warner Robins Air Logistics Center in Georgia in order to reduce turnaround repair time for Terma components from 64 to 12 days. The agreement gave Terma a number of advantages, such as sale of Terma products through the U.S. Foreign Military Sales System, joint development programs, and others. At the award ceremony, Professor Steen Thomsen, Copenhagen Business School, head of the AmCham jury of three, said the jury particularly wanted to emphasize Terma s brilliant use of strategic partnerships in transatlantic business development". These partnerships have ensured Terma a central role in providing and participating in the world's largest industrial R & D project, the F-35 Joint Strike Fighter. Steen Thomsen also pointed out that "Terma, through significant investment in advanced technology, has managed to create a unique niche in an extremely difficult market." Vice President, Terma Global, Jørn Henrik Levy Rasmussen, said: Being a high-tech niche company, we have a clear partnership strategy where we aim for win-win outcomes with the larger actors in the sector. This award shows that this goal is achievable. By bringing our unique expertise and prioritizing the long-term effort with excellence and credibility, we have come a long way. The conditions in the partnering agreement were considered so favorable that it was decided not only to establish a service and repair facility, but a company owned by Terma, with its own board of directors and president. The official opening was marked at a reception held in May 2005 at the new Terma facility on Osigian Boulevard, Warner Robins. Now, 10 years later, Terma is back on Osigian Boulevard after having outgrown three previous facilities. Obviously, the partnering agreement with the USA is an important driver in Terma s transatlantic business, but far from the only one. Terma also has direct business relations with a number of U.S. companies as sub-supplier on major programs such as the F-35 Joint Strike Fighter, the largest industrial program ever (see special article). Other examples are EW equipment for the UAE Air Force F-16 fleet, Canadian Chinook helicopter, through Lockheed Martin and Boeing, respectively. In order to support this diversity, Terma North America Inc., headquartered in Arlington, VA, now has facilities, in Warner Robins, GA; Huntsville, AL; Ft. Worth, TX; and Norfolk, VA. Terma named 2013 Transatlantic Company of the Year These successes connected with the USAF/Terma partnering agreement and many other Terma activities in the U.S. have prompted the American Chamber of Commerce, Denmark (AmCham) to award Terma the title 2013 Transatlantic Company of the year. 6 Major Upgrade of the Ubiquitous ALQ-213 It should come as no surprise; after 20 years of successful operational service, Terma s Electronic Warfare Management System (EWMS), AN/ALQ-213(V), is due for a major upgrade. It was introduced in the Royal Danish Air Force F-16s in 1992, and since then, it has been installed in a large number of aircraft including fighters, transport aircraft, and helicopters in no less than 16 countries worldwide. Obviously, the 213 has had improvements over the years, the three significant ones being a new multi function Threat Display, 3D-Audio Warning, and Automatic Threat Response, also called Electronic Combat Adaptive Processing, ECAP. However, the basic technology used in the ALQ-213 has not changed all that much over the past 20 years. Thus, there are now processors and other vital components available with performance surpassing those used in the legacy versions of the 213. By the way, the term Ubiquitous is a quote from an issue of Shephard s Defence Helicopter magazine about a decade ago, describing a Dutch helicopter upgrade program. The term goes to show that already at that time, the ALQ-213 was in widespread use on many types of aircraft. The ALQ-213 in its present form is still functioning well, as proven in hundreds of aircraft that are taking part in actual combat operations in Afghanistan and other conflict areas. So why give the system a major upgrade now? The simple, and correct answer, is that new technologies offer improved performance and reliability, easier maintenance, and all at a lower overall cost. This technology upgrade also addresses the 213 component obsolescence. Reliability, Maintainability, Performance (RMP) Upgrade The aim of the RMP program is first and foremost to use the latest technology to bring significant improvements within the three areas: Reliability, Maintainability, Performance. At the same time, the following criteria are also considered essential: Reduced overall weight Reduction in number of Shop Replaceable Units (SRU) from 9 to 5. 6 TERMA UPDATE. JUNE 2013

7 Legacy EWMU The program includes a large number of specific changes, notably the following: All functional cards and motherboard replaced New CPU board New interconnection board New I/O board. Common Core EWMU (RMP) DAC (MUP) Transition from Legacy ALQ-213 to RMP ALQ-213 The RMP will be ready for production and market introduction by October 2013 with options to suit the various aircraft types and roles. ALQ-213A(V) DAC New ALQ-213 users: Only the RMP version will be offered, the legacy version would simply not be attractive for performance and cost reasons. Current ALQ-213 users: Upgrade can take place as required by the user in coordination with operational requirements and other planned aircraft upgrade programs. Terma will maintain the capability to support the legacy ALQ-213 for another years. Program Status Development of the RMP program is going very well indeed; it is now in the test phase, with a good assurance that it will be ready as planned by October Technical Description RMP Kit Upgrade The Electronic Warfare Management Unit (EWMU) RMP is available as a kit upgrade to allow capability upgrade of existing legacy Countermeasures Signal Processor (CMSP) versions. Defensive Aids Controller a Sister Product The development of the RMP is realized in a common effort, where Terma is also performing a Miniaturization Update Program (MUP) of the AN/ALQ-213A(V) Defensive Aids Controller (DAC) to provide a small form-factor version, yet still powerful EW controller for avionics bay installations. The DAC (MUP) is in fact sharing circuit cards with the EWMU (RMP), but provides for different mounting and connector provisions, and it has a blank front panel. Thus, control and display will be through the aircraft multifunction display or the Terma Advanced Threat Display (ATD).
