Box 2748 West Chester, PA (610) COMMISSIONERS MEETING MINUTES September 12, CALL MEETING TO ORDER CALL TO The public meeting of the Chester County Board of Commissioners was called to ORDER order at 10:01 a.m. on Thursday, September 12, 2013 in the Commissioners Boardroom by Chairman of the Board Ryan Costello. Commissioner Kathi Cozzone and Commissioner Terence Farrell were also present. 2. PLEDGE OF ALLEGIANCE PLEDGE OF Chairman Costello asked Marguerite Dube, Director of the Chester County Library, ALLEGIANCE to lead the Pledge. 3. ANNOUNCEMENTS ANNOUNCEMENTS Commissioner Cozzone read a Citation for the Henrietta Hankin 10 th Anniversary. Marguerite Dube and Jane Leven, Branch Manager for the Henrietta Library, accepted. Chairman Costello announced that the Board of Commissioners met in Executive Session on Tuesday, September 10, 2013 to discuss personnel matters. 4. MINUTES OF PREVIOUS MEETING MINUTES Following a Motion made by Commissioner Farrell, which was Seconded by APPROVED Commissioner Cozzone, the Board voted unanimously to accept the Minutes from the August 29, 2013 Commissioners Meeting. 5. OLD BUSINESS OLD BUSINESS Bid Awards Bid Awards Following a Motion made by Commissioner Cozzone, which was Seconded by Commissioner Farrell, the Board of Commissioners awarded the following bid: Guide Rail Replacement for County Bridges, Bid # E: Wm. Following a Second of the Motion by Commissioner Farrell, the Board voted unanimously to approve the Human Resources Agenda. 9. FINANCIAL MATTERS FINANCE Finance Agenda Commissioner Costello made a Motion to approve the Finance Agenda. Following a Second of the Motion by Commissioner Cozzone, the Board voted unanimously to approve the following: Budget Change Vouchers as submitted by the Controller. 10. 5 RESOLUTION NO RESOLUTION OF THE CHESTER COUNTY COMMISSIONERS AUTHORIZING EXECUTION OF SUPPLEMENTAL FEDERAL AID REIMBURSEMENT AGREEMENT NO. 1 FOR CHESTER VALLEY TRAIL PHASE II WHEREAS, the Commonwealth of Pennsylvania, acting through the Department of Transportation ( DEPARTMENT ) and Chester County ( Sponsor ) entered into Agreement No , dated October 3, 2011 ( Original Agreement ), under which the DEPARTMENT and the SPONSOR agreed to participate in the construction of a multi-use pedestrian and bicycle trail along the Chester Valley Right-of-Way in Tredyffrin and East Whiteland Townships, Chester County, and Upper Merion Township, Montgomery County ( Project ), to be funded with Congestion Mitigation and Air Quality Improvement ( CMAQ ) Program funding received by the DEPARTMENT from the United States Department of Transportation, Federal Highway Administration ( FHWA ); and, WHEREAS, the Original Agreement provided for the DEPARTMENT s reimbursement of eighty percent (80%) of the allowable Project construction costs with CMAQ Program funds, with the SPONSOR providing the balance of the funding for this Project; and, WHEREAS, the DEPARTMENT wishes to shift a portion of the CMAQ Program funding from construction to DEPARTMENT incurred costs, with no change in the total amount of funding being made available for this Project; and the SPONSOR is agreeable to this shift; and, WHEREAS, the parties are entering into this Supplemental Agreement to accomplish this shift, to revise Exhibit A to the Original Agreement accordingly and to include Exhibit E to the Agreement to update the Provisions Concerning the Americans with Disabilities Act.

7 EFFECTIVE DATE AGREEMENT NO A (DEPARTMENT will insert) FEDERAL ID NO SAP VENDOR NO COUNTY Chester MUNICIPALITY Chester County MPMS NO SUPPLEMENTAL FEDERAL-AID REIMBURSEMENT AGREEMENT NO. 1 FOR CHESTER VALLEY TRAIL (CONGESTION, MITIGATION, & AIR QUALITY PROGRAM FUNDING) THIS SUPPLEMENTAL AGREEMENT NO. 1 is made and entered into by and between the Commonwealth of Pennsylvania, acting through the Department of Transportation ( DEPARTMENT ), a n d Chester County, a political subdivision duly and properly formed under the laws of the Commonwealth of Pennsylvania, acting through its proper officials ("SPONSOR"). W I T N E S S E T H: WHEREAS, the DEPARTMENT and the SPONSOR entered into Agreement No , dated October 3, 2011 ( Original Agreement ), under which the DEPARTMENT and the SPONSOR agreed to participate in the construction of a multi-use pedestrian and bicycle trail along the Chester Valley Right-of-Way in Tredyffrin and East Whiteland Townships, Chester County, and Upper Merion Township, Montgomery County ( Project ), to be funded with Congestion Mitigation and Air Quality Improvement ( CMAQ ) Program funding received by the DEPARTMENT from the United States Department of Transportation, Federal Highway Administration ( FHWA ); and, 1

8 WHEREAS, the Original Agreement provided for the DEPARTMENT s reimbursement of eighty percent (80%) of the allowable Project construction costs with CMAQ Program funds, with the SPONSOR providing the balance of the funding for this Project; and, WHEREAS, the Project is being implemented in two phases, both federally-funded; and, WHEREAS, federal funding for Phase 1 of the Project, consisting of preconstruction activities and part of the construction and designated by MPMS No , was provided to the SPONSOR under Agreement No and its amendments; and, WHEREAS, federal funding for Phase 2 of the Project, consisting of construction only and designated by MPMS No , is being provided to the SPONSOR under Agreement ; and, WHEREAS, the DEPARTMENT wishes to shift a portion of the CMAQ Program funding from construction to DEPARTMENT-incurred costs, with no change in the total amount of funding being made available for this Project; and the SPONSOR is agreeable to this shift; and, WHEREAS, the parties are entering into this Supplemental Agreement to accomplish this shift, to revise Exhibit A to the Original Agreement accordingly and to update the Provisions Concerning the Americans with Disabilities Act. NOW, THEREFORE, for and in consideration of the foregoing promises and mutual premises set forth below, the parties agree, 2

9 with the intention of being legally bound hereby, to amend Agreement No as follows; 1. The foregoing recitals are hereby incorporated by reference as a material part of this Supplemental Agreement No. 2. The SPONSOR shall proceed with the construction activities for the Project in accordance with the terms and conditions of the Original Agreement, as amended by this Supplemental Agreement, and with policies, procedures, criteria and specifications prepared and/or approved by the DEPARTMENT and the FHWA, where applicable. 3. The allocation of federal-aid funding for Project activities is revised in accordance with Exhibit AA attached to and made part of this Supplemental Agreement. Exhibit AA makes no change in either the total estimated cost of the Project, the amount of federal-aid participation or the SPONSOR s financial obligation. 4. Exhibit "AA" replaces in its entirety Exhibit A of the Original Agreement. All references to Exhibit A in the Original Agreement are hereby understood to refer to Exhibit AA. 5. Subparagraph 11(g) of the Original Agreement, relating to Department-incurred costs, is deleted in its entirety and replaced with the following: (g) The DEPARTMENT shall charge those costs incurred by it, including, but not limited to, costs relating to administrative and oversight activities, directly 3

10 to the Project through the automated federal-aid billing system; and the FHWA will reimburse those costs directly to the DEPARTMENT. The DEPARTMENTincurred costs appear as a separate line item on Exhibit AA. Any DEPARTMENT-incurred costs in excess of those covered by federal-aid participation shall be the responsibility of the SPONSOR in accordance with Subparagraph 11(b) of the Original Agreement, and the DEPARTMENT shall invoice the SPONSOR for them on a monthly basis. Failure by the SPONSOR to reimburse the DEPARTMENT within thirty (30) days of receipt of the DEPARTMENT's invoice shall cause the SPONSOR to be in default of payment. In the event of such default, the DEPARTMENT may, in its sole discretion, consider the Project to be abandoned by the SPONSOR, whereupon the SPONSOR shall be obligated to reimburse all FHWA and DEPARTMENT funds in accordance with Paragraph 14 of the Original Agreement. 6. The SPONSOR shall comply with the current version of the Provisions Concerning the Americans with Disabilities Act, issued October 14, 2011, attached to and made part of this Supplemental Agreement as Exhibit E. This current version of the Provisions Concerning the Americans with Disabilities Act replaces in its entirety the previous version, referenced in Paragraph 27 of the Original Agreement and incorporated into the Original Agreement by reference. 7. All other provisions of Agreement No , which are not modified by this Supplemental Agreement, shall be and remain in full force and effect and are hereby ratified and confirmed. 4

13 October 14, 2011 PROVISIONS CONCERNING THE AMERICANS WITH DISABILITIES ACT For the purpose of these provisions, the term contractor is defined as any person, including, but not limited to, a bidder, offeror, supplier, or grantee, who will furnish or perform or seeks to furnish or perform, goods, supplies, services, construction or other activity, under a purchase order, contract, or grant with the Commonwealth of Pennsylvania (Commonwealth). During the term of this agreement, the contractor agrees as follows: 1. Pursuant to federal regulations promulgated under the authority of the Americans with Disabilities Act, 28 C. F. R et seq., the contractor understands and agrees that no individual with a disability shall, on the basis of the disability, be excluded from participation in this agreement or from activities provided for under this agreement. As a condition of accepting and executing this agreement, the contractor agrees to comply with the "General Prohibitions Against Discrimination," 28 C. F. R , and all other regulations promulgated under Title II of the Americans with Disabilities Act which are applicable to the benefits, services, programs, and activities provided by the Commonwealth through contracts with outside contractors. 2. The contractor shall be responsible for and agrees to indemnify and hold harmless the Commonwealth from all losses, damages, expenses, claims, demands, suits, and actions brought by any party against the Commonwealth as a result of the contractor's failure to comply with the provisions of paragraph 1. 14 RESOLUTION A RESOLUTION AUTHORIZING EXEMPTIONS, DEDUCTIONS, ABATEMENTS AND CREDITS FOR REAL PROPERTY, EARNED INCOME TAX, NET PROFITS, MERCANTILE AND BUSINESS PRIVILEGE TAXES WITHIN A SPECIFIC GEOGRAPHIC AREA IN CHESTER COUNTY DESIGNATED AS A PROPOSED KEYSTONE OPPORTUNITY EXPANSION ZONE ( KOEZ ), IN ORDER TO FOSTER ECONOMIC OPPORTUNITIES, STIMULATE INDUSTRIAL, COMMERCIAL, AND RESIDENTIAL IMPROVEMENTS AND PREVENT PHYSICAL AND INFRASTRUCTURE DETERIORATION WITHIN AREAS OF CHESTER COUNTY, COMMONWEALTH OF PENNSYLVANIA, UPON CERTAIN TERMS AND CONDITIONS. WHEREAS, Chester County, Pennsylvania recognizes the need to encourage investment in a defined geographical area located in Lincoln University, Chester County, for three specific parcels designated in Attachment A that is experiencing distress characterized by one or more of the following: high unemployment, low investment of new capital, blighted conditions, underutilized, obsolete or abandoned industrial commercial and residential structures, deteriorated tax base, and WHEREAS, the Keystone Opportunity Zone, Keystone Opportunity Expansion Zone and Keystone Opportunity Improvement Zone Act (Act of October 6, 1998, P.L. 705, No. 92), as amended, hereinafter referred to as the Act, authorizes political subdivisions to apply to the Pennsylvania Department of Community and Economic Development (DCED) for designation of an area within the respective political subdivision as a KOEZ granting exemptions, deductions, abatements or credits from all local taxes identified in the Act; and 1

15 WHEREAS, approval of benefits provided in the Act will result in improving the economic, physical, and social conditions within the Proposed KOEZ by stimulating existing businesses employment, creating new employment and diminishing blight; and WHEREAS, it is expected that increased private and public-sector investors will reverse the disinvestment and conditions of blight within the Proposed KOEZ by the time of its termination; and WHEREAS, the Proposed KOEZ is not less than ten acres but not more than 350 acres in the aggregate; and WHEREAS, the Proposed KOEZ is comprised of three parcels which are (i) deteriorated, underutilized or unoccupied or (ii) are occupied by a Qualified Business (as that term is defined in the Act) which creates or retains at least 1,000 full-time jobs in Pennsylvania within three years from the designation by DCED of the Proposed KOEZ and makes a capital investment of at least $500,000,000 in the Proposed KOEZ within three years from the designation by DCED of the Proposed KOEZ. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of Chester County that effective as of this date, contingent only upon DCED s approval of the application for the proposed new KOEZ, the following provisions shall apply: 1. Real Property Tax on the Proposed KOEZ is 100% exempt in accordance with the provisions and limitations hereinafter set forth in accordance with the Act, such exemption to begin on January 1, 2014 and to terminate December 31, 2023 (a ten year period). 2. The following shall be exempt, relative to the subject parcels/tract, for the term, and any extension thereof, of the KOEZ: 2

16 a. Business gross receipts tax for operations conducted by a Qualified Business within the expansion zone. b. Business privilege tax. c. Tax on the earned income received by a resident of the expansion zone. d. Tax on the net profits of a Qualified Business attributable to business activity conducted within the expansion zone. e. Mercantile tax attributable to business activity by a Qualified conducted within the expansion zone. Benefits to begin on January 1, 2014 and to end on December 31, The provisions of the Act not herein enumerated, shall, nevertheless, be incorporated as part of this Resolution by reference. 4. This Resolution shall be effective upon execution, conditioned upon the approval of the application by DCED. 21 RESOLUTION APPROVING ACQUISITION OF A CERTAIN PROPORTIONATE PART OF REAL ESTATE FOR PURPOSES OF EFFECTING BRIDGE REPLACEMENT RESOLUTION No: WHEREAS, the Commissioners of Chester County believe it to be in the public interest to replace Bridge Number 260, T-338, Penn Township, Chester County, Pennsylvania; and WHEREAS, the County must necessarily as a result, acquire a right-of-way to replace said bridge; and WHEREAS, the property proportionately affected by the replacement of the aforesaid bridge is owned by Yvonne L. Kuc, John, Jr. and Eileen M. Kuc, husband and wife, and Karen Diane and John L. Jezorski, husband and wife, and is identified as tax parcel number/upi / and / and is depicted in the Penndot Plan attached hereto ; and WHEREAS, the parties have agreed that the property is required for the bridge replacement and will be proportionately conveyed to the County as specifically identified in the Plan in lieu of condemnation and and have determined the fair market value to be as follows: and NOW IT BE RESOLVED that the County of Chester will purchase the aforesaid property in lieu of condemnation for Nine Thousand Three Hundred Seventy One dollars and Fifty Three Cents ($9,371.53) ATTEST: COUNTY OF CHESTER _ Chairman, Commissioners Commissioner Commissioner Chief Clerk Date

23 RESOLUTION APPROVING ACQUISITION OF A CERTAIN PROPORTIONATE PART OF REAL ESTATE FOR PURPOSES OF EFFECTING BRIDGE REPLACEMENT RESOLUTION No: WHEREAS, the Commissioners of Chester County believe it to be in the public interest to replace Bridge Number 282, T-500, located in Tredyffrin Township, Chester County, Pennsylvania; and WHEREAS, the County must necessarily as a result, acquire a right-of-way to replace said bridge; and WHEREAS, the property proportionately affected by the replacement of the aforesaid bridge is owned by Susan Tall and is identified as tax parcel number/upi / and is depicted in the Penndot Plan attached hereto; and WHEREAS, the parties have agreed that the property is required for the bridge replacement and will be proportionately conveyed to the County as specifically identified in the Plan attached hereto in lieu of condemnation and have determined the fair market value to be as follows; and NOW THEREFORE BE IT RESOLVED that the County of Chester will purchase the aforesaid property in lieu of condemnation for Five Thousand Seven Hundred Dollars ($5,700.00) ATTEST: COUNTY OF CHESTER _ Chairman, Commissioners Commissioner Commissioner Chief Clerk Date

25 RESOLUTION NO: RESOLUTION AMENDING RESOLUTION No WHEREAS, on August 29, 2013, the Chester County Commissioners executed Resolution #32-13 which extended the term of a KOEZ and KOIZ geographical area located in the Borough of Downingtown, Pennsylvania which applied to six (6) parcels as specified therein; and WHEREAS, it has been subsequently determined by the Borough of Downingtown that an additional tax parcel, be added to the KOEZ/KOIZ area as previously approved by the Chester County Commissioners; and NOW, THEREFORE, BE IT RESOLVED by the Commissioners of the County of Chester, Pennsylvania, contingent upon DCED s approval, that tax parcel be added to the six parcels previously submitted for inclusion in the geographical area so designated.
