12 Woodlands Gate EB- 5 Project Management q Best Development Company, LLC. a Texas limited liability company ( BDC ), will be the developer and manager. q BDC will use EB- 5 capital to develop the Woodlands Gate EB- 5 project. q BDC is choosing financially promising projects that are shovel- ready, i.e., crea:ng jobs immediately to meet goals of EB- 5 investors considerable technical resources.
13 EB- 5 Project Development Team Antonio Moschella, Chairman Mr. Moschella is the principal owner of Best Development Company (BDC), LLC; he through his various companies have made many strategic land/lot acquisitions for residential and commercial buildings in the Greater Houston Area. He is also an executive with Lukiven and Lukiven International, a service and manufacturing company for products used by the oil and gas industry worldwide. His interests include acquisition and development of real estate throughout the world. The family group of the companies he manages have revenues in excess of $500 million per year. Jose Villamediana, President, Chief Executive Officer Jose Villamediana is General Manager of Lucia s Oaks, LP. He oversees the day to day operations of the custom homes built by the company in various locations in Greater Houston. He has many years of experience in the acquisition of land, remodeling of homes, and the construction of single-family homes ranging in price from $350,000 to over $3,000,000. Previously, he was the Procurement Manager for Pennzoil Exploration & Production for all of Venezuela. He has also managed a diversified company in Venezuela, and was an Economist for Banco Mercantile in Venezuela. Mr. Villamediana holds Bachelors of Economics from Universidad Catolica in Caracas Venezuela. Javier Bustos, Vice-President, Chief Operations Officer Javier Bustos is the President of CEB Engineering, Inc. He has over 25 years of experience in providing the design, contract administration, and owner representation as an engineering consultant to contractors and to government. He has constructed more than $18 million of roadway infrastructure for local and state department in Florida. His firm also provides value engineering and construction payment evaluations for various financial institutions. Previously, he was Head of Construction for the Miami Dade County Public Works Department. Mr. Bustos has a Bachelor s Degree in Engineering from Rafael Urdeneta University, Maracaibo, Venezuela. He is a Registered Professional Engineer and registered as a General Contractor.
14 Key Terms of Investment of EB- 5 Investment Project Company is EB- 5 approved and compliant: Full compliance with United States Ci:zenship and Immigra:on Services ( USCIS ) EB- 5 program requirements 5- year term Loan with annual interest payments: The Note bears an annual interest rate of 5.1%. The Investor (Limited Partner) will receive 2.55% and the General Partner will retain 2.55%. These cash distribu:ons will be payable quarterly for each year that Note is outstanding. At end of 5- year term, investor receives repayment of loan. Conver:ble Promissory Note: EB- 5 investor receives right to convert investment into equity in Woodlands Gate Holdings, LLC.
15 Fee Structure q $560,000 Subscrip:on Amount Paid by Applicant/Investor Ø Ø Ø Deposited to Escrow Account at the Escrow Bank. GHIC reviews the Investor Ques:onnaire and accepts or denies Subscrip:on. If the Applicant is not accepted by the GHIC, all funds are immediately returned to Applicant. q q q q $500,000 Project Investment Escrow Account. Ø Held in Escrow Account un:l I- 526 is approved by the USCIS. Ø All $500,000 is returned to Applicant if the I- 526 is NOT approved. $60,000 Administra:ve and Offering Costs Escrow Account. Ø Funds are released to the GHIC upon acceptance of the funds in escrow. Ø For use with EB- 5 and Offering Expenses which include: Ø Legal Fees of Regional Center, Accoun:ng, Administra:ve Support GHIC Taxes, Escrow Bank Costs, Prin:ng, Third- Party Commissions and Immigra:on, EB- 5 Qualifica:on and Compliance. The Partnership will refund the full Purchase Price to the investors in the event of a denial of the investor s I- 526 pe::on by USCIS and visa denial from US consulate office or adjustment of status by USCIS. Applicant immigra:on a\orney fees (I- 526 filing fees, fingerprint and federal expenses) are the responsibility of Applicant and paid separately. The GHIC can provide a list of Immigra:on A\orneys.

Retain immigra:on a\orney: Review requirements for Source of Funds Documenta:on/ Review how to appropriately transfer the funds to the GHIC Greenbank escrow account. Free consulta:ons with GHIC preferred immigra:on a\orneys upon request. 5. Passport and W8 submi\ed to Greenbank for background and iden:fica:on check. Upon receipt of clearance from Green Bank, N.A. applicant may transfers funds ($560,000) to Greenbank escrow account.
