3 The Board may meet in Executive Session for the purpose of discussing matters as authorized by RCW (1) such as, but not limited to: the sale or acquisition of real estate, reviewing negotiations on the performance of a publicly bid contract, receiving and evaluating complaints or charges against an officer or employee, evaluating the qualifications of an applicant or performance of an employee, and/or consulting with legal counsel on litigation or potential litigation. Announcement of Executive Session The regular meeting will recess so that the Commissioners, and enter into an Executive Session for ( ) minutes until a.m. as authorized by RCW (1) section : (a) To consider matters affecting national security; (b) To consider the selection of a site or the acquisition of real estate by lease or purchase when public knowledge regarding such consideration would cause a likelihood of increased price; (c) To consider the minimum price at which real estate will be offered for sale or lease when public knowledge regarding such consideration would cause a likelihood of decreased price. However, final action selling or leasing public property shall be taken in a meeting open to the public; (d) To review negotiations on the performance of publicly bid contracts when public knowledge regarding such consideration would cause a likelihood of increased costs; (e) To consider, in the case of an export trading company, financial and commercial information supplied by private persons to the export trading company; (f) To receive and evaluate complaints or charges brought against a public officer or employee. However, upon the request of such officer or employee, a public hearing or a meeting open to the public shall be conducted upon such complaint or charge; (g) To evaluate the qualifications of an applicant for public employment or to review the performance of a public employee. However, subject to RCW (4), discussion by a governing body of salaries, wages, and other conditions of employment to be generally applied within the agency shall occur in a meeting open to the public, and when a governing body elects to take final action hiring, setting the salary of an individual employee or class of employees, or discharging or disciplining an employee, that action shall be taken in a meeting open to the public; (h) To evaluate the qualifications of a candidate for appointment to elective office. However, any interview of such candidate and final action appointing a candidate to elective office shall be in a meeting open to the public; (i) To discuss with legal counsel representing the agency matters relating to agency enforcement actions, or to discuss with legal counsel representing the agency litigation or potential litigation to which the agency, the governing body, or a member acting in an official capacity is, or is likely to become, a party, when public knowledge regarding the discussion is likely to result in an adverse legal or financial consequence to the agency. This subsection (1)(i) does not permit a governing body to hold an executive session solely because an attorney representing the agency is present. For purposes of this subsection (1)(i), "potential litigation" means matters protected by RPC 1.6 or RCW (2)(a) concerning: (i) Litigation that has been specifically threatened to which the agency, the governing body, or a member acting in an official capacity is, or is likely to become, a party; (ii) Litigation that the agency reasonably believes may be commenced by or against the agency, the governing body, or a member acting in an official capacity; or (iii) Litigation or legal risks of a proposed action or current practice that the agency has identified when public discussion of the litigation or legal risks is likely to result in an adverse legal or financial consequence to the agency. 18 MINUTES OF THE MEETING OF COMMISSIONERS December 19, 2017 The regular meeting of the Commissioners of Public Utility District No. 1 of Lewis County was held in the Chehalis Office of the District on the above date at 10:00 a.m. Those present were Dean Dahlin, President; Ben Kostick, Vice-President and Tim Cournyer, Secretary (via telephone conference). Also present were Dan Kay, Manager; Rich Bauer, Treasurer; Brad Ford, Auditor; and Stacy Davis, Executive Assistant. Additional attendees included: Jeff Shupe, Engineering Manager; Matt Samuelson, Power Supply Manager; Jennifer Bush, Customer Service Supervisor; Corenne Moses, Communications Liaison; Allen Unzelman, Attorney; and Norm Goodbla, Energy Services Manager. Mr. Kay led the flag salute. Ms. Davis requested Executive Session as authorized by RCW (1)(i) to discuss with legal counsel litigation or potential litigation. At 10:01 a.m. Commissioner Dahlin recessed the regular meeting and announced that the Commissioners, Mr. Unzelman, Mr. Kay would enter into an Executive Session for ten (10) minutes until 10:11 a.m. as authorized by RCW (1)(i) to consult with legal counsel relating to litigation or potential litigation. At 10:11 a.m. the regular meeting reconvened and recessed for an additional five (5) minutes to continue the Executive Session. At 10:16 a.m. the meeting reconvened and recessed for an additional five (5) minutes to continue the Executive Session. At 10:21 a.m. the regular meeting reconvened. At 10:21 a.m. the regular meeting reconvened and recessed for an additional five (5) minutes until 10:26 a.m. to continue the Executive Session.

19 Commissioner Cournyer moved to approve the Consent Agenda. The motion was seconded by Commissioner Kostick. The Consent Agenda consisted of: a) Minutes of December 12, 2017 commission meeting; b) Cowlitz Falls Project vouchers numbered to and including totaling $43, and Electric Service vouchers numbered to and including totaling $4,383, Commissioner Dahlin supported the motion and it carried unanimously. Mr. Goodbla presented the District s Conservation Potential Assessment (CPA) of the establishment of the District s ten year and biennial conservation targets. Mr. Goodbla stated that no comments were received from the public. Discussion followed regarding the District s 2018/2019 total ten year effective potential of 8.58 amw and the two year potential is 1.18 amw. Mr. Samuelson noted that the District is exceeding its current targets. Following discussion, Commissioner Kostick moved to adopt the CPA s 2018/2019 biennial target of 1.18 amw as presented. The motion was seconded by Commissioner Cournyer. There was no further discussion. Commissioner Dahlin supported the motion and it carried unanimously. Mr. Kay wished the employees and Commissioners a merry Christmas and a happy New Year. Mr. Kay, Ms. Moses, Mr. Ford and Mr. Samuelson reported that staff met with the Chronicle regarding the budget and rate process, benefits of public power, maintaining reliability, working for a sustainable future, and programs available for our customers including conservation, project share, and TransAlta grant funds for energy savings measures.

20 Ms. Moses reported that past and current District employees donated money that provided holiday dinners for 100 local families in need last week. Ms. Moses noted that this was the fifth year that District employees came together to provide holiday dinners for those in need. Mr. Samuelson noted that the E3 study commissioned by Public Generating Pool is currently being widely distributed to the region (Governors office, trade organization, environmental groups, etc.) to provide data that reflects the most effective means of reducing carbon emissions in the electrical sector at the lowest costs. It is expected that carbon legislation or an initiative will be passed in the near future and the District will be monitoring the situation closely as it could have a major financial impact on the District and its customers. Mr. Samuelson further noted that in the Governor s press release regarding his proposed operating budget stated that he is in favor of providing retail authority to public utilities for telecommunications. Mr. Samuelson noted that the District has a financial call option that may be used for the projected cold spell over the next few days. There being no further business, Commissioner Cournyer moved to adjourn and the motion was seconded by Commissioner Kostick. Commissioner Dahlin supported the motion and it carried unanimously. 31 RESOLUTION NO A RESOLUTION CHARGING OFF UNCOLLECTIBLE ACCOUNTS WHEREAS, the following delinquent accounts have been carried in the discontinued ledger for a period of 90 days or more, and all collection efforts reasonably possible have been made; and WHEREAS, the Commissioners have considered the following delinquent accounts for December 2017 totaling $17, find them to be uncollectible and unsecured at this time, and have determined that the District can no longer treat collections of these accounts as likely. 35 Memorandum To: Dan Kay, Commissioners CC: Brad Ford, Cowlitz Falls From: Joe First Date: 1/2/2018 Re: Acceptance of Work, Unit 1 Draft Tube Rock Removal The District issued Purchase Order CFP on September 18, 2017, in the amount of $44,740.00, to Advanced American Construction, Portland, OR, to remove rock inside unit 1 draft tube. Advanced American Construction performed this work from September 26- October 3, Advanced American Construction invoiced the District for $40, The final amount for Purchase Order CFP is $40, Advanced American Construction completed all work to the satisfaction of District staff. I recommend that the Commission accept the work performed by Advanced American Construction under Purchase Order CFP.

42 COWLITZ FALLS HYDROELECTRIC PROJECT MONTHLY REPORT December 2017 SCADA Design The District compiled and sent to Systems Interface the SCADA I/O list including signal type, instrument range and scaling, several plant drawings, the unit control sequences, and the wants and needs we would like incorporated into the new SCADA system. We will meet with Systems Interface in January to get their feedback. Sedimentation Study and Day Use Riverbank Stabilization Study Joe and Laura met with Northwest Hydraulic Consultants (NHC) to discuss the 2017 results and study recommendations for The 2017 sedimentation study consisted of taking cross section and performing a bathymetric survey of the Cowlitz Falls reservoir. In 2018, the sedimentation study will include CFD modeling and installing turbidity and sonar sensors in the reservoir and tailrace. The 2017 Day Use Park riverbank stabilization study looked at the velocities of the river and the rate the riverbank is collapsing into the river. The bank has lost 36 feet since the Cowlitz Falls operation began (1.5 feet/year). The 2018 study will analyze the provide cost estimates for the various alternatives to stabilize the riverbank. Flood Debris Crews completed cutting up and spilling the large mass of floating woody debris that came down with the late November flood event. Spillway Gate 3 Brake Drum Crew replaced the spillway gate 3 brake drum. The existing brake drum was cracked. Plant LED lighting Crews continue to replace the fluorescent lighting fixtures with LED lighting fixtures and lamps in the plant. Approximately ¾ of the plant now has new LED lighting. Fire System Piping Earthquake Bracing FM Global recommended increasing the earthquake bracing on our fire system piping in the plant. Crews completed installing 20 braces in 12 locations for the 6 fire system supply lines. Plant HVAC Siemens was on site to complete the programming for the new HVAC controller. Crews installed new thermostats and a 3 cooling water control valve. The operation of the HVAC is greatly improved. Tacoma Power Cowlitz Falls Fish Facility Remodel Joe attended the preconstruction meeting for the CFFF remodel. The existing building will be gutted and reconfigured, ta new office building will be constructed, and a temporary fish handling facility will be constructed. This will begin in January or February of 2018 and last about one year. Document Organization Staff continues to work on document organization. We continue to scan and destroy hard copy documents. We are deleting electronic documents that we no longer need to keep. We plan to have all of the hard copy and electronic documents organized by August

43 COWLITZ FALLS HYDROELECTRIC PROJECT MONTHLY REPORT December 2017 Plant Drawings NAES converted several plant drawings into AutoCAD. We are checking each drawing and adding any asbuilt information. Dam Safety Catrin Bryan/McMillen, Cowlitz Falls Chief Dam Safety Engineer, completed the Owner s Dam Safety Program (ODSP). The District will review the ODSP and submit to FERC. Catrin will now wok on the Dam Safety and Surveillance Monitoring Report (DSSMR) and submit to the District for review by January 31, Catrin is also working on setting up the FERC required ten year spillway gate inspection that will be performed in June Dale led the annual Cowlitz Falls EAP Exercise held on November 29. Dale also contacted each of the entities on the EAP call down list to confirm the emergency contact information. Dale will begin working on the functional EAP exercise to be held in May The EAP will be a joint functional exercise with Tacoma Power. The area around the south roadway abutment will need additional material and compaction to prevent further erosion and maintain stability. Annual spillway gate tests were completed and results submitted to FERC. Dam Compliance Schedule Washington State Department of Ecology (Ecology) is requesting that Cowlitz Falls comply with a Dam Compliance Schedule. The Dam Compliance Schedule was initiated due to exceedance of water quality standards during the 2015 reservoir drawdown that returned to the river to riverine conditions. Staff met with Ecology twice and developed a list of items that will be included in the Dam Compliance Schedule. This includes reporting and monitoring responsibilities. District and Ecology will work on final language in January. Creel Report Cowlitz Falls Comprehensive Creel Summary Report is complete and is being reviewed. This report will then be submitted to NMFS. Wildlife Laura Bouchard and Gary Wedam inspected Section 32 Shoreline Management Area on December 6, 2017 and observed signs of development. This inspection, as well as a subsequent inspection on December 14, 2017 revealed an extensive trail system on the peninsula, as well as several clearings. Plans are being made to restore the area to its natural state. Tours of Wildlife Management Units 5 and 6 were conducted to assess the state of the meadows and to look for signs of wildlife usage on the property. The decision was made to cut down a few small alders that were encroaching on the meadows and to reseed the area in the future. The ESA summary of 2017 s BiOp activities is currently being written and will be submitted to NMFS by January 15, Mill Creek The control boards for the wicket gate controllers for both units were sent out and repaired. The control board were reinstalled, a new 5 VDC power supply and a 15 VDC power supply were installed, and other 4

High Flow Event On December 30-31, the Cowlitz River had a quick spike in flows that triggered a short reservoir drawdown. There were no stranded ESA listed fish found during the lower reservoir levels. 5
