Affidavits concerning the public notice of this meeting are on file in the Office of the Secretary of the University. "Parking Fees and Fines" to Item IV.B; (2) Add Item IV.C., "University Center Master lease;" and (3) Add Item VI. B, "Privacy Act Amendment." '!he agenda was adopted as amended.

3 It was moved by Regent Melendres, Minutes.. of April 15, 1991 seconded by Regent Johns, that the minutes of April 15, 1991 be approved as distributed. Regent Gallegos said that in the minutes of April 15, the memorialization of the discussion of the tuition item does not fairly reflect the proceedings and that the recitation is weighted to the extreme in favor of the recorranendation of the administration which was adopted by the majority of the Board. I:Uring the discussion, Regent Gallegos reminded the Board that he had raised a number of arguments and pointed out certain data that did not support the tuition increase. He had also pointed out certain conclusions that could be drawn from other data that were not supported and the minutes did not reflect any of his remarks. He also said that even though Regent Hecker was not present at the meeting, his written statement was read into the minutes. Gallegos stated that the recitation regarding the Rlann. D program does not reflect some clear statements and intent of the Board that reallocation objectives must show results before additional programs are adopted. Regent Gallegos further stated that as secretary of the Board he had a certain responsibility in regard to the minutes. If at any time they became the subject of litigation, it would be his function to verify that the minutes accurately reflect the proceedings of the meeting. Regent Gallegos said that he would like to see a draft of the minutes within a week or ten days after each meeting. Regent Siegfried Hecker said that he too would like to receive a draft of the minutes within a week or so of the meeting. He also apologized for not being able to attend the April meeting. Mimi Swanson, UNM staff COuncil President, said that she would like the minutes to reflect statements made by the advisors. '!he minutes of the April 15 meeting were not approved, Samberson moved that they be tabled until t..'1e June meeting. seconded by Regent Gallegos and carried. and Regent Gene 'Ihe l1lotion was ******** President Richard E«Peck told the Administrative Rewrt Regents that UNM was represented by nine students and five faculty at a recent meeting of the Western Regional Honors COuncil. For the fifth year in a row, a UNM student, in this case Katherine star, placed first in one of the writing categories. '!hese awards are examples of the excellence of our students and the high regard of our Honors Program which we hope to see transformed into an Honors COllege«President Peck asked Vice President Orcilia zuniga Forbes to announce the GE Scholar. Vice President Fo:rlJes said that Judy Annijo has been named recipient of the GE Foundation Scholars Program Award for undergraduate minority engineering and business students«this is a $6,000 award for three years«judy

4 ~:: completed her freshman year with a grade point average and she intends to major in accounting and became a CPA. She graduated from Gallup High School and is a Presidential Scholar. JUdy was not able to attend the meeting, however, Regent Ramo said that the Regents would send her a letter of congratulations. Vice President Forbes distributed to each Regent a recently published brochure explaining all scholarships available at UNM. '!he brochure will be distributed to all high schools and two-year institutions throughout the state. Regent Ken Johns complimented Vice President Forbes on her efforts with the scholarship program. President Peck continued his report by stating that as of the close of registration on Friday, May 3, the head count registration for the fall was 3.8% above the same last year. Student credit hours were about 3% higher. Freshman enrollment is down from this time last year, however, enrollment of juniors is up 11%. He reminded the Regents that the statistics are subject to change week by week. President Peck mentioned an article printed in the Albuquerque Journal which stated that only 13.6% of UNM's students graduate after five years. '!his statistic came from the NCAA and was about freshman athletes in the year '!he article made it appear that it dealt with all of our students. '!he fact is the NCAA did not include in its figures any students who corne to UNM as a transfer student but counts freshmen only when the number of students who graduate are counted. However, when the total student body is counted, transfer students are included in the figure. Forty percent of the degrees awarded by UNM are to transfer students. If the article had gone to the end of the documentation provided, by the time we reached something called "eventually" it would show that 73% of the students who start at UNM do graduate. 'Ibis puts UNM well above the median of all public institutions in the councry. A correction will be sent to the Journal. President Peck said that at a special meeting on May 1, the UNM Faculty Senate decided that UNM should establish a core program required of all candidates for baccalaureate degrees and that the core should be a limited program of not fewer than eighteen required hours and not more than twenty-four required hours. On May 7, the Senate agreed that the core should consist of the following areas: social sciences, humanities, fine arts, rnatherna.tics, science and technology. Now, the conunittee must recommend Particular courses within the areas. President Peck connnended the committee on its efforts. Professor Gloria Birkholz, President of the Faculty Senate, said that the faculty continues to work on the reconunendations, however, there are honest differences which must be resolved concerning required courses. She also mentioned that accreditation in some schools and colleges is an area of concern. COntinuing his report, President Peck said that Arturo ortega, attorney and fonner president of the Board of Regents, has ~ appointed to chair a twelvemember conunittee which will develop a plan regarding the University's future involvement with Latin America. '!he UNM Hemispheric Initiative Advisory committee will develop a plan for UNM to take its rightful place as a University

5 for the Americas. In the fall, the plan will be presented and discussed at a. conference to elicit input from other members of the university and New Mexico conununities, as well as representatives from other institutions and countries. '!he final plan will be presented to the administration and the Regents. To conclude his report, President Peck said he was happy to announce that Professor Leo Romero has been appointed as Dean of the School of raw. He thanked Professor Al utton for his leadership of the raw School during the interim period when Dean Ted Farnall was on assigrnnent out of the country. Regent Ramo said that Professor Romero is well known and respected by faculty of raw Schools allover the country. Regent Gallegos asked President Peck to bring the Regents up to date on the searches for the Dean for the College of Education and the Provost. President Peck said that the Search Committee for the Dean of the College of Education has made its report and currently the Interim Provost has been negotiating with one of the candidates. '!he administration expects that an announcement can be made within the next few days. '!here has been a recommendation by the Search Committee for the Provost and President Peck has consulted with other groups as well. He hopes to have this matter resolved by early next week. Regent Gallegos asked if it has been the practice to make the recommendations available to the Regents. President Peck responded that to the best of his knolnledge this has not been done. He said that he could summarize the recommendations although there is a danger in having a recommendation which does not payoff become public. Regent Gallegos said he was suggesting that they be made available only to the Regents on a confidential basis, and President Peck replied that he would be happy to share the recommendations with the Regents. Regent Gallegos moved that the Regents have an executive session after the meeting so that President Peck can brief them on the recommendations for the two positions. '!he motion was seconded by Regent Melendres and carried. '!his motion is in accordance with the New Mexico Open Meetings Act which states that a closed session of a public board may be held to consider personnel matters. Policy matters will not be discussed. Regent Johns asked what the purpose of the closed meeting would be. He said that he did not think the Regents should have a closed meeting unless there was really something to accomplish.. President Peck said that it would be a help to him to be able to speak to all the Regents at one time instead of having to telephone them individually to summarize the status of the searches. ******** Regent Ramo explained that the Regents would be briefed on UNM ProPerties after the Briefing on UNM Properties

6 84 executive session and before a tour of the properties. since the official meeting adjourned before the executive session, this item is not reflected in the minutes. ******** vice President Orcilia Zuniga Forbes Parking Fees and Fines explained that the Finance and Facilities Conunittee had reviewed a number of proposed actions regarding parking fees and fines. These proposed actions were printed in the agenda and it was decided that they should be discussed inclividually. 1. Increased Fines to Match those Collected by the City of Albuquerque Regent Johns said that there had been no increase in parking fines since 1978, and the University had done a poor job of collecting. Procedures have been put in place which have increased the percentage of collections. The Finance and Facilities Committee reconunends that the fines be set to match the highest amount levied by the City. 2. Sanctions for Failure to Answer Parking citations Vice President Forbes said that the sanctions apply to faculty, staff and students. However, there is one sanction applicable to faculty and staff which calls for "gcunishment, attachment and/or the right to setoff of employee compensation in satisfaction of unpaid debts to the University. II The Regents are not asked to approve a garnishment policy since this must be reviewed by legal counsel, and will be brought back to the Regents. Regent Gallegos explained that consultants had been employed some time ago to make an overall study of parking on campus and that study is not yet conplete. The Finance and Facilities Committee decided to take some ad hoc measures because the collection of fees is so far behind. If these measures work, then they will become a part of the on-going process and perhaps the responsibility of fees and fee collection can be transferred to the President. Vice President Fo:rDes reiterated that the sanctions are intended to be short term management strategies. 3. Approve Extension of Permit System and Enforcement to Evenings Vice President Fo:rDes explained that the extension would allow permit and zone parking until 10:00 p.m., Mondays through Fridays. A special evening permit would allow zone parking fram 4:00 p.m. until 10:00 p.m. 4. Approve Permit Fee Increases The proposal would allow an average increase of 25% for all parkingi;>ermi.ts. Vice President Forbes noted that the cost of permits has not increased since The increase would allow improvement in services, such as shuttle buses.

7 85 Mimi SWanson, President of the UNM staff Council, asked if the purchase of a parking pennit guarantees a person a parking space. Vice President Forbes responded that the practice of over selling a lot would be continued. However, recent studies have shown the availability of parking spaces in a given zone at a given time, and more personnel will be assigned to monitor the lots. Regent Johns, on behalf of the Finance and Facilities Committee, moved that the Regents approve proposals 1 through 4 as listed above. The motion was seconded by Regent Gallegos and it was noted that the regulations would be effective the beginning of the academic year. Professor Gloria BirkholZ, President of the Faculty Senate, said that she thought it was unfair to levy sanctions OIl persons who had pennits but could not find parking space in the appropriate zone and were forced to park illegally elsewhere. Vice President Forbes responded that if a person receives a ticket when he or she has a pennit and if the PerSon challenges the action, the fine will be waived. The motion carried. Regent Johns said that at a later date, after the administration has had time to study the results of the actions approved today, the Regents will consider delegating the authority for UNM and UNM Hospital Parking Fee to the President. Regent siegfried Hecker said that in a steady state he would encourage the Regents to delegate issues such as parking fees and fines to someone in the University administration. ~--. ******** Vice President Mc Kinney explained University center Master Lease that several years ago the Regents retained Glenborough and Associates to be the principal developer of the University Park. in association with Frank Morrow and subsequently approved the joint Partnership with AIQ Development and Glenborough. since that time, the development organization, university center Joint Venture (UCJV), has not been successful in bringing about the development of the Park. All development up until this time has been due to the efforts of the University. In November, Glenborough advised the University that they felt they could not meet the obligation of Park development and that at some point the master lease should be tenninated. There is significant litigation in process because of the partnership of AIQ and Glenborough. The administration presented to the Finance and Facilities Connnittee certain options as whether to allow some of the conditions of default in the Master Lease to occur next June, or whether there 'is sufficient reason now because of evidence presented by Glenborough to proceed with seeking release from the master lease.

8 '!he committee recorranends the following resolution: '!he Board of Regents believes that the action of University center Joint Venture in closing its offices in Albuquerque and fonnally notifying the University that it is withdrawing from the university Research Park Project constitutes a repudiation of the Master Ground lease between the University of New Mexico and university center Joint Venture. '!he Regents, therefore, instruct the University Counsel to take such action as is necessary either to tenninate the Master Ground lease or to enforce compliance with the Master Ground lease. University Counsel is authorized to connnence legal action if necessary to enforce the University's rights in this matter. Regent President Roberta Ramo asked that the minutes show that she abstained from any discussion of this matter and she asked that Vice President Siegfried Hecker sign the resolution. Regent Gallegos further explained that Glenborough was dependent upon MQ Development for financing and that MQ Development has become insolvent. In November and December, Glenborough sent two letters to Vice President Me Kinney. '!hese letters are clear repudiation of the contract. Glenborough closed its Albuquerque office and is obviously walking away from the contract. '!his gives the University the right to tenninate the contract and recover damages, if any. Even though there are certain entanglements resulting from Glenborough obtaining financing from MQ Development Company, University Counsel believes that when the master lease is gone, University ownership is not subordinated to the financing. '!he problem is that Glenborough does not want to walk away but is asking $500,000 to clear the paperwork. '!here may be some moderate sum that the University is willing to pay Glenborough in order to obtain the engineering work and other materials related to the Park. '!he sum mentioned in the Finance and Facilities COmmittee meeting was $50,000 - $100,000, and the committee felt that if Glenborough would not settle for that amount, then a declaratory judgement action might be resorted to if necessary. A letter will be sent to Glenborough first in an attempt to resolve the matter amiably if possible. Regents Gallegos and Johns noted that one alternative might be to wait until there is a default in payment of monthly rent next July, but that opportunities might be lost from such delay causing damages to the University to multiply. It was moved by Regent Johns, seconded by Regent Gallegos, that the Regents approve the resolution as presented. carried.
