Contest may only be entered in or from the 50 United States and the District of Columbia and entries originating from any other jurisdiction are not eligible for entry. This Contest is governed exclusively by the laws of the United States. You are not authorized to participate in the Contest if you are not located within the 50 United States or the District of Columbia. 1. Eligibility. Participation in the #avebeyou Contest ( Contest ) is open only to legal residents of the fifty United States and the District of Columbia, who are at least eighteen (18) years of age. Void outside of the 50 United States, the District of Columbia, and where prohibited, taxed or restricted by law. Employees, officers and directors of Avenue Stores, LLC ( Sponsor ), and its respective parent companies, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers or distributors of promotion materials, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees, officers and directors are not eligible to enter. You are not authorized to participate in the Contest if you are not located within the 50 United States or the District of Columbia. All federal, state and local laws and regulations apply. 2. Contest Entry Start/End Dates. Contest begins at 12:00:01 AM Central Time on October 13, and ends at 11:59:59 PM Central Time on October 29, ( Contest Period ). The Contest Period is divided into three (3) separate one-week Submission Periods as set out below. Entrants may only submit one (1) entry per day of the Submission Period and may only win one Weekly Prize during the Contest Period. There will be one (1) Weekly Winner per Submission Period. An entrant can only win the Weekly prize in the Submission Period during which s/he entered the Contest, but may enter in multiple Submission Periods (subject to these Official Rules). The winners for each Submission Period will be determined by public voting on the Submissions during each Submission Period (the Voting Period ). During the Contest Period, submit a photo ( Photo ) of yourself and your unique style via one of the following methods: (i) (ii) (iii) Via Instagram: Access the Instagram application on your mobile device ("Device"), and follow the links and instructions to become a follower Post the Photo with the hashtag #avebeyou and #contest. You must make sure the Photos Are Private option in the account settings on your Instagram account are set to OFF. You must have an Instagram app and account to enter via this method. If you do not have the Instagram app, you may download it through the application store on your Device. The Instagram app is free. Via Facebook: Go to Sponsor s page, located at ( Sponsor s Page ), and follow the links and instructions to enter. Post the Photo with the hashtag #avebeyou and #contest to Sponsor s Page, and click the post button. You must have a Facebook account to enter via this method. If you do not have a Facebook account, you can create one by visiting Facebook accounts are free. Via Twitter: Log onto your Twitter account and follow the links and instructions to become a follower of Sponsor s page on Twitter, located ( Sponsor s Twitter Page ). Tweet the Photo with the hashtag #avebeyou and #contest. You must be an active holder of a non-private Twitter account and be a follower of to be eligible to enter this Contest via Twitter (i.e., you must make sure your tweets are set to public and not private ). You must have a Twitter account to enter via this method. If you do not have a Twitter account, you can create one by visiting Twitter accounts are free. Important Notice: If you choose to enter via Instagram, Facebook or Twitter on your mobile device using a mobile device on a wireless service provider s network (as opposed to on a Wi-Fi network), your wireless carrier s text and data rates apply. You should consult your wireless service provider s pricing plan for details. You agree to incur any and all charges demanded by your wireless carrier. All entry information and Photos shall be collectively referred to herein as the Submissions or each entrant s information as a Submission. Submissions must comply with the Content Guidelines and Restrictions in Section 5 below. Limit to one (1) Submission per person/ address, per day for a maximum total of 17 unique Submissions for the entire Contest Period. For purposes of these Official Rules, a day will start at

3 12:00:01 AM CT and end at 11:59:59 PM CT. Entrants are not permitted to submit each unique Submission more than once during the Contest Period. Duplicate Submissions by the same person will be subject to disqualification. All terms and conditions and terms of use of Instagram.com, Facebook.com and Twitter.com apply to entrant s Submission. Multiple entrants are not permitted to share the same Instagram, Facebook or Twitter account. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different Instagram, Facebook or Twitter accounts, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Instagram, Facebook or Twitter account, the authorized account holder of the address used to register on the platform will be deemed to be the entrant. The authorized account holder is the natural person assigned an address by an Internet access provider, online service provider or other organization responsible for assigning addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder. 4. Submission Requirements. All Submissions should be the original, unpublished and sole work of the respective entrant. By entering, all entrants warrant and represent that (a) their respective Submissions are their own fully original creations, (b) their respective Submissions (including, but not limited to, any materials integrated into their Submissions) will not infringe or violate the rights of any third parties, including but not limited to copyrights, trademarks and/or rights of publicity/privacy, and (c) any third party (excluding entrant s own children) whose person or property appears in the Submission has given entrant appropriate written consent (which shall be provided to Sponsor upon request thereof) for such person or property to be photographed and used as permitted herein. Sponsor reserves the right to request releases from any third parties appearing in any Submissions at any time. Failure to produce third party releases upon Sponsor s request may result in disqualification, as determined by Sponsor is its sole and absolute discretion. Providing a Submission constitutes entrant s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, in perpetuity, and to incorporate it into other works, in any form, media or technology now known or later developed, for any purpose whatsoever, including for promotional or marketing purposes. 5. Submission Guidelines and Content Restrictions. By entering the Contest, each entrant agrees that entrant s Submission conforms to the Submission Guidelines and Content Restrictions as defined below (collectively, the Guidelines and Restrictions ) and that Sponsor, in its sole discretion, may remove any Submission and disqualify an entrant from the Contest if it believes, in its sole discretion, that the entrant s Submission fails to conform to the Guidelines and Restrictions. Content Restrictions: - The Submission must not contain material that violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights; - The Submission must not disparage Sponsor or any other person or party; - The Submission must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;

4 - The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; - The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations of the United States or of any jurisdiction where Submission is created; and - The Submission must be consistent with the image and values of Sponsor and be consistent with and satisfy the purpose of the Contest. Each entrant acknowledges that other entrants may have used ideas and/or concepts in their Submission that may be similar in idea or concept to what is included in entrant s Submission. Each entrant understands and agrees that he/she shall not have any claim against any other entrant or Sponsor arising out any such similarity or be entitled to any compensation because of any such similarity. Sponsor s decisions are final and binding in all matters relating to this Contest, including, but not limited to, interpretation and application of these Official Rules. By entering the Contest, entrants fully and unconditionally agree to be bound by these rules and the decisions of the judges, which will be final and binding in all matters relating to the Contest. 6. Winner Selection. The online community may vote for the Submissions posted during each Submission Period as indicated in Section 2 above (the Weekly Voting Period ). Submissions will be posted in a gallery on (the Voting Site ) users may vote on each Photo by clicking like for the Photo. Voters should evaluate the Submissions based on the following equally weighted Judging Criteria to the best of their ability: (i) Best Weekend Outfit; (ii) Best Work Outfit and (iii) Best Cozy Fall Outfit. Voters may only vote for one Submission per Submission Period. The number of likes received for each Submission during each Weekly Voting Period will count towards that Submission s total votes. The Submission with the highest total number of votes at the end of each Submission Period will be deemed the potential Weekly Winner, subject to winner verification and compliance with these Official Rules. Each Weekly Winner will automatically be entered into the Final Judging Round, which will take place between November 3, and November 8, and such Weekly Winner may also be eligible to win the Grand Prize or one of the Second Prizes in addition to the Weekly Prize. All other valid Submissions received during each Submission period will be judged by a judging panel consisting of representatives of Sponsor based on the Judging Criteria. The top seven (7) highest scoring Submissions over the Contest Period, together with the three (3) Weekly Winners, will comprise the top ten Submissions for the Final Judging Round. The online community may vote on the top ten Submissions during the Final Judging Round by clicking like for the Photo on the Voting Site, based on the Judging Criteria to the best of their ability. Voters may only vote for one Submission during the Final Judging Round. The number of likes received for each Submission during the Final Judging Round will count towards that Submission s total votes. The five (5) Submissions with the highest total number of votes during the Final Judging Round will be deemed the five (5) Finalist Submissions. The online

5 community may vote on the Finalist Submissions on the Voting Site by clicking like for the Photo, based on the Judging Criteria to the best of their ability. Voters may only vote for one Finalist Submission. The Finalist Submissions will be judged by a panel of judges including Avenue Models and the Avenue Creative Team based on the Judging Criteria as well as public voting response to each Finalist Submission (the Panel Round ). In the event of a tie during the Final Judging Round, the judges will select the higher-scoring Submission based on the Judging Criteria. The top scoring Submission during the Panel Round will receive the Grand Prize, subject to winner verification and compliance with these Official Rules. The next two (2) highest scoring Submissions will each receive a Second and Third Prize, subject to winner verification and compliance with these Official Rules. In the event of a tie during the Panel Round, the judges will select the higher-scoring Finalist Submission based on the Judging Criteria. With respect to the public voting rounds, multiple voters are not permitted to share the same address. Any attempt by any voter to submit more than the stated number of votes by using multiple/different addresses, identities or any other method will void that voter s vote. The use of robotic or automatic devices for voting is prohibited, and Sponsor reserves the right to nullify any and all such votes and to disqualify from voting the responsible individual. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including engaging in vote-farming or vote-exchanges or offering prizes or other inducements to members of public, as determined by Sponsor, in its sole discretion and Sponsor reserves the right to nullify any and all such votes and to disqualify from the Contest the responsible entrant. 7. Prize(s). Three (3) Weekly Prizes: Three (3) Weekly Winners will each receive a $100 gift card to Avenue. All gift card terms and conditions apply. One (1) grand prize ( Grand Prize ): One (1) Grand Prize winner will be awarded a three (3) day, two (2) night trip for winner & 1 guest to New York City (outlined below) and a five (5) day, four (4) night trip for winner & guest to the Caribbean. The trip will include roundtrip coach airfare for winner to and from a major gateway airport nearest winner s primary residence (as determined in Sponsor s sole discretion), single occupancy standard hotel accommodations for five (5) nights at a hotel to be determined in Sponsor s sole discretion (room and tax only). Approximate retail value ( ARV ): $5000. One (1) Second Prize Winner: One (1) winner will be awarded a three (3) day, two (2) night trip for winner & 1 guest to New York City. Prize will include round trip transportation, (1) lunch meal organized by Sponsor in its sole discretion, one (1) day of modeling in Avenue or Avenue affiliated studio, and one (1) New York City activity to be determined by Sponsor in its sole discretion. Approximate retail value ( ARV ): $1500. One (1) Third Prize Winner: One (1) winner will be awarded a $500 Avenue gift card for purchasing a new wardrobe. Approximate retail value ( ARV ): $500. Actual retail value will depend on current market conditions, winners place of residence, time of travel and/or air flight fluctuations. Winners will not receive difference between approximate and actual retail value. Any details related to the prizes not specified herein shall be determined by Sponsor in its sole discretion. Total maximum ARV of all prizes combined: $7,300. Prizes are

6 non-transferable. No substitutions or cash redemptions. All federal, state and local taxes, meals, gratuities, travel upgrades, incidentals, fees, service charges, surcharges, insurance costs and any other unspecified costs or expenses are the sole responsibility of winner. In the case of unavailability of any prize or any portion thereof, Sponsor reserves the right to substitute a prize or portion thereof of equal or greater value. Prizes are awarded as is with no warranty or guarantee, either express or implied by Sponsor. Travel for the Grand Prize five (5) day, four (4) night trip for winner & guest to the Caribbean. must take place within one (1) year of prize notification or Grand Prize will be forfeited and may be awarded to an alternate winner, time permitting. Blackout dates may apply, in Sponsor s sole discretion. Winner and travel companion must travel on the same itinerary and travel companion must sign a travel release prior to ticketing. Travel for New York City will take place on specified date determined by Grand Prize and Second Prize Winners and Avenue, provided that all final decisions rest with Avenue in its sole discretion. Sponsor is not liable for delays, cancellation or unforeseen events related to flights or other travel arrangements. Winner and travel companion will be solely responsible for obtaining valid identification relating to acceptance and use of the Grand Prize and/or Second Prizes. If the winner s place of residence is located within one hundred fifty (150) miles of the Grand Prize destination, ground transportation will be substituted for roundtrip air travel at Sponsor s sole discretion. Sponsor will not replace any lost, mutilated or stolen tickets, travel vouchers or certificates. Limit two (2) prizes per person or household. 8. Notification. Potential Weekly Winners will be notified on or about the date(s) specified in Section 2. Potential Grand Prize, Second Prize and Third Prize winners will be notified on or about November 12,. and may be required to sign and return, where legal, an Affidavit of Eligibility, Liability/Publicity Release and/or rights transfer document within five (5) days of receipt. Public announcement of the Grand Prize, Second Prize and Third Prize winners may take place later in the month on a date specified by Sponsor after winner verification, and Grand Prize, Second Prize and Third Prize winners may not publically disclose that they have won a prize until Sponsor s public announcement. Additionally, potential winners may be required to obtain releases from any and all third parties appearing in their respective Submissions. If any winner is considered a minor in his/her jurisdiction of residence, Affidavit of Eligibility, Liability/Publicity and rights transfer document must be signed by his/her parent or legal guardian. If entrant is a potential winner, he/she will be notified by Sponsor via , a Facebook post including the potential winning photo on Sponsor s Page and a post on the avenue.com website. Potential winner(s) will be required to Sponsor within five (5) calendar days in order to claim their prize. If any winner cannot be contacted within five (5) calendar days of first notification attempt, if any prize or prize notification is returned as undeliverable, if any winner rejects his/her prize or in the event of noncompliance with these Contest rules and requirements, such prize will be forfeited and may be awarded to the Submission with the next highest score, time permitting. Upon prize forfeiture, no compensation will be given. 9. Conditions. BY PARTICIPATING, ENTRANTS AND WINNERS AGREE TO RELEASE AND HOLD HARMLESS SPONSOR, INSTAGRAM, FACEBOOK, TWITTER AND THEIR ADVERTISING AND PROMOTIONS AGENCIES AND THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, PARTNERS, REPRESENTATIVES, AGENTS, SUCCESSORS, ASSIGNS, EMPLOYEES, OFFICERS AND DIRECTORS (COLLECTIVELY,

7 RELEASED ENTITIES ), FROM ANY AND ALL LIABILITY, FOR LOSS, HARM, DAMAGE, INJURY, COST OR EXPENSE WHATSOEVER INCLUDING WITHOUT LIMITATION, PROPERTY DAMAGE, PERSONAL INJURY AND/OR DEATH WHICH MAY OCCUR IN CONNECTION WITH, PREPARATION FOR, TRAVEL TO, OR PARTICIPATION IN PROMOTION, OR POSSESSION, ACCEPTANCE AND/OR USE OR MISUSE OF PRIZE OR PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY AND FOR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT OR ANY OTHER INTELLECTUAL PROPERTY-RELATED CAUSE OF ACTION. Any and all federal, state and local taxes are the sole responsibility of the winners. Participation in Contest and acceptance of prize constitutes each winner s and each entrant s permission for Sponsor to use his/her name, address (city and state), likeness, photograph, picture, portrait, voice, biographical information, and/or any statements made by each winner regarding the Contest or Sponsor for advertising and promotional purposes without notice or additional compensation, except where prohibited by law. Entrants who do not comply with these Official Rules, or attempt to interfere with this Contest in any way shall be disqualified. Sponsor is not responsible if Contest cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. 10. Additional Terms. All entries become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Proof of submission will not be deemed to be proof of receipt by Sponsor. Any attempted form of entry other than as set forth above is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. Released Entities are not responsible for, and are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one s ability to enter the Contest, including any injury or damage to participant s or any other person s computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. Released Entities are not responsible for any typographical, printing, or other error in any Contest materials, or for any errors or problems which may occur in connection with the administration of the Contest, the processing of entries, or in the announcement of prizes, including such error that may give an erroneous indication that a prize has been won. In no event will a greater number of prizes than stated in these Official Rules be awarded. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Contest should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such case, Sponsor may select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Contest or web site. Sponsor may prohibit an entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives.

Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York.
