SWEEPSTAKES OPEN ONLY TO LEGAL RESIDENTS OF THE U.S. RESIDING IN THE STATE OF ALABAMA, FLORIDA, GEORGIA, NORTH CAROLINA, SOUTH CAROLINA OR TENNESSEE WHO ARE 18 YEARS OF AGE (19 IN ALABAMA) OR OLDER AS OF THE DATE OF ENTRY. SWEEPSTAKES SHALL BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT ENTER THIS SWEEPSTAKES IF YOU ARE NOT A LEGAL U.S. RESIDENT. SWEEPSTAKES BEGINS DECEMBER 27, 2014 AND ENDS FEBRUARY 4, VOID WHERE PROHIBITED. 1. SWEEPSTAKES PERIOD: No purchase, and no entry fee, payment or proofof-purchase necessary to participate in the PEPSICO SUPER BOWL 50 SWEEPSTAKES AT PUBLIX. Sweepstakes begins December 27, 2014 at 12:00:01 a.m. ET and ends February 4, 2015, at 11:59:59 p.m. ET (the "Sweepstakes Period"). 2. HOW TO ENTER: There are 2 ways to enter the Sweepstakes: TO ENTER BY TEXT MESSAGE: Use your mobile phone to text FIFTY to during the Sweepstakes Period. You will receive a text message reply requesting your date of birth. Upon receipt of an eligible date of birth, you will receive one (1) entry in the Sweepstakes. Participants must have a mobile phone with text messaging capabilities to enter by text message. Participants entering this Sweepstakes via text message may incur a standard text message charge from their wireless service provider for each message sent and received. Check with your wireless service provider for details on these and any other applicable charges. Participants are solely responsible for any such wireless charges. Not all wireless carriers participate. By entering this Sweepstakes via text messaging the entrant is consenting to receive up to three (3) text and phone messages per entry regarding the Sweepstakes. TO ENTER BY PHONE: During the Sweepstakes Period, call toll-free from your home touch-tone telephone or cell phone and follow the automated instructions. Callers will be required to enter their first and last name, home address, city, state, zip code, daytime phone number, and date of birth (as two digits for month, two digits for day and four digits for year). All calls must be made from a phone number with an area code associated with the states of Alabama, Florida, Georgia, North Carolina, South Carolina and Tennessee or entrant s home address must have a zip code from one of these eligible states. In the event of an identity dispute, entry will be considered made by the registered owner of the phone number used for entry. Limit one (1) entry per person/phone number/per day. A day is understood to start at 12:00:01 a.m. ET and end at 11:59:59 p.m. ET the same day.

2 The person submitting the Sweepstakes entry must be the authorized account holder/user of the mobile phone number if entering via text, otherwise entry may be deemed void. In the event of dispute over the identity of a potential winner, entries will be declared made by the authorized account holder of the registered user of the mobile phone number used at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of the mobile phone number submitting the entry. It is solely the responsibility of the entrant to notify the Pepsi-Cola Company ( Sponsor ) in writing if the entrant changes his or her mobile phone number during the Sweepstakes Period. Proof of submitting an entry does not constitute proof of delivery or entry. All entries become the property of Sponsor and will not be returned to entrant. Every entry submission must be manually keystroked and manually entered by the individual entrant; all automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot or sweepstakes service) will be disqualified and all transmissions from these or related phone numbers may be blocked. 3. PRIZES: GRAND PRIZES: Five (5) Grand Prizes will be awarded, each consisting of four (4) tickets to Super Bowl 50 in the San Francisco Bay Area, California, on Sunday, February 7, 2016; round-trip air transportation, where applicable, for winner and three (3) guests from major airport nearest winner s home to the San Francisco Bay Area, California (as determined by Sponsor); hotel accommodations (two rooms, each double occupancy) for four (4) nights, arriving on February 4, 2016 and leaving on February 8, 2016; transportation in a motor coach from hotel to Super Bowl 50 and back to hotel after Super Bowl 50; four (4) commemorative gift bags; and $700 spending cash (to be awarded in the form of a check, payable to winner) which may be used towards transportation and other expenses. Estimated Retail Value ( ERV ) of each Grand Prize: $13,400, depending on winner s point of departure and destination airport. Grand Prize General Terms: Minor child may accompany winner as guest only if minor s parent or legal guardian is the winner or a guest of the winner. Minor must be accompanied at all times during the game by minor s parent or legal guardian. Sponsor and Promotion Parties (defined below) assume no responsibility for cancelled, delayed, suspended or rescheduled events (including NFL Games) beyond its control. No alternate dates are available and trip prize will be forfeited if a potential winner is unable to attend on dates specified (unless that winner initially selects the Grand Prize Publix Gift Card Alternative). Prize winners and their guests must travel on the same itinerary and, if traveling by air, must have all necessary identification needed for air travel. All expenses not outlined herein, including but not limited to meals and gratuities, are solely the responsibility of the winners and their guests. Sponsor reserves the right to assign seating, airline and hotel. Grand Prize winners may select the Grand Prize Publix Gift Card Alternative in the amount of $6,000 in lieu of the Grand Prize Super Bowl Trip. The Grand Prize Publix Gift Card Alternative shall be awarded in the form of a Publix Gift Card*. Actual Retail Value ( ARV ) of Grand Prize Publix Gift Card Alternative: $6,000. In no way can the

3 Grand Prize Super Bowl Trip prize and the Grand Prize Publix Gift Card Alternative be combined. FIRST PRIZES: Eight (8) First Prizes will be awarded, each consisting of fifty-two (52) $100 Publix gift cards* which can be used towards the purchase of free groceries for a year. ARV of each First Prize: $5,200. DAILY PRIZES: Two thousand (2,000) Daily Prizes will be awarded (50 Daily Prizes for each day during the Sweepstakes Period), each consisting of one (1) $25 Publix gift card*. ARV of each Daily Prize: $25. *Any applicable conditions and/or restrictions to gift cards will be disclosed at the time of prize award. 4. DRAWINGS: Prize winners will be selected in random drawings from among all eligible entries received. Drawings will be conducted on or about February 5, 2015 by Young America Corporation, an independent organization whose decisions are final. Daily Prize winners will be selected in fifty (50) random drawings from among all eligible entries received for each day of the Sweepstakes Period and remain eligible for the Grand and First Prize drawings. Entries submitted during the Sweepstakes Period are only eligible for this Sweepstakes and do not remain eligible for any subsequent drawings or sweepstakes. Odds of winning depend upon the number of eligible entries received. All prizes will be awarded. 5. ELIGIBILITY: Sweepstakes open only to legal U.S. residents of Alabama, Florida, Georgia, North Carolina, South Carolina and Tennessee who are 18 years of age or older (19 years of age or older in Alabama) at the time of entry. Winners must show proof of residency. Employees of Publix Super Markets, Inc., Pepsi-Cola Company, PepsiCo, Inc. and its bottlers and each of their respective parents, subsidiaries, divisions, affiliates, distributors, suppliers and advertising, promotional or judging agencies (collectively, "Sponsor and Promotion Parties ) the NFL Entities (as defined below), and immediate family members of such employees and persons living in the same household as such employees are not eligible to win. You must be 18 years of age (19 in Alabama) or older to be eligible. Limit one (1) Daily Prize and one (1) First or Grand Prize per name, address and/or household. Persons who have previously won the Grand Prize of a contest, sweepstakes or promotion of any kind sponsored or otherwise associated with Sponsor within the fourteen (14) months immediately preceding the start of this Sweepstakes are not eligible to win a Grand Prize. 6. GENERAL: No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as described in these Official Rules and as determined by Sponsor in its sole discretion. Mail received without a verifiable and legible return address may not be accepted at Sponsor's sole discretion. Void wherever prohibited or restricted by law. Prize winner will be solely responsible for paying all applicable federal, state and local taxes on prizes; if applicable, winner may receive an IRS Form 1099 for the prize retail value. No groups, clubs or organizations may reproduce or distribute any portion of these Official

4 Rules to its members. All entrants, as a condition of entry, agree to be bound by these Official Rules and the decisions of the judges, which shall be final and binding. 7. WINNER NOTIFICATION: Potential Grand Prize winners will be notified by mail and/or phone at the postal address or phone number provided by the entrant at the time of entry. Grand Prize winners may be required to claim their prizes within seven (7) days of notification by signing and returning an Affidavit of Eligibility and Liability/Publicity Release (where permitted by law). In order to claim Grand Prize, additional releases and/or waivers of liability required by any applicable sanctioning body may also be required as appropriate. In the event the Affidavit and Release is not returned within seven (7) days, Grand Prize may be forfeited and an alternate winner may be selected from among all remaining eligible entries. Grand Prize may also be forfeited if (i) a notification is sent to an address provided on an entry and is returned as undeliverable without a forwarding address or (ii) a telephone notification is not confirmed to Sponsor within seventy-two (72) hours or (iii) a winner is unable to attend on the dates specified and such winner has declined the Grand Prize cash option. Upon forfeiture for any reason, no compensation shall be given. Allow six (6) to eight (8) weeks for delivery of Grand Prize following the notification process. First and Second Prize winners will be notified by mail and will receive their prize within six (6) to eight (8) weeks of drawing. Prizes will only be delivered to addresses within the states of Alabama, Florida, Georgia, North Carolina, South Carolina and Tennessee. 8. RELEASE OF LIABILITY: All participants by entering this Sweepstakes, and winners by acceptance of a prize, agree to release the NFL Entities, Sponsor and Promotion Parties, including Publix Super Markets, Inc., from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize or while preparing for, participating in, and/or traveling to and/or from any prizerelated activity or any typographical or other error in these Official Rules or in the announcement or offering of any prize. Sponsor makes no representation or warranty of any kind concerning the appearance, performance or safety of any prize. Winner bears all risk of loss or damage to prize after it has been delivered. Except in Tennessee and where prohibited by law, winners must consent to the use of their name, voice, picture or other likeness without compensation for promotional purposes in all media as determined by Sponsor. 9.
