1 GRANTS TO HELP VULNERABLE YOUTH THROUGH INNOVATION The Future Makers Optus grants program is a 4-5 month program that runs from April July 2016, offered to a group shortlisted from applications received from social entrepreneurs, social enterprises or Not for Profits/charity/NGO s. Part of the Future Makers program requires these participants to attend a program which will accelerate or incubate their solution or idea for social change under the categories of Education, Employability, Cyber safety or Wellbeing. 1. PROGRAM TERMS AND CONDITIONS 1.1 The following conditions apply to the Future Makers Optus grants program. a) By submitting an application, the entrant agrees to be bound by these Terms and Conditions. 1.2 Once an entrant s application is submitted, no further changes will be accepted. 2. WHO WILL BE ELIGIBLE? 2.1 The following persons are eligible to apply for a Future Makers grant: a) social entrepreneur; b) a social enterprise; c) an Optus employee working as a social entrepreneur; d) Not for profit organisations; e) Charities; and f) Non-government organisations. 2.2 For the purpose of clause 2.1, a: a) Social entrepreneur is an individual that is led by an economic, social, cultural or environmental mission consistent with a public or community benefit and works towards the fulfilment of that mission; and b) Social enterprise is an organisation that is led by an economic, social, cultural or environmental mission consistent with a public or community benefit and works towards the fulfilment of that mission. 2.3 An entrant will not be eligible if the entrant s application: a) Is not their own original proposal and/or work; b) Infringes copyright or any other intellectual property rights of a third party; c) Proposes to use the grant: I. To provide money to a beneficiary who is looking for support or fundraising; II. For religious or political activities; 1

2 III. For general fundraising appeals; IV. For everyday activities, loan repayments or operational deficits; V. For retrospective or deficit funding requests, e.g. funding of past expenses; VI For everyday operating or administration costs outside of the project; or VII. To pay a salary and/or wages to the entrant or to any other third party. 3. HOW CAN I PARTICIPATE? 3.1 Optus will only accept applications from eligible entrants who submit an application in accordance with clause 3.2 under one of the following categories a) Education Entrants may have smart idea which uses technology to improve education outcomes, or aims to close education gaps. Entrants may have some bold thinking to help kids stay engaged in school or remove barriers to completing education. b) Employability - Entrants may have a smart idea which uses technology to improve a young person s ability to be job ready, become employed or help young people so they can get ahead with future career options and transitions to employment. Entrants may also be acting on an innovative idea to remove barriers which prevent disadvantaged young people from accessing training or employment. c) Cyber safety - Entrants may be thinking big to help young people to build a positive online presence so they can stay safe online. An entrant s idea may address the many challenges young people face in the social media world and develop responsible young digital users. d) Wellbeing - Entrants may know how to make your idea work with technology to improve young people s mental wellbeing and health. This may include accessing services or increasing resilience for kids who face real disadvantage. 3.2 To apply for a Future Makers grant, an entrant must: a) Go to the website and b) Submit an application in the form required. 3.3 Applications close at 11:59PM (AEDT) on 28th March 2016 and any application submitted after this time will not be eligible to be in the running to receive a Future Makers grant for that year. 3.4 Once the entrant s application is submitted, that application cannot be amended by the entrant. 3.5 Applications must meet the selection criteria set out in clause 3.6 in order to be considered for a grant. Optus will, at its sole discretion, determine if an application meets the selection criteria. 3.6 The selection criteria for the Future Makers Optus grants program are: a) The entrant proposes a technology based solution to solve a social problem; b) The entrant explains how the proposal differs from similar proposals in the public arena; c) The entrant demonstrates the way in which their proposal addresses the employability, education, cyber education/safety and/or wellbeing of young people; and d) The entrant demonstrates the capacity and drive to bring this proposal to market. 3.7 If the entrant is applying on behalf of a not for profit organisation, charity or non-government organisation, the application must be made with the approval and consent of the organisation. Optus reserves the right to request written approval and, if an entrant cannot provide written approval then Optus may, at its sole discretion, deem the application to be ineligible to receive a grant. 3.8 A maximum of one application may be submitted per project. 2

3 4. THE GRANTS PROGRAM 4.1 After applications have closed, Optus will review the eligible applications and create a shortlist of 12 applications that best meet the selection criteria in clause 3.6. Optus decision is final and no correspondence will be entered into. These shortlisted entrants will be invited to participate in the Future Makers accelerator program. 4.2 Optus will contact the shortlisted entrants by in the week commencing 4 April Participation in the Future Makers accelerator program is subject to: a) Acceptance of these terms and conditions; and b) Execution of the Participation Agreement. To be sent once the final shortlisted group have been advised they are successful to join the accelerator program. 4.4 By applying for the Future Makers grants program, entrants agree to attend workshops during the following periods and at the following locations: a) 19 April April 2016: Sydney, NSW. b) 18 May May 2016: Melbourne, VIC. c) 15 June June 2016: Sydney, NSW d) 18 July July 2016: Sydney, NSW 4.5 If an entrant lives interstate and must travel to attend any of the workshops listed in clause 4.4, air travel and accommodation will be provided by Optus with the dates, times and other details to be determined by Optus at its sole discretion. All other transport, including transport to the specific venues for the workshops, will be funded by the entrant. 4.6 As part of the Future Makers accelerator program, shortlisted entrants will pitch their idea to a panel of judges who will select approximately 6 entrants to be awarded a grant. This selection will be made based on merit and in consideration of the criteria in clause Shortlisted entrants must not infringe the intellectual property rights of any other shortlisted entrant. 5. EXPENDITURE 5.1 Optus will provide the entrants selected in accordance with clause 4.6 (the Grantee) with a grant between AUD$10,000 and AUD$50,000 (excluding excluding GST) as determined by Optus in consideration of the grant expenditure breakdown submitted by the entrant with their application. The amount granted may vary from the expenditure breakdown submitted by the entrant. If GST is payable on the supply, Optus will pay an additional amount equal to the GST payable. However, no amount on account of GST will be paid until Optus receives a Tax Invoice. Words or expressions used in this clause which are found in the A New Tax System (Goods and Services Tax) Act 1999 ( Act ), have the same meaning as in the Act. 5.2 Optus will award a minimum of 6 grants. Any additional grants awarded and the amount of each grant are entirely at Optus discretion. 5.3 If the entrant is successful in obtaining a grant and intends to use grant funding to: a) procure network services, the entrant must acquire those services from Optus; and b) purchase technology or telecommunications services, these purchases are to be made through an Optus shop. 5.4 Optus will not pay any additional amount to the entrant under any circumstances, including where the actual total project cost is greater than the Grant. 5.5 All Grantees will be required to supply a tax invoice for the grant amount before the Grant will be paid to the Grantee. 3

4 5.6 The Grant amount must be used and applied solely for the proposal stated in the application, unless Optus agrees to a variation in writing. 5.7 All Grantees must keep records of expenses paid using the Grant (for example, receipts and bank statements). 5.8 The entrant must use the Grant by 31 December If the entrant does not, the funds may be recouped however, Optus will first try to work with the entrant to find what is preventing the funds from being expended for the project. 5.9 The Grantee must promptly notify Optus and, within two weeks of notifying Optus, return any amount of the grant that has not yet been spent, if: a) the proposal is no longer possible or cannot be completed in the manner described in the application; and b) Optus has not agreed in writing to a variation of the proposal as per clause REPORTING 6.1 The Grantee must complete an impact report on its activities in a form nominated by Optus before The Grantee must complete any additional evaluation of their progress during the program and take part of 6 monthly updates for a period of 2 years after the conclusion of the program. This additional evaluation may include a combination of written responses, telephone and/or face to face interviews. 7. GENERAL TERMS AND CONDITIONS 7.1 Grantee must keep and maintain adequate insurance (including public liability insurance) for the activities carried out by the Grantee in relation to this project, against any claims for loss or damage to property and injury or death to persons. 7.2 The Grantee shall not act or cause anyone to act in a way that may prejudice or cause damage to the name and reputation of Optus or its program partner, the Foundation for Young Australians. 7.3 The Grantee undertakes not to accept funding from or promote a Competitor of Optus in respect of the proposal for which the Grant was provided. Competitor of Optus means: a) Telstra Corporation; b) Vodafone Hutchison Australia (t/a Vodafone and 3) c) Foxtel; d) any person offering telecommunications, internet or pay-television services in Australia; and e) any Related Body Corporate (as that term is defined in the Corporations Act 2001) of any person in sub-clauses (a) to (d) above. 8. ACKNOWLEDGEMENT 8.1 It is a condition of the Grant that, from the time of the Grant until 31 December 2017, the Grantee acknowledges Optus in all advertising, signage, media releases and other promotional material relating to the purpose for which the Grant was awarded. 8.2 The Grantee must not refer to or use Optus brand assets for any purpose other than the purpose for which the Grant was awarded. 8.3 All advertising, signage, media releases and other promotional material that contains the Optus logo or reference to the Optus funding must be submitted to and approved by Optus in writing prior to its production and release. Optus reserves the right to make amendments prior to the release of the materials. 4

5 8.4 Grantees agree to take part in media activities as reasonably directed by Optus from time to time. 8.5 Except for any liability that cannot be excluded by law, Optus (including its officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the Future Makers program, including, but not limited to, where arising out of the following: (a) any technical difficulties or equipment malfunction (whether or not under Optus control); (b) any theft, unauthorised access or third party interference; (c) any application that is late, lost, altered, damaged or misdirected (whether or not after their receipt by Optus) due to any reason beyond the reasonable control of Optus; (d) any variation in grant value to that stated in these Terms and Conditions; (e) any tax liability incurred by a Grantee; (f) use of the Grant or (g) any infringement by a third party of an entrant s intellectual property rights. Nothing in these Terms and Conditions alters an individual s statutory guarantees as set out in the Competition and Consumer Act or similar State and Territory laws, where it is illegal to do so. 8.6 Optus collects personal information in order to run the Future Markers program, and entry is conditional upon providing it. Optus may, for this purpose, disclose such personal information to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required, to Australian regulatory authorities. Some of the parties mentioned above may be located overseas; please refer to Optus privacy policy atwww.optus.com.au/privacy for details. Optus will also use and handle personal information as set out in that privacy policy.
