1 GUIDELINES In 2007 a $1 million Woolworths Fresh Food Grant Fund was announced by Woolworths Chief Executive Officer, Michael Luscombe, highlighting the company s commitment to fresh food sustainability in Australia. A single grant of $100,000 may be awarded annually for 10 years ( ) to encourage Australian fresh food producers to develop commercially viable and environmentally sustainable fresh food initiatives. Grant entries can be made in the following three classes: Fresh Food Product Development. Fresh Food Farming Process Improvement. Fresh Food Packaging. Applications for the 2011 grant are open to any Australian fresh food producer, large or small, irrespective of whether they are a current supplier to Woolworths or not. Each application must be submitted on the official Woolworths 2011 Fresh Food Grant Fund Application Form. There is a limit of one application per form, however a single business can enter multiple classes on separate forms. Support materials including samples must be provided in line with the application criteria. Please submit three copies of your submission. Each application will be considered by a judging panel which includes Woolworths executives and independent representatives from the Australian food industry. The finalists will be invited to attend the Woolworths Supplier of the Year Dinner to be held in Sydney on Friday 18th November 2011 where the winner of the Woolworths Fresh Food Grant will be announced and presented with a cheque for $100,000. 5 SUPPORTING DOCUMENTATION Any additional supporting documentation must be concise and relevant. All additional documentation must be stapled to this form or bound with it in a folder. Graphics/images/sample submitted on a CD must be JPG and/or PDF format of high quality capable of being viewed on all computer platforms with accompanying explanatory notes of up to 250 words. Written supporting text can exceed no more than two pages. 6 TERMS AND CONDITIONS 1. Entry is only open to residents of Australia or companies incorporated/businesses registered in Australia. 2. Employees of Woolworths Limited and their immediate families and related companies are ineligible to enter. 3. Woolworths Limited provides a website setting out information likely to be of use in supplying products to Woolworths and which provides guidance to the definition of fresh foods, shelf appeal and related industry terminology. 4. Enquiries on specific issues regarding the 2011 Fresh Food Grant must be addressed in writing in the first instance to Scott Eames at seames@woolworths.com.au. 5. Illegible or incomprehensible entries will be deemed invalid. 6. Woolworths Limited is not responsible for any late, lost or misdirected entries, or entries sent but not received by Woolworths Limited. 7. I will not contact or approach members of the judging panel to discuss any aspect of my application. Such actions may result in the cancellation of my application. 8. If a person or company, other than me, owns the intellectual property rights associated with the fresh food product, farming process or packaging innovation, I have attached a letter of understanding or agreement signed by this person/company authorizing me to use their intellectual property. 9. Woolworths Limited acknowledges that it acquires no right, title or interest in any intellectual property rights associated with my application and the fresh food product, farming process or packaging innovation except to the extent necessary for determining and promoting the 2011 Fresh Food Grant. 10. The value of the 2011 Fresh Food Grant is in Australian Dollars. 11. Woolworths accepts no responsibility for any tax implications that may arise from the award of the 2011 Fresh Food Grant. I am advised to seek professional advice regarding the taxation implications of my receipt of the 2011 Fresh Food Grant. 12. If I am awarded the 2011 Fresh Food Grant, I must comply with the provisions of all relevant statutes, regulations and by-laws and with the lawful requirements of any Commonwealth, State or Territory authority. 13. Woolworths Limited intends providing, or allowing me to access to, certain information in relation to the Woolworths business. I intend to provide, or allow Woolworths Limited access to, information in relation to my business. Each party acknowledges that: (a) the information disclosed is the property of and is confidential to that party and each party has no rights in that information of th other party and they shall hold that information in confidence. They shall not disclose that information, other than to such employees and officers and advisors as need to have access to that information, to a third party nor use it nor reproduce it without permission in writing from the other party; and (b) they shall commit to secrecy all persons to whom disclosure is made and take full precautions to ensure that those persons maintain the confidentiality of that information to the same extent as required by you under this document. 14. The 2011 Fresh Food Grant will be paid quarterly in advance in four equal amounts to the maximum of $100,000 in the calendar year. Woolworths Limited offers the 2011 Fresh Food Grant on the condition that it be used by me solely for the particular purpose of improving the fresh food industry in Australia through the development and implementation of fresh food products, farming processes or packaging innovations. 15. I accept that any award of the 2011 Fresh Food Grant will be subject to ongoing reporting requirements to ensure, in Woolworths reasonable view, that the money is being used to further the development and implementation of the fresh food products, farming processes or packaging innovations. 16. I accept that a condition of awarding the 2011 Fresh Food Grant is that I agree to participate in activities reasonably specified by Woolworths Limited within a reasonable time interval specified by Woolworths Limited after the 2011 Fresh Food Grant is awarded for example by providing and/or permitting visits from Woolworths Limited personnel to see the development of the innovation and take photographs for promotional purposes. 17. If I spend the 2011 Fresh Food Grant otherwise in accordance with these terms and conditions, I am liable to repay Woolworths Limited the amount of money so spent and Woolworths Limited may recover that money from me as a debt due to Woolworths Limited. 18. I will indemnify Woolworths Limited against any actions, proceedings, costs, claims, demands or liabilities, which Woolworths Limited, may suffer in consequence of any breach by me of the terms and conditions in the Application Form. 19. Woolworths Limited may suspend payment of the 2011 Fresh Food Grant or an installment of the 2011 Fresh Food Grant if, I breach any of these terms and conditions in the Application Form. In the event that I do not rectify the breach, I am liable to repay Woolworths Limited the amount of money so spent and Woolworths Limited may recover that money from me as a debt due to Woolworths Limited. 7 AGREEMENT I, state that the information provided in this application is true. I further warrant that any supporting documentation is correct to the best of my knowledge, understanding and belief, and if provided by a third party has been verified to my satisfaction. I warrant that I own, or am authorised to use, all intellectual property rights in connection with my application and the fresh food product, farming process or packaging innovation. By submitting this application, I accept the terms and conditions: 1. Woolworths Limited to circulate my application to the judging panel; 2. the application becomes the property of Woolworths Limited and all rights there in, including marketing and publicity; 3. Woolworths will limit access to any information claimed in my application to be commercial in confidence to the judging panel; 4. the decision of the grant by the judging panel and Woolworths Limited is final. No correspondence will be entered into with persons who were not awarded the grant. Applications will not be returned; 5. Woolworths Limited reserves the right to make no grant in any particular year, if in the opinion of the judging panel no application meets the selection criteria. Woolworths Limited, on behalf of its officers and agents, undertakes to exercise proper diligence in the use of materials and so marked, but accepts no responsibility for any breach of confidence that occurs.
