Restore New York Round 5 ( NY5 ) Grant Recommend Properties to Be Included in Final Application Bohn explained that at its last meeting the Committee recommended two applications for the City s submission to the State: 100s West and 310 W. State Street. The applicant for the 310 W. State Street property had no site control and was ultimately unable to purchase it. Teresa Halpert purchased the property, which remains eligible for State funding. The Committee needs to determine if it would like to recommend the newly proposed project to Common Council. The project would entail renovating the dilapidated structure for residential use.

3 IURA EDC Meeting Minutes November 7, 2017 Page 2 of 7 Halpert summarized her proposal for the site, which would: function as cooperative affordable residential housing primarily for young professionals (with anticipated per person rent of approx.. $ /mo.) include plans to rehabilitate the main house, as well as rebuild the carriage house, with Ithaca Landmarks Preservation Commission (ILPC) approval employ Historic Preservation Tax Credits Bohn added only the rehabilitation of the existing house would be part of the Restore New York grant application. The City s Restore New York application would probably be enhanced by the project, since it includes residential housing on an historic site, as long as all the feasibility related elements are in place (e.g., financing plan, budget). Hamilton asked if the applicant would be required to maintain the rent at the initially proposed level. Bohn replied, there are no State requirements to do so, but the City could certainly incorporate its own affordability requirements, over a defined affordability period. Guttridge remarked that he adjusted his own project budget to account for the newly proposed project s inclusion in the application. He is very much supports Halpert s project. Hamilton indicated he would be inclined to recommend the project, but he would like to see the Halpert and the IURA develop some language regarding the affordable housing commitment. Halpert indicated a 10 year agreement limiting rent would be acceptable. Proulx noted the Committee might also consider submitting a formal recommendation to the ILPC. Bohn replied he would speak to the City s Historic Preservation Planner about that. Hamilton moved, seconded by Dylla: Restore NY5 Funding Application WHEREAS, the New York State budget appropriated new funding for the Restore New York s Communities Initiative ( Restore NY5 ) to revitalize urban areas and stabilize neighborhoods and authorized the Empire State Development Corporation ( ESDC ) to implement the program, and WHEREAS, the goals of the Restore NY program are to (1) revitalize urban centers, (2) induce commercial investment, and (3) improve the local housing stock, and WHEREAS, Restore NY5 funding is available only for projects involving the demolition, deconstruction, rehabilitation and/or reconstruction of vacant, abandoned, condemned or surplus properties, and

4 IURA EDC Meeting Minutes November 7, 2017 Page 3 of 7 WHEREAS, municipalities with populations under 40,000 are eligible to submit one project, which may contain multiple related properties, not to exceed a request for $1,000,000 in funding, and WHEREAS, the Mayor requested the IURA to develop a RestoreNY5 proposal for consideration by Common Council, and WHEREAS, in response to a public call for proposals by the IURA, the following four projects were submitted: 1. Ithaca Housing Redevelopment of the Green Street Garage, 120 E. Green Street; 2. Reach on State Street, 310 W. MLK Jr./State Street; 3. Home Dairy/Yellow Deli Building, E. MLK Jr./State Street; s West, W. State Street and W. Green Street, and WHEREAS, the IURA Economic Development Committee evaluated proposals to maximize community benefit and competiveness for funding and recommended advancing the following two projects for final consideration: 100s West Reach on State Street (subject to securing site control), and WHEREAS, the sponsor for the Reach on State Street project was unable to secure site control of 310 W. State Street, though the site was acquired by another buyer who also seeks Restore NY financial assistance to rehabilitate the historic structure; and WHEREAS, the 100s West project is an approximately $2.5 million project by Urban Core, LLC to rehabilitate 3 adjacent buildings located at 121 W. MLK, Jr./State St., 123 W. MLK Jr./State Street and W. Green Street, to create 4 below market housing units and renovate 25,000 square feet of retail and commercial space, and WHEREAS, the 310 W. State/MLK Jr. project will rehabilitate a locally designated historic landmark property in dilapidated condition for a residential use, and WHEREAS, the property owners have agreed to provide the full 10% required local match contribution, so no City match funds are required; now, therefore, be it RESOLVED, that the Ithaca Urban Renewal Agency hereby endorses a Restore NY5 application for up to $1,000,000 that includes the following projects: 100s West, Urban Core, LLC 310 W. State Street, David Halpert and Teresa Halpert Deschanes, and be it further

5 IURA EDC Meeting Minutes November 7, 2017 Page 4 of 7 RESOLVED, that the Chair in consultation with the Chair of the Economic Development Committee is authorized to structure the proposal to maximize competitiveness and address any unforeseen feasibility issues that may arise. Carried Unanimously Green Street Garage Redevelopment Urban Renewal Project: Review Draft RFP Bohn explained the RFP attempts to identify a preferred developer who understands the project requirements, at which point the IURA would enter into a negotiation agreement with the developer to work out the final details. The intent is to be as open as possible to a variety of different kinds of project proposals. Common Council s final adopted resolution removed the initial numeric goals for housing and square footage. The City wants to maintain a tight timeline to ensure it has enough time to decide how it would like to proceed to address structural issues at the Green Street Garage. Ackerman noted the timeline appears somewhat compressed, especially considering the upcoming holiday season. Proulx expressed concern the compressed timeline may create a public perception that the City is attempting to rush the process unduly. Dylla suggested targeting the housing component (e.g., senior housing). Bohn replied the IURA can certainly encourage particular kinds of housing, as long it includes an affordable component. Proulx suggested adjusting the Selection Criteria. He would like to see weighting of Community Benefits increased. Bohn indicated he would make the proposed changes to the draft RFP and submit it to the IURA Board. 3. Modification of Cayuga Green Loans to Facilitate Refinancing Bohn explained that the IURA s private sector partners, Cayuga Green LLC and The Lofts at Six Mile Creek, LLC ( Bloomfield/Schon ), asked to refinance the existing debt on the Cayuga Green property. Bloomfield/Schon agreed to improve the IURA loan repayment terms, in return for changing the loan security to exclude the mortgages on 217 S. Cayuga Street and E. Green Street. The interest rate would increase to 6% from 4% on the 217 S. Cayuga Street loan; and to 6.25% from 5.5% on the E. Green Street loan. The modification would financially benefit the IURA. The modification will be contingent on the results of the appraisal.

Cayuga Street a 679 public parking garage with 23,000 sq. ft. of ground floor commercial space; E. Green Street Cayuga Place with 68 apartments and 20,000 square feet of commercial space; 120 E. Green Street a 11,000 sq. ft. 5 screen cinema (Cinemapolis); 217 S. Cayuga Street The Lofts at Six Mile Creek, a 46 unit residential building with pedestrian connector to the Cayuga garage; The 600 linear foot public Six Mile Creek Walk; and WHEREAS, a previously proposed conveyance of property at E. Green Street and 217 S. Cayuga Street did not proceed to closing, and WHEREAS, the IURA s private sector partners, Cayuga Green LLC and The Lofts at Six Mile Creek, LLC (collectively known as Bloomfield/Schon) seek to refinance existing debt on Cayuga Green from Fannie Mae, and WHEREAS, Fannie Mae loan terms prohibit subordinate mortgage liens on property they finance, and WHEREAS, the existing terms of IURA loans on Cayuga Green properties are: Existing Terms 217 S. Cayuga Street E. Cayuga Street and E. Green Street, and WHEREAS, Bloomfield/Schon offer a 2nd leasehold mortgage (behind only Tompkins Trust Company) on master leases covering spaces occupied by Merrill Lynch, Coltivare and Cinemapolis, and personal financial guarantees as substitute loan security, and WHEREAS, the proposed modified loan terms are summarized in the table below: And, Revised Terms 217 S. Cayuga Street E. Green Street Interest Rate: 6% 6.25% Monthly Payment: $2, $5, Shared Loan Security: 2 nd leasehold mortgage on master leases covering the ground floor premises of the Cayuga Garage at 235 S. Green Street Personal financial guarantees of Bloomfield & Schon WHEREAS, the Economic Development Committee reviewed this matter at their November 7, 2017 meeting and recommended the following; now, therefore, be it RESOLVED, the Ithaca Urban Renewal Agency hereby approves modifications to the above reference Cayuga Green loans as follows: Increase interest rate to 6% from 4% on the 217 S. Cayuga Street loan Increase interest rate to 6.25% from 5.5% on the E. Green Street loan Discharge subordinate mortgages on 217 S. Cayuga Street and E. Green Street Obtain a 2nd leasehold mortgage on leases covering 23,000 square feet of commercial lease space at 235 S. Cayuga Street and 11,000 square feet of commercial lease space at 120 E. Green Street Obtain personal financial guarantees from Steven Bloomfield and Ken Schon as security on the E. Green Street loan, and be it further RESOLVED, that the discharge of mortgages is contingent upon the collateral value of the 2nd leasehold mortgages exceeding 110% of the outstanding IURA loan balances based on a satisfactory appraisal, and be it further RESOLVED, the IURA Chairperson is hereby authorized, subject to advice of IURA legal counsel, to execute any and all necessary documents to implement this resolution. He noted the Committee deferred action on the e2e Materials loan that would have designated it as non collectible. 2. Staff Report None. VII. 9 Proposed Resolution IURA Economic Development Committee January 9, 2018 Loan Assistance to Tompkins Community Action, Inc. (Activity #23, 2017 Action Plan) Whereas, on October 18, 2017, Tompkins Community Action, Inc. (TCA) applied for a $90,960 loan for unanticipated relocation expenses associated with construction of the $2,100,000 Harriet Giannelis Child Care Center at Spencer Rd., Ithaca, NY; and Whereas, the HGCCC will provide five Early Head Start classrooms serving 48 low-income children and their families, and Whereas, the primary objective of the Community Development Revolving Loan Fund (CD-RLF) is provision of direct financing for economic development activities that create employment opportunities, facilitate the expansion of business activity within the City of Ithaca and expand the commercial and industrial tax base, and Whereas, approximately $145,000 in miscellaneous funds received after close-out of projects undertaken with Urban Development Action Grants (UDAGs) are administered by the IURA and are eligible to be used for a wide variety of community development activities including child care centers and relocation expenses, and Whereas, a total of three (3) new jobs are projected to be created as a result of requested financial assistance, and Whereas, TCA is a certified living wage employer, and Whereas, the proposed uses of project funds are: $84,200 Property acquisition $1,774,470 Construction $153,530 Fees/Soft costs $90,960 Relocation expenses $2,103,160 Total, and Whereas, the proposed sources of project funds are: $1,325,000 NYS Community Investment Fund (CIF) $603,000 Bank $84,200 IURA property acquisition $90,960 IURA relocation $2,103,160 Total, and Whereas, the applicable CDBG public benefit standard for economic development projects requires at least one full-time equivalent (FTE) job be created for every $35,000 of loan assistance, and Whereas, the project will generate at least three (3) additional FTE jobs, resulting in $30,320 of loan assistance per beneficiary thereby satisfying the public benefit test, and Page 1 of 4

10 Whereas, the CD-RLF establishes the maximum amount of financing for non-retail businesses at $150,000 unless a project will result in extraordinary degree of public benefit, and Whereas, the project satisfies all eligibility requirements of the Economic Development Policy Guidelines and Operating Plan (ED Operating Plan) if CDBG funds are not used to fund the economic development activity; and Whereas, CDBG regulations limit eligible uses of CDBG funds for economic development loans to nonprofit entities to the following: acquisition, construction, rehabilitation, reconstruction, or installation of commercial or industrial buildings or structures and other related real property equipment and improvements, and Whereas, relocation assistance is a not an eligible CDBG use for economic development activities carried out by a non-profit, and Whereas, a day care center serving low-income children is eligible for CDBG funding as a public facility activity, so the project may be allocated CDBG program income funds if the FY 2017 Action Plan is formally amended to establish a new activity, which amendment requires a public hearing and Common Council approval, and Whereas, as project funding for relocation assistance is classified at 24 CFR 58.35(b)(3) as a categorically excluded activity not subject to federal laws listed at 58.5, therefore the activity requires no further environmental review under the National Environmental Protection Act (NEPA), and Whereas, the City of Ithaca Planning and Development Board issued a negative declaration on 11/22/16 finding that the project will not have a significant impact on the environment pursuant to the City of Ithaca Environmental Quality Review Ordinance and therefore is not subject to further local environmental review, and Whereas, at their January 9, 2018 meeting, the IURA Economic Development Committee reviewed the loan application, a credit analysis prepared by IURA staff and applicable provisions of the IURA Economic Development Policy Guidelines and Operating Plan, and recommend the following; now, therefore, be it RESOLVED, that the IURA hereby find the requested relocation assistance a reasonable and appropriate project expense and approves a loan in accordance with the loan application, subject to the following terms: Borrower: Tompkins Community Action, Inc. RESOLVED, that the initial source of loan funds shall be miscellaneous income derived from closed-out Urban Development Action Grant (UDAG) projects, and be it further RESOLVED, that the IURA hereby recommends to the City of Ithaca Common Council a substantial amendment to the FY 2017 Action Plan to allocate $90,960 to the Harriet Giannelis Early Head Start Day Care Center project, a CDBG-eligible public facility serving 48 low-income children, with funds to be derived from the CD-RLF, and be it further RESOLVED, that upon Common Council approval of an Amendment to the FY2017 Action Plan to establish a new funded activity for the day care facility, CDBG program income from the Community Development Revolving Loan Fund (CD-RLF) shall be allocated to fund the loan, and be it further Page 3 of 4

26 1/9/18 CDBG Optional Relocation Assistance Policy Ithaca Urban Renewal Agency of Community Development Block Grant (CDBG) regulations require a grantee to adopt a written policy setting forth any optional relocation payments and assistance it elects to provide and provide for equal payments and assistance within each class of displacees. Such optional relocation assistance does not impact required relocation assistance required under CDBG funds may be used for optional relocation payments and assistance to displaced persons in the following classes: individuals families businesses non-profit organizations, and farms. The IURA hereby establishes the following guidelines for providing optional relocation payments to displaced individuals, families, businesses, non-profit organizations, and farms displaced by a CDBG-eligible activity: 1. Eligible Activity Relocation activities must comply with the national objectives of the CDBG program by satisfying the low/moderate income persons benefit test, either based on the re-use of the property (the displacing project) or the income of the recipients of relocation assistance. 2. Assistance is Discretionary Available CDBG funds are insufficient to meet all funding requests. The IURA reserves the right to approve or deny any request for optional relocation assistance at its sole discretion. 3. Duration of Assistance - Assistance shall be limited to temporary relocation assistance only. Assistance shall generally be limited to no more than 18 months unless the IURA extends the duration based on a determination that an extension is reasonable and appropriate. 4. Eligible Expenses - Eligible expenses are those relocation expenses authorized under the Uniform Relocation Act (49 CFR part 24) and further described in HUD Handbook In general eligible relocation expenses include actual reasonable out-of-pocket expenses incurred in connection with the temporary relocation. For residential relocations, such eligible costs include the cost of moving to and from temporary quarters and the

27 increase in monthly rent and utility costs. For non-residential relocations, such eligible expenses include moving costs, reestablishment expenses, and the increase in monthly rent and utility costs. 5. Form of Assistance The following classes of displacees shall be eligible for grant assistance to reimburse eligible expenses: involuntarily displaced individuals, Involuntarily displaced families, Involuntarily displaced businesses owned by low/moderate income persons, and Involuntarily displaced farms owned by low/moderate income persons. Relocation assistance to all other classes of displacees shall be provided in the form of a loan for projected eligible relocation expenses. 6. Each displaced person or entity within a class shall be treated equally regarding optional relocation assistance. 7. Reasonable and appropriate The relocation assistance provided shall be determined to be reasonable and appropriate. END

Jobin-Davis, Assistant Director The staff of the Committee on Open Government is authorized to issue advisory opinions. The ensuing staff advisory opinion is based solely upon the facts presented in your correspondence. Dear This is in response to your request for an advisory opinion regarding application of the Open Meetings Law to certain gatherings of the Community District Education Council 30. Specifically, you asked whether Community Education Councils are subject to the Open Meetings Law, and whether, in accordance with that law, members are permitted to attend meetings and vote by phone. This will confirm our opinion that Community Education Councils are subject to the Open Meetings Law. That statute is applicable to meetings of public bodies, and 102(2) defines the phrase public body to mean:...any entity for which a quorum is required in order to conduct public business and which consists of two or more members, performing a governmental function for the state or for an agency or department thereof, or for a public corporation as defined in section sixty-six of the general construction law, or committee or subcommittee or other similar body of such public body. From our perspective, each of the conditions necessary to conclude that a Council constitutes a public body can be met. There are eleven members who conduct public business collectively (Education Law 2590-C). By so doing and carrying out their powers and duties pursuant to Education Law Article 52-A, the members perform a governmental function. While there may be no specific reference to a quorum requirement in the law, a separate statute, 41 of the General Construction Law, requires that Whenever three or more public officers are given any power or authority, or three or more persons are charged with any public duty to be performed or exercised by them jointly as a board or similar body, they may carry out their duties only through the presence of a quorum and action taken by majority of the vote the total membership of such entity. Assuming the accuracy of the foregoing and that a Council constitutes a public body required to comply with the Open Meetings Law, every meeting of the Council is subject to the Open Meetings Law. In our view, voting and action by a public body may be carried out only at a meeting during which a quorum has physically convened, or during a meeting held by videoconference. Section 102(1) of the Open Meetings Law defines the term meeting to mean the official convening of a public body for the purpose of conducting public business, including the use of videoconferencing for attendance and participation

Based upon an ordinary dictionary definition of convene, that term means: 1. to summon before a tribunal; 2. to cause to assemble syn see SUMMON (Webster s Seventh New Collegiate Dictionary, Copyright 1965). In view of that definition and others, we believe that a meeting, i.e., the convening of a public body, involves the physical coming together of at least a majority of the total membership of such a body, i.e., the Council, or a convening that occurs through videoconferencing. We point out, too, that 103(c) of the Open Meetings Law states that A public body that uses videoconferencing to conduct its meetings shall provide an opportunity to attend, listen and observe at any site at which a member participates. These provisions clearly indicate that there are only two ways in which a public body may validly conduct a meeting. Any other means of conducting a meeting, i.e., by telephone conference, by mail, or by , would be inconsistent with law. There is no authority to take action outside of a meeting, nor is there any authority to attend a meeting by phone, to be counted for quorum purposes or to cast a vote by phone. In a judicial decision dealing with a vote taken by phone, the court found the vote to be a nullity (Cheevers v. Town of Union [Supreme Court, Broome County, September 3, 1998]), and in the only decision rendered after the enactment of the legislation pertaining to videoconferencing, it was determined that a vote cast via use of a telephone was a nullity (Town of Eastchester v. NYS Board of Real Property Services, 23 AD2d 484 [2005].) We note that minutes from the December 19, 2013 meeting indicated that three of the seven Council members were present by phone. In our opinion, to the extent that the members were not physically present or were not present by video-conference, their votes could be invalidated. We direct your attention to the legislative declaration of the Open Meetings Law, 100, which states in part that: It is essential to the maintenance of a democratic society that the public business be performed in an open and public manner and that the citizens of this state be fully aware of and able to observe the performance of public officials and attend and listen to the deliberations and decisions that go into the making of public policy. Based on the foregoing, the Open Meetings Law is intended to provide the public with the right to observe the performance of public officials in their deliberations. That intent cannot be realized if members of a public body conduct public business by phone. In short, should there be a judicial challenge to action taken during a meeting at which less than a quorum was physically present or in attendance by videoconferencing as described earlier, we believe that a court would find such action to be a nullity and of no effect. 31 MAINE MUNICIPAL ASSOCIATION Vol. XXXVIII No. 2 January 22, 2016 Public Meetings and Remote Participation Bill would allow for off-site participation by appointed boards but prohibit for boards of selectmen, school boards, etc. The Legislature s Judiciary Committee voted unanimously on Wednesday to move forward with printing a new remote meetings bill which will be scheduled for a public hearing. The legislation was recommended by the Right to Know Advisory Committee, which provides advisory opinions to the Legislature regarding Maine s Freedom of Access Act. The bill presents an effort to remove uncertainty surrounding the question of whether or not current Maine law allows members of public boards or commissions to participate in a public meeting without being physically present, via telephone or video conferencing. With one key exception, the draft legislation mirrors a bill that was supported by MMA s Legislative Policy Committee (LPC) in the past as establishing some basic parameters that all governmental and quasi-governmental entities would have to live by. The key exception is that the new bill would prohibit any remote participation by boards of selectmen, school boards or other elected boards while allowing remote participation for all appointed boards. Such a prohibition would put Maine in the company of only one other state that entirely prohibits mote technology, even in emergencies. Most U.S. states expressly allow remote participation. Due largely to this distinction between elected and appointed members, the LPC voted this week to oppose the legislation. The Policy Committee expressed a wide range of perspectives during its meeting, but the most common sentiment was that discriminating between elected and appointed boards was arbitrary and unfounded, and for local boards this ought to be a matter decided locally. To some LPC members the entire bill seemed to be a solution in search of a problem, municipal misuse of remote participation had ever been brought to the Right to Know Advisory Committee s attention. In fact, the only actual instance of abuse of remote participation that has ever been shared with the Advisory Committee or the Judiciary Committee in the last several years, to our knowledge, is one 1978 vote to expend public funds conducted entirely over the phone by county a majority of the Right to Know Advisory will likely attempt to circumvent open, public deliberations if the law allows it; that elected selectmen will take a mile if given an inch. The municipal perspective is decidedly less skeptical. There are clearly emergency situations where a three member board of selectmen, with one member in the hospital and the other off-island, needs to utilize an offsite participation capacity to function. The Judiciary Committee s vote to proceed on Wednesday does not necessar- vote on the merits of the printed legislation will be. Rather, it indicates the Committee members desire to debate the proposal in an effort to remove ambiguity from existing law. From the municipal side, if the general parameters established in the bill were (continued on page 4) Bill Relaxing Oil Spill Reporting Clouds the Waters On Thursday last week the Environment and Natural Resources Committee held a public hearing on a bill that would relax the system governing reporting accidental oil spills to the Department of Environmental Protection (DEP). Current law on this issue is provided in two parts. First, for the last 47 years there has (e.g., heating oil, kerosene, diesel fuel, etc.) into or upon any coastal waters, lands, or into or upon any lake, pond, river, stream, sewer, surface water drainage, ground water or other waters of the state or any public or private water supply or onto lands adjacent to those water supplies. Second, with certain exceptions there is no general obligation to report an oil spill into or onto these water resource areas. Instead, there is a law that incentivizes oil spill reporting by immunizing the person or entity responsible for the spill with the discharge provided the DEP is the spill and the discharge is promptly removed. Aged structures at these sites must be demolished and remediated to ensure the safety and security of the faculty, staff, students and community members who will live and work at or near the campus. Broome County will undertake a study to analyze its options for alternate revenue generation to improve and accelerate economic development, investment attraction, and supply chain development at the Greater Binghamton Airport (BGM), which has experienced challenges including the recent loss of airline services provided by United and American Airlines. Broome County will retrofit two public spaces in its Government Plaza with green roofs, stormwater planters, stormwater harvest and reuse system, porous pavers, bioretention, downspout disconnection and stormwater trees. These green infrastructure practices will capture, filter and infiltrate stormwater while making necessary structural upgrades to the plaza. Broome County will work with the Spiedie Fest Balloon Rally Inc. to develop a new marketing plan that specifically targets visitors who live outside of New York State, including new targeted advertising and promotions, as well as print materials to increase awareness of the event. Additionally, the project will include an updated Spiedie Fest Music Concert Series, and a free bus shuttle from nearby SUNY Broome. The City of Binghamton will make improvements to City Hall by installing a green roof, stormwater planters and a stormwater harvest and reuse system. This project will treat and store stormwater onsite for municipal operations such as the Fire Department and Department of Public Works to utilize as a water source. Little Venice Retail, LLC will build a new facility to manufacture and package pasta sauces and dressings from the existing Little Venice Restaurant in Broome County. Little Venice Retail currently utilizes a co-packer outside of Broome County to manufacture and bottle their products. The new sauce production and packing facility in Broome County will support planned growth in production and sales and also provide packaging services to other local businesses.
