(TIDCO) or any of its employees or advisors (collectively referred to as TIDCO Representatives ), is provided to the Bidders on the terms and conditions set out in this RFP document and any other terms and conditions subject to which such information is provided. This RFP document is not an agreement and is not an offer or invitation by TIDCO to any other party. The purpose of this RFP document is to provide interested parties with information to enable formulation of their proposal. This RFP document does not purport to contain all the information each Bidder may require. Bidders should conduct their own due diligence, investigations and analysis and should check the accuracy, reliability and completeness of the information in this RFP document and obtain independent advice from appropriate sources. TIDCO Representatives make no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of the RFP document and concerned with any matter deemed to form part of the RFP document, award of the assignment, the information and any other information supplied by or on behalf of TIDCO or otherwise arising in anyway from selection process. Prospective Bidder will be responsible for all obligations to its staff, their payments, complying with the labour laws, minimum wages Act and any other Act relevant for the working of the Bidder s staff. Under no circumstances, TIDCO will be responsible for any non-compliance with statutory requirements of the bidder s staff. TIDCO may in their absolute discretion, but without being under any obligation to do so, update, amend or supplement the information in this RFP document from time-to-time, after intimating the same to the Bidders. TIDCO reserves the right to accept or reject any or all proposals without giving any reasons. Bidding process shall be governed by Laws of India and Courts at the State of Tamil Nadu will have jurisdiction over matter concerning and arising out of this RFP document. Page 3 of 32

[Name and address of Consultants] LETTER OF INVITATION Dear Sir, Government of Tamilnadu has directed Tamilnadu Industrial Development Corporation Limited (TIDCO) to prepare a Techno Economic Feasibility Study for setting up a Shipbuilding Yard in Thoothukkudi, Tamil Nadu. Now, TIDCO intends to select a Consultant / Consortium of Consultants to prepare a Techno Economic Feasibility Study for establishing Shipbuilding Yard in Thoothukkudi, Tamil Nadu. 5 SECTION 2 INFORMATION TO CONSULTANTS 2.1 INTRODUCTION The Consultants/ Firms are invited to submit a Technical Proposal and a Financial Proposal, as specified in the Data Sheet for the services required for the Assignment named in the Data Sheet. The Proposals will be the basis for contract negotiations and for signing of a contract with the selected Consultants / Firm TIDCO will select a Consultant/firm among those whose proposals are accepted, in accordance with the evaluation methodology indicated in Clause The Consultants must familiarize themselves with local conditions and take them into account in preparing their Proposals. To obtain first-hand information on the Assignment and on the local conditions, consultants may visit TIDCO before submitting a Proposal. The Consultants may contact the officials named in the Data Sheet to obtain any relevant / additional information on the Assignment Please note that (i) the costs of preparing the proposal and of negotiating the contract, including visits to TIDCO, are not reimbursable as a direct cost of the Assignment; and (ii) TIDCO is not bound to accept any of the Proposals submitted TIDCO reserves the right to accept or reject any bid, and to annul the bidding process and reject all bids, at any time prior to the award of Contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for TIDCO s action TIDCO also reserves the right to terminate the contract on the grounds of negligence of obligations as per the accepted bid conditions and/or any other reasons not attributable to TIDCO and/or on account of any Force Majeure events that may be decided solely at the discretion of TIDCO. In such cases the compensation shall be restricted up to the amount paid by TIDCO and no claim whatsoever for any compensation shall be entertained by TIDCO. Page 5 of 32

6 2.2 CLARIFICATION AND AMENDMENT TO RFP DOCUMENTS Consultants may request clarifications on the RFP document. Any request for clarifications must be sent in writing by paper mail, cable, telex, facsimile, or electronic mail to TIDCO s address indicated in the Data Sheet. TIDCO will give its response (including an explanation of the query, but without identifying the source of the query) at a pre-bid meeting to be convened on the date mentioned in the data sheet under the title Information to the Consultants and will send it by mail, facsimile or electronic mail to those who procured RFP document after the pre bid meeting. TIDCO reserves the right to change the date of such pre-bid meeting At any time before the submission of Proposals, TIDCO may, for any reason, whether at its own initiative or in response to a clarification requested by an invited firm, modify the RFP documents by amendment. Any amendment shall be issued in writing through addenda. Addenda shall be sent by mail, cable, telex, facsimile, or electronic mail to all tenderers who have been issued this RFP and will be binding on them. TIDCO will also upload the addenda in its website. TIDCO may at its discretion extend the deadline for the submission of Proposals. 2.3 PREPARATION OF PROPOSAL Consultants are requested to submit a Proposal (clause 2.1.1) written in the language(s) specified in the Data Sheet Consultants are advised to visit the area where the location for the proposed Shipbuilding Yard in Thoothukkudi has been identified, before submission of a proposal. The costs and liabilities if any and arising out of such visits by the consultants are not reimbursable by TIDCO. Technical Proposal In preparing the Technical Proposal, consultants are expected to examine the documents comprising this RFP in detail. Material deficiencies in providing the information requested may result in rejection of Proposal If a firm considers that it does not have all the expertise for the Assignment, it may obtain full range of expertise by associating with individual consultant(s) and/or other firms or entities, subject to presentation of authenticated evidence in the proposal to be submitted with regard to the said association for the purpose of completing this assignment. 7 2.3.3 The Technical proposal should provide the following information using the attached Standard Form (Section 4A): (i) a. A brief description of the firm s organization (Section 4B) and ii. b. An outline of recent experience on assignments of a similar nature. For each assignment, the outline should indicate, inter alia, the profiles and names of the staff provided, duration of the assignment, contract amount, and firm s involvement. (Section 4C) A description of methodology and work plan for performing the assignment (Section 4D). iii. The list of the proposed staff team by specialty, the tasks that would be assigned to each staff team member, and their timing (Section 4E). iv. CVs recently signed by the proposed professional staff and the authorized representative submitting the proposal (Section 4F). v. Activity (work) schedule (Section 4G) The Technical Proposal shall not include any financial information. Financial Proposal In preparing the Financial Proposal, consultants are expected to take into account the requirements and conditions of the RFP documents. The Financial Proposal should follow Standard Forms (Section 4) Consultants must express the price of their services in Indian Rupees The Data Sheet indicates how long the proposals must remain valid after the submission date. During this period, the consultant is expected to keep available the professional staff proposed for the assignment. TIDCO will make its best effort to complete negotiations within this period. If TIDCO wishes to extend the validity period of the proposals, the consultants who do not agree have the right not to extend the validity of their proposals. 2.4 BID SECURITY, SUBMISSION, RECEIPT, AND OPENING OF PROPOSALS The original Proposal (Technical Proposal and Financial Proposal - Clause 2.1.1) shall be prepared in indelible ink. It shall contain no inter-lineation or overwriting, except as necessary to correct errors made by the firm itself. Any such corrections must be initialed by the person or persons who sign(s) the Proposals. An authorized representative of the firm initials all pages of the Proposal. The representative s authorization is confirmed by a written power of attorney accompanying the Proposal. Page 7 of 32

8 2.4.2 For each Proposal, Consultants should prepare the number of copies indicated in the Data Sheet. Each Technical Proposal and Financial Proposal should be marked Original or Copy as appropriate. If there are any discrepancies between the original and the copies of the Proposal, the original governs A Bid Security for an amount of Rs. 500,000/- (Rupees Five Hundred thousand only) in the form of a Crossed Demand draft payable at Chennai drawn in favour of Tamilnadu Industrial Development Corpn Ltd. from any Scheduled bank shall be submitted along with Original Proposals. Those proposals not accompanied by Bid Security will be treated as Non responsive and will be liable to be rejected. Bid Security of the successful bidder will be returned upon receipt of Performance Security - Clause Bid Security of the unsuccessful bidders will be returned within two weeks of completion of the selection process. TIDCO is entitled to cause forfeiture of the Bid Security if the Bidder revokes / withdraws the Bid during the period of its validity and / or fails to comply with the conditions of the Letter of Award The original and all copies of the Technical Proposal shall be placed in a sealed envelope clearly marked Technical Proposal, and the original of Financial Proposal in a sealed envelope clearly marked Financial Proposal and warning: Do Not Open with the Technical Proposal. Both envelopes along with the Bid security Demand Draft (Clause 2.4.3) shall be placed into an outer envelope and sealed. This outer envelope shall bear submission address and other information indicated in Data Sheet Completed Technical and Financial Proposal together with the RFP Document Fee Demand draft (Clause 3.2.1) and the Bid security Demand Draft (Clause 2.4.3) must be delivered at the submission address on or before the time and date stated in the Data Sheet. Any Proposal received after the closing time for submission of proposals shall be returned unopened After the deadline for submission of proposals the Technical Proposal shall be opened immediately. The Financial Proposals shall remain sealed until they are opened publicly as per the terms prescribed in the Clauses 2.5.4, 2.5.5,2.5.6 and PERFORMANCE SECURITY WIthin five days of the date of the Letter of Award from TIDCO and prior the execution of the agreement, the successful Bidder shall furnish to TIDCO a Performance Security in the form of an irrevocable Bank Guarantee from any Scheduled Bank in favour of Tamilnadu Industrial Development Corporation Limited enforceable in Chennai for an amount equalent to 10% (Ten Percent) of the Awarded Lumpsum Fees in the Format given under Page 8 of 32

9 Section 4 of RFP. Failure of the Successful bidder to lodge the required Bank Guarantee shall constitute sufficient grounds for the termination of the Award. The performance security shall remain in force until the satisfactory completion of the contract and will be discharged thereafter. The obtaining of such Guarantee (and the cost of Guarantee) shall be at the expense of the successful bidder Liquidated Damages In the event of delays in submission of the Final report of the Techno Economic Feasibility Study vis a vis the Timeframe prescribed for the proposed Deliverables in the Clause 6.6 of the RFP pertaining the submission of the Final Report, Liquidated Damages will be payable at the rate of 1% (one percent) of the Awarded Lumpsum Fees per week or part thereof of delay, subject to a maximum of Five Percent of the Awarded Lumpsum Fees. 2.5 PROPOSAL EVALUATION General From the time the bids are opened to the time the contract is awarded, if any consultant wishes to contact TIDCO on any matter related to its proposal, it should do so in writing at the address indicated in the Data Sheet. Any effort by the firm to influence TIDCO in TIDCO s proposal evaluation, proposal comparison or contract award decisions may result in the rejection of the consultant s proposal Evaluators of Technical Proposals shall have no access to the Financial Proposals until the technical evaluation is concluded. Evaluation of Technical Proposals TIDCO and / or a committee constituted by TIDCO would evaluate the proposals on the basis of their responsiveness to the Terms of Reference, applying the evaluation criteria, sub criteria and point system specified in the Data Sheet. Each responsive proposal will be given a technical score. A proposal shall be rejected at this stage if it does not respond to important aspects of the Terms of Reference and/or if it fails to achieve the minimum technical score indicated in the Data Sheet. Public Opening and Evaluation of Financial Proposals; Ranking After the evaluation of technical proposal is completed, TIDCO shall notify the consultants those have secured the minimum qualifying mark, indicating the date and time set for opening the Financial Proposals. The notification may be sent by letter, facsimile, or electronic mail The proposals of those Consultants that did not meet the minimum qualifying mark shall be considered non-responsive to the RFP and Terms of Reference, Page 9 of 32

10 indicating that their Financial Proposals will be returned unopened after completing the selection process The Financial Proposals of only those consultants who have scored the minimum of 60 points in the technical proposals shall be opened. The financial proposal, which has the lowest price will be treated as the preferred Bidder and invited for negotiation Financial Proposals shall be opened publicly in the presence of consultants representatives who choose to attend. Name of the consultant, quality scores, and prices shall be read out and recorded at that point of time. 2.6 NEGOTIATIONS Negotiations will be held at the address indicated in the Data Sheet. The aim is to reach agreement on all points and sign a contract. Negotiations will include a discussion of the Technical Proposal, the proposed methodology (work plan), staffing and any suggestions made by the firm to improve the Terms of Reference. TIDCO and firm will then work out final Terms of Reference, staffing, and bar charts indicating activities, staff, periods in the field and in the home office, staff-months, logistics, and reporting. The agreed work plan and final Terms of Reference will then be incorporated in the Description of Services and form part of the contract. Special attention will be paid to getting the most the firm can offer within the available budget and to clearly defining the inputs required from TIDCO to ensure satisfactory implementation of the Assignment Having selected the firm on the basis of, among other things, an evaluation of proposed key professional staff, TIDCO expects to negotiate a contract on the basis of the availability of experts named in the Proposal. Before contract negotiations, TIDCO will require assurances that the experts will be actually available. TIDCO will not consider substitutions during contract negotiations unless both parties agree that undue delay in the selection process makes such substitution unavoidable or that such changes are critical to meet the objectives of the assignment. If this is not the case and if it is established that key staff were offered in the proposal without confirming their availability, the firm may be disqualified The negotiations will conclude with a review of the draft form of the contract. To complete negotiations TIDCO and the firm will initial the agreed contract. If negotiations fail, TIDCO will invite the firm whose proposal was the second lowest bid to negotiate a contract. 11 2.7 AWARD OF CONTRACT A Letter of Award (LOA) will be issued followed by the negotiations. After issuance of LOA, TIDCO will promptly notify other consultants on the shortlist that they were unsuccessful and return the Financial Proposals of those consultants who did not pass the technical evaluation (Clause 2.5.5) The firm is expected to commence the Assignment immediately after acceptance of the LOA. 2.8 CONFIDENTIALITY Information relating to evaluation of proposals and recommendations concerning awards shall not be disclosed to the consultants who submitted the proposals or to other persons not officially concerned with the process, until the winning firm has been notified that it has been awarded the contract. 15 Following method will be adopted for assigning points for the respective parameters under the Evaluation Criteria: Evaluation Method of assigning points Criteria I - (a), (b), & (c) - 50% of the total points under each of these parameters will be assigned if the bidder had completed at least one project. - Remaining 50% of the total points will be assigned based on a linear scale with 100% of total points to be assigned to the bidder who has completed five projects, under respective criteria. II - (a), (b), (c) & (d) III - (a), (b), (c), (d), (e), & (f) - Assigning the score under these criteria will be decided by TIDCO after scrutiny of the proposal received from each of the bidder and/or presentation to TIDCO/Committee constituted by TIDCO - TIDCO s decision assigning the score under these criteria will be final. - The total points will be assigned to the bidder having at least one key staff having experience in the respective area. 26 6.1 Preamble SECTION 6. Terms of Reference Given the strong accent in the Vision Tamil Nadu 2023 document for accelerating growth in terms of overall GSDP and Per-capita incomes, it is necessary that the secondary sector of the State s economy whose main component is the manufacturing industry needs to grow at the rate of 14 % per year on an average. The growth of manufacturing industry will be the major force in achieving the targets under Vision Tamil Nadu The relative share of manufacturing sector in Tamil Nadu s GSDP will be increasing from the present to 22% over the next 9 years Manufacturing industry not only creates large number of jobs, but it is also the key to the growth of the Services sector. As outlined in the Vision Tamil Nadu 2023 document strengthening manufacturing sector in Tamil Nadu will imply Increasing the scale of manufacturing processes and Capturing Higher value addition in manufacturing goods made in the State Increase in investments in manufacturing industry Encouraging greater scale and depth in manufacturing industries Shipbuilding / Ship repair which is a wholesome manufacturing Industry involving several components of metal working and fabrication Shipbuilding industry is considered important for any region because of its characteristic ability of bringing together large amounts of workforce and financial resources. This industry has an influence on a region s economy due to high multiplication factor it produces throughout the production chain A proposal for establishing a Shipbuilding yard in Thoothukkudi was announced by Hon ble Chief Minister of Tamil Nadu in December Following this Hon ble Chief Minister, in the Tamil Nadu Government Budget , it was announced that this shipbuilding yard will be established in Thoothukkudi (Tuticorin, Tamil Nadu) by TIDCO under Public Private Partnership (PPP) mode At the current industry environment, a new shipbuilding yard which requires marine infrastructure i.e. a sheltered water basin and an approach channel etc., along the southern coast of Tamil Nadu (Thoothukkudi district) may not be able to attract investors, unless it is a relatively lower investment facility. Building a low investment shipbuilding facility is possible only if the cost of marine infrastructure viz., marine side facilities required for shipbuilding and Page 26 of 32

27 ship repair is kept low. This means the shipbuilding yard should be within an existing port/ harbour and be supported by land based facilities along the shore in proximity A detailed evaluation of shore based locations both north and south of the Thoothukkudi town that were identified for this project was carried out by TIDCO. Based on this evaluation, it was found that establishing the shipbuilding yard project in the old harbour of Thoothukkudi (now called as Zone B of VOC Port, Tuticorin) may be a viable option in which the investments in the marine side facilities required for shipbuilding / ship repair ca be kept low The old harbor located in Thoothukkudi which was handling very small ships (Motor Vessels) and cargo carrying sailing boats, was declared as a minor anchorage port in To cope with the increasing trade, Government of India sanctioned construction of an all-weather port at Thoothukkudi in the sixties. On 11 July 1974, the newly constructed port was declared as the 10th major port of the country and it is reported that on 1 st April 1979, the harbour and the newly constructed VOC Port, were brought under Tuticorin Port Trust, now called as VOC Port Trust and is called as Zone B of V O C Port The suitability of this location for the proposed shipbuilding yard is described below: This old harbor located north of the VOC Port, Tuticorin has a water front of about 800 mtrs. It has a defunct railway siding. The East Coast Road runs skirting this old harbor area on its western side. The Thoothukkudi Fishing harbor is located south of this old harbor. After VOC Port became operational, this old harbor was mostly used for handling the cargo carrying sailing boats If the water basin in this old harbor is dredged to have a draft of about 9 metres and if reclamation of lands of acres along the northern sea shore of this harbor is done, the water front can be extended up to about 1.25 kms. and make this location suitable for setting up a medium sized shipbuilding yard and for setting up a ship repair facility for repair of small and medium sized vessels. 6.2 Objective The objective of this consultancy is to prepare a Techno Economic Feasibility Study (TEFS) for firming up the TIDCO s requirements in respect of development and construction of the Project and associated facilities. 28 6.3 Scope of Services The scope of services envisaged for the preparation of Techno-Economic Feasibility Study is as follows: Collection and Research of Available Data Market Research, Strategic Planning and Product Mix Optimization Location Analysis including Surveys and Investigations Conceptual design and derivations and Master Plans External Infrastructure Cost estimates and Financial analysis Project Structuring for Implementation Initial Environmental Impact Analysis 6.4 DETAILED SCOPE OF WORK Collection and review of available data On award of work, consultant shall collect data from sources relevant to the project. The consultant shall also identify the additional data and collect the same from the concerned authorities. Consultant will research all these data Market Research, Strategic Planning and Product Mix Optimization The Consultant shall carry out detailed Market Research and assess the demand the proposed Shipbuilding Yard in Thoothukkudi for the next 30 years and finalize the project development strategy including Planning and Product Mix Optimization. The tasks expected to be carried out as part of these studies may include Market Research a. Detailed overview of the shipbuilding industry in / India, South East Asia, covering the details of existing shipbuilding industry, backward linkages for raw material and technology, forward linkages, segment wise turnover, employment, etc. b. Study the policies of Government of India /Tamil Nadu relating to the incentives/ available for the shipbuilding industry. c. Study of Economic and Investments Scenario in Tamil Nadu including investment attractiveness, comparison with other states and regions, attractiveness of proposed shipbuilding yard from the point of view of foreign investors etc.,. d. Study the upcoming and proposed infrastructure developments in the hinterland. e. SWOT analysis of the shipbuilding industry along the East Coast in India ( indicating key drivers to realize the potential) Page 28 of 32

Consultant shall carry out interactions with segment wise key players in shipbuilding industry and elicit their plans and their requirements and also organize stakeholder consultations and extract the views of the prospective investors for the proposed shipbuilding yard Demand Assessment The Demand for the proposed shipbuilding yard shall be assessed taking into account the trends in shipping industry, macro-economic and demographic indicators and the location s potential to attract customers and investors.. The assessment shall include demand projections for each of the segments of the shipbuilding industry over the project period. The phasing of the development would be based on the demand potential identified including i. Target Groups Perceptions (Perception about the location of the proposed Shipbuilding yard) and Requirements ii. Government support requirement related inputs Based on market studies, the consultant shall prepare a marketing strategy which may also include derivations viz., a. Identifying major segments of shipbuilding industry and activities that may be considered based on market studies and value addition criteria. b. Constraints in entering select segments of shipbuilding industry based on customer perception; infrastructure and Government Policy dictate. c. Segment classifications where India / Tamil Nadu exhibit competitive strengths- skilled manpower, resource base, cost advantages Location Analysis and Studies, Surveys and Investigations The consultant shall carry out an analysis of the identified location and its surroundings and carryout surveys and Investigations. These may include Shipping traffic pattern analysis Topographic, bathymetric and ground studies Locational advantages including hinterland Connectivity (Road, Rail, Port and Airport ) Socio-economic profile of the hinterland and Available social infrastructure Ancillary industry and labour availability study Existing and proposed developments in the region Existing visible utilities - Details of nearby sources for water, and power Development constraints, Quarry/ borrow material sources identification Page 29 of 32

30 The above information shall be supported with the data reference and maps of relevant scale (wherever applicable) Conceptual Design and Derivations and Master Plans i. The financial success of the shipbuilding yards depend on decisions made at the design stage. Such concept design components may cover the process concept, Concept design of other facilities and infrastructure that may include dry docks, ship lifts, ship launch systems, piers, quays, breakwaters, dredging, fabrication shops and offices. ii. The concept design derivations may include: - Layout plan showing major facilities such as docking facilities, quays, piers, workshops and lay down areas - Sizing of production area buildings - Sizing and locating docking facilities - Routing of services, location of substations and compressor houses and related utilities. - Overall layout of the shipyard workflows Master Plan Final layouts / sizes of production work areas and waterfront Production workshop layouts, levels of technology and operations Equipment lists in relation to the demand assessment. Civil and structural engineering and Mechanical & Electrical services arrangements and Manpower distribution and organization Overall programme for development Facilities and Infrastructure Demand Based on the product mix and the industrial / social facilities defined in the demand assessment and the concept design derivations, the consultant shall prescribe the facilities and infrastructure requirements for the proposed shipbuilding yard which may include - Dry docks - Ship lifts, Floating docks, Ship launch systems etc - Breakwaters, Dredging - Assembly and construction shops - Workshops and stores - Offices and amenities External Infrastructure / Utilities a. Defining of the hierarchy of roads along with capacity by assessing the traffic expected from the proposed facilities. b. Fixing of the Railway line / siding requirements Page 30 of 32

31 c. Estimating the total water demand based on the defined product mix and identification of the water source. d. Estimating the wastewater demand and identifying the disposal points. e. Estimating the power demand and identifying nearest source for power Cost Estimates and Financial Analysis Consultant shall prepare cost estimates for the components facilities required for developing the project. The cost estimate shall also include the operation cost. A detailed Financial Analysis shall be undertaken to assess the viability of the Project. The financial viability analysis would be based on the technical data and Demand assessment made. The viability assessment shall be carried out by using IRRs, NPVs DSCR and Pay back method and would include the following: Periodic asset replacement/ maintenance expenditure, revenues, operating expenses, project cash flow considering project execution period, phasing and funding mix Financial viability with a horizon of 30 year period with IRR, NPV, Pay Back period Sensitivity analysis based on variations in revenue streams, project cost, debt cost and O&M assumptions Project Structuring for Implementation Different implementation options shall be analyzed based on the viability following details shall be captured Feasibility of implementation of this project by various modes including the PPP route. Suggesting suitable legal and institutional framework for the project development based on PPP mode Draw the implementation strategy where the details regarding the responsibilities involved in the project development and operation stage shall be identified and listed. 6.5 Initial Environmental and Social Impact Analysis. Consultant is required to carry out an Initial Environmental and Social Impact Analysis to assess that the project will be environmentally sustainable. Through this analysis, the cconsultant is required to identify the environmental and social issues in order to plan a sustainable development. Page 31 of 32

32 This analysis shall also include studies on: General environmental settings of the project location through available published / authentic data both for Terrestrial and Marine Environments The socio-economic profile of the region and identifying the impacts on the Terrestrial, Marine and Socio-economic environments due to the proposed development Gulf of Mannar Biosphere, based on available data and interactions with relevant organizations The Compatibility with Coastal Regulation Zone (CRZ) rules Mitigation measures 6.6 Proposed Deliverables and Timeframe Proposed deliverables and timeframe for the study are provided below. i.
