3 Philosophy: Stanford University Policy for Athlete Agents The Stanford University Department of Athletics remains deeply committed to its foundational principles of education, integrity and service. These principles guide the development and success of our athletics programs and student-athletes. In order to affirm our commitment to each studentathlete s mental and physical development, the Department of Athletics supports the implementation of policies designed to enhance the student-athletes academic and athletics experience. Purpose: As violations of NCAA rules governing athlete agent interaction cause significant consequences for an institution s student-athletes and athletics department, it is important that individuals associated with Stanford University (current student-athletes, coaches, staff members) and athlete agents operate within a structured framework. The purpose of the Stanford University Student- Athlete Agent Policy is twofold: (1) to provide athlete agents with specific guidelines for contacting student-athletes in accordance with NCAA and California State regulations, and (2) to assist current student-athletes in making well-informed decisions about their professional athletics career aspirations within NCAA rules governing amateurism. Agents, Advisors, and Associates: 1. Stanford University Athlete Agent Registration Policy * The term agent encompasses any persons seeking to represent a current Stanford studentathlete in a professional relationship, including but not limited to the following capacities: player contract negotiation, appearance/endorsement contract negotiation, financial advising, investment counseling, estate planning, tax consultation, insurance planning, media relations, etc. a. Application i. Agents, as well as their representatives, associates and affiliates, hoping to represent current Stanford University student-athletes in their future professional careers must: 1. Complete, sign, and submit the Stanford University Athlete Agent and Advisor Registration form to the Compliance Services Office. This application must include the following documentation: a. A copy of the Agent s registration with the State of California, or a notice of pending registration, if applicable. If this task is not completed, an Athlete Agent Disclosure Statement must be filed with the State of California. (Cal. Bus. & Prof. Code 18896); b. A copy of the Agent s current and valid registration with any professional athletics players association, if applicable. (e.g., NBPA, NFLPA, MLBPA); c. A copy of the Agent s current resume; and 1

4 b. Review and Response d. A copy of the Agent s standard representation contract. i. Once the Compliance Services Office receives this information, a staff member will analyze the form s content and documentation to verify the applicant s status as a registered agent. c. Registration Approval 1. If the Compliance Services Office approves an applicant s registration with Stanford University, he or she must adhere to the University policies regarding athlete agent contact with current student-athletes. 2. If the Compliance Services Office denies an applicant s registration, the applicant is prohibited from contacting any current student-athletes and members of their family for the current academic year. The applicant may reapply for registration during the subsequent academic year. a. Stanford University maintains the authority to deny an applicant s registration in the following circumstances: i. He or she has been involved in activities violating the rules of the NCAA, conference, university, college, players association, league, team or federation; ii. He or she has been convicted or plead guilty to a felony or criminal charge involving fraud or embezzlement; iii. He or she has had their agent or advisor licensure/registration revoked, suspended, denied, or refused for renewal in any state; or iv. He or she provides information during the application process or fails to provide information the absence of which is deemed to be fraudulent or intentionally deceptive, or refuses to provide requested information; or v. At the discretion of Stanford University. i. Once an Agent s registration has been approved, the Agent s name and information will be included within the agent database maintained in the Compliance Services Office. ii. If approved, all registered Agents must examine the relevant sport-specific policies regarding contact with current student-athletes and their families. 1. Please refer to the sport-specific calendars for student-athlete contact listed within this document. See Appendices. d. Annual Renewal of Registration i. Registration with the Stanford University Compliance Services Office is valid during the academic year for which the application is approved (e.g., September 1, 2012 August 31, 2013). ii. All Agents must submit an application to renew their registration with the Compliance Services Office at the beginning of each academic year. 2

5 2. Stanford University Policy for Contact with Student-Athletes a. All Agents registered with Stanford University must comply with specific guidelines for contacting current student-athletes and their families. b. Contact With Current Student-Athletes and Their Families i. Definition: A current student-athlete is as an individual who is enrolled at Stanford University, is participating in an NCAA-sponsored sport(s), and has collegiate eligibility remaining in such sport(s). ii. General Rule: Agents are prohibited from having any contact (e.g., in person, by phone, in writing, electronically, through intermediaries, or any additional mediums) with current student-athletes and their families, unless otherwise permitted within the sport-specific calendars for student-athlete contact. 1. Exceptions for contact with current student-athletes and their families are specified within the sport-specific calendars for student-athlete contact. See Appendices. iii. Exception: If contact is permitted pursuant to a sport-specific calendar, Agents must register with the Compliance Services Office and receive written approval from the relevant coaching staff prior to contact with current student-athletes and their families, in accordance with Stanford University policy. iv. Duties of an Agent: If an Agent is permitted to contact a current student-athlete and their family, he or she is prohibited from performing specific actions in violation of NCAA and state regulations in order to preserve the student-athlete s eligibility. 1. The following actions are deemed to be in violation of NCAA rules and will immediately jeopardize a current student-athlete s collegiate eligibility: a. Providing benefits to a current student-athlete and his or her family, including, but not limited to, the following items: 1. Free or discounted transportation, including flights, car rides, and use of a vehicle; 2. Free or discounted meals; 3. Free or discounted clothing; 4. Free or discounted lodging (use of home, hotels, etc.); 5. Free or discounted tickets to sporting/entertainment events; 6. Gifts or gift cards; 7. Free or discounted parking passes; 8. Free or discounted use of training facilities; 9. Payment of a student-athlete s or family member s living expenses (rent, car payment, etc.); 10. Securing a loan for a student-athlete. b. Securing a written or verbal agreement with a current student-athlete for future representation and marketing of the student-athlete s athletics ability. 3

6 3. NCAA Policies governing Agent Interaction with Student-Athletes a. In order to preserve the eligibility of current and incoming Stanford University studentathletes, all registered Agents must abide by specific NCAA rules governing student-athlete interaction with Agents. b. The following regulations govern the relationship between Agents and current studentathletes with remaining eligibility: i. NCAA Bylaw Definition of Agent 1. An Agent is an individual who, directly or indirectly: a. Represents or attempts to represent an individual for the purpose of marketing his or her athletics ability or reputation for financial gain; or b. Seeks to obtain any type of financial gain or benefit from securing a prospective student-athlete s enrollment at an educational institution or from a student-athlete s potential earnings as a professional athlete. 2. Application: An Agent may include, but is not limited to, a certified contract advisor, financial advisor, marketing representative, brand manager or anyone who is employed or associated with such persons. ii. NCAA Bylaw Use of Agents General Rule 1. An individual shall be ineligible for participation in an intercollegiate sport if he or she has agreed (orally or in writing) to be represented by an agent for the purpose of marketing his or her athletics ability or reputation in that sport. Further, an agency contract not specifically limited in writing to a sport or particular sports shall be deemed applicable to all sports, and the individual shall be ineligible to participate in any sport. iii. NCAA Bylaw Representation for Future Negotiations 1. An individual shall be ineligible per Bylaw if he or she enters into a verbal or written agreement with an agent for representation in future professional sports negotiations that are to take place after the individual has completed his or her eligibility in that sport. iv. NCAA Bylaw Benefits from Prospective Agents 1. An individual shall be ineligible per Bylaw if he or she (or his or her relatives or friends) accepts transportation or other benefits from: a. Any person who represents any individual in the marketing of his or her athletics ability. The receipt of such expenses constitutes compensation based on athletics skill and is an extra benefit not available to the student body in general; or b. An agent, even if the agent has indicated that he or she has no interest in representing the student-athlete in the marketing of his or her athletics ability or reputation and does not represent individuals in the student-athlete s sport. c. In order to prevent potential NCAA violations from occurring, all Agents are prohibited from contacting current student-athletes or their families until they are permitted via the sport-specific calendars for student-athlete contact. See Appendices. 4

If an agent who is registered with the Compliance Services Office violates NCAA rules governing interaction with student-athletes, and thereby causes a current student-athlete to be adversely affected in their sport, he or she may be subject to legal action per California State law governing athlete agents (including, but not limited to, California Business and Profession Code ) and is subject to revocation of his or her registration with Stanford University. 4. California State Law: Miller-Ayala Athlete Agents Act a. In addition to the Stanford University and NCAA regulations governing athlete Agent interaction with student-athletes, California State law requires agents and advisors to adhere to the Miller- Ayala Athlete Agents Act ((Cal. Bus. & Prof. Code ). b. Athlete Agent Defined (Cal. Bus. & Prof. Code 18895): i. Any person who, directly or indirectly, recruits or solicits an athlete to enter into any agent contract, endorsement contract, financial services contract, or professional sports services contract, or for compensation procures, offers, promises, attempts, or negotiates to obtain employment for any person with a professional sports team or organization or as a professional athlete. c. Prohibition Against Providing Benefits to Student-Athletes (Cal. Bus. & Prof. Code ) i. No athlete agent or athlete agent s representative or employee shall, directly or indirectly, offer or provide money or any other thing of benefit or value to a studentathlete. d. Prohibition Against Contacting Current Student-Athletes (Cal. Bus. & Prof. Code (a) & (b)) i. An athlete agent or his representative or employee may not make or continue any contact (e.g., in person, in writing, electronically, or in any other manner) with any student-athlete, or the student-athlete s spouse, parent, foster parent, guardian, grandparent, child, sibling, aunt, uncle or first cousin (or any of these individuals for whom the relationship has been established by marriage), or any person who resides in the same place as the student-athlete, or any representative of any of these persons. ii. Exception for Written Materials 1. An athlete agent or his representatives or employees may send a studentathlete, or any other person described above, written materials, provided that the athlete agent previously has sent, or simultaneously sends, an identical copy of the materials to the principal, president, or other chief administrator of the college, university, or other educational institution in which the student-athlete has been admitted or in which the student-athlete is enrolled. e. Rules for Entering Into a Contract with Current Student-Athlete(s) (Cal. Bus. & Prof. Code ) i. An athlete agent and a student-athlete who enter into an agent contract, endorsement contract, or professional sports services contract shall provide written notice of the contract to the president or other chief administrator of the university to which the student-athlete has been admitted or is enrolled. 1. The athlete agent shall provide the notice in writing within 48 hours of entering into the contract. 5

The student-athlete shall provide the notice before the student-athlete practices for or participates in any intercollegiate sports event or within 72 hours after entering into the contract, whichever occurs first. f. Agent Civil Liability for NCAA Violations (Cal. Bus. & Prof. Code ) i. Stanford University or its current student-athletes may bring a civil action for recovery of damages if the institution or the student-athlete is adversely affected by the actions of an agent or a representative of an athlete agent. ii. A student-athlete is deemed to be adversely affected if: 1. He or she is suspended or disqualified from participation in one or more contests by the NCAA, Pac-12 Conference, or other sport-affiliated conferences; 2. He or she is deemed permanently ineligible for competition in collegiate athletics by the NCAA, Pac-12 Conference, or other sport-affiliated conferences; or 3. He or she suffers financial damage, or suffers both suspension or disqualification and financial damage. iii. Stanford University is deemed to be adversely affected if: 1. The institution, or one or more of its student-athletes, is suspended or disqualified from participation in one or more intercollegiate contests by the NCAA, Pac-12 Conference, or sport-affiliated conference; or 2. The institution suffers financial damage; or 3. The institution suffers both a student-athlete suspension or disqualification and financial damage. g. Agent Criminal Liability for NCAA Violations (Cal. Bus. & Prof. Code ) i. Any athlete agent, or his or her representative, who violates any provision of the Miller-Ayala Agents Act is guilty of a misdemeanor, and shall be punished by a fine of not more than fifty thousand dollars ($50,000), or imprisonment in a county jail not exceeding one year, or by both that fine and imprisonment. ii. The court may suspend or revoke the privilege of any person convicted of a violation of this chapter to conduct the business of athlete agent. 6

9 Stanford University Student-Athletes and Their Families: 1. Stanford University Policy for Student-Athlete Contact with Agents a. All former and current Stanford University student-athletes must adhere to the Stanford University Policy for contact with student-athletes and their families. b. Current Student-Athletes with Remaining Eligibility iii. General Rule: Agents are prohibited from having any contact (e.g., in person, by phone, in writing, electronically, through intermediaries, or any additional mediums) with current student-athletes and their families, unless otherwise permitted within the sport-specific calendars for student-athlete contact. 1. Exceptions for contact with current student-athletes and their families are specified within the sport-specific calendars for student-athlete contact. See Appendices. i. Procedures for Agent Contact: 1. If an Agent contacts you or your family in any manner (e.g., in person, by phone, in writing, electronically) without prior approval from the Compliance Services Office and your coaching staff, please take the following steps: a. Advise the individual that you and your family are not permitted to have contact with agents unless permitted within the guidelines of a sport-specific calendar for student-athlete contact; b. Request that they contact the Compliance Services Office (stanfordcompliance@stanford.edu) for registration and policy information during the current academic year; c. Submit all written correspondence from Agents to the Compliance Services Office or relevant coaching staff for appropriate follow-up; and d. Speak with your coaching staff and the Compliance Services Office regarding approved communication with a prospective agent. c. Student-Athletes who have Exhausted Eligibility i. General Rule: Agents are permitted to have unlimited contact with Stanford University student-athletes who have exhausted their collegiate eligibility. ii. Solicitation of Current Student-Athletes Business on behalf of an Athlete Agent or Advisor 1. All Stanford University student-athletes who have exhausted their eligibility and are currently (1) in contact with an athlete Agent for use of his or her services to pursue a professional sports career, or (2) under contract with an athlete Agent for use of their professional services, may not: a. Openly solicit the business services of his or her current Agent to a current student-athlete; or b. Induce a current student-athlete to enter into an agreement with his or her current Agent for future representation through the provision of extra benefits. 7

10 Stanford University Coaches and Staff Members: 1. Stanford University Policy for Coach and Staff Member contact with Agents: a. Current Stanford University varsity coaches and staff members must adhere to the Stanford University Policy for contact with Agents. b. General Rule: Coaches and staff members are able to communicate with prospective Agents only if the Agent(s) is officially registered with the Compliance Services Office. Such communication must be general in nature and cannot be initiated by a coach or staff member, unless prior approval is sought from the Athletic Director or his designee. c. Procedures for Coach and Staff Member Contact with Agents i. If an agent initiates contact with a coach or staff member in any manner (e.g., in person, by phone, in writing, electronically) to inquire about a current studentathlete with remaining collegiate eligibility, the coach or staff member should advise the Agent(s) of the following information: 1. Stanford coaches and staff members are not permitted to communicate with Agents unless he or she is officially registered with the Compliance Services Office; 2. Agents are not permitted to have contact with current student-athletes and their families, unless otherwise specified in the sport-specific calendars for student-athlete contact: a. If contact is permitted pursuant to a sport-specific calendar, Agents must receive written approval from the coaching staff prior to initiating contact with a current student-athlete and their family members. i. Coaches must submit a copy of the written approval provided to prospective Agents to the Compliance Services Office. 3. Agents must forward their written correspondence to the Compliance Services Office and the relevant coaching staff member. ii. It is prohibited for coaches and staff members to provide prospective Agents and/or their representatives with the following benefits on behalf of Stanford Athletics: 1. Complimentary admissions to collegiate sporting events via a sport s guest pass list; 2. Access into team locker rooms when current student-athletes are present; and 3. Media credentials, sideline passes, or bench passes which enable their holder to have direct access to current student-athletes. 8

Calendar for Permissible Contact with Agents Stanford University Academic Year o August January , etc.) with football student-athletes and their families from the beginning of fall practice through the end of the official football season, including postseason competition. o February June o July , etc.) with football student-athletes and their families from the end of the official football season through the end of regular academic year. Calendar for Permissible Contact with Agents Stanford University Academic Year o August June , etc.) with baseball student-athletes and their families from the beginning of the academic year through the end of the official baseball season, including postseason competition. Exception: Stanford University permits written and verbal contact with current baseball student-athletes who will be eligible for selection in the upcoming MLB Amateur Draft and their families during the official baseball season only if prior approval is obtained from the baseball coaching staff and Compliance Services Office. o June July Prospective Agents must (1) register with the Compliance Services Office and (2) receive written approval from the baseball coaching staff prior to contacting a current baseball student-athlete. Stanford University permits verbal contact with a current baseball studentathlete in the form of one weekly phone call with a prospective Agent. o All phone calls must be scheduled with a baseball coaching staff member or Compliance Services Office staff member. Stanford University permits verbal contact with a current student-athlete who has been selected in the MLB amateur draft in the form of one weekly phone call with a prospective Agent. o Any phone call must be scheduled with a baseball coaching staff member or Compliance Services Office staff member. Parents are highly encouraged to attend or participate by conference call, if possible. Prospective Agents may have unlimited contact with any baseball student-athletes who have exhausted eligibility or signed a professional baseball contract, thereby relinquishing their remaining collegiate eligibility. Calendar for Permissible Contact with Agents Academic Year o September End of the Official Basketball Season , etc.) with men s basketball student-athletes and their families from the beginning of the academic year through the end of the official men s basketball season, including postseason competition. o End of the Official Basketball Season April 16, , etc.) with men s basketball student-athletes and their families from the end of the official men s basketball season through the NCAA s deadline to officially withdraw from the NBA Draft. Prospective Agents must (1) register with the Compliance Services Office and (2) speak with the men s basketball coaching staff to gain prior approval for contact with a current men s basketball student-athlete. Stanford University permits verbal contact with a current men s basketball student-athlete who has officially declared for the NBA Draft in the form of one weekly phone call with a prospective Agent. o Any phone call must be scheduled with and take place in the presence of a men s basketball coaching staff member or Compliance Services Office staff member. Parents are highly encouraged to attend or participate by conference call, if possible. Prospective Agents may have unlimited contact with any student-athletes who have exhausted eligibility or officially declared for the NBA draft, thereby relinquishing their remaining collegiate eligibility. Prospective agents must (1) register with the Compliance Services Office and (2) speak with the women s basketball staff to gain prior approval for contact with a current senior or 5 th year women s basketball student-athlete. Stanford University permits verbal contact with a current women s basketball student-athlete in the form of one weekly phone call with a prospective agent. o Any phone call must be scheduled with and take place in the presence of a women s basketball coaching staff member or Compliance Services Office staff member. Parents are highly encouraged to attend or participate by conference call, if possible. o April June , etc.) with women s basketball student-athletes from the end of the official women s basketball season through the end of regular academic year.
