Legal majority I have attained my legal majority (18 years of age or greater) and am competent to enter into the Cadet Agreement if I am selected to become an AIMPE/Teekay-Sponsored Marine Engineer Cadet. (At their absolute discretion the Sponsors may consider an applicant who is 17 at the time of filling out this application form, however the ability of the minor to sign a Cadet Agreement if selected will need to be considered in the event such an applicant was otherwise successful) 2. The Sponsorship is not employment, it is a Scholarship. If offered to me I accept that the offer to become an AIMPE/Teekay-Sponsored Marine Engineer Cadet is not an employment contract, but is a scholarship to assist my education and training to become a marine engineer of excellence. Accordingly I will not be entitled to the wages or leave or other conditions of employment set out in any Award or Enterprise Agreement; and 3. I would accept the Cadet Agreement if offered to me. I have read the Cadet Agreement attached to this Application Form and understand it provides an award of periodic Scholarship Entitlements and payment of a number of education costs plus provides me the opportunity to perform the 60 weeks at-sea training component of the course and in exchange I would consent to the Training Obligations set out in the Cadet Agreement. 4. I have the prerequisites. I have year 12 English, Mathematics and Science (Physics preferred) and attach evidence of this. I am in good physical health and am aware that if short-listed for selection I will need to pass an AMSA Medical before a final selection is made. I have no criminal record and am aware that if short-listed for selection I will need to pass an Australian Federal Police and ASIO assessment for issue of a Maritime Security Identification Card as a condition of final selection. 2 V# Final SCHOLARSHIP amounts inserted CADET SPONSORSHIP AGREEMENT UNDER THE AIMPE/TEEKAY-SPONSORED CADET PROGRAM This Agreement is made on the...between: (4) The Australian Institute of Marine and Power Engineers of 52 Buckingham Street Surry Hills, NSW 2010 ( AIMPE ); and (5) Teekay Shipping (Australia) Pty Ltd of Botany Road, Banksmeadow, NSW 2019; ( Teekay or the company ); (together the Sponsors ); and (6)... of....( the Cadet ); (together the parties ). PREAMBLE A. The Sponsors note that due to loss of Australian-flagged/crewed ships from the Australian coastal trading sector and due to the expansion of employment in other industry sectors which do not historically train marine engineers, the coastal trading sector has a much-reduced capacity to train marine engineers. In several sectors there is a growing use of fly-in/fly-out s457 Visa Engineer Officers as an instant solution to skills shortages given that there is no legal obligation to train any seafarers in Australia at all. B. Those few Australian companies willing to make their ships available for training, such as Teekay, have a finite training budget. Spending it on persons who they may never employ can only be justified by taking a holistic view of the industry and the profession; particularly when those the company trains are unconstrained from seeking employment in higher paid sectors once they are qualified. The numbers trained by companies such as Teekay are insufficient to reverse the above reductions in Australian Engineers: without a new low-cost approach to training the path leads ultimately to the demise of the Australian marine engineering profession. C. Not all vessels requiring marine engineers are suitable for the training of all classes of marine engineers but Teekay is one of a handful of companies that operates vessels on which all classes of marine engineer can be trained. D. Accordingly for the good of the Australian industry in general, for the good of the Australian marine engineering profession and for the good of the successful applicant the Sponsors agree to offer this scholarship to encourage and assist Australian students become marine engineers that achieve excellence, hence the offer of scholarship benefits is conditional on the Cadet undertaking and delivering on the obligations set out in this Cadet Agreement. Note that such Sponsored Cadets are NOT employees, but are self-funded students who, if they are jointly selected by AIMPE and Teekay and enter into this Cadet-Agreement setting out their scholarship entitlements and their obligations, will be provided with a berth to gain qualifying sea service and, if indicated, mentor support. 3 E. The Sponsors are agreed that to become the highest calibre Engineer a Cadet must have more than the Marine Orders 3 requirement of.at least 36 weeks qualifying-sea-service. Accordingly one of the obligations set by this Cadet Agreement is that the AIMPE/TEEKAY-Sponsored Cadet is required to complete 60 weeks of qualifying-sea-service in which they more thoroughly learn the practical application of their college education to the machinery and systems at sea. In this way the Cadet can be exposed to a wider variety of operationalconditions and maintenance tasks [including main engine maintenance and drydockings]. F. The Sponsors note that pursuant to the IMO s Convention on Standards of Training Certification & Watchkeeping (including Co de + Regulations), which Australia has given effect to through Marine Orders, Cadet-training as a marine engineer is composed of college education in engineering subjects and the qualifying-sea-service referred to above in which they learn the practical application of that education to the machinery and systems at sea, and which must be recorded in a Training Record Book. G. The Training Record book used in Australia is produced by AIMPE as a professional service to its members. H. This Cadet Agreement will be offered to a limited number of applicants each year who hold HSC [year 12 or equivalent] passes in at least Mathematics, English and Science (Physics preferred), and who have completed the application form and submitted to interview by the selection panel (if required). The selection process will include a requirements that the short-listed Applicants must pass the AMSA Medical and have been issued with a Certificate of Medical Fitness (at the company s cost) and must pass the AFP & ASIO assessment and have been issued with a Maritime Security Identification Card (also at the company s cost). The decision of the selection panel is final. OPERATIVE PROVISIONS It is agreed as follows: 5. The Cadet will be a self-funded student. (a) The Sponsored Marine Engineer Cadet will not be an employee, hence will not be entitled to the wages or leave or other conditions of employment set out in any Award or Enterprise Agreement; and (b) This Cadet-Agreement provides the Training Obligations (as below) which as and when fulfilled by the Cadet will give award of periodic Scholarship Entitlements (as below) 6. Training Obligations: The Cadet undertakes and agrees: (a) to be educated/trained to the Cadet Program as set out in Attachment 1 which forms part of this Cadet Agreement; and (b) (c) the college-education component of that Cadet Program shall only occur at Hunter Institute of TAFE in Newcastle, NSW to complete the 60 week program of onboard training, and record details in the AIMPE Training Record Book, on vessels in the Teekay Gemini Dry AIMPE-Teekay Sponsored Cadet Agreement (V# ) Page 3 of 12

4 Cargo fleet, the Australis Tanker fleet, Tandara Spirit, Ocean Protector, Ocean Shield and/or such other vessels as the Sponsors may agree. (d) The provision of the Scholarship Entitlements listed in this agreement are subject to the Cadet at all times complying with the following conditions: o At College the Cadet is required to comply with the code of conduct as specified by the Hunter TAFE; o While at sea on the Sponsor s ships the code of conduct, including the drug and alcohol policy, harassment policy and other company policies applicable to the sponsors operations: o Adherence to the mutually approved course at Hunter TAFE; o Provision, where either of the Sponsors request it, or evidence of satisfactory progress in the Training Program referred to in this agreement; o Having due regard for any mentoring or advice that may be offered by AIMPE, its member or Teekay management; o As a training-supernumerary, additional to the ship s complement, taking direction from the ship s responsible officers and fitting in with the requirements of living at sea; and o A standard of conduct that does not reflect badly on the Cadet, Teekay or AIMPE, in particular when at sea or travelling to and from a vessel. 7. Scholarship Entitlements: The Cadet shall, subject to him/her at all times meeting the above Training Obligations, be entitled to a bursary over the three and a half years of the program paid by the company in 7 instalments of $10,700 at each 6-monthly interval, plus the following :- (a) the opportunity to gain on-board training/qualifying-sea-service in understudy role and second-in-charge-of-the-engineering-watch pursuant to the program set out in Attachment 1. During this period:- o the company will provide at it s cost victualling and accommodation on it s vessel[s]; and o Travel from the Cadet s home to and from the company s ships will be arranged and paid for by the company. This shall include reimbursing the reasonable cost of all required meals and accommodation and all travel in connection with joining and leaving the vessel. o The company will provide the Cadet any required uniforms, overalls and safety boots or other safety clothing and equipment required on the vessel; and o the company will endeavour to provide a safe place of learning for the Cadet, however the company will also provide a mutuallyapproved insurance policy in case of disability/death. (b) During the period the Cadet is undertaking the college component of the Cadet Program: AIMPE-Teekay Sponsored Cadet Agreement (V# ) Page 4 of 12

5 o the company shall pay the cost of Course fees for each academic semester/year (in arrears) including student union fees. Each such payment is conditional upon the Cadet successfully completing all the requirements of that academic year and passing all college examinations. Payment of Course fees will be made directly between the Company and the College. Fees will only be paid for the first attempt at each examination. o the company shall pay the cost of required text-books, the AEE course and AMSA examination fees; and o the company shall pay the cost of all short courses that the Cadet is required to take under STCW 95 for the achievement of the Engineer Watchkeeper Certificate of Competency. Where a short course is additional to the approved training program the Cadet must obtain written approval in advance from the Sponsors to attend the course. If approval is given, the company will make payment in respect of such short courses direct to the College upon satisfactory completion of the course by the Cadet and the issue of the appropriate certification. If the Cadet fails any such short course, then the company is under no obligation to pay the fees. The Sponsors are under no obligation to pay fees for any short course for which the Trainee has not sought the prior written approval of the Sponsors (c) (d) (e) (f) (g) Any issue about the conduct of training at college if not resolvable with the College may be raised by the Cadet with Teekay or AIMPE and the Sponsors will confer in an effort to resolve the issue; and If the Cadet is having difficulty adjusting to the life/training at sea or if there is any issue as to the Cadet s role on the vessel [particularly having regard to the fact this is not an employed position] they should at first instance seek guidance from the Engineers on the vessel but if there are still concerns he/she may also seek guidance from Teekay and/or AIMPE; and Any issue of harassment or other serious concern at sea should immediately be raised with the Chief Engineer and if not immediately responded to be raised with Teekay and/or AIMPE. The Sponsors shall, as they deem appropriate, decide on the scheduling of an individual Cadet s periods at college, onboard ship [including selection of appropriate ship] and repatriation to the Cadet s home at appropriate intervals ( it is expected the Cadet will train onboard for a period of approximately 12 weeks at a time); and The sponsors shall not pay any other costs in relation to this agreement unless prior written agreement has been made between the Cadet and sponsor. 8. Conduct & Performance: (a) If the Cadet commits a wilful breach of discipline under the appropriate code of conduct the Sponsors may, at their sole discretion, terminate this agreement. In the event of termination of the agreement the Cadet AIMPE-Teekay Sponsored Cadet Agreement (V# ) Page 5 of 12

6 undertakes to repay to the Sponsors all monies paid out by Sponsors in respect of the Course and Examination Fees. (b) (c) (d) (e) (f) If the Cadet is required to re-sit any examination or assessment either in respect of the Course or of any short course, he / she undertakes to do so at his / her own expense. Should he / she fail to do so, and as a result is unable to complete the Course, then clause (c) below will apply. If the Cadet fails to complete the Course through his / her own act or default including failing any examination or assessment either on the Course or during sea-time experience, and/or failing to re-sit any exam where possible, this Agreement will terminate and the Cadet undertakes to repay to the Sponsors all monies paid out in respect of the Course and Examination Fees. (Note that this does not require repayment of payments for transport or living costs.) If the Cadet passes all college examinations and completes the Program of onboard training but fails in their Orals test by the AMSA Examiner he / she undertakes to retry at least 3 times at his / her own expense. If the Cadet abandons re-sitting the AMSA Orals before undertaking 3 retries it is deemed to be a failure as per (c) above. the Sponsors may, at their discretion, offer some further mentoring or other assistance for the Cadet to, at own expense, attend AMSA for subsequent Orals re-examination. If the Cadet is, despite his/her best efforts, unable to pass the AMSA Orals Exams after 4 genuine attempts then the Sponsors will not be entitled to repayment of any Scholarship Entitlements. This Sponsored Cadetship may be revoked at any time by the Cadet but only after the Cadet has obtained counsel from the Sponsors in an effort to resolve the Cadet s issues/concerns. Unless the Sponsors in-writing agree otherwise the Cadet undertakes to repay to the Sponsors all monies paid out in respect of the Course and Examination Fees. (Note that this does not require repayment of payments for transport or living costs.) 9. Employment: For the avoidance of doubt, the parties agree that this Agreement is not intended to create a contract of employment between the Cadet and the Sponsors. At the successful completion of the Course and the attainment of the Qualifications specified the company may make an offer of employment, and the Cadet can accept or not as he/she sees fit. There is no undertaking or pressure on the Cadet that he/she should accept employment if so offered or work any minimum period with the company thereafter. Likewise there is NO obligation for the company to offer to employ any sponsored Marine Engineer Cadet once qualified. 10. Agreement: This agreement constitutes the entire agreement of the parties relating to its subject matter and supersedes all prior agreements and understanding whether written or oral with respect thereto. In this Agreement mutually-approved means approved by the Sponsors. The Agreement shall be governed by the laws of Australia. AIMPE-Teekay Sponsored Cadet Agreement (V# ) Page 6 of 12

8 Attachment 1 to AIMPE/TEEKAY-SPONSORED CADET AGREEMENT: Agreed AIMPE/TEEKAY-SPONSORED CADET TRAINING PROGRAM The mutually agreed program of training for AIMPE/TEEKAY-SPONSORED CADETs is as set out in this document. All references to MO3 are references to Marine Orders Part 3 as per Issue 6 and are not to be taken to be as subsequently amended by AMSA. However this Attachment may be amended by written consent of the Sponsors and, if so amended, the amended document shall thereafter be used for all purposes that arise from the Cadet Agreement. A. OVERVIEW OF PROGRAM This program details the education, trade training and qualifying sea service required to complete an AIMPE/TEEKAY-Sponsored Cadetship and qualify for a Diploma of Marine Engineering (or Degree if available), to meet the Engineer Watchkeeper certificate of competency requirements and complete the academic Part A subjects for the Engineer Class 2 certificate of competency. On successful completion of the engineer Cadet program the applicant will sit the relevant AMSA oral exam for issue of the Engineer Watchkeeper certificate of competency. Completion of the program will provide the applicant with the theoretical knowledge, practical training and watchkeeping skills to operate and maintain watchkeeping duties on main and auxiliary machinery and systems in the machinery spaces of vessels over 750 kw propulsion power operating in coastal and international waters. B. QUALIFICATIONS REQUIRED FOR ENTRY INTO THE CADET PROGRAM For entry into the program an applicant must have successfully completed HSC year 12 subjects in at least English, Mathematics and Science (Physics preferred). Equivalent subjects may be accepted by the college conducting the training in agreement with the Australian Maritime Safety Authority (AMSA) Principal Qualifications Officer Engineering. These are the minimum subjects required as the standards of academic subjects will increase when the applicant, as part of the career path for a marine engineer, progresses to the engineer class 2 and engineer class 1 certificates of competency. For these certificates an applicant must meet the relevant higher academic requirements required for award of a TAFE Advanced Diploma in Marine Engineering. C. SHIPPING COMPANY SPONSORSHIP An applicant selected for an AIMPE/TEEKAY-Sponsored Cadetship who signs the Cadet-Agreement will be sponsored in accordance with that Cadet-Agreement. THIS CADETSHIP EXCEEDS MINIMUM REQUIREMENTS Minimum training standards for marine engineers are set internationally by the IMO Convention on Standards of Training Certification and Watchkeeping ( STCW ) and in the Australian regulation Marine Orders Part 3 ( Seagoing Qualifications). This AIMPE/TEEKAY-Sponsored Cadetship aims higher than that. We expect to provide a program of education/training and sea-service that exceeds these minima for the benefit of the profession, the industry and for benefit of the Cadet through greater capability and confidence when comes time to face the AMSA oral exam. Completion of the program will provide the applicant with a high standard of practical workshop training ashore, together with practical industry maintenance experience to enable them to carry out the repair and maintenance duties required for engineers on board ship. To this end the Sponsors may, in future, agree to amend this program so that workshop training and practical skills will be enhanced when undergoing engineer Watchkeeper training. For now we have agreed to fill this need through an additional 6 months sea-service as part of this Agreed AIMPE/Teekay-Sponsored Cadet Training Program. All such sea service must be documented in an AIMPE Engineer Cadet Training Record Book. Note also that by the time the Cadet has completed this program and makes application to the AMSA Examiner to do the oral examination (for issue of a certificate of competency) he/she must in addition be not be less than 20 years of age. E. SELECTION OF AIMPE/TEEKAY-SPONSORED CADETS SELECTION OF AIMPE/TEEKAY-SPONSORED CADETS 1 Phase 1 of the selection process amongst candidates for an AIMPE/TEEKAY-Sponsored Cadetship will eliminate those who, in the opinion of the Selection Committee, are unsuitable or less suitable. The Selection Committee at it s absolute discretion will determine whether or not to interview any candidate. 2 Phase 2: The Selection Committee may then request a shortlisted group of preferred candidates participate in Phase 2 of the selection process as follows:- 2.1 Supernumerary sea service familiarisation on board ship [not valid qualifying sea service] AT COLLEGE AT SEA 2-3 weeks 2.2 AMSA Medical: Must be passed at standard required for an Engineer Officer [pursuant to Marine Orders Part 9] See AMSA website for list of AMSA approved Doctors in your local region 2.3 Withdrawal by those who don t wish to proceed; or elimination by the Selection Committee; or Confirmation of Cadetship and signing of the Cadet-Agreement by the Candidate. PROGRAM OF TRAINING FOR AIMPE/TEEKAY-SPONSORED CADETS Those who have been confirmed in 2.3 above and signed the Cadet-Agreement at this point become an AIMPE/TEEKAY-Sponsored Cadet and will be educated in the order and timing in accordance with the Training Program in the following Table:- PROGRAM OF TRAINING FOR AIMPE/TEEKAY-SPONSORED CADETS DESCRIPTION AT COLLEGE AT SEA 3 Pre-Sea Training for issue of a Certificate of Safety Training includes the short courses listed below: Senior First Aid + Marine First Aid Basic Fire-Fighting Survival at Sea Personal and Social Responsibilities Two weeks 4 Completion of Part A Class 2 course incorporating Part A Watchkeeper, at a mutually-approved college/rto. 5 As an essential pre-curser to any qualifying sea service, completion of at least 6-8 weeks hands on training ashore in the use of small hand tools, fitting and basic elements of machining. The objective should be to complete all workshop training [i.e. at 5 & 6] before commencing qualifying sea service; however if sea-service berth availability dictates then it may be necessary to commence qualifying sea service before any/all of the workshop training at item 5 and 6 has been completed. 6 Subject to item 5 above where possible this item should be completed before commencing qualifying sea service. Completion of remaining weeks hands on training ashore [which together with that at item 5 equals 36 weeks workshop training] in the use of small hand tools, fitting, machining and machinery maintenance. 7 Completion of up to 50% of the agreed 60 weeks sea service as an Engineer Cadet; all sea service and training onboard must be documented in the AIMPE/AMSA Engineer Training Record Book (TRB). Training on board to include increased emphasis on experience in repair and maintenance duties to enhance workshop skills. This service may be split up/integrated with the workshop service specified in 5 and 6 above to allow for leeway etc dictated by the availability of sea service berths. 8 Completion of Engineer Watchkeeper Part B course at a mutually-agreed college/rto (8-10 weeks), including the AMSA oral examination preparatory training. The oral exam preparatory training may instead be completed after completion of the sea service weeks 6-8 weeks 36 weeks 8-10 weeks AIMPE-Teekay Sponsored Cadet Agreement (V# ) Page 10 of weeks... Half of which may be done at this point with the other half being done at item 9 below 9 From item 7: Completion of remaining proportion of the agreed 60 weeks sea service as an

11 Engineer Cadet 10 Complete one week Advance fire fighting course. 1 week 11 Completes 5 week hands-on Automation Electronic Electrical course. 5 weeks 12 Engineer Cadet may then qualify for issue of a Diploma in Marine Engineering 13 AMSA Engineer Watchkeeper oral examination: If successful would qualify for issue of Engineer Watchkeeper Certificate of competency. G. FURTHER AMPLIFICATION OF REQUIRED TRAINING ASHORE The college components of the Program of training for AIMPE/Teekay-Sponsored Cadets set out above includes within it the following elements:- G(i). PRACTICAL TRAINING ASHORE The AIMPE/Teekay-Sponsored Cadet must undergo at least 36 weeks of approved practical workshop training in a mutually-approved college/rto ashore.
