Phone: Fax: February 15, 2011 Re: : Rio de Janeiro Mass Transport II Project - Loan No BR First Amendment of the Loan Agreement and Supplemental Letter We refer to the Loan Agreement entered into between the International Bank for Reconstruction and Development (the Bank) and the State of Rio de Janeiro (the Borrower) dated September 24, 2009 for the above-captioned Project (the Project), and the supplemental letter of even date annexed to the Loan Agreement (the Supplemental Letter). Please note that capitalized terms used in this letter (Amendment Letter) and not defined herein have the meaning ascribed to them in the Loan Agreement. We are pleased to inform you that the Bank agrees with your request to amend the Loan Agreement and Supplemental Letter, as confirmed by the Guarantor on September 9, 2010 and through COFIEX Recommendation No. 596 on September 8, Consequently the Bank proposes to amend the Loan Agreement and the Supplemental Letter so as to: (i) adjust Part A of Project Description to incorporate the increase in the number of train cars, the rehabilitation and modernization of rolling stock operated by CENTRAL and the remodeling and upgrade of SETRANS head office facilities; (ii) reallocate funds between Categories of disbursements to reflect: (a) acquisition of additional trains and technical improvements to their designs, (b) increases in cost of Project management and supervision,

2 and (c) increase in cost of the study of the integrated transport, land use, and air quality management master plan; (iii) (iv) incorporate two (2) new Categories to the disbursement table (Works) in order to: (a) finance the rehabilitation and modernization of existing rolling stock, and (b) remodel and upgrade SETRANS office facilities; and incorporate to the Supplemental Letter the revised results framework and monitoring with the revised Indicators. A. LOAN AGREEMENT 1. Part A of Schedule 1 to the Loan Agreement is replaced to read in its entirety as follows: 1. Acquisition of thirty four (34) trains (EMU s) of four (4) cars each and accessories for a total of one hundred thirty six (136) cars to be operated, on the lines of the CENTRAL s system, by the concessionaire under the terms of the Concessionaire Contract; remodeling and upgrade of metric gauge rolling stock (6 non-electric cars and 2 diesel locomotives) operated by CENTRAL. 2. Rehabilitation and modernization of the SETRANS head office facilities. 2. The table in paragraph A.2 Section IV of Schedule 2 to the Loan Agreement is replaced to read in its entirety as set forth in Attachment 1 to this Amendment Letter. All other provisions of the Loan Agreement, except as amended herein, shall remain in full force and effect. B. SUPPLEMENTAL LETTER The results framework and monitoring in the attachment to the Supplemental Letter are replaced to read in their entirety as set forth in Attachment 2 to this Amendment Letter. Please also note that the restructuring paper which reflects the Bank s approved Project modifications dated January 19, 2011, will be disclosed on its external website. Please confirm your agreement to the foregoing amendment by signing and dating all the originals of this Amendment Letter in the space provided below, and return one fully signed original to us. This Amendment Letter shall become effective as of the date of its countersignature upon receipt by the Bank of one duly executed original. 2
