1 CITY COUNCIL CONSENT CALENDAR OCTOBER 16, 2017 SUBJECT: METRO DIVISION 7 UPDATE AND AMENDMENT TO AGREEMENT FOR SERVICES WITH GEHL STUDIO, INC. FOR COMMUNITY OUTREACH CONSUL TING INITIATED BY: COMMUNITY DEVELOPMENT DEPARTMENT ~ (John Keho, Interim Community Development Director) ~ (Joanna Hankamer, Capital & Special Projects, Principal anner) O, STATEMENT ON THE SUBJECT: City Council will receive an update on Metro's Division 7 property; and consider amending the agreement for services with Gehl Studio, Inc. to increase the not-toexceed amount, extend the term, and modify the scope of services to provide community outreach services. RECOMMENDATIONS: 1) Receive an update on Metro's and the City's joint-visioning process for the Santa Monica Boulevard street frontage along Metro's Division 7 bus maintenance and operations facility. 2) Approve Amendment No. 1 to the Agreement for Services with Gehl Studio, Inc. to: expand the scope of services to conduct a community workshop, increase the amount of the agreement by $12,000 for a total not-to-exceed amount of $37,000; extend the term of the agreement by 6 months to June 30, 2018; and authorize the City Manager or designee to execute documents incident to the agreement. BACKGROUND I ANALYSIS: Staff is recommending amending the agreement for services with Gehl Studio, Inc. to conduct a community workshop on concepts for activating the public realm in front of Metro's Division 7 Bus Maintenance and Operations facility. Metro Division 7 Joint Visioning Activating the street frontage along the Metro property with pedestrian-orientation has long been a goal for the City. In 2016, City and Metro staff developed a Memorandum of Understanding (MOU) which was approved by City Council and the Metro Board for joint visioning of the Metro Division 7 property. To aid City and Metro staff in negotiating the MOU, and specifically with defining sites for possible improvement within the Division 7 property, John Kaliski Architects created Page 1of6 AGENDA ITEM 2.1.
2 a series of preliminary site diagrams and concept images illustrating a range of possible interventions, from small scale improvements, such as parkl~ts, to larger scale or longterm improvements, such as a future light rail station plaza and mobility hub. Images depicting creative use of public open space helped to generate enthusiasm among Metro staff to work with the City on innovative urban design and public activation and economic development interventions for two sites on the Division 7 property. The MOU identifies one site for short term opportunities (Attachment 1, Exhibit B) and one site for medium term opportunities (Attachment 1, Exhibit C). The first phase of joint visioning, and the focus of this staff report, is regarding the short term interventions for the 20' deep by 1000' long strip of Metro-owned frontage along Santa Monica Boulevard. Gehl Studio's "People First" Workshops Moving the discussion of site improvements for the Metro site one step further, Gehl Studio, Inc. was contracted by the City's Long Range and Mobility Division to present a process for and examples of short term and small scale improvements that have been successfully implemented in other cities. In July 2017, Gehl led a series of staff workshops focused on cultivating a thriving everyday public life within West Hollywood's streets and public spaces, and attended by West Hollywood staff from Community Development, Economic Development, Public Works, Public Safety, Communications, Human Services, and Metro staff representing Division 7. The workshops included an overview of Gehl's "people first" design principles, using a measure-test-refine approach, action-oriented planning, and using data about how people use public spaces to measure progress and set targets. In addition to looking at public open spaces within the city, and supporting development of a framework for the City's upcoming parklet program, Gehl also facilitated a projectspecific session with City and Metro staff to brainstorm concepts and a process for an "early activation", or short term, project at the Metro Division 7 bus facility on Santa Monica Boulevard. Early Activation Session for Division 7 Street Frontage The group participating in the "walkshop" session for the Division 7 site toured the lobby inside of the Metro facility and the parking lot and frontage along the length of the building along Santa Monica, and then returned to the Library Community Meeting Room to discuss ideas for addressing the "dead" spot in the street activity along Santa Monica Boulevard, an otherwise lively walking and entertainment street. Among other ideas discussed, the primary goal for Early Activation was identified - to create vitality, interest and safety along this block while providing for currently unmet programmatic needs. Other goals and objectives of the project were discussed for further exploration, including: Page 2 of 6
3 Frontage could be used to prototype public space designs and activities that the City of West Hollywood might promote in other areas of the city, creating an "incubator" or laboratory for ideas that might spread beyond the Metro site. For example, if local retail is a goal for other parts of the city, the Metro site might provide a popup where it can be demonstrated. Consider stark differences in daytime and nighttime user groups. Identify synergy between the Early Activation and surrounding commercial offerings. For example, if many of the businesses are bars active late at night, the Early Activation might provide street food, souvenirs and shuttle services. Use the Early Activation to fill out gaps in the program of Santa Monica Boulevard businesses and provide for unmet needs. For example, many of the businesses opposite the Metro site are bars and few morning I daytime serving businesses exist. The Early Activation should balance and complement the existing business ecology rather than compete with it. Provide amenities useful to Metro employees by considering what services and conveniences might be useful to this stakeholder group. Include them in the design process and make the Early Activation relevant to them as well. Develop a program for the entire site and parts of the site that can vary on a daily, weekly and monthly basis. Some activities may happen only at night, some only on Sundays. Interest and variety can help keep visitors returning. Develop an organizational and management structure that allows for experimentation, flexibility, and growing or shrinking the project. Successful programs should be easily expanded and struggling ones edited out. Gehl's design criteria recommendations resulting from the walkshop/workshop session include: 1. Create a fine grained, human scale "ground floor" along the sidewalk with a rhythm of columns, bays or storefronts feet wide. A few areas for special programs or gathering areas can be larger. 2. Provide a consistent vocabulary of material, signage and design that ties together the site but also provides variation, surprise and interest. 3. Obstacles like transformers and utility vaults can be screened and incorporated into the design while maintaining access and setback requirements. They should be a considered part of the design. If they create dead zones inside the project, develop linear treatments, graphics, displays, artwork, etc. that activates the screening around them. Page 3 of 6
4 4. Protect and maintain the Chinese elms along the site as much as possible. These provide important shade for the site. Develop sites for structures that work between the rows of trees. 5. Consider a unifying deck treatment across the whole site behind the sidewalk that provides a channel for utilities underneath and protects the root zone of the trees. Structures, booths, etc. can use the deck as common walkway and foundation. 6. Consider a back-wall treatment across the site that creates a unifying element and screens the Metro facility. Signage, vertical planting, artwork, display cases, etc. may all be components of the back-wall. 7. The Early Activation should address and enhance the two bus stops on the site. Provide additional seating, waiting areas, things to do. Orient programs to take advantage of bus riders as a natural audience. A full study of transit waiting uses (day and night) should be undertaken to inform the design. 8. Provide special lighting throughout the site for nighttime activities, safety, and identity. 9. Address the main entrance to the Metro facility with appropriate uses and functions; consider relating Early Activation programs to activities in the interior lobby. 10.Address the vehicle ramp at the center of the Metro facility with appropriate uses and functions; provide safety features to reduce pedestrian-vehicle conflicts. 11. Relate the design of the Early Activation to the opposite side of Santa Monica Blvd. Although separated by a wide road, the Early Activation forms the other side of the "street room". 12. Provide the ability for popup and more permanent businesses and programs to locate and plug-in to utilities at various places along the site. Programs should be able to move and cluster depending on what else is in the project at that time. 13. Develop a phasing strategy that explores concentrating the Early Activation on half of the site at a time. This may or may not be necessary depending on the number of vendors and activators it's possible to initially curate, but in any case the project should keep activity concentrated and avoid dead zones of more than 100 feet between activities. Following the interagency walkshop/workshop session, City and Metro staff met to discuss next steps. Metro staff requested that the City conduct a similar workshop session for the community, to solicit additional feedback and ideas, prior to issuing a Request for Proposal (RFP) for the street frontage along Division 7. 5 Amendment No. 1 to the Agreement for Services with Gehl Studio. Inc. Staff recommends that Council approve Amendment No. 1 to the Agreement for Services with Gehl Studio, Inc. (Attachment 2) to conduct a public community workshop to discuss concepts for activating the public realm in front of Metro's Division 7 Bus Maintenance and Operations facility, and to solicit additional ideas from the community. Gehl's scope of work also includes a working session with City staff to discuss Gehl's project experience with budget and proforma structural concepts such as subsidies to low-rent tenants, maintenance, programming and outreach costs, etc. to help inform the City's and Metro's refinement of the project scope, budget and schedule prior to the City issuing an Request for Proposal for joint-development partners. The Gehl Team: Is known worldwide for addressing global trends with a people-focused approach, utilizing empirical analysis to understand how the built environment can promote well-being, and applying analysis to strategic planning and humancentered design to empower citizens, decision-makers, company leaders, and organizations; Focuses its studies on the human dimension - the effect of the built environment on social interaction between people. The team considers lively and widely used public spaces to be vital keys to quality of life in cities and to our overall well:.. being; Has over 40 years of public realm analysis experience, tackling and prioritizing the needs of people in the planning and design of cities, districts, communities, streets and spaces, to make bigger impact and to go further in the design process. Some of Gehl's projects include Nashville's Lower Broadway, San Francisco's Market Street, LA's Downtown LA Event & Entertainment District, and New York City Public Realm Study (which led to the recent pedestrian improvements in Times Square); and Has cultural and entertainment experts on staff who bring specific knowledge about entertainment districts. Next Steps If Council approves the amendment to the agreement with Gehl, staff will begin working immediately with Gehl Studio and Metro staff to schedule a community workshop for early November Following the public workshop, staff will work with Metro staff on drafting a RFP to solicit proposals from joint-development teams to design, develop and operate temporary uses along the streetscape frontage along the Division 7 property; and will return to Council in January 2018 requesting authorization to issue the RFP. 6 CONFORMANCE WITH VISION 2020 AND THE GOALS OF THE WEST HOLLYWOOD GENERAL PLAN: This item is consistent with the Primary Strategic Goal(s) (PSG) and/or Ongoing Strategic Program(s) (OSP) of: PSG-1: Maintain the City's Unique Urban Balance with Emphasis on Residential Neighborhood Livability. OSP-12: Actively Participate in Regional Issues. In addition, this item is compliant with the following goal(s) of the West Hollywood General Plan: LU-4: Provide for an urban environment oriented and scaled to the pedestrian. LU-11.2: Work with Metro to transform its Santa Monica Boulevard facility into a development project that serves the needs of the community, and supports current and future transit service and the street life along Santa Monica Boulevard. EVALUATION PROCESSES: Staff will continue to bring regular status updates to the City Council on the joint visioning of the Metro Division 7 site. ENVIRONMENTAL SUSTAINABILITY AND HEALTH: N/A COMMUNITY ENGAGEMENT: Staff recommends that City Council approve Amendment No. 1 to the Agreement of Services with Gehl Studio, Inc. to conduct a community workshop. OFFICE OF PRIMARY RESPONSIBILITY: COMMUNITY DEVELOPMENT DEPARTMENT FISCAL IMPACT: None. The Division 7 Joint Development work program was funded as part of the Fiscal Year budget update. 7 MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding ("MOU") is entered into as of December 1, 2016, by and between the Los Angeles County Metropolitan Transportation Authority ("Metro") and the City of West Hollywood ("City"}, a California municipal corporation (hereinafter together occasionally referred to as "the parties"). RECITALS A. Metro's Division 7 transit facility (the "Facility"), a map of which is attached hereto as Exhibit A, located at the intersection of Santa Monica and San Vicente Boulevards within the territorial boundaries of the City West Hollywood is a critical component of Metro's countywide bus service operations, with 230 buses and serving the western region of Los Angeles County. B. The Facility occupies an 8.5 acre property (the "Property") in a strategic location within one of the City's pedestrian friendly and vibrant commercial shopping districts. C. The Parties have mutual interests in identifying opportunities for development on Metro's Property that would both maintain the Facility's current operation, and extend the current retail/commercial frontage along Santa Monica Boulevard in order to create a more dynamic and pedestrian oriented environment for the community, and Improve neighborhood compatibility. D. Metro has identified two areas within the Property which may possibly accommodate pedestrian orientation improvements along Santa Monica Boulevard: (i) a near term development option along the narrow strip of land between the existing building and sidewalk along Santa Monica Boulevard, uparcel A" as depicted on Exhibit B, and (ii) a potential mid/long term development option within the surface parking lot along Santa Monica Boulevard, referred to as "Parcel B" Exhibit C. E. The City seeks to play a role in planning for any future improvements and potential development to assure neighborhood compatibility, pedestrian orientation, mitigation of Impacts, optimal activation of the streetscape, and enhanced transit connectivity. NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: 1. Purpose of the MOU The purpose of this MOU is to establish a collaborative process and general framework for the planning of improvements and future potential development of Parcels A and B. The Parties intend for this MOU to provide an understanding as to their respective ATTACHMENT 1
8 obligations and potential future public-benefit opportunities regarding the collaborative process. The Parties agree to work together In good faith to: a. Identify shared values and interests. b. Identify opportunities for consensus building and collaboration. c. Establish protocols for ongoing community engagement and lnteragency communication. d. Establish a collaborative visioning process for parcel A and Parcel B that: I. Advances the parties' objectives. ii. Results in formulation of outreach, preliminary concept development and feasibility studies. iii. Identifies responsibilities for each party (i.e., facilitation of outreach efforts, rezoning, identification of capital projects and funding, potential RFP for joint development). 2. Priorities and Requirements for the Property a. City priorities: i. Identify project(s) of mutual interagency benefit and Interest. ii. Activate street frontage along Santa Monica and San Vicente within Parcel A. iii. Respect the unique contributions of the site(s) and Santa Monica/San Vicente intersection to the community and City history. iv. Retain but screen the Facility with active uses appropriate to scale/uses in the area. v. Consider potential near and long term development scenarios for Parcel B that are appropriate regarding existing scale, uses, traffic congestion, and established community priorities; Santa Monica is a vibrant pedestrian-oriented mixed use corridor that would benefit from expanded transit service. b. Metro requirements for any potential project on Parcels A or B: i. Operational and occupancy cost neutrality must be maintained for Metro in any and all scenarios. ii. No project shall create degradation of service or impact to operations. 3. Protocols of Visioning Process a. Public outreach will be led by the City of West Hollywood with participation from Metro (and the County of Los Angeles if the Sheriff Station site Is included In the plan).
9 b. Any private/public partnership on Parcel A or B will require an RFP and/or RFQ process for selection of a developer. c. Metro shall not grant third party exclusive development negotiating rights on Parcel A or B during the term ofthe MOU. d. Short, middle and long term scenarios for improvements and potential development will be studied in relation to Priorities and Requirements for the Property (Item 2 above). Studies could include: i. Conceptual site plans, elevations and renderings of potential development alternatives/scenarios on Parcels A and 8, including land uses, heights and densities. ii. Financial feasibility proformas, including funding sources assumptions, for potential improvements and development alternatives. iii. Traffic and site circulation studies. iv. Long term scenarios could be further studied In future master plan updates, capital improvement plans, and specific plans, for example. v. Other studies that would support joint pursuit of funding opportunities such as federal and state grants, or would support an RFP or RFQ process for selection of a developer if a joint development is pursued. e. For long term visioning, an interagency team of City staff and Metro staff will collaborate between Transit Corridors/System Planning (David Mieger's Team), Real Estate/Joint Development (Vivian Rescalvo's Team) and Facilities/Capital Projects (Tim Lindholm's Team). 4. CITY'S Responsibilities a. City's consultant will create a Base Map of the Property and Facilities and draw short/mid/long term concepts for discussion and brainstorming for Parcels A and B. b. City staff will collaborate with Metro on Parcels A and B and on light rail transit feasibility studies. c. City staff will arrange bi-monthly meetings, or as needed, with the lnteragency Team. d. City staff, in coordination with Metro staff, will adhere to the a mutually agreed upon schedule proposed for activities identified in the MOU and will, in coordination with Metro, periodically update the schedule based on progress and key milestones.

City staff will Initiate a General Plan amendment and specific plan for Parcel A and 8 to reflect the outcome of the visioning process, in as much as the outcome is consistent with the Priorities and Requirements for the Property (Item 2 above). f. The City will coordinate with Metro on a Metro RFP or RFQ for improvements and/or future development of Parcels A and B. g. The City will consider the outcome of the visioning process in future capital improvement plan budgeting and funding identification regarding potential joint improvement and/or development opportunities on Parcels A and METRO'S Responsibilities a. Metro will update Metro Master Plan for Division 7 as necessary to reflect the outcome of the visioning process on Parcels A and 8, in as much as the outcome is consistent with the Priorities and Requirements for the Property (Item 2 above). b. In coordination with the City, Metro may, subject to Metro Board approval, develop and issue an RFQ or RFP for improvements and/or future development on Parcel a and or Parcel B, consistent with the outcome of the visioning process and the Priorities and Requirements for the Property (Item 2 above). c. Metro will consider the outcome of the visioning process in future capital improvement plan budgeting I funding Identification regarding potential improvement and/or development opportunities on the Property, and may be recommended as part of Metro's "Transit Oriented Communltlesn program. d. Metro staff will attend bi-monthly meetings, or as needed, with the lnteragency Team. Metro staff, and City staff, will adhere to a mutually agreed upon schedule proposed for activities identified in the MOU. 6. Imn This MOU shall commence on December 1, 2016 and remain in effect until the actions contemplated herein have been fully consummated or unless earlier terminated by either party with thirty (30) days' written notice of termination.
11 7. Binding Effect This MOU is binding on the parties in accordance with Its terms. The parties signing below represent and warrant that they have the legal authority to bind the party for whom they are signing but subject to any discretionary action of the West Hollywood City Council and Metro's Board of Directors. 8. Indemnity Each party agrees to indemnify, defend, and hold harmless the other party, its officers, agents and employees from any and all liabilities, claims, or losses of any nature, Including reasonable attorneys' fees and costs of suit, to the extent caused by, arising out of, or in connection with, the indemnifying party's negligent or wrongful acts or omissions arising from its respective activities pursuant to this MOU. 9. Governing Law This MOU shall be governed by the laws of the State of California. 10. Notices. Relationship of the Parties. Nothing contained in this MOU shall be deemed or construed to create a partnership, agency, tenancy in common, joint tenancy, joint employer liability, joint venture or co-ownership by or between City and Metro.
12 12. Entire Agreement. This MOU and all exhibits, if any, thereto contain all of the agreements of the parties with respect to the transaction contemplated hereby, and no prior agreements or understandings pertaining any such transaction shall be effective for any purpose and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No oral agreement or implied covenant shall be held to vary the provisions herein. This MOU may be amended only by a written instrument signed by the parties. In the event that the County of Los Angeles seeks to participate in this MOU as regards to the Sheriff station site located adjacent to the property, this may be accomplished by an amendment to this MOU executed by the parties and the County. 13. Counterparts. This MOU may be executed in any number of counterparts, each of which, when executed and delivered, shall be deemed to be an original, and all of which, taken together, shall be deemed to be one and the same instrument. 17 CITY OF WEST HOLLYWOOD AMENDMENT No. 1 TO AGREEMENT FOR SERVICES This Amendment No. 1 to the Agreement for Services ("First Amendment"), is made on this 1ih day of October, 2016 and amends Agreement #8554 dated May 9, 2017, by and between the CITY OF WEST HOLLYWOOD, a municipal corporation (referred to herein as "CITY") and Gehl Studio, Inc., 1211 Folsom Street, 4th Floor, San Francisco, CA, (hereinafter referred to as the "CONTRACTOR"). RECITALS A. CITY and CONTRACTOR entered into an Agreement dated May 9, 2017 (the "Agreemenf') wherein CONTRACTOR agreed to define West Hollywood's Public Space Public Life (PSPL) goals. B. The parties now desire to amend the Agreement in order to extend the time of performance by six additional months. C. CITY and CONTRACTOR desire to amend the AGREEMENT to increase the "notto-exceed" amount of $25, by an additional $12,000.00, for a total of $37, to cover the costs of providing additional services. D. NOW, THEREFORE, in consideration of the foregoing and the covenants and agreements set forth below, the CITY and CONTRACTOR agree as follows: 1. Amend Article C, Section 2, Tenn of Agreement, to read as follows: The term of this agreement shall commence upon execution by both parties and shall expire on June 30, 2018 unless extended in writing in advance by both parties. 2. Amend Article C, Section 4, Payment for Services, to read as follows: The CONTRACTOR shall be compensated in an amount not to exceed $37, for services provided pursuant to this Agreement as described in "Exhibit A. n Compensation shall under no circumstances be increased except by written amendment of this Agreement. The CONTRACTOR shall be paid within forty-five (45) days of presentation of an invoice to the CITY for services performed to the CITY's satisfaction. The CONTRACTOR shall submit invoices monthly describing the services performed, the date services were performed, a description of reimbursable costs, and any other information requested by the CITY. 18 CITY OF WEST HOLLYWOOD AMENDMENT No. 1 TO AGREEMENT FOR SERVICES 3. Amend Exhibit A, Scope of Services, to include these additional services: Metro Site. Earlv Activation of the Santa Monica Boulevard Street Frontage: Facilitate a 2-hour public workshop to involve stakeholders in ideas for early activation (EA) of the Metro Division 7 street frontage. The workshop will take place at the WeHo library and will include a short site walk. Gehl will lead the workshop with 2 staff (Blaine Merker, Sofie Kvist). Outcomes of the workshop to include: Introduce EA concept to the general public and stakeholders. Show and discuss relevant examples and precedents. Gather feedback on what attendees wish to see for the EA in terms of physical design, program, retail and food/beverage offerings. Understand constraints in terms of hours of operations, neighborhood character, etc. Build enthusiasm and support for the project and identify challenges and concerns. Translate public input into brief "vision" summary for the EA project. Gehl will produce a graphic flyer for the event and provide all presentation and workshop materials. WeHo will provide facilities, coordinate workshop attendees and provide outreach. Gehl will provide two days of senior staff time, including: 1/2 day of meetings to discuss budget and proforma concepts with city staff for the EA project, for use by the City to solicit additional funding. Gehl will contribute to discussion with its experience on EA projects and gather information from developer(s) on needs to engage on the project. Precedent examples of EA projects with budget structure and cost information as available. Gehl notes that this information is not consistent and the level of detail varies, but it will provide what it has for several projects. Developing summary of budget structure. This is not a detailed budget but a discussion of items a budget should consider, such as subsidies to low-rent tenants, maintenance, programming and outreach costs, etc. This shall inform WeHo's discussions and negotiations with its developer candidates for the EA through a future RFP p,rocess.
