Mercy Corps Social Venture Fund is a seed and early-stage impact investment fund launched in We invest capital and provide a platform to accelerate the growth of disruptive startup businesses that have the potential to positively impact millions. Mercy Corps sees complex global challenges as an invitation: to pioneer paths out of poverty, to forge novel partnerships, to create solutions that break through entrenched challenges. But the traditional grant-based model of funding international development is limiting. It rarely promotes the flexibility and experimentation required to test new models that could sustainably deliver social benefit to millions of people in the developing world. Social entrepreneurs worldwide are at the forefront of introducing such models, often through for-profit ventures that require investment capital to expand their provision of beneficial goods and services. The Social Venture Fund, wholly owned by Mercy Corps and capitalized through philanthropic sources, fills a critical gap in the impact investing market for seed and early-stage social venture startups. We believe that connecting these startup businesses to the Mercy Corps platform will accelerate their growth and impact.

Our Approach and Focus We invest in for-profit ventures that attempt to solve many of the big challenges that Mercy Corps programs address: Geography: East Africa (Kenya, Uganda), Asia (Indonesia, Nepal), Latin America (Colombia, Guatemala) Focal areas: Agriculture, financial services, last-mile distribution, youth and female employment Investment: US $50,000 - $300,000 (equity, debt, quasi-equity) Stage: Seed and early-stage Other criteria: Close alignment with local field office strategy and priorities, innovation/differentiation, potential to scale nationally and regionally (impact over 1 million people) Prospective portfolio companies need not have significant revenue traction but should: Have a defined product or service, with a differentiated approach that can scale. 3 Our Portfolio Mercy Corps Social Venture Fund portfolio includes investments in the following companies: New Light Africa Seed/Angel Round $200,000 equity investment September 2015 New Light Africa (NLA) is a direct marketing and distribution company that sells socially beneficial products to the rural poor. NLA s mission is to improve the quality of life for millions of people in Sub-Saharan Africa who primarily live off the electricity grid by offering products such as solar lights, fuel-efficient cookstoves, alternative fuels, water purifiers and rainwater harvesting tanks. NLA, operating under the local brand HEYA! in Kenya, plans to build a widely distributed sales channel through local agents, with aggressive plans to offer financing in the sales process, from local retailer to end consumer. The Social Venture Fund made a $200,000 equity investment in September 2015 along with angel investors for a total round of $845,000. MC SVF holds Board Observer status and fosters collaboration opportunities with Mercy Corps programs in Kenya, such as Youth Enterprise for Success and the legacy program, Yes Youth Can. Vasham Jakarta, Indonesia Series A round $250,000 equity investment March 2016 Vasham leverages a closed-loop business model to provide Indonesian smallholder farms with the financing, expertise, income security and market linkage they need to achieve significantly better standards of living. Vasham aggregates and provides a bundle of services to smallholder farmers growing staple crops. These services include input and working capital loans, farmer advisory through mobile channels and field officers, and market linkage at an above-market price premium via its off-take partner. Vasham aims to serve over 100,000 farmers across Indonesia by The Social Venture Fund made an equity investment of $250,000 as part of a $2.5 million Series A round led by Unitus Impact. Through this investment, our role on the Board of Directors, and the support of the Mercy Corps global platform, Mercy Corps SVF will support Vasham in serving over 100,000 smallholder farmers across Indonesia by 2020.

4 Wobe Jakarta, Indonesia Seed/Angel round $100,000 convertible note March 2016 Wobe is a digital platform that enables anyone with a smartphone to become a sales agent for prepaid phone credits, prepaid utilities, and other offline-to-online payment transactions. With its highly scalable model, Wobe's agent network endeavors to innovate on the payments infrastructure in Indonesia, while at the same time improving income and access to mobile technology among lower income Indonesians, particularly women. Wobe's hyper-local last-mile distribution network will drastically broaden financial inclusion and access to goods/services for Bottom of the Income Pyramid individuals across the Indonesian archipelago. The group aims to have over 25,000 agents transacting on its platform by the end of Founded by a trio of seasoned entrepreneurs (ex-uber, ex-yahoo) with deep startup experience in Southeast Asia, Wobe will build upon Mercy Corps Indonesia's extensive programming and expertise in financial inclusion, women's entrepreneurship training, and agriculture. Moreover, through this investment, Mercy Corps will continue to build its expertise in agent network model development, digital financial services and last-mile distribution. The Social Venture Fund invested $100,000 in March 2016 in the form of a convertible note, and maintains a key role on the Board of Advisors. The seed round totaled $700,000 and included Wavemaker Pacific, Draper Associates Investments and multiple strategic angel investors. FarmDrive Seed/Angel round $50,000 convertible note June 2016 FarmDrive expands access to credit to underserved smallholder farmers by providing partner financial institutions with innovative credit profiles used for real-time credit underwriting. Over 60% of the population in Kenya depends on agriculture for their livelihood; however, most lack access to credit. FarmDrive expands access to credit to underserved smallholder farmers by changing the economics of how you identify, profile, and underwrite credit to smallholder farmers who have been invisible to lenders until now. FarmDrive has pioneered innovative ways to aggregate and analyze pertinent information about smallholder farmers from traditional and alternate data points - including mobile phone usage, satellite and weather data, and transactional data from produce buyers, agro-dealers and the farmers themselves. FarmDrive builds innovative credit profiles used for real-time credit assessment and enables farmers to access a range of affordable financial services over mobile phones from partner financial institutions. Co-founders Rita Kimani and Peris Bosire are computer scientists passionate about developing new products to help farmers access the capital they need for thriving farms and families. The Social Venture Fund invested $50,000 in the form of a convertible note in June 2016, and holds a Board Observer position. The seed round totaled $100,000 and includes co-investor Engineers Without Borders-Canada. FarmDrive is collaborating with Mercy Corps AgriFin Accelerate program in Kenya to bundle their data and credit engine solutions with other mobile value-added services for smallholder farmers.

5 Lynk Seed/Angel round $100,000 convertible note June 2016 Lynk is a two-sided, online marketplace connecting youth with skills training and job opportunities in East Africa. Lynk offers a safe and convenient web, mobile and SMS platform to households and businesses seeking reliable, skilled workers. Lynk verifies informal workers identity and skills, then links them with short and longer-term employment. By bringing informal workers onto the Lynk platform, Lynk workers can build a history of their income, quality ratings for jobs completed, and over time, can gain access to credit and other services. As its network of professionals grows, Lynk will offer feedback, training, apprenticeships and other value-added services to its workers, such as access to financial services. The Social Venture Fund invested $100,000 in the form of a convertible note in June 2016, and holds a Board Observer position. Co-investors include Safaricom s new Spark Fund. Lynk was founded by a talented CTO data scientist and the former Head of Marketing for Google Payments in Emerging Markets. Lynk is collaborating with Mercy Corps large youth programs in Sub-Saharan Africa to create innovative approaches to connect youth with vocational training, skill assessment, and job opportunities. Arifu Seed/Angel round $100,000 convertible note closing soon Arifu is a mobile training solution that provides people at the Bottom of the Income Pyramid (BoP) with access to needed information, skills development, and products and services. Founder Craig Heintzman started Arifu to make it possible for companies and large organizations in fast growing frontier markets to engage, educate, and collect insights on potential customers and informal businesses across their global value chains. Arifu s content delivery and training services, delivered via SMS, have already proven effective for high-level partners in Kenya such as Syngenta, Equity Bank, Vodacom, and TechnoServe. Syngenta tested Arifu against other solutions and found it to be the most effective, low-cost and scalable solution to educate farmers and raise awareness around quality agricultural inputs. Arifu continues to build their learning platform into a diverse content marketplace where learners can access training tools and other needed information, products, and services on even the most basic mobile phones. Arifu has over 130,000 learners already accessing the platform and are expecting to reach 1 million learners in The Social Venture Fund will invest $100,000 in the form of a convertible note and will hold a Board Observer position. The seed round will total $300,000 and include co-investor Global Partnerships Eleos Social Venture Fund and an angel investor. Arifu is collaborating with Mercy Corps AgriFin Accelerate program in Sub-Saharan Africa to create innovative approaches to connect smallholder farmers with quality inputs, financial services, and training opportunities.

6 Sokowatch Seed/Angel round $100,000 SAFE February 2017 Sokowatch is a technology-enabled, last-mile distribution company that makes it possible for people in underserved communities to affordably access the health, sanitation, and everyday household products they need to live healthy, productive lives. Sokowatch does so by providing small shop owners serving the informal market with mobile inventory ordering, distribution and next day delivery of these impactful products. This enables these microentrepreneurs to reduce costs, stay open longer and increase their incomes while providing an expanded range of impactful products. Sokowatch is currently piloting offering credit to shop owners for the purchase of inventory in partnership with financial institutions. The Social Venture Fund invested $100,000 in the form of a convertible note in February 2017, and holds a Board Observer position. Sokowatch is collaborating with Mercy Corps Youth Empowered for Success Program in Sub-Saharan Africa to design curriculum, train youth sales agents, and to expand to new markets such as Uganda. Agruppa Bogota, Colombia Seed/Angel round $150,000 convertible note March 2017 Agruppa leverages mobile technology to streamline the complex supply chains of key food items in Colombia by connecting produce farmers directly to mom-and-pop shops in low-income neighborhoods. In doing so, Agruppa reduces costs, enables just-in-time delivery, and minimizes waste. Agruppa endeavors to make fresh produce accessible and affordable to end consumers in marginalized urban and peri-urban areas. Moreover, Agruppa aims to improve the livelihoods of its smallholder farmer partners by providing a consistent, fair price. The Social Venture Fund invested $150,000 in the form of a convertible note and holds a voting Board seat. The seed round will total $405,000 and include co-investor Yunus Social Business. Agruppa is collaborating with Mercy Corps Colombia to expand and strengthen its farmer network. Suyo Medellin, Colombia Seed round $100,000 convertible note April 2017 Suyo is a public benefit corporation that unlocks the transformational impact of secure property rights by making it easier and more affordable for low-income families to formalize their property. Suyo s innovative mobile technology and financial institution partnerships reduce costs, increase credibility and streamline a complex, multiple-step process for families. The company provides a suite of services that are designed to match the needs and income levels of the most marginalized households in Colombia.

7 The Social Venture Fund invested $100,000 in the form of a convertible note. The seed round is led by Omidyar Network and includes a prominent Colombian private equity fund. Suyo will collaborate with Mercy Corps Colombia to provide formalization services in rural areas and secondary cities across Colombia.
