PROCESSING OF APPLICATIONS FOR THE ESTABLISHMENT AND OPERATION OF GAMING SITES FOR ELECTRONIC, BINGO AND POKER GAMES (EXCLUDING LAND-BASED CASINOS) I. Responsible Unit/Department Remote Gaming Unit (RGU), Gaming Licensing and Development Department (GLDD) II. Schedule of Availability of Service Mondays to Fridays, from 9:00 am to 6:00 pm III. Who May Apply? Corporation Must qualify based on PAGCOR s standard probity check for Operator suitability and compliance with the submission of applicant requirements enumerated below IV. What are the Fees? The following are the application, inspection, processing and approval fees, as applicable. These fees are non-refundable. For approved applications, the Operator will be required to post the following Performance Cash Deposit/Cash Bond and/or Initial Betting Credit for each game offering prior to start of operations. These are refundable upon cessation of operations. What are the Requirements? 1. Site Location Criteria / Requirements a. City or Municipal Council Resolution allowing the establishment and operation of proposed gaming activity in proposed site location. b. Must satisfy any LGU resolution on specific guidelines on the establishment of the gaming activity. The Applicant s compliance with said guidelines does not dispense with its fulfillment of PAGCOR s requirements. c. No standalone gaming site shall be allowed. 2

d. Type of Establishments / Areas where gaming activity may be located: Electronic Games Gaming Activity Type of Establishment/Area 1. Hotel - an establishment, building or complex providing accommodations, meals, leisure, rest and recreation services for travelers and tourist. Gaming sites can only be located inside the building or within the same complex/premises of three (3)- star hotels and resorts accredited by the Department of Tourism authorized by PAGCOR and by the local government unit concerned. 2. Resort a place to which people frequently or generally go for relaxation or pleasure especially one providing rest and recreation facilities for vacationers. Bingo Games 3. Mall a large building or series of connected buildings containing a variety of retail stores, restaurants and/ or shops offering sales, leisure and entertainment services to customers, operating as a controlled or secured business/commercial establishment. The mall may be a complex where its premises include non-connected annex(s). 4. Arcade commercial building or a confined compound or complex with at least five (5) establishments (including the gaming site) with a variety of retail stores, restaurants and/or shops offering sales, leisure and entertainment services to customers. Poker Games 5. Commercial Building address must be classified by LGU Zoning Body as commercial Building; not located beside or across residential house (s) particularly the informal settler dwelling(s) and with at most three (3) establishments providing commercial services. MSW Sports Betting Inside PAGCOR-operated and licensed gaming establishments (e.g. Gaming sites for electronic games, bingo games and poker games, VIP Clubs, SM arcades, casinos) or Sports Bars. 3

e. Floor area must be sufficient to accommodate the following minimum number of terminals / tables: Gaming Activity Minimum number of terminals / machines / tables Ratio on space per terminal / machine / table (excluding common areas) Gaming Site (Electronic Games) 25 terminals NCR; 20 terminals outside NCR 3 sqm is to 1 terminal Gaming Site (Bingo Games) 70 ebingo machines NCR and 50 ebingo machines outside NCR for electronic bingo 4 sqm is to 1 ebingo machine 150 seated players for traditional bingo 1.5 sqm is to 1 seated player MSW Sports Betting Terminals 1 betting terminal 4 sqm is to 1 terminal Gaming Site (Poker Games) 4 tables 10 sqm is to 1 table 4

2. Applicant Requirements I. For Corporations a) Company Profile b) SEC Registration c) Articles of Incorporation, By-Laws and latest General Information Sheet (GIS) duly stamped received by SEC: 1. Articles of Incorporation must show that gaming is one of its primary purposes of business; if secondary purpose, a copy of the Board's Ratificatory Vote on the same should be submitted; 2. Foreign ownership, if any, must comply with the Regular Foreign Negative List B of the Foreign Investment Acts of 1991 B69 (R.A. No. 7042, as amended by R.A. No. 8179); 3. If a stockholder is also a corporation, a copy of the Articles of Incorporation and latest GIS of said corporation should likewise be submitted; 4. Authorized Capital Stock of at least FIVE MILLION PESOS (PhP5,000,000.00), with paid-up capital of at least THREE MILLION PESOS (PhP3,000,000.00) d) Original bank certification [must have a minimum of THREE MILLION PESOS (PhP3,000,000.00)] per game offering under the Applicant company's name e) Copy of ITR of the company (duly filed with the BIR) for the previous year for existing incorporated corporation f) Written disclosure of the description of any of the following events that occurred during the past five (5) years up to the latest date that are material to an evaluation of the ability or integrity of any director of shareholder of the Applicant: 1. Any bankruptcy petition filed by or against any business of which such person was a director or shareholder either at the time of the bankruptcy or within two years prior to that time; 2. Any conviction by final judgment, including the nature of the offense, in a criminal proceeding, domestic or foreign, or being subject to a pending criminal proceeding, domestic or foreign, excluding traffic violations and other minor offenses; 3. Being subject to any order, judgment, or decree, not subsequently reversed, suspended or vacated, of any court of competent jurisdiction, domestic or foreign, permanently or temporarily enjoining, barring, suspending, or otherwise limiting his involvement in any type of business of gaming activities; and 4. Being found by a domestic or foreign court of competent jurisdiction (in a civil action), PAGCOR, or a domestic regulatory organization to have violated gaming law or regulation, and the judgment has not been reversed, suspended, or vacated g) Written disclosure of relatives in PAGCOR or other government agencies up to the 4 th civil degree of consanguinity or affinity h) Sworn undertaking that Applicant will abide by existing labor laws, including regularizing all contractual employees working for more than six (6) months and the payment of minimum wages and the benefits mandated under labor laws i) Sworn certification that the gaming site has complied with the required Performance Cash Deposit and Initial Betting Fund, as applicable. II. For each Member of the Board of Directors Duly accomplished and notarized Personal Disclosure Statement (PDS) form to be sent together with enclosures in a sealed brown envelope marked CONFIDENTIAL PDS addressed to: 5

For Filipino citizens and foreign residents: copy of ITR (duly filed with the BIR) for the previous year; or 2. For non-resident foreigners: copy of valid passport III. Other Documentary Requirements a) For MSW Sports Betting Applicants, Memorandum of Agreement with Orient Capital Ventures Inc. (OCVI) IV. How to proceed with the Application for a Gaming License (GL) / Certificate of Registration (CoR) 1. Gaming License (Electronic Games) InstaWin Step Applicant Service Provider / PAGCOR-GLDD Duration of Activity Person in Charge APPLICATION PROCEDURES 1. Download Part I of the Application Form including 5 minutes Criteria/Requirements for a Gaming Site from Electronic Gaming and Poker link of the Regulatory page of the PAGCOR website (www. pagcor.ph). 2. Email the duly accomplished Part I of Application Form including the location map of the proposed site to gldd.rgulicensing@pagcor.ph. Desktop review of distances to nearest school, place of worship, cockpit, horse-racing outlet, public market, informal settlers and resettlement area and all gaming sites that are operational, approved but not yet operational or have complied with Part I of the Application Form, based on location maps, geodetic engineer certification and list of tenants submitted by applicant. If proposed location of site is found to be suitable, email to qualified Applicant s official email address the Part II of Application Form and advise the Applicant to proceed with it. Part I of Application Form shall be valid within six (6) months from date of advice, subject to Applicant s compliance with the submission of complete LGU and other documentary requirements. If proposed location of site is not acceptable, the application is rejected. GLDD / 6

Email the duly accomplished Part II of Application Form including the City/Municipal Council Resolution to GLDD.RGULicensing@pagcor.ph (or thru Service Providers) Note: If slots are available based on annual maximum cap, Part I of Application Form shall be processed. If annual quota has been met, applications shall be queued. Receive and check completeness of application form and its attached LGU document/s. Reject application if documents are incomplete, or if another application within the area is found compliant with the First to complete requirements, first to be recommended policy based on the date of required LGU documents. If documents are found in order, advise Applicant to proceed with payment of applicable fees and submission of other documentary requirements. Endorse qualified Part II of Application Form to the Service Provider of the intended game offering for other application procedures (e.g. payment of fees, conduct of site inspection). GLDD 4. Pay Application Fee (of Php250,000.00) Receive payment; Issue acknowledgment receipt; Forward payment and transmits details to PAGCOR Receive copy of payment documents Receive payment and issue Official Receipt 30 minutes Within 1 business day 30 minutes (for cash payment) 3 business days (for clearing of check payments) PAGCOR-FTD 5. 6. Schedule the site inspection upon compliance with the submission of Part II and its attached LGU document/s, Applicant s documentary requirements and payment of applicable fees. Advise the Applicant of the date of inspection through its official email address. NOTE: Site inspection date is within 14 days from receipt of complete Applicant s documentary requirements and payment of applicable fees 7. Allow/assist PAGCOR personnel in the site inspection. Conduct site inspection to verify compliance to site requirements. 1 business day PAGCOR Authorized Team Prepare site inspection report. Review site inspection report 8. Advise Applicant if site is compliant or non-compliant through the Evaluation section of the Application Form Part II. 1 business day 9. Prepare and submit concept renderings of proposed site and floor layout NOTE: For non-compliant site, application process ends here. Evaluate compliance to Gaming Site set-up based on floor lay-out. Download Part I of the Application Form including Criteria/Requirements for a Gaming Site from Electronic Gaming and Poker link of the Regulatory page of the PAGCOR website (www. pagcor.ph) Use of Part I Application Form shall apply to MSW applications only for Sports Bar as proposed betting outlet location; If co-located inside PAGCOR-authorized gaming sites, there is no need to accomplish Part I of the Application Form. Instead, the Application for the Operations of Megasportsworld Sports Betting Terminals Form will be used. 2. Submit the duly accomplished Part I of Application Form including the location map of the proposed site. 3. Submit the following or email to gldd.rgulicensing@pagcor.ph I. For Sports Bar: a) Duly accomplished Part II of Application Form b) City/Municipal Council Resolution Desktop review of -distances to nearest school, place of worship, cockpit, horse-racing outlet, public market, informal settlers and resettlement area and all gaming sites which are operational, or approved but not yet operational If proposed location of site is found to be suitable, issue to OCVI the Part II of Application Form and advise to proceed with it. If proposed location of site is not acceptable, the application is rejected. Receive and check completeness of application form and its attached LGU document/s. Reject application if documents are incomplete. If documents are found in order, advise Applicant to proceed with payment of applicable fees and submission of other documentary requirements. 5 minutes GLDD - / GLDD - 12

II. For host-gaming sites: a) Duly accomplished Application for the Operations of MSW Sports Betting Terminals Form b) Valid Business Permit of the host-gaming site c) Negotiated terms of lease or letter of concurrence for land-based casinos, VIP Clubs and SM Arcades, as applicable. 4. Pay processing fee of PhP5,000.00, and for proposed betting outlet in sports bars, an Inspection Fee of P20,000.00 Receive copy of payment documents Receive payment and issue Official Receipt 1 business day 30 minutes (for cash payment) GLDD PAGCOR-FTD (Payment of applicable fees is NOT an assurance of approval of the proposed betting outlet). 3 business days (for clearing of check payments) 5. Schedule the site inspection upon compliance with the submission of Part II and its attached LGU document/s. (For Sports Bars only; no site inspection shall be conducted for proposed host-gaming sites.) 6. Advise OCVI of the date of inspection NOTE: Site Inspection date is within 14 days from receipt of complete Applicant s documentary requirements and payment of applicable fees 7. 9. Prepare and submit renderings of proposed betting outlet and floor layout. Evaluate compliance to betting outlet set-up based on floor lay-out 10. Recommend to the PAGCOR Board the approval of qualified application. APPROVAL/DISAPPROVAL PROCESS 11. Prepare and transmit the Certificate of Registration (CoR) to the Office of the President and COO for signature or Issue letter of regrets to applicant if application is denied 12. 2. Email the duly accomplished Part I of Application Form including the location map of the proposed site to gldd.rgulicensing@pagcor.ph. 3. Email the duly accomplished Part II of Application Form including any of the following to gldd.rgulicensing@pagcor.ph a) City/Municipal Council Resolution; or b) Letter of consent from the Mayor and copy of duly received application with the City/ Municipal Council. Desktop review of distances to nearest school, place of worship and all gaming sites which are operational, approved but not yet operational or have complied with Part I of the Application Form, based on location maps and list of tenants submitted by applicant. If proposed location of site is found to be suitable, email to qualified Applicant s official email address the Part II of Application Form and advise the Applicant to proceed with it. Part I of Application Form shall be valid within six (6) months from date of advice, subject to Applicant s compliance with the submission of complete LGU and other documentary requirements. If proposed location of site is not acceptable, the application is rejected. Receive and check completeness of application form and its attached LGU document/s. Reject application if documents are incomplete, or if another application within the area is found compliant with the First to complete requirements, first to be recommended policy based on the date of required LGU documents. If documents are found in order, advise Applicant to proceed with payment of applicable fees and submission of other documentary requirements. GLDD / GLDD 4. Allow/assist PAGCOR-GLDD personnel in the site inspection NOTE: Site Inspection date is within 14 days from receipt of complete Applicant s documentary requirements and payment of applicable fees Conduct site inspection to verify compliance to site requirements.
