2 2 OBJECT OF THE CONTRACT 2.1 Title: BHS 22 Project: Specialized Advisor 2.2 Type of contract: Service 2.3 Description: Athens International Airport S.A. (hereinafter called AIA ) in compliance with the Airport Development Agreement as ratified by Law 2338/1995 (Government Gazette A 202/ ), is inviting companies or consortia/ joint ventures to tender for the BHS 22 Project: Specialized Advisor (herein after referred to as the Services) regarding the assisting AIA during the execution of the Baggage Handling Systems upgrade project (BHS 22) at Athens International Airport "Eleftherios Venizelos". This BHS 22 project is being undertaken to implement the necessary infrastructure modifications to accommodate the new Standard 3 screening technology equipment in the existing baggage halls, without compromising the current level of service and operational functionality, while at the same time increasing the system capacity to cope with the demand of 26 million passengers per year. In the context of the above, the appointed Advisor will be expected to provide its Services throughout the duration of the project, adapt its team and response according to the various phases of the project and possess the skills, knowledge and experience commensurate with the project magnitude and complexity. The Services to be provided by the Advisor shall indicatively include the following: Reviewing the submissions of the participants in the tender for the selection of the Contractor and assisting in the evaluation process for the selection of the preferred bidder (this scope requirement is an Optional item to be implemented at AIA s sole discretion); Reviewing the detailed designs to be submitted by the awarded Contractor; Evaluation and refinement of the detailed project schedule as well as of the operational and safety risk mitigation plans and processes; Review all proposed measures for ensuring the safety of the personnel involved in the construction works but also of the airport/ ground handlers/ airlines personnel working in the vicinity and monitor their implementation. Identify dependencies and interfaces between activities; Assist AIA s representative in the oversight of the construction project, including the following aspects: o Overseeing the Contractor s site preparation and project delivery, ensuring meeting of the required project milestones; o Overseeing the progress of the installation works; o Verifying compliance with the project design drawings and specifications and compliance with technical and construction legal requirements; o Monitoring and validation of the Construction Contractor Construction Diary; o Ensuring that all instructions, procedures and policies for construction works at the Athens International Airport provided in the Construction Procedures; all applicable procedures, regulations, guidelines and recommended practices as well as all other Airport manuals and procedures are strictly implemented, maintained and monitored, during the whole Term of the construction project; Assist the AIA project management team in the follow-up and continuous assessment of the project implementation, including the following: o Preparation of periodical reports with regards to the works progress o Assist in the review and approval of the Contractor s Applications for Payment; o Checking and validating the material, certification and as-built submissions from the Contractor; 2

3 o Assist in the change & claim management, including the review of Contractor s letters, the preparation of any other contractual correspondence deemed necessary under the Agreement, the review and provision of feedback for any submitted claims; o Review of the commissioning procedure/plan submitted by the Contractor, for the quality acceptance of the project, collecting, follow-up and validating all the Commissioning reports of the Contractor, along with the filing and checking of the commissioning lists as well as performing the witnessing of critical tests; o Review all technical documentation submitted by the contractor and identify discrepancies, omissions etc. o Assist in the preparation of the Project Closure report. The report includes the project completion report, the evaluation, creation of project punch list and follow-up until project closure; The Advisor will be expected to make available to AIA a team of experts that is adapted to each phase of the Project. More details are included in the Tender Documents which will be dispatched to the interested applicants. 2.4 Lots: Not Applicable 2.5 Information about options: The reviewing the submissions of the participants in the tender for the selection of the Contractor regarding the Execution of Enabling and Critical Works for AIA s Baggage Handling System project and assisting in the evaluation process for the selection of the preferred bidder is an Optional item to be implemented at AIA s sole discretion 2.6 Duration of the contract: More details are included in the Tender Documents The Services will be required during the period for the implementation of the construction project wherein the North Baggage Hall is to be complete by May 2020 (with minor completion works allowed until September 2020) and the South Baggage Hall is to be complete by May 2022 (with minor completion works allowed until September 2022) More details are included in the Tender Documents 2.7 Renewals: Not Applicable 2.8 Estimated contract value: Not Available 3

4 3 LEGAL, ECONOMIC AND FINANCING INFORMATION 3.1 Deposits and guarantees: Applicants will be asked to submit, with their proposals, a Participation Bond, to be returned in accordance with the terms and conditions of the Tender Documents. The awarded contractor will be required to submit a Performance Bond, upon signing of the contract. Details and prerequisites are provided in the Tender Documents. 3.2 Main financing conditions and As detailed in the Tender Documents. payment arrangements and/or reference to the relevant provisions governing them: 3.3 Legal form to be taken by the group of economic operators to whom the contract is to be awarded: 3.4 Other particular conditions: None In case applicants form and participate in the tender as a consortium/ joint venture, they may be requested to either execute a binding consortium consolidation deed or to form a capital company, prior to contract award, with joint and several liability. More details are included in the Tender Documents. 4 CONDITIONS FOR PARTICIPATION 4.1 Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers: As detailed in the Tender Documents. 4.2 Economic and financial ability: Applicants will be asked to prove their financial ability in relation to anticipated contract cost. Such proof will be the provision of three (3) last fiscal years audited Financial Statements (if these are not available for the last fiscal year, the unaudited Financial Statement only for the last fiscal year) and bank reference. More details are included in the Tender Documents. 4.3 Technical capacity: Applicants will be asked to submit proven experience, by means of letters of attestation from the Tenderers clients, that the Tenderer has in provision of consultancy services for BHS reconfiguration projects for integrating Std. III EDS equipment, executed in an operational environment, of which at least one being of a value over 10 mill. (excluding the value of EDS equipment) at a single airport, in the last five years.ore details are included in the Tender Documents. 4.4 Information for evaluating if the requirements are met: 4.5 Execution of the service is reserved to a particular profession: 4.6 Legal persons should indicate the names and professional qualifications of the staff responsible for the execution of the service: Applicants will be assessed and pre-selected on the basis of equal opportunities. Their professional credentials and reliability, as well as their economic and financial ability under 4.2, and their technical capacity under 4.3, will be assessed on a go/ no-go basis. 5 5 PROCEDURE 5.1 Type of procedure: Open 5.2 Award criteria: Background, qualifications and experience of the Project Team The most economically advantageous based on: Qualifications and experience of the individuals to be engaged for the purposes of this project. Specifically, involvement in projects with transition to state of the art architecture of sortation systems with particular involvement in upgrading of security screening of the systems to Standard III, should be demonstrated and supported by Project Team CV s for in-house and outsourced staff. Project approach and methodology Methodology and approach for undertaking the project over the entire course of the project including all the assessment, coordination, control and communication activities, including reporting. Applicants shall bear the Tender Documents dispatch costs in case of dispatch by courier. For requirements relating to the economic and financial capacity and/ or the technical and/ or the professional abilities of the applicant, the latter may where appropriate rely on the capacity of other entities in accordance with the details set in the Tender Documents. The contract will be subject to Greek law. AIA reserves the right not to proceed with the contract at any stage of the tender process and applicants shall not be entitled to any compensation. More details are provided in the Tender Documents. 6.3 Procedures for appeal: Applicants, have the right to file an objection on AIA s award decision. Such objection shall be submitted in writing within ten (10) days from receiving the official announcement of the tender result, addressed to the person named in section 1 above, specifying the legal and factual grounds that justify their objection. The submitted objection will be examined by AIA s Objections Committee 6
