Chairman introduced all Directors which included the new Directors who have been appointed in the Dublin Wicklow, North East and South regions, subject to their ratification. The Chairman expressed his thanks to the 3 Directors who are stepping down Rod Murray (S), Michael McCoy (NE) and Pat Durcan (DW) and acknowledged their contribution throughout the years. The Chairman also thanked the staff of Hotel Kilkenny and NHI staff. Draft Minutes agreed and adopted of AGM 2012: Proposed: Geraldine Joy (Lisheen Nursing Home) Seconded: Trish Murphy (Deerpark Nursing Home) Adoption of Directors Report and Audited Accounts David Corboy, Director Midlands region & Chair of the Audit Subcommittee addressed the meeting and advised members that the Audit Subcommittee was formed in January 2013 to strengthen the governance of the organisation. It was reported that the Audit Subcommittee met with Lyons O Connell who have audited the financial statements of Independent Nursing Home Ireland Limited for the year ended 31 st December The financial statements comprise the income and expenditure account, the balance sheet, the cash flow statement and the related notes. It was confirmed that the accounts give a true and fair view of the company s affairs. The following points were noted: Reduction in surplus from 2011 which is mainly due to an increase in legal/professional fees and PR campaign in Budgets prepared for 2013 on breakeven basis Large increase in education/training budgets for each region due to the regional bursaries of 5,000 introduced for
3 Increased membership & non-member income Funds on deposit - 500,000 to mature in July 2013 & 200,000 to mature in 2015 Membership fees will not be increased & rebate to apply again in 2013 VAT disallowable has decreased Website costs increased due to re-design DC expressed thanks to John Lyons Auditor, Tadhg Daly NHI CEO, Zowie Farrell (NHI Accounts Administrator) & all staff in NHI. Particular thanks were expressed to Gearóid Brennan and Stephen Eustace for their assistance on the Audit Subcommittee. Matters Arising Motion to Adopt Directors Report and Audited Accounts Proposed: Seconded: Motion Carried Cora McNamara (Greenpark Nursing Home) Seamus Killeen (Willowbrook Lodge) Authorise Directors to fix Auditors remuneration / Appoint Auditors Proposed: Tom Murray (Cramers Court) Seconded: Jimmy O Keeffe (Borris Lodge) Motion Carried Ratification of 3 regional Directors elected by respective regions The following 3 Regional Directors have been duly elected to replace the 3 outgoing Directors: Dublin Wicklow region - Robert Fagan Ailesbury / Ashbury NH South region Diarmuid O Dalaigh Oaklodge NH North East region Keith Robinson Trinity Care Proposed: Eileen Gallagher (Ryevale Nursing Home) Seconded: Vicky McDwyer (Esker Lodge) Motion Carried Motions for Debate The motions received were discussed and debated with contributions from the floor: Motion Submitted by West Region (presented by Joe Stanley Caiseal Gael NH) Motion 1: That synopsis of Regional Meetings minutes be circulated to all members to identify common problems and foster a sense of solidarity and cooperation across the national organisation. 3
4 Motions Submitted by West Region (presented by Aideen Stanley Caiseal Gael NH) Motion 2: The involvement of HIQA with statutory authorities (e.g. Fire Officers, HSE, EHO s) needs to be expedited in order to standardise and agree on regulations pertaining to design and build of designated centres. Motion 3: HIQA should establish a dedicated unit to oversee and accredit new build and extension/refurbishment plans to ensure the provision of services appropriate to the clearly emerging demographic demand. Motion Submitted by West & Dublin North Region (presented by Aideen Stanley Caiseal Gael NH) Motion 4: That NHI continue to actively engage in ongoing negotiations with HIQA regarding the draft proposals for the implementation of Standard 25 in 2015, and its ramifications, taking into account the restrictions on funding available to Nursing Home Operators for renovations/extensions. There should be a further window negotiated to allow for compliance with standard 25. Motions Submitted by North East Region (presented by Fintan Farrelly Dealgan House) Motion 5: Themed workshops and evidence based standards in relation to practice development at the annual conference Motion 6: Programme for energy costs to negotiate group discounts even on a regional basis as a matter of urgency. Motion 7: NHI re-form their recruitment arm & address issues associated with getting nurses on adaptation placements MOTIONS CARRIED UNANIMOUSLY Motion 8: Incontinence products & HSE contract to be addressed in light of concerns that the quality of the product is inadequate in terms of absorbency. It seems to cause skin irritation and does not seem to enhance positive outcomes for residents. MOTION CARRIED Motions Submitted by Dublin Wicklow Region (presented by Anne Conlon Newtownpark House) Motion 9: More effective PR Motions Submitted by Dublin Kildare Region (presented by Maureen McNulty Marymount Care Centre) Motion 10: Proposal that the NHI make a commitment to engage with NTPF to have a suitably qualified clinician on staff who can appropriately assess the dependency levels of residents and staffing levels required in long term care residential units. 4
5 Motion Submitted by NHI Board of Directors (presented by Tadhg Daly NHI CEO) Motion 11: That the Nursing Committee Constitution as amended by the Board of Directors at its meeting on 29 th January 2013 be approved by the members. Motion Submitted by Dublin North Region (presented by PJ Murphy Hamilton Park) Motion 12: NTPF Independent appeals and Rules of Engagement (Strong representation for change required) Motions Submitted by South East Region (presented by Seamus Killeen Willowbrook Lodge) Motion 13: That NHI examine the new apparently regulatory approach being adopted by An Bord Altranais with a view to establishing the impact on the sector and the nursing staff operating therin. Motion 14: That NHI continue to pressure the NTPF to adopt a more realistic and logical approach to negotiations Motion 15: (Is it a legal requirement to sign the initial Action Plan that must be returned to HIQA with the factual Accuracy Check form when responding to the Inspection Report) That NHI engage with HIQA with a view to reviewing/altering this requirement on the basis that the inspection report, once changed by HIQA, becomes a new report and therefore one would think so do all attachments. The danger of signing the action plan prior to its completion is the assumed granting of permission to HIQA to publish it on the web in an incomplete state. Motion 16: (HIQA is introducing new departments within its structures such as Quality & Auditing and its Inspectors are being trained within these systems internally). That NHI engage with HIQA to convey a concern by many members that inspectors are inspecting against anticipated changes to existing standards and anticipated elevated standards prior to Nursing Homes being informed of these changes and elevated standards. Motion 17: That NHI informs HIQA that due to the negative engagement and lack of informative dialogue during inspections by some of its inspectors, the sector is losing many Directors of Nursing and senior staff and encountering great difficulty recruiting new senior staff to the sector. Following on from this situation, that HIQA be requested to encourage its inspectors to engage in more positive dialogue as practiced by its UK and European counterparts which includes feedback and suggestions to staff and generally adopts a more humane approach to senior staff whose intelligence and feelings are recognised more properly during the process of inspection. MOTIONS CARRIED UNANIMOUSLY AOB From the Floor 5 Tom Murray (Cramers Court) queried whether the 5,000 regional bursary for education/training was too small an amount and asked whether the amount was going to be subsidised. HM stated that the bursaries have been introduced to meet a local need for training in addition to the
6 national training days. Regions should also seek to get sponsorship for education days where possible. Diarmuid Ó Dálaigh (Oaklodge Nursing Home) advised of the following motions from the South region which were received by Head Office after the deadline date: NHI Board to set out a strategic plan Board to consider best of most appropriate legal entity for NHI going forward NHI newsletter to include research articles Concern re NTPF activity Consider all options to make it hard for NTPF in their work Consider expenses for Directors and Nursing Committee representatives CEO advised that the above points will be discussed by the Board. EGM CEO outlined the proposed amendment to Article 28 of the Memorandum & Articles of Association of the Company as notified to all members on 3 rd April Chairman closed the meeting at and advised members that it is the intention of the Board to hold the AGM in a different region each year 6
