1 Non-Pipeline Solutions RFP Frequently-Asked Questions Updated February 19, 2018 Capitalized terms used below have the meanings specified in the Non-Pipeline Solutions RFP and its attachments and appendices. Proposal Contents 1. Do Respondents need to identify partners and sub-contractors that will participate in implementing their proposal? Respondents are strongly encouraged to identify the specific partners and sub-contractors that will participate in project development, especially where the Respondent does not have in-house expertise, resources, or experience necessary to implement the proposed Measures. Including letters of commitment from partners as well as resumes from key individuals employed by partners and sub-contractors provides additional useful information for Con Edison during its proposal evaluation process. Where identification of specific partners or sub-contractors is not possible, Respondents should at a minimum express their intent to rely on partners or sub-contractors for the delivery of their proposal, and outline the envisioned scope of their involvement. 2. Does the cost of M&V need to be included in the compensation proposal? Yes. The cost of M&V should be included in your proposal where indicated on the Attachment A Questionnaire. Further information about M&V plan requirements appears in Attachment B of the RFP. 3. On the Attachment A Questionnaire, should funds that the Respondent expects to receive from other Con Edison energy efficiency programs be included Other Incentives or Funding Sources? Yes. Funding that the Respondent expects to receive from other Con Edison programs as well as New York State Energy Research and Development Authority programs and any other external sources of funding that will be used to implement the proposal should be listed in Column AC of the demand-side tabs in the Attachment A Questionnaire. Instructions regarding the use of such programs appear in Appendix B of the RFP. 4. Do team member resumes, financial statements, customer letters of engagement, and glossary of terms count towards the 50-page limit for proposals? Resumes, financial statements and customer letters of engagement may be included in an appendix to the proposal. Glossaries of terms should be part of the proposal and are subject to the 50-page limit. General Questions 5. How many persons participated in the Non-Pipeline Solutions webinars? 1

2 More than 100 persons participated in Con Edison s December 6, 2017 webinar and 130 participated in the January 24, 2018 webinar. Additional persons have viewed the presentation and/or listened to a recording since those dates. 6. What version of the W-9 should be submitted to qualify on Con Edison s Oracle procurement system? The latest version of the IRS s W-9 form, which was published in 2017, should be used. The webinar presentation erroneously stated that the latest version of the W-9 was published in For the correct version of the IRS form, see 7. How can a prospective Respondent confirm that it is already registered as a vendor in Con Edison s Oracle procurement system? Prospective Respondents interested in confirming their status as qualified vendors should send an to Non-PipesRFP2017@coned.com. Please include the legal name of the entity that has previously contracted with Con Edison. 8. Where can I obtain Con Edison s solar thermal and geothermal heat studies, which are referenced on page 34 of the RFP? Con Edison filed the studies with the New York Public Service Commission in late December They can be accessed via the following link: A628-1F8E4E8B4E91%7d. 9. When do you expect to select proposals and proceed to contract negotiations? We expect to make selections by the summer of At that point, a filing will be made with the New York Public Service Commission to confirm recovery of any amounts to be contributed by Con Edison through the Non-Pipeline Solutions RFP process. Contract negotiations may commence prior to the filing, but incentive payments and project activity will not commence until the filing has been approved. 10. Will Respondent s pricing proposals be made public? Respondents pricing proposal generally will not be made public by Con Edison; but, in certain circumstances, there is the potential that some public disclosures of information provided may occur due to required disclosures to regulators. When Con Edison is required by law or regulation to file or disclose to regulators information that may include Respondent s pricing proposal, Con Edison will take reasonable measures to avoid disclosures to the general public of Respondent s proposal in a form identifiable to Respondent. 11. Will Con Edison enter into a non-circumvention agreement? No. Con Edison treats the content of proposals received from bidders consistent with sound commercial practice and good faith. However, Con Edison does not create a new right of protection enforceable against Con Edison for content that is not protected or protectable as intellectual property, including, without limitation, a right of protection for ideas alone that would not meet a threshold for protection as intellectual property; nor does Con Edison create a right enforceable 2

3 against Con Edison for use of content otherwise known or available to Con Edison and others in the marketplace. 12. Page 24 of RFP indicates that each Respondent proposal should include a section entitled Respondent Qualifications and References (Section 3), but there are no further instructions. What should be included in that section of the proposal? Section 3 does not need to be included. Respondents qualifications and experience should be included in Section 2 of the response, as detailed on pages 17 and 25 of the RFP. 13. Will Con Edison providing data on heating source (e.g., oil, natural gas, heat pump) by building type for each zip code or smaller area within its service territory? No. Con Edison will not be providing comprehensive information regarding the heating source used in each premises in its service territory. 14. Can Respondents propose variants on their proposed approach in their RFP responses? Yes. Respondents may offer to increase or decrease their performance, depending on compensation. For example, a dispatchable resource could offer to be available for more days, to be activated more quickly, or provide a greater quantity of Relief, depending on the compensation provided. Proposals should be specific about levels of performance that would be provided and the compensation required. Eligibility 15. Is Con Edison interested in receiving proposals for direct install programs for energy efficiency and other demand-side measures? Yes. Con Edison envisions that some of the Proposals it selects will involve Respondents directly installing energy efficiency measures at consumer premises. Arrangements where a vendor has exclusive rights to market a particular technology or approach in a particular area will be viewed less favorably than programs that advance Con Edison s goal of using multiple vendors and technologies. 16. Can CNG/LNG storage installed at customer locations qualify for incentives under the RFP? Yes, subject to the other requirements and limitations outlined in the RFP. 17. Can customers participating in electric demand response programs offer to serve as demand response resources in response the RFP? Yes. In general, electric demand response measures are activated during summer months and gas demand response measures will be activated during winter months. Customers committing to serve as both a natural gas and electric demand response resource during winter months must be able to simultaneously reduce their gas and electric load. 18. The RFP indicates that only proven solutions will be considered. What is a proven solution? Proposals must rely on commercially-proven technologies that are widely accepted and deployed. Respondents may propose new approaches employing proven technologies. The RFP is not soliciting proposals for research and development or demonstration projects. 3

4 19. Are operations and maintenance measures eligible for incentive funding under the RFP? No. 20. Are industry training programs eligible for incentive funding? Respondents may request funding for training expenses that are incidental to the completion of a project. However, incentives will not be provided to support projects focused principally on training. Funding for industry training programs is potentially available through the New York State Energy Research and Development Authority, the City University of New York, The Mayor s Office of Sustainability, and other sources. 21. For demand-side measures, do Respondents need to provide the specific customer addresses at which they will perform work as part of the proposals they submit on March 1, 2018? No. Respondents may include a customer acquisition and marketing plan as part of their proposals, as detailed on pages 18 and 19 of the RFP. Respondents choosing to acquire customers after submission of their proposals will enter into a Program Agreement that permits them to identify project locations as customers are acquired. Respondents may also opt to include letters of engagement from customers that will make their premises available for the deployment of solutions. Preference will be given to proposals supported by such customer agreements. 22. Can Respondents propose to reduce steam customer load as a means of providing Relief to the natural gas system? No. Reducing Peak Day steam load does not reduce Con Edison s need for additional natural gas pipeline capacity to serve firm gas customers. 23. Is Con Edison interested in projects that can provide Relief prior to 2023? Yes. Proposals providing Relief prior to the Winter of enable Con Edison to avoid costs associated with Delivered Services. In addition, projects targeting an in-service date prior to the Winter of may be less likely to have their in-service date delayed beyond 2023 by permitting or other delays and may therefore be additionally attractive to Con Edison. 24. Is Con Edison interested in proposals for propane-air facilities or deliveries? No. Con Edison does not utilize propane-air, because of concerns about gas quality and heating content. 25. Can natural gas storage measures include onsite trailer storage or other mobile storage? Storage proposals may include mobile storage as well as more permanent installations, provided the Respondent can secure needed permits from the relevant regulatory bodies. 26. Will proposals to switch firm gas load to wood heating be considered? No. Increases in the end use of wood, like increases in end use of fuel oil, propane and other fuels prohibited under the RFP, would not be consistent with area goals to reduce emissions of nongreenhouse gas pollutants, such as particulate matter. 4

5 27. Is Con Edison interested in turnkey projects? Con Edison strongly prefers that third-parties own and operate Measures to be provided under the RFP, other than interconnection facilities for local supply Measures that are located on public rights of way. 28. Do RNG developers need to demonstrate that they have a contract for a waste stream(s)? This is not a specific requirement, but the RFP specifies that project risk will be a criterion used to evaluate proposals. Respondents are encouraged to limit the risk associated with their projects, wherever possible, including risks associated with procuring waste to be processed into RNG. If a waste stream has not been procured, Respondents should describe the steps that they have taken and will take to obtain waste feedstocks. Selection 29. Will potential impacts of projects on Con Edison s electric transmission and distribution system be considered during the evaluation of Proposals? Con Edison will consider the positive and negative impacts of Proposals on its electric system, especially with respect to constrained distribution networks. Respondents are encouraged to highlight any relief that their projects will provide for Con Edison s electric system during summer peak periods. 30. What is the relative value that Con Edison places on Measures undertaken in each Zone? Zones 1 and 2 are the focus of the RFP. Although Measures in Zone 1 provide slightly more value than in Zone 2, particularly if completed by November 2020, Con Edison encourages Respondents to consider projects in both Zones 1 and Will Con Edison evaluate a potential supplier s ability to procure equipment in support of its proposed project? Con Edison will consider Project Risk as part of its evaluation of proposals, including risk associated with the procurement of equipment and the financial capability of the proposer to access capital needed to procure equipment. Respondents are required to detail all major milestones associated with their projects in their project timelines. For large projects or projects relying on equipment that may be difficult to procure, the timeline should include equipment procurement and outline a plan to mitigate any procurement challenges. Depending on the type of Measure proposed, equipment procurement may be included as a binding milestone in the Respondent s Program Agreement. Respondents that have already procured equipment critical to the success of the proposal should indicate that they have done so. 32. If a Respondent proposes multiple projects, will the projects be evaluated and selected individually or only as a group? Respondents must provide information about each of the Measures that they are proposing to undertake in the Attachment A Questionnaire. The planned Measures may be evaluated by Con Edison individually and as a group. Con Edison may seek to contract with the Respondent to proceed with all or only a portion of the proposed Measures. 5

6 Funding 33. Are customer contributions required or will Con Edison fund 100% of project costs? Cost and cost-effectiveness will be an important criteria utilized in the evaluation of proposals. Con Edison encourages Respondents to use outside funding sources, including customer contributions, to the maximum extent possible. Con Edison will, however, consider proposals that require Con Edison to fund 100% of project costs. 34. Can Respondents utilize funding from other incentive programs? Respondents generally may utilize funding through other programs operated by Con Edison, the New York State Research and Development Authority, and other sources. The terms of the RFP require Respondents to disclose these additional sources of funding. Further information, including restrictions, is provided in Appendix B of the RFP. Measurement and Verification 35. Will performance of demand-side measures be estimated based on the New York Technical Resource Manual, metered data or some other means? Respondents are required to submit a measurement and verification plan, and may choose to rely on the Technical Resource Manual, utilize metered data or propose other baselines and performance measures. In general, Con Edison prefers to rely on metered data where available. Where such data is not available, established baseline methodologies are preferred if they can be reasonably applied to the measures to be undertaken. 36. Will the performance of energy efficiency measures need to be verified through annual M&V measures, such as billing analysis, to confirm that reductions continue? Con Edison generally expects non-dispatchable energy efficiency measures to continue to provide Relief for each Measure s normal useful life. Con Edison requires an initial verification that measures have been installed and function properly. Con Edison reserves the right to verify the performance of energy efficiency measures during the contract term. Compensation and Obligations 37. What are the specific requirements against underperformance and what forms of security are permitted? The specifics of Con Edison s standard terms and conditions appear in the illustrative Program Agreement appended to the RFP, and are similar to those employed for Con Edison s non-wires solutions program. For non-dispatchable measures (e.g., most energy efficiency measures), a security posting will generally not be required. For dispatchable measures, such as storage, a security posting may be required to guarantee performance. Respondents required to post security must provide a letter of credit, cash collateral, or other form of security acceptable to Con Edison. 38. What is the form and timing of compensation? 6

7 Compensation will generally be provided as a capacity-style payment, i.e., on a $ per Dt of Peak Day load reduction or local supply capacity enhancement. Some measures, such as supply-side projects, may also compensated for energy provided on a volumetric basis ($ per Dt). Con Edison generally provides compensation for installation of energy efficiency measures upon verification that the installation is complete. For dispatchable measures, some or all compensation may be provided after performance has occurred and has been verified. 39. Can Respondents propose alternative compensation structures from those delineated in the Attachment A Questionnaire? Yes, Respondents may propose an alternative compensation structure, provided that the structure is clearly described in the Respondent s proposal. However, Respondents should be aware that the approaches outlined in RFP and related documents represent approaches that are most likely to be acceptable to Con Edison. 40. What level of compensation is Con Edison willing to provide and what should Respondents bid? Con Edison s reserve price and its potential avoided costs are commercially-sensitive information that will not be disclosed. Respondents are encouraged to evaluate their own costs and risks, and to provide their best bid to ensure that they are selected in the competitive RFP process. 41. Should Respondents review and offer modification to the terms and conditions described in the RFP and related documents at the time of proposal submission? Yes. Respondents should indicate any special terms and conditions that they require, especially where they depart from the standard terms and conditions described in the RFP and the illustrative Program Agreement appended to the RFP. 42. Con Edison has indicated that compensation and security requirements may differ for dispatchable measures. What kinds of measures are dispatchable? A dispatchable resource is a resource that provides a level of Relief that is largely under the control of the occupant or operator of the premises at which the resource is located. Dispatchable resources include remote-controllable thermostats and other demand response measures, controllable energy storage, and CNG/LNG deliveries. Examples of non-dispatchable solutions are weatherization projects and the replacement of a gas boiler with a cold climate electric heat pump, where there is no back-up source of space heating. 43. Are there any exceptions to a Respondent s commitment to provide Relief, such as under circumstances beyond its control? Respondent proposals should discuss any contingencies or other departures from the Program Agreement appended to the RFP that materially impact the ability of the proposal to provide Relief. Con Edison strongly encourages Respondents to keep such contingencies to a minimum, since only firm commitments will enable Con Edison to meet its objectives. Proposals with unacceptable contingencies may not be selected by Con Edison. 44. Will Con Edison extend performance contracts beyond 2023 for longer-lasting Measures? 7

8 Unlike Con Edison s Non-Wires Solutions RFPs, the Non-Pipeline Solutions RFP does not identify a specific end date for all contractual commitments. Respondents may propose contract terms of 5 years or more for most measures (3 year or more for demand response), and may request contractual commitments extending beyond 2023, as detailed in the RFP. Respondents may also propose to permit future contract extensions. However, Con Edison may or may not agree to include contract extension options, at its discretion. Respondents are advised that Con Edison will not agree to a contract extension exercisable solely at a Respondent s discretion. 45. Under the terms of the illustrative Program Agreement, are underperformance fees assessed based on the total performance commitment or only on the shortfall in performance? The illustrative Program Agreement assesses an underperformance fee for any shortfall in performance. 46. Are RNG developers permitted to retain RINS credits? Respondents seeking to develop and RNG facility are permitted to retain RINS credits, as explained on page 30 of the RFP, but should explain how they plan to monetize the credits. Con Edison would consider RINS revenues as an external source of funding for the proposal and as such proposers should quantify the expected revenues in their proposal. For informational purposes, Con Edison sells or uses a total of approximately 35,000 to 40,000 dt per year at the eight CNG vehicle fueling stations it operates within its service territory and does not currently claim any RINS associated with its own CNG fleet. Performance 47. How much advance notice will be provided to dispatchable resources (e.g., demand response, CNG/LNG storage) before they are activated and must perform? Respondents proposing dispatchable resources should indicate the number of hours of prior notice they will require to activate their local supply or demand-side resources. Resources that can be activated with the shortest notice provide the greatest value to Con Edison, because they can assist in responding to operational events in addition to mitigating the need for new interstate gas pipeline capacity. Respondents may offer to reduce or increase proposed compensation depending on the specific notice period agreed upon. 48. Are local supply providers required to provide supplies during each hour of the 24-hour gas day? Respondents proposing local supply measures may propose an approach that will allow Con Edison to dispatch the local supply resource evenly in all or nearly all of the hours of the gas day, or may propose availability for a limited number of hours per day. However, operational constraints on Con Edison s gas distribution system are likely to limit the benefits of local supplies that are available for only a limited number of hours per day. 49. For dispatchable resources, are there any changes in compensation or requirements if Peak Day conditions do not occur during a particular winter season? Dispatchable resources must be able to provide at least 5 days during each winter season, including at least 3 consecutive days. They may be called upon to perform for some or all of their contracted 8

9 capability, regardless of whether Peak Day conditions actually occur. To the extent that compensation is provided in the form of a capacity-style payment, resources will be compensated with this capacity-style payment even if they are called upon to perform in fewer than the required 5 days (or fewer than the 3 required consecutive days). 50. Can a Respondent utilizing a dispatchable resource offer to provide a higher level of Relief for shorter durations than the minimum required in the RFP (i.e. higher levels of performance for less than 5 days or less than 3 consecutive days? All proposals must commit to provide at least 5 days of Relief (including 3 consecutive days) on days designated by Con Edison during the winter season. For planning purposes, Respondents should assume that the days designated by Con Edison are likely to be the coldest days and may include a Peak Day, as defined in the RFP. However, Respondents may offer Con Edison an option of receiving additional Relief if the number of days when Relief is provided is shortened. For example, a Respondent could offer to provide 250 dt of Relief for 5 days (including 3 consecutive days) or a separate option to provide 1,250 dt of Relief for one day with at least four days during which the resource would be unavailable. Under this approach, Con Edison would have the option of activating the resource during the winter season for either one day or 5 days (including 3 consecutive days). Project Development 51. Will Con Edison identify potential injection sites and provide interconnection facilities for local gas supply resources? Prospective Respondents seeking to provide CNG, LNG, or Renewable Natural Gas should include the cost of interconnection in their proposals. They are encouraged to work with Con Edison s Gas Engineering Department to identify appropriate locations to inject natural gas supplies and discuss interconnection requirements. Renewable Natural Gas developers can also request a copy of the Interconnect Guide for Renewable Natural Gas (RNG) for New York State developed by Con Edison and other local distribution companies in New York State. Will Con Edison identify the specific volumes of incremental supply or load reduction needed in each section of its gas system? No. The exact quantity of relief needed on each area of Con Edison s system is sensitive information that will not be disclosed. However, aggregated customer load information regarding each value zone identified in the RFP appears in Table 1 of the RFP and may provide useful guidance. Please note that the value zones defined in the RFP are intended for general guidance only. The impact of specific projects within each zone may vary for the reasons discussed in the RFP. 53. Will electrification of space or water heating be limited by constraints on Con Edison s electric transmission and distribution system? Con Edison s peak electric demand period generally occurs during summer months. In general, Con Edison does not expect that electric transmission and distribution capacity constraints will limit 9

10 development of electric space or water heating applications proposed as Non-Pipeline Solutions under the RFP. Respondents are required to quantify expected changes in customer electric load so that Con Edison can conduct further analysis as part of its evaluation process. 54. Will milestones be mutually developed between respondent contracting with Con Edison and Con Edison? Development milestones will be mutually agreed upon by Respondents and Con Edison. Respondents should provide list of milestones as part of their detailed project timeline (see page 19 of the RFP). 55. Does Con Edison require the presence of technicians at customer or supply-side facilities? Con Edison does not have specific requirements regarding technicians at this time. However, all customer and supply-side facilities must comply with applicable laws and regulations, and should operate in accordance with accepted industry practices. 56. Can project work begin before a contract is signed? Project construction to be funded by Con Edison should not begin until a contract has been executed. Incidental work required for the timely completion of a project, such as submission of permit applications or securing customer commitments, may occur prior to that time. 57. What are Con Edison s gas quality specifications for local gas suppliers? Con Edison does not have detailed gas quality requirements, and will work with Respondents to identify appropriate benchmarks. In general, Respondents should expect that the gas they inject into Con Edison s gas system must be processed and odorized, and should be of sufficient quality to enable Con Edison to maintain a gas stream consistent with its historical deliveries to customers. Depending on the location, type and volume of the interconnection, suppliers may be able inject supplies that differ, to a limited extent, from the historical gas stream. Historically, the heating content of gas delivered by Con Edison has typically ranged between 1025 and 1030 BTU/scf and its Wobbe Number has been approximately Please provide a comprehensive listing of Con Edison properties that are available for local gas supply projects. Con Edison does not plan to provide a comprehensive listing of its properties or make recommendations regarding the properties that may be utilized. Respondents should work to identify locations for their projects, based on their own research and individual project requirements. Respondents that identify a particular Con Edison property as a potential location to develop their project are encouraged to contact Con Edison to discuss property availability and leasing terms. 59. Can local water sources, including ground-water, lakes, rivers and ocean be used for heat transfers to and from customer premises? Con Edison s geothermal heat study, which was filed with the New York Public Service Commission provides some information about suitability of local ground-water sources for geothermal heat installations (Link to Study). The use of ground-water and other water bodies may be restricted or 10

11 subject to government permitting requirements. Respondents are strongly encouraged to research those restrictions and to address them in their proposals. 60. Will Con Edison provide customer segment and volume information by town? Aggregated information for each town in Zones 1 and 2 is provided as an attachment to this FAQ. Please be advised that town boundaries may not exactly correspond to the constraints on Con Edison s gas system, as discussed in the RFP. 11
