GRANT INFORMATION Alberta Retired Teachers Charitable Foundation 11835 149 Street NW Edmonton, AB T5L 2J1 General Grant Focus: The Alberta Retired Teachers Charitable Foundation s (ARTCF) mission is to support Alberta seniors in the pursuit of appropriate health care, accommodation and English as a second language. Geographic Area of Grant Focus: ARTCF funds grants to organizations and programs incorporated and delivering services in Alberta. Types of Support: ARTCF considers funding for programs that provide services to seniors in the areas appropriate health care, accommodation and English as a second language. Funding is favored for programs and resources focused primarily on seniors needs. Grant Duration: ARTCF grants are awarded for a limited period of time and most grants will be limited to one year in duration. Multi-year funding will be considered on an exceptional case by case basis. Funding Amounts: While requests are reviewed on a case-by-case basis, applicants should note that as a general practice, ARTCF does not fund the total cost of a capital, program, or capacity building budgets. Requests should be proportional to the amount of the specific capital, program, or capacity building budget, or in the case of core support, the size of the agency s operating budget. Applicants should request a grant amount that is consistent with a thoughtful and sustainable fund raising strategy. The information below is intended to provide general guidance. Based on individual circumstances, the Foundation s Board of Directors will use flexibility and apply individual judgment to each request. Applicant Eligibility: An organization that is certified as a Charitable Foundation under Revenue Canada s eligibility criteria is eligible for consideration. The Foundation does not fund organizations and programs outside of Alberta. GRANT GUIDELINES Philosophy: ARTCF funds programs and projects that show promise of strengthening Alberta s senior community beyond the grant period. We respond to programs and projects that offer maximum community impact to achieve long-term results. The applicant must be an active registered charity and found on the Government of Canada - Charities Directorate - Charities Listing. The organization must not be listed on the charities listing as in a revoked, annulled or suspended state. https://www.canada.ca/en/revenue-agency/services/charities-giving/charities-listings.html Audited Financial Statement or its equivalent must be included in the application in order to be considered in the process. Applications without this information will be rejected. Applicants must be a public charity in existence for a minimum of three years. All programs must address issues, concerns or opportunities by organizations incorporated and delivering services in Alberta. 3
Funding Parameters: Proposals may be awarded partial or full funding. Types of Grants: Program must advance the mission of the ARTCF in the following program categories: Health Care: ARTCF is dedicated to helping seniors in Alberta get the resources they need with medical and health care concerns like Parkinson s, Alzheimer s and more. Housing: ARTCF advocates for and provides support to charities that help seniors get the proper accommodations and housing they need to give them the comfort they require and deserve. English as a second language for seniors: ARTCF recognizes that not everyone in Alberta speaks English as their first language, so we re dedicated to helping seniors advocate and communicate for themselves on important issues by broadening the information and programs available. Successful applicants will be asked to sign a Grant Agreement document. A Copy of that document is included for your review. 4

THIS GRANT AGREEMENT dated, 2017 (the Effective Date ) is between: Alberta Retired Teachers Charitable Foundation of 11835-149 Street Edmonton, AB (registration number 82447 9588 RR0001) (the Foundation ) AND NAME OF RECIPIENT [INSERT ADDRESS] [insert CRA Registration Number]: (the Grantee ) WHEREAS the Grantee has applied for a grant from the Foundation and has submitted a proposal for the Project (as herein defined), a copy of which is attached as Schedule A to this Agreement (the Proposal ); AND WHEREAS the Grantee is a qualified donee as defined in Subsection 149.1(1) of the Income Tax Act (Canada) who provides housing and health services to seniors in Alberta; AND WHEREAS the Foundation has approved the Proposal and has determined that it will provide a grant from the Fund to the Grantee in the amount of $ [NTD: please confirm the amount] (the Grant ) subject to the terms and conditions set out in this Agreement. NOW THEREFORE in consideration of the terms and conditions of this Agreement and in consideration of the Foundation providing the Grant to the Grantee, the Grantee and the Foundation (collectively, the Parties ) agree as follows: 1. Definitions. In this Agreement: (c) Act means the Income Tax Act (Canada) and all amendments and regulations thereto; Agreement means this Grant Agreement; Foundation Marks means the trademarks and logos of the Foundation set out in Schedule C and such other content, trademarks or logos that the Foundation may approve in writing as being licensed to the Grantee for the purposes described in this Agreement; (d) Grant Period means the period commencing on and ending on [insert relevant dates]; (e) Grantee Marks means the trademarks and logos of the Grantee set out in Schedule B and such other content, trademarks or logos that the Grantee may approve in writing as being licensed to the Foundation for the purposes described in this Agreement; and 7
2 (f) Project means the purpose, as described in the Proposal, for which the Grant is being provided. 2. Grant. Provided that a copy of this Agreement executed by the Grantee is returned to the Foundation no later than, [insert deadline for returning signed agreement], the Foundation agrees that it will pay to the Grantee the amount of the Grant. [NTD: Confirm whether the Grant will be paid in one lump sum or in installments.] 3. Use of the Grant. The Grantee agrees that it will use the Grant only to fund the Project in accordance with the Proposal and the timeline set out in the Proposal. Unless the Foundation has provided its prior written approval to the Grantee, no portion of the Grant may be used for any other purpose without obtaining the prior written approval of the Foundation. The Grantee confirms that it will not make any changes, modifications, additions, deletions or amendments to the Proposal except with the prior written approval of the Foundation. 4. Unexpended Funds. The Grantee agrees that it shall promptly return to the Foundation (without deduction or setoff) any funds which have not been expended for the Project (the Unexpended Funds ) upon the earliest to occur of the following: On [NTD: confirm expiry date of the Grant period]; Upon termination of this Agreement in accordance with Section 18; or (c) If the Project is not commenced by [insert date]; 5. Prohibited Activities. The Grantee agrees that no portion of the Grant will be used for any political campaign, or to support attempts to influence legislation by any governmental body. 6. Reporting. The Grantee will submit an annual report (each, an Annual Report ) to the Foundation in respect of each calendar year that the Project is ongoing [NTD: Confirm the Project will continue for more than a year] within three months of the completion of the relevant calendar year. Each Annual Report shall include, at a minimum: (c) (d) a narrative description of the Project; detailed information regarding Project objectives and milestones, including the number of seniors in Alberta who benefitted from the Project, the social impact of the Grant and the specific ways in which the Foundation was publicly recognized for the Grant during the calendar year; in respect of the Annual Report following the completion of the Grant Period, an overall assessment of the impact of the Grant on the Project; and such further and other information and documents reasonably requested by the Foundation in writing. 7. Accounts and Recordkeeping. The Grantee will: be responsible for the expenditure of the Grant and for maintaining in accordance with generally accepted accounting principles, books and records regarding the Project (including documents which support the expenditure of the Grant); 8
3 (c) maintain copies of any books and records kept in connection with the Grant for a period of at least five years after the expiry or earlier termination of the Grant Period; and make the books and records maintained by the Grantee available for inspection by the Foundation on request and shall permit the Foundation to inspect the premises at which the Project is carried out and to observe the conduct of the Project, provided that such observation and inspection visits will be scheduled with the prior approval of the Grantee, which approval shall not be unreasonably withheld or delayed. The Foundation shall be responsible for any expenses of the Foundation in making such inspection or observation. 8. License to use the Grantee s Marks. The Grantee by signing this Agreement confirms that the Foundation and the Alberta Retired Teachers Association may use the Grantee s name, Grantee Marks, details of the Project and details of the Grant in any prints, electronic or web based materials prepared by the Foundation for information or promotional purposes, including but not limited to the website of the Alberta Retired Teachers Association, the newsletter published by the Alberta Retired Teachers Association and any other materials published by the Alberta Retired Teachers Association or the Foundation. The Grantee hereby grants to the Foundation and to the Alberta Retired Teachers Association a nonexclusive, royalty-free and non-assignable license to use and display the Grantee s Marks included in Attachment B for the purposes described in this Clause 8. 9. License to use the Foundation s Marks. The Foundation grants to the Grantee during, but not after, the time period that this Agreement remains in effect, a non-exclusive, royalty-free and non-assignable license to use and display the Foundation s Marks attached in Attachment C for the Grantee s publications and promotional materials (whether printed, electronic or web based) relating to the Project, provided that the Foundation has provided its written approval of such materials. 10. Infringement. The Grantee will not infringe or violate, or cause the Foundation to infringe or violate, any third party s rights (including intellectual property rights). 11. Proprietary Rights. Nothing in this Agreement gives either party any ownership interest in or to any of the other party s name, marks or logos. All the benefit and goodwill associated with the use of a party s trade-mark, name or logo by the other party will enure entirely to the owner s benefit. 12. Public Announcement. All notices to third parties and all other publicity concerning the Grant shall be jointly planned and coordinated by both Parties and no Party shall act unilaterally in this regard without the prior written approval of the other Party except where required to do so by law; 13. Advertising and Image. Neither party will, directly or indirectly do, or cause to be done any act that may in any way jeopardize or adversely affect the validity of the other party s trademarks or the other party s rights in and to those trade-marks. 14. Publications and Promotional Material. The Grantee agrees that: 9
4 the Foundation s prior written approval is required for any publication by the Grantee or any third party (including any printed, electronic or web based material) referencing the Foundation, any of its affiliates or members, or the Grant; and all publications or promotional materials (whether printed, electronic or web based material) relating to the Project shall include the following acknowledgment: [Grantee] gratefully acknowledges the financial support of the Alberta Retired Teachers Charitable Foundation, a registered charity serving seniors in Alberta. The Foundation builds permanently endowed charitable funds for the changing needs and opportunities of seniors in Alberta and provides grants to eligible charitable organizations (qualified donees within the meaning of the Income Tax Act (Canada)) in the health and education sectors of the community. 15. Status of the Grantee as a Qualified Donee. The Grantee hereby confirms that it is a qualified donee within the meaning of the Act. The Grantee agrees to provide such further and other documents to Canada Revenue Agency as may be required to confirm the Grant from the Foundation. 16. Compliance with Applicable Laws. The Grantee agrees to comply during the Grant Period with all applicable laws, regulations and orders, as well as with any applicable binding or non-binding guidance, directions or policies issued by the Canada Revenue Agency. 17. Indemnity. The Grantee agrees to indemnify and hold harmless the Foundation, its directors, officers, employees, affiliates, members, successors and assigns against and in respect of any loss, damages, claim, cost or expense whatsoever, including any and all incremental out of pocket costs (including reasonable legal fees) which may be suffered or incurred by the Foundation, its directors, employees, affiliates, members, successors or assigns as a result of: (c) any act or omission of the Grantee or its directors, officers, shareholders, employees, affiliates, members, successors and assigns in carrying out the Project; the negligence or willful misconduct of the Grantee; or any breach by the Grantee of this Agreement. 18. Termination. This Agreement will terminate on the earliest to occur of the following: (i) (ii) (iii) (iv) the Grantee breaches any of its obligations under this Grant Agreement and does not cure such breach within 30 days after the Foundation delivers notice of the breach; the Grantee ceases to be a qualified donee, as such term is defined in the Act; the Project is cancelled; or if the Grantee is involved in or associated with activities which, in the Foundation s opinion, acting reasonably, has caused or could cause serious damage to the Grantee s reputation or to the reputation of the Foundation. 10
5 The Grantee shall promptly notify the Foundation in writing upon the occurrence of either (ii) or (iii) above. 19. No Further Grants. Notwithstanding any other provision in this Agreement, nothing shall be construed so as to require the Foundation to provide any further or other grants, financial support or amounts to the Grantee or to any other entity. 20. Governing Law. This Agreement shall be governed by the laws of the Province of Alberta and the laws of Canada applicable therein. The Parties attorn to the exclusive jurisdiction of the Alberta courts. 21. Notice. Any notice contemplated by this Agreement, to be effective, must be in writing and will be considered to have been given if delivered by hand, transmitted by fax transmission or mailed by prepaid registered mail to the recipient s address or fax number specified below. Miscellaneous. The parties agree that: (c) (d) (e) (f) words in one gender include all genders, and words in the singular include the plural and vice versa; the use of headings in this Agreement is for convenient reference only and will not affect how this Agreement is interpreted; any reference to a section, paragraph or schedule is to the relevant section, paragraph or schedule of this Agreement; all references to money amounts in this agreement are to Canadian currency; the Parties are independent contracting parties and nothing in this Agreement makes either party the partner, joint venturer, agent, trustee, employee or legal representative of the other; in the event of an inconsistency between this Agreement and the Proposal, this Agreement shall govern; 11
6 (g) (h) (i) (j) (k) (l) (m) a waiver of any term of this Agreement or of any breach of this Agreement is effective only if it is in writing and signed by the Parties and is not a waiver of any other term or any other breach; they will execute such further and other documents and to take such further and other actions as may be necessary or desirable to implement the purpose of this Agreement; no modification of this Agreement is effective unless it is in writing and signed by the Parties; this Agreement constitutes the entire agreement between the Parties regarding its subject-matter and supersedes all prior agreements, understandings, negotiations and discussions between the Parties; this Agreement may be executed in counterparts and by facsimile or other electronic format, and each executed counterpart will be considered to be an original and all executed counterparts taken together will constitute this Agreement; this Agreement enures to the benefit of and is binding upon the parties and their respective successors and permitted assigns. Neither Party will assign or transfer all or any part of this Agreement, or all or any of its rights under this Agreement, without other Party s prior written consent (which will not be unreasonably withheld or delayed); and the following Schedules are attached to and form part of this Agreement: Schedule A - Proposal Schedule B - Grantee Marks Schedule C - Foundation Marks 23. Authority. Each Party confirms that it has read this Agreement and that the person(s) executing this Agreement on its behalf is (are) authorized to bind that party.
