Pac-12 Television Summary PAC-12 FOOTBALL TELEVISION AGREEMENTS Term: Agreements with ESPN (ABC, ESPN, ESPN2, ESPNU) and FOX (FOX, FS1) are 12-year deals that began July 1, 2012, and run through the 2023-24 academic year. The 2018-19 season is Year (7) of the agreements. Pac-12 Networks has multi-year agreements with various affiliate providers. Regular Season Football Games ESPN and FOX - 44 total games, 22 each. Pac-12 Networks Pac-12 Networks will televise all remaining football games where Pac- 12 controls media rights, as well as all spring football games. Football Championship FOX will televise the football championship game in 2018 and ESPN will televise the game in 2019, and it will alternate thereafter. PAC-12 MEN S BASKETBALL TELEVISION AGREEMENTS Term: Agreements with ESPN (ESPN, ESPN2, ESPNU) and FOX (FOX, FS1) are 12-year deals that began July 1, 2012, and run through the 2023-24 academic year. The 2018-19 season is Year (7) of the agreements. Pac-12 Networks has multi-year agreements with various affiliate providers. Regular-Season Men s Basketball Games ESPN 46 games, includes 2 games sublicensed to CBS. FOX 22 games. Pac-12 Networks Pac-12 Networks will televise all remaining men s basketball games where Pac-12 controls media rights, including select exhibition games. Men s Basketball Tournament In years 1, 3, 5, 7, 9 and 11 of Agreements, ESPN will televise one (1) quarterfinal game, one (1) semifinal game and the championship game. In years 2, 4, 6, 8, 10 and 12 of Agreements, FOX will televise one (1) quarterfinal game, one (1) semifinal game and the championship contest. In 2019, ESPN will have rights to the Tournament games and in 2020, FOX will have rights to the Tournament games. Pac-12 Networks will televise the other eight (8) tournament games. 4
OTHER EVENTS TELEVISION AGREEMENTS Term: Agreement with ESPN (ESPN, ESPN2, ESPNU) is for 12-years and began July 1, 2012, and run through the 2023-24 academic year. The 2018-19 season is Year (7) of the Agreement. Pac-12 Networks has multi-year agreements with various affiliate providers. Regular Season Events ESPN o 15 events in addition to football and men s basketball, as noted above. Pac-12 Networks o 850 events, including football and men s basketball, as noted above Institutional Streaming (Pac-12 Plus) o The institutions have the opportunity to stream any remaining events, distributed minimally via Pac-12.com/Pac-12 Now. These events must be produced using Pac-12 Plus graphics packages provided by Pac-12 Networks. The Pac-12 reserves the right to also stream these events through additional channels at its sole discretion. In the 2018-19 season, some of the Pac-12 Plus events will additionally be distributed on Facebook, Twitter or YouTube and may include the following sports: soccer, volleyball, gymnastics, baseball, ice hockey, swimming & diving, softball, track & field, wrestling, lacrosse, tennis, and water polo. These events will be produced by each campus and streamed through the Pac-12 Now App and Pac-12.com. Streaming Guidelines for Pac-12 Athletic Departments (these guidelines should be followed to best position your live streams for simultaneous delivery via Twitter, Facebook, and/or YouTube streaming platforms) Video source should be delivered in compliance with the Pac-12 s published live stream encoding specifications Streaming broadcast should include announcers Streaming broadcast should include multiple cameras ideally including one that can capture close up / hero shots (preference is to avoid fixed/mounted cameras) Streaming broadcast should incorporate graphics using the Pac-12 supplied graphics package/equipment, including the Pac-12 Plus watermark Preference is for replay capability and broadcast level lighting Production Contact: Laura Podolak, Sr. Director, Content Production, lpodolak@pac-12.org / 415-580-4428) Technical Contact: Bjorn Estlund (bestlund@pac-12.org / 425-577- 9746) EXCEPTIONS o Invitational Events Events that include prospects (per NCAA definition) competing along with collegians on an institution s campus shall be exempt. The Pac-12 cannot, per NCAA rules, air the event and the institutions shall be 5
permitted to license such events to third parties. o Non-Pac-12 Championship Events Events that are controlled by outside governing bodies that are part of NCAA post season, MPSF championship events and ITA championship events are not owned by the Pac-12. Institutions are permitted to license such events to third parties. o Institutional Site, Multi-Team Non-Conference Events. Institutions that host multi-team non-conference events own the rights to the games or matches in which the Pac-12 does not compete. Example: a volleyball tournament that features only one Pac-12 team on a Pac-12 campus, the host institution may license the rights to a third party all the matches in which the Pac-12 team does not compete. o Neutral Site, Multi-Team Events - Any regular-season neutral-site event (excluding football) involving four or more teams that results in at least two contests and: The multi-team event is conducted annually on a continual basis; A member institution does not participate or agree to participate in the multi-team event other than occasionally; and Different member institutions have not participated or agreed to participate in the multi-team event from year to year on a basis that provided or would provide a regular Conference representative in such event. The audio and video rights to affiliate contests associated with these neutral-site events that are hosted by a member institution on its campus or played in the Conference s territory (i.e., within the states where the member institutions are located), shall be retained by the Conference (with the exception of the preseason men s and women s basketball NIT) Other than as outlined above, no other third-party entity shall be permitted to distribute any video transmission (including without limitation Internet transmission or dissemination), involving any member institution competition(s) where the participating member controls audio and video rights. 6
Pac-12 Institutional Magazine Show Version 7.20.18 Communication and collaboration with Pac-12 Network should be had as soon as possible, and before any agreements are entered into. Pac-12 Networks (Dustin Rocke, VP Programming and Development, drocke@pac- 12.org) must give final approval for airings on a non-pac-12 Networks channel(s) at least 30-days in advance. All costs and clearances are the responsibility of the University. The Program may not be referred to as 'coaches show'; magazine show would be an acceptable reference for the Program. The Program shall be non-exclusive; Program must be made available to air on Pac-12 Networks. Program will be limited to no more than a total of 3:00 of Pac-12 controlled footage (e.g. game highlights) per episode. Sponsorship cannot be integrated into the Program (i.e. episodes are to be delivered to Pac-12 Networks without any sponsorship elements). Pac-12 Networks must be offered two (2) 30-second promotional spots for each airing off-channel; the institution retains the remaining commercial inventory. Each episode aired on a non-pac-12 Networks channel must promote applicable upcoming Pac-12 Networks live events and correlating tv/streaming information, when applicable. Pac-12 Network will control 100% of the commercial/promotional inventory for all episodes airing on Pac-12 Networks, but institution and Pac-12 Network may work together to bring advertiser or sponsor on board. Programs of this type will not preclude Pac-12 Networks from producing a show with similar content/access Pac-12 Networks reserves the rights to have exclusive category sponsorship (i.e. Goal is to not compete against revenue generating opportunities by Pac-12 Networks on behalf of the 12 schools.). 7

Pre-Game Protocol Each institution establishes its own pre-game countdown and coordinates kickoff time with Pac-12 television partner producing the game. Please note the following: A pregame countdown sheet shall be provided in each team s locker room. The use of the playing field shall be confined to the participating football teams until 20:00 remains on the pregame clock, at which time the teams will clear the field and the host institution may present its pregame show. The band(s) may not enter the team areas until the teams have left the playing field. There shall be no waiver of the provisions of this rule, including mutual agreement between the participating institutions. A schematic of the team warm-up areas shall be provided in each team s locker room. Kickers shall be allowed to kick at both ends of the field until 60 minutes prior to kickoff. At 60 minutes prior to kickoff, the field shall be divided into an L-shaped configuration with the 30-yard lines forming the L. At 40 minutes prior to kickoff, the field shall be divided at the 45-yard lines (leaving a 10-yard buffer zone for the teams between the 45-yard lines) until the teams leave the field after warm-ups. The coin flip will take place three (3) minutes before game time in the presence of not more than four field captains from each team. During the coin toss, each team shall remain in the area between the 10-yard marks and its sideline or in the team area. TV Scheduling Parameters Football Pac-12 Football scheduling parameters - SPR 6-1-c Version 4.4.18 Conference Schedule Member institutions shall be aligned into a North Division (consisting of California, Oregon, Oregon State, Stanford, Washington, and Washington State) and a South Division (consisting of Arizona, Arizona State, Colorado, UCLA, USC, and Utah). Traditional rivals shall be defined as Arizona-Arizona State, California- Stanford, Colorado-Utah, Oregon-Oregon State, UCLA-USC, and Washington-Washington State). (10/10, 6/12) Conference competition shall consist of a nine-game schedule consisting of five intra-divisional games and four inter-divisional games each season, with California, Stanford, UCLA, and USC competing against each other each season and the remaining inter-divisional games scheduled on a rotating basis. (10/62, 1/69, 12/76, 5/80, 12/80, 8/85, 12/89, 6/91, 6/92, 6/05, 10/06, 6/08, 10/10) Each team shall play four home games each season, and teams that host the contest against their traditional rival shall play a fifth home game that season. The site of contests shall be alternated from season-to-season. [Example sequence: Year 1: A at B, Year 2: B at A.] No team shall play more than two consecutive road games in a given season and no team shall play three road games and have one bye in a four-week period. Best efforts shall be made to avoid having an institution play four out of five games on the road. (6/12, 8/13) Games between traditional rivals will be scheduled for the last weekend of the regular season or, if that date is unavailable, as late in the season as possible. The California-Stanford game shall not be scheduled during the week that includes Thanksgiving. (6/12) Conference games may be scheduled during the first week of the regular season if doing so would prevent a team from playing 12 consecutive weeks and provide a bye later in the season. (10/12) A special date games is defined as a contest played on a day of the week other than Saturday. A total of eight special date games shall be scheduled to be televised by FOX and ESPN, but only with the approval of the Conference. Each institution shall host two special date games during every three year period beginning in 2012 to be televised by FOX and ESPN. If additional special date games are scheduled to be televised by Pac-12 Networks, they shall not count toward the FOX/ESPN hosting requirements. Institutions shall be limited each season to one road weekday football game while classes are in session. (10/11, 6/12) Teams that play a special date game on a Friday do not require a bye the week prior. However, a Saturday road game shall not be scheduled the week prior to a special date Friday night road 76
game. Teams that play a special date game on a Thursday require a bye the week prior, except that if both teams played a home game the prior Saturday, a bye may not be required, provided the two competing institutions agree. (6/12, 1/18) The following facets of the schedule shall affect all members over time: (6/12) o Schedule changes that move games between traditional rivals from the last week of the regular season; and (6/12) o Playing a full season of 12 games without a bye. An institution whose schedule includes a 13th regular-season game at Hawaii that replaces a bye is not relieved of this requirement. (6/12) o If an institution takes the proactive measure to schedule a non-conference opponent as an off-set for another non-conference game (e.g., Notre Dame) that is scheduled after the third (13-week season) or fourth week (14 week season) of the season, that institution would be exempt from having to play 12 games in a row during the term of the ESPN/FOX agreements (through 2023 football season). A waiver of SPR 5-1-c-(1) (Restricted Weeks) would be required to schedule such a non-conference game. (12/14) These scheduling parameters may be waived by the Athletics Directors Committee, but only by mutual consent of the involved institutions. Men s Basketball Pac-12 men s basketball scheduling parameters - SPR 2-1-b Version 5.18.17 Conference Schedule Conference members shall be paired as a travel partner set (i.e., Arizona-Arizona State, California- Stanford, Colorado-Utah, Oregon-Oregon State, UCLA-USC, Washington-Washington State). Each team shall play nine home games and nine road games over a ten-week period. Two games shall be scheduled as a series each week, except that a game against a travel partner shall be the only game scheduled for that week. A road team s games in a given week may be scheduled using any of the following patterns: Wednesday- Saturday, Wednesday-Sunday, Thursday-Saturday, Thursday-Sunday. Sunday games may be scheduled to accommodate departure by the road team via charter aircraft Sunday night. The following exceptions to these patterns apply: No games shall be scheduled for the final Sunday of the Conference season. At least one travel partner set per week shall have its games scheduled for Thursday to ensure games can be scheduled for Saturday. If the Conference Women s Basketball Post-Season Tournament is scheduled for the Thursday through Sunday of the tenth week of the men s basketball Conference season, games may be scheduled on Tuesday of that week. A minimum of one day shall occur between games of a series. If a road team is required to play two games with only one day off between the games, its opponent for the second game must also be limited to one day off before that game. If a road team has two days off between two games, then its opponent for the second game may have either one, two, or three days off before that game. Each team shall play its travel partner at home and on the road each season. The rotation of these games from season-to-season shall not be adjusted, even if requested by a television partner. The remainder of the contests shall be composed of games against (1) three other sets of travel partners both at home and on the road, (2) one travel partner set at home, and (3) one travel partner set on the road. Contests against travel partner sets shall be determined biennially on a ten-year rotating basis. (6/12, 8/16) The order of opponents within a series will be alternated in a given season, and may be adjusted if requested by a television partner. The site of contests will be alternated from season-to-season, and may be adjusted if requested by a television partner. [Example sequence: Year 1: A at C, A at D, D at A, C at A; Year 2: C at A, D at A, A at D, A at C.] If the order of opponents within a series is reversed the order of opponents may be reversed for the other series involving those teams. Timeline for Event Schedule Development Football Pac-12 Football Schedule Development Timeline Version 7.16.14 1. June (14 months before the season): Seek input from TV partners on games/dates for Thursday/Friday and special date contests. Request three possible homecoming dates from Directors. 2. Staff would use approved Pac-12 football scheduling parameters, input from TV partners, and homecoming dates provided by Directors to draft football schedule shell. 3. About July 15: ADC provided with schedule shell that would include Thursday and Friday night games, other special date contests, and each institution s homecoming game date. (Note: Would also try to include traditional rival games in the shell provided to the ADC.) 4. ADC July/August meeting: Athletic Directors vote to approve schedule shell. 5. August 15: Approved schedule shell distributed to institutions and TV partners (one year in advance of season), but not made public. 6. Through the second Friday in December: Staff would work with TV partners to fill in all additional games. All games listed on the shell, including the Thursday and Friday night games, other special date contests, and homecoming game dates approved in July/August would remain intact and would not be moved. 7. During the third week of December (Monday through Friday), the proposed football schedule would be provided to the Directors for review. If necessary, a conference call would be scheduled to discuss the proposed schedule. 8. Subsequent to the third week in December: The staff would seek approval of the football schedule by the ADC. 9. January (following final college bowl/playoff game): Schedule made public, with flexibility retained on the first three/four weeks of the season to move games in order to maximize television opportunities. 85
Men s Basketball Pac-12 Men s Basketball Schedule Development Timeline Version 7.16.14 1. Pac-12 basketball schedules shall be developed on an annual basis. 2. In early April, the Pac-12 staff will sit down with our television partners and receive input from them on the development of the Pac-12 basketball schedule. 3. The staff will take the input from the television partners and begin work with the Pac-12 scheduling consultant to develop the schedule. 4. The staff would anticipate having a schedule completed by June at the latest. The ADC will be asked to approve the schedule. This schedule would show the games in a Thursday- Saturday format. 5. An amended schedule with television selections and telecast windows (i.e., games moved to Wednesday and Sunday for television) for the season would be provided on or around July/August. The amended schedule, when completed, would be provided to the Directors for a one-week review (Monday-Friday). If necessary, a conference call would be scheduled to discuss the amended schedule. 6. Adjustments to the schedule to accommodate television must be voted on by the ADC. 7. The schedule would be available for public release subsequent to the completion of the schedule in July/August and following ADC approval. 86

Pac-12 Institution Highlights and Footage Usage Guidelines Version 8.27.18 Below is a set of guidelines for the use of video content across digital and linear platforms. These guidelines are a foundation for the use of all of our content, and may be modified from time to time by Pac-12 in its sole discretion. All copyrights, proprietary interests and other incidents of ownership in and to Pac-12 highlights and footage (and any derivative works) shall remain in the possession and control of the Pac-12. AREA GUIDELINES Highlights Includes Pac-12 Networks/ESPN/FOX network broadcasts (including affiliates such as ABC, ESPN, ESPN2, ESPNU, CBS sublicensed telecasts, FOX and FS1), all home hosted non-televised competitions (including those that are live streamed) and any other sport events in which the Pac-12 controls the exhibition rights. Note: In all scenarios, the same highlight posted on multiple platforms counts once toward the per-event limit. Pac-12 schools (including athletics and institutional accounts) may post a maximum of up to 3 total minutes of postgame highlights for each of their events on their own school websites including OAS. Highlights on institutional platforms including OAS Pac-12 schools may create their own highlight packages for school websites (including OAS) through use of melts, game tapes, by shooting footage themselves or through tools provided by the Pac- 12 subject to the 3 minute per-event limit above. If a Pac-12 school creates highlights, those highlights must also be made available, upon request, for use by Pac-12, and vice versa. Social media highlights of games in progress on ABC/ESPN properties ESPN prohibits posting of in-progress highlights on any schoolmanaged social media platform for football and men s and women s basketball broadcasts. For all other sports, the following is permitted: ABC allows up to 2 minutes of highlights in as many as four clips of no more than 30 seconds per clip. ESPN Networks (ESPN, ESPN2, ESPNU, ESPN+, ESPN app, 88
ESPN NEWS, etc.) allows up to 3 minutes of highlights in as many as 6 clips of no more than 30 seconds per clip. Every post must include tune-in details directing fans to the broadcast in progress with a direct deep link to the live stream in the ESPN app. Social media highlights of games in progress on Pac- 12 Networks or Fox For games on FOX, FS1, FS2, FOX Business, Pac-12 Networks, or Pac-12 Plus, schools may post up to 3 minutes of in progress highlights as long as no individual clip is longer than :30 seconds. These posts must include tune-in details directing fans to the broadcast in progress. In-progress highlights and post-game highlights both count toward the 3-minute limit per event. Postgame highlights on social media Pac-12 schools may post up to 3 minutes of highlights for each event. In progress and post-game highlights both count toward the 3- minute limit per event. School-Managed YouTube Channel School OAS YouTube channels will be governed by the same rules as the school s official athletic site (OAS). Highlights syndicated/distributed to third-party web sites No third-party organization may post competition footage of any Pac-12 game, non-conference home game or other contest for which the Pac-12 controls the media rights on its website without a license to the content from the Pac-12 Networks or its licensing partner (Wazee Digital), with the exception of news window privileges described below. Alternatively, third parties are permitted to post video on their websites through the use of the Pac-12 Digital embeddable video player (embed code available at http://video.pac-12.com), or @Pac12Network Twitter channel, or Pac-12 Conference Facebook channel. Highlights may not be posted natively to YouTube or any social media properties. 89
News Outlets Certified broadcast news outlets may use a maximum of 3 minutes of Pac-12 event footage on their regularly scheduled newscasts during the 48-hour news window following the conclusion of included events. If the highlights from a Pac-12 Networks production do not contain the Pac-12 Networks bug, the news outlet must insert Courtesy of Pac-12 Networks over the footage. Excerpts of those newscasts containing these highlights may also be posted to news providers websites, but must be removed 48 hours after the conclusion of any included event, unless a license for that footage is obtained from Pac-12 Conference or its licensing Partner (Wazee Digital). Highlights may not be posted natively to YouTube or any social media properties Highlights on Other School/ Conference OAS or Linear Network The non-conference opponent or its conference may use up to three (3) minutes of highlights on the non-conference opponent s OAS, social media, and/or the institution's/conference s branded or controlled and operated linear and/or digital network, following the conclusion of the event. Non-conference opponents may utilize up to eight (8) minutes of highlights of the game as part of a weekly coaches show or season highlight presentations. In addition, the non-conference opponent may produce or utilize video of the complete game only for coaching purposes. Televised events may not be live streamed anywhere. Live Streaming Non-televised events produced by the institution may only be streamed on their OAS and Pac-12.com and the Pac-12 Now app and be branded as Pac-12 Plus. Institutions may not stream events natively on social media platforms. Third-party highlights of non-televised events Contact the applicable Pac-12 sport manager regarding highlight policy for a non-televised or non-streamed event. 90
Third-party original programming Athletic departments (including coaches) should not enter into agreements with producers and/or media entities to produce original programming for telecast or digital distribution (reality shows, special feature presentations, etc.). Pac-12 Networks will not accept unsolicited show ideas from third parties without completion and submission of Unsolicited Proposal Letter (found here). Schools may submit ideas to Pac-12 Networks University Relations through Athletic Department Pac-12 Networks liaisons. Pac-12 school-produced Non-Competition Video Programming Pac-12 schools may produce video content that does not include competition footage for use on their OAS. Schools are strongly encouraged to share that video content with Pac-12 Networks. Highlights may not be traded, stored, archived, retained, transmitted or distributed to any entity via any other medium, other than as authorized herein, without specific permission in writing from the Pac-12 (licensing@pac-12.org). General Restrictions In no event may any logo, trademark, advertisement or other graphic be superimposed, burned-in or otherwise incorporated into any Highlights without prior permission from the Pac-12 (licensing@pac-12.org). The Pac-12 retains the right to immediately suspend or withdraw the permission to use highlights upon the issuance of immediate notice. 91

News Media Highlights and Footage Usage Guidelines Version 7.29.16 Below is a set of guidelines for the news media s use of video content across digital and linear platforms. These guidelines are a foundation for the use of all Pac-12 content and will evolve over time. AREA GUIDELINES Highlights Includes Pac-12 Networks/ESPN/FOX network broadcasts (including affiliates such as ABC and ESPNU and CBS sublicensed telecasts), all home hosted non-televised competitions including those that are live streamed and any other sport events in which the Pac-12 controls the exhibition rights. Highlights syndicated/distributed to third-party web sites No third-party organization may post competition footage of any Pac-12 game, non-conference home game or other contest for which the Pac-12 controls the media rights on its website without a license to the content from the Pac-12 Networks or its licensing partner (Wazee Digital), with the exception of news window privileges described below. Alternatively, third parties are permitted to post video on their websites through the use of the Pac-12 Digital embeddable video player (embed code available at http://video.pac-12.com). News Outlets Certified broadcast news outlets may use a maximum of 3 minutes of Pac-12 event footage on their regularly scheduled newscasts during the 48-hour news window following the conclusion of included events. If the highlights from a Pac-12 Networks production do not contain the Pac-12 Networks bug, the news outlet must insert Courtesy of Pac-12 Networks over the footage. Excerpts of those newscasts containing these highlights may also be posted to news providers websites, but must be removed 48 hours after the conclusion of any included event, unless a license for that footage is obtained from Pac-12 Conference or its licensing Partner (Wazee Digital). For all references to the Host Institution and/or Visiting Institution that involve a Pac- 12 Conference institution, all media rights and any other grant of rights referenced herein shall be retained by the Pac-12 Conference, except for radio rights (which are retained by the participating institutions). For all references to the Host Institution or Visiting Institution that involve non-pac-12 Conference institutions, the media rights and other grant of rights referenced herein shall be controlled in-line with such institution s and affiliated conference s media agreements and other media rights policies. RADIO The Visiting Institution shall have the right to, and be provided space for one radio broadcast outlet for, a non-exclusive radio broadcast by the Visiting Institution s flagship station (local announcer) that is distributed via regional terrestrial radio stations, the Internet or similar broadband distribution, satellite radio, and similar audio-only distribution. The Host Institution shall retain all other regional terrestrial, national terrestrial and satellite radio rights, and any other audio distribution method now known, existing or hereafter developed. The Host Institution also shall have exclusive rights to sell national terrestrial radio rights. TELEVISION, VIDEO, FILM, AND INTERNET VIDEO STREAMING The parties hereto mutually desire that the games to be played hereunder should have maximum media exposure, including national television exposure. A. Agreement to Telecast. Each game covered hereunder shall be available for telecasting by the Host Institution. The Host Institution shall have all rights of telecast, including, but not limited to, national network television, national cable, Conference network, Internet streaming, delayed telecasting, unlimited highlights, institutionally syndicated packages, and telecasting by any and all other means and media. The Visiting Institution agrees to the following: 1. The scheduled start time for the game(s) is solely at the discretion of the Host Institution and may be changed up to six (6) days in advance of the game in order to accommodate television. 2. Any change in the date of the game(s), including changes for television, must be mutually agreed upon by the participating institutions. 3. Media timeout formats are determined by the Host Institution s conference. The Host Institution s conference shall be responsible for the TV liaison (red hat). 95
4. The Visiting Institution shall have the right to produce video of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches show or season highlight presentations. Such video may not be replayed, used or otherwise distributed by the Visiting Institution to any person other than the incorporation of up to eight minutes (8:00) of highlights of the game as part of a weekly coaches show, season highlight presentations, or for viewing by the Visiting Institution s football team s coaches and players. In addition, immediately following the conclusion of each game hereunder, the Visiting Institution shall have the right to distribute audio and visual highlights either secured at the game or from the telecast not to exceed three minutes (3:00) in length on the Visiting Institution s and/or the Visiting Institution s conference s branded or controlled and operated linear and/or digital Network. The Host Institution agrees to provide reasonable facilities for such cameras as may be reasonably required by the Visiting Institution to produce such video. Any other usage by the Visiting Institution of footage of games played pursuant to this Agreement shall be governed by a separate agreement between the (name of conference) and the Pac-12. 96

Pac-12 Video and Image Licensing Licensing Basics Footage Requests - review and fulfillment procedure - If an outside television network, conference, film/commercial studio or professional sports team requests Pac-12 footage, forward the request to Kenden Blake (kblake@pac-12.org) at Pac-12 Networks. He will either forward the request to the appropriate licensing partner or work with the Archives department on footage delivery. He can also answer questions and provide clarification regarding video footage requests. The Assignment Desk (assignmentdesk@pac-12.org) at Pac-12 Networks also receives footage requests for sports while they are in season. If a video request is specialized in nature or directed to the institution, the institution will be asked to help with fulfillment per the Conference Licensing Footage Delivery policy as detailed below: Conference Licensing Footage Delivery Requests directed to the institutions: 1. Where is the production being distributed? (e.g. regional or national?) How is the production being distributed? (e.g. linear, digital) How long is the intended usage (e.g. one year, one season, perpetuity)? 101

Draft requests from professional sports teams/leagues (MLB, NFL*, MLS, WNBA, NBA, etc.) Any requests for player footage by any major professional sports team is considered licensed content. Refer to Conference Licensing Footage Delivery policy above or send email with request to Patrick Phillips (pphillips@pac-12.org) or Glen Scott (gscott@pac-12.org) regarding these requests. *Conference has an established program to provide the NFL footage for evaluative purposes. No other agreements with pro leagues exist. Contact Mike Ortiz (mortiz@pac-12.org) with questions regarding the NFL program. 2. Semi-pro, club organizations or other sports-related organizations Case-by-case licensing consideration. Example of non-licensed usage: Korean Volleyball Organization is an entity that wants to look at players that didn't get signed by the major clubs. They are more of a "farm league" and their resources reflect that. As such, it made sense to forego licensing fees in exchange for exposure of our Pac-12 athletes on an international level. Best to seek clarification from Patrick Phillips (pphillips@pac-12.org) or Glen Scott (gscott@pac-12.org) regarding these requests. 3. Pac-12 Television Partner Requests Pac-12 television partners (ESPN and FOX) may reach out directly to the institutions for video to support a game telecast, and the institutions in turn may fulfill those requests. For additional footage that needs to be licensed outside of the 48-hour news window, please feel free to direct them to Glen Scott (gscott@pac-12.org) and Patrick Phillips (pphillips@pac-12.org) at Pac-12 Networks. The institutions may also fulfill requests per the Conference Licensing Footage Delivery policy as outlined above. 4. Other Television Production Requests Refer to Conference Licensing Footage Delivery policy above or send email with request to Patrick Phillips (pphillips@pac-12.org) or Glen Scott (gscott@pac-12.org) regarding these requests, which will review and make decisions about each usage request. Special consideration shall be provided to requests from local affiliates in Pac-12 markets, or the local market of a particular student-athlete. Examples of past Pac-12 video licensing include 60 Minutes, HBO Real Sports, ESPN 30 for 30, etc. 5. Documentary or Feature Film Example of past licensing: The feature film "W" showed a clip of Pac-12 football. Example of waived licensing: a former Pac-12 athlete wanted to help a student with footage for a documentary that would only air regionally. Requests should be directed to Glen Scott (gscott@pac-12.org) and Patrick Phillips (pphillips@pac-12.org) at Pac-12 Networks. The institutions may also fulfill requests per the Conference Licensing Footage Delivery policy as outlined above. 6. Institution seeking video from NCAA Championships, BCS, and College Football Playoff NCAA championship footage rights, BCS footage rights, and College Football Playoff footage rights are held exclusively by Wazee Digital. Outside of the 48-hour 'news window' all footage from these events must be licensed through Wazee Digital. Rates will vary based on length of footage used, actual usage (e.g. in perpetuity, one time run, etc), and type of footage used. Television/Streaming Rights: Pac-12 owns all audio and video rights for games, tournaments, competitions and other activities of a Pac-12 member vs. Affiliate or Affiliate vs. Affiliate event whether at the Affiliate member s campus or elsewhere. Affiliate members shall retain the right to stream a game, tournament, competitions and other activities hosted by or played at the Affiliate member s institution. Matches against Pac-12 opponents (whether core Conference members or affiliates) cannot be streamed by a third-party service, but may be streamed on the institutional website. Policies for Cancellations/Rescheduling/Delays Football Rescheduling Version 6.26.14 It shall be the goal of the Conference to play each Conference football game to completion as scheduled. If a game is delayed at the start or interrupted, the referee, after consultation with the two head coaches and game management, shall determine how much time the teams shall be provided to warm up prior to the start of play. A game hosted by a Conference institution that goes into overtime and is subsequently called due to darkness prior to a winner being determined shall be a tie game. When a game cannot be played to completion, these policies shall be followed: (a) If the game is suspended during play, every effort should be made by game officials and game management to continue it as soon as conditions allow, with the safety of student-athletes and spectators of paramount concern in the decision of when it can be resumed. i. If at all possible, if the game(s) has a bearing on the Conference Championship, a division championship, the Conference s representative in the Rose Bowl or College Football Playoffs, any member institution s eligibility to participate in postseason play or its opportunity to gain the best possible bowl berth, the game will be resumed at exactly the point of its suspension. ii. If none of the provisions of paragraph i above is applicable, the game will be resumed at exactly the point of its suspension unless the participating institutions agree not to resume the contest. (b) If at all possible, a Conference game(s) which is suspended prior to the beginning of play shall be rescheduled at a subsequent time if it has a bearing on the Conference championship, a division championship, the Conference s representative in the Rose Bowl or College Football Playoffs, any member institution s eligibility to participate in post-season play or its opportunity to gain the best possible bowl berth. A suspended football game not meeting any of those criteria also will be rescheduled unless the competing institutions agree not to reschedule the contest. (c) In any situation in which a game has been suspended and is to be resumed, the participating institutions should attempt to reschedule the game to play it while the visiting institution s team still is at the site of the game (assuming it reached the game site prior to suspension) to avoid the cost and loss of academic time required for it to make a second trip to the game site. (d) Any additional financial costs or obligations incurred by either institution in connection with the suspension, rescheduling or cancellation of the suspended contest shall be borne equally by the two involved institutions. 112
Commissioner s Rescheduling Oversight. In the event a contest(s) is cancelled, the athletics directors of the involved institutions shall work under the oversight of the Commissioner to reschedule the competition(s). If the Directors cannot mutually agree on a make-up date(s), the Commissioner shall set the terms of the rescheduling. Regardless of a determination by the athletics directors or Commissioner, all date changes of football games between Conference members must be reviewed and approved by the ADC. 113

(b) In any situation in which a game has been suspended and is to be resumed, the participating institutions should attempt to complete the game while the visiting institution s team still is at the site of the game to avoid the cost and loss of academic time required to make a second trip to the game site. (c) If a Conference contest is suspended prior to play, or a suspended game cannot be continued, such a game shall be rescheduled and replayed unless it has no bearing on the Conference championship or the possibilities of either competing team or any other Conference member for selection for postseason play and it is mutually agreed by the two involved institutions to cancel the game. Unless conditions prevent play, such a suspended contest should begin within 24 hours of the original starting time. The host institution shall be responsible for securing an alternate facility for the contest if the primary facility is unavailable. 114
Baseball/Softball Rain Delay Policy Version 4.10.18 1. Rescheduling Priorities When reviewing a rescheduling situation, the Conference shall use the following parameters in priority order: No missed flight for the visiting team Providing a game for scheduled broadcast Completing the scheduled game/series 2. Minimum Game Time Windows/Time Limit Baseball: Teams must stay at the game site a minimum of four hours from the scheduled game time. The time limit, if applicable, will be four hours from the scheduled game time. Softball: Teams must stay at the game site a minimum of three-and-a-half hours from the scheduled game time. The time limit, if applicable, will be three-and-a-half hours from the scheduled game time. If there is a delay, teams must stay at the game site as late as travel plans allow, but not less than the minimum games times. On the final day of the series, the time limit should be established by the coaches at the pre-game meeting with the umpires. When the time limit is reached: any inning in progress shall be completed. No new inning will begin. 3. Communications Model Informing Pac-12 Networks of any contemplated or necessary changes to a scheduled game due to weather (or other factors) is imperative. Especially when possible changes are being discussed, as much advance notice as possible is desired, to see if possible changes can be accommodated on Pac-12 Networks. On game day, when inclement weather is in the area, a status update must be made to Pac- 12 Networks at least 15-minutes prior to the start of the game. The host event manager is responsible for communication with all involved parties. This includes Pac-12 Networks staff (on-site producer, if any, AND Networks staff in San Francisco), Pac-12 staff liaison, coaches, and game officials. This communication will take place in person with on-site TV personnel, coaches, and game officials, and via e-mail with specified Pac-12 Networks personnel and Pac-12 staff. Pac-12 Networks will provide an e-mail list for each event which will include those individuals who must be notified at each site. 4. Team Travel Prior to the season, the Conference sport manager will be provided with the travel plans for the visiting team on the get-away day (return to campus) for all Conference series. Information to be included is whether team is traveling by air or bus, and if by air, flight information (airport, airline, departure time). If traveling by bus, departure time will be no later than the time which would allow the team to reach campus by midnight. 115
If flying, the flight should be scheduled at least two hours after the time limit, to allow for completion of the inning in progress and time to get to the airport. If flying, baseball and softball teams should schedule the last available flight of the day for their return to campus. This will provide the greatest opportunity to get games completed in the event of weather delays. 5. Rescheduling Games in Anticipation of Inclement Weather Games which are scheduled to be broadcast on Pac-12 Networks may not be rescheduled to an earlier time (or to a doubleheader on a previous day) in anticipation of inclement weather the next day, even if mutually agreed by the coaches. In rare instances, Pac-12 Networks may be able to accommodate an earlier game time, but this change is subject to prior approval by Pac-12 Networks. 6. Setting Game Times for Rescheduled Games The final decision about game time for rescheduled games will be made by host events management, in consultation with the umpires, coaches, and Pac-12 Networks. Pac-12 Networks can express a preference for a start time, based on its programming needs. This request should be accommodated if possible. 7. Make-Up Games on Second or Third Day of Series Any make up games played on the second or third day of the series shall be played prior to the regularlyscheduled game. This includes continuation of a halted game from the previous day. The game time shall be set so that the makeup game is complete and teams are ready to begin the originally scheduled Pac-12 Networks game at the scheduled time (assuming average game times). In softball, this means the make-up game should start at least two-and-one-half hours prior to the scheduled Pac-12 Networks game; in baseball, this means at least three hours prior to the scheduled Pac-12 Networks game. It is possible that Pac-12 Networks will be able to broadcast the make-up game; this should be established as soon as it is known that one of the first two games of the series will be rained out or suspended. The make-up game shall be played to completion, even if it runs past the scheduled start time of the originally scheduled game. The second game will start after an agreed-upon break between the two games (not to exceed 30 minutes). 8. Delayed Start of Games To limit the discussion on how long the visiting team must stay at the site on get-away day if there is a rain delay, the following policies shall apply: Softball: If warm-ups have not begun within one-and one-half hours of the scheduled game time, the host institution shall declare a rain-out. The visiting team can leave at that time. This time frame may 116
permit a game of less than regulation to be completed and be a legal game by rule (5 innings) while still adhering to the three-and-one-half hour time limit. Teams will be allowed one-half hour of warm-up on the playing field prior to the start of a delayed game. Baseball: Conference policy in baseball requires the visiting team to stay until Monday to make up a game if the game has not started on Sunday. Thus, teams should stay at the field in order to begin the game when possible, or until the game is called due to weather, field conditions, or darkness, even if this results in a change to air travel. (The time limit does not apply if the game has not started). For a single baseball game involving Conference opponents and scheduled for Pac-12 Networks, if warm-ups have not begun within one hour of the scheduled game time, the host institution may declare a rain-out. 9. Suspended Games Once the game begins, the umpires shall determine whether or not the game continues during inclement weather. The umpires shall consult with host events management and review weather data to determine if and when it will resume. Host events management is responsible for communicating to Pac-12 Networks via email when the game is expected to resume (including agreement by the coaches and umpires on how much warm-up time will be permitted, and a specific time the first pitch is anticipated). In softball, a suspended game which cannot be restarted due to weather or other conditions, and which is legal by rule (five complete innings) will be ruled a complete game and will not be resumed. This applies to any game of the series. In baseball, on the first or second day of the series, a suspended game will be considered halted and resumed the next available day, unless seven innings have been completed and one team leads by 12 or more runs. On the third day of the series, if seven innings have been completed (regardless of score) it shall be considered a complete game by rule. Halted baseball games not legal by rule on the first or second day of the series will be played to completion the next available day, conditions permitting. If not legal by rule, and unable to be resumed, the contest is declared no game. Suspended games will not be resumed past the time limit on the third day of the series in either baseball or softball. If in a rain delay, and the inning in progress cannot be completed due to the time limit occurring during the rain delay, the contest is declared a called game and per the NCAA Playing Rules, it reverts back to the last complete inning (minimum of five in softball and seven in baseball) in order to be declared a complete game (with the stated exceptions if the home team is batting and is ahead). 117
Pac-12 Networks Communication Procedures for Doubleheaders/Delays *For Football, please also refer to Football Rescheduling *For Men s and Women s Basketball, please also refer to Men s and Women s Basketball Rescheduling *For Baseball and Softball, please also refer to Baseball/Softball Rain Delay Policy Doubleheader Events For doubleheaders, normal pre-game/pre-match protocols should be followed for game number one. For game number two, game management must contact Will O Toole, Senior Coordinating Producer (wotoole@pac-12.org; cell phone: 917-428-6775) to coordinate the start time. Game management is encouraged to begin dialogue with O Toole regarding a doubleheader in advance of game day to ensure a plan for the transition between games has been discussed. If the producer or other television personnel are on site, please include them in the conversation as to when the second game will start. *Please refer to the Men s Soccer and Women s Soccer sections for a suggested protocol for the second match of a soccer doubleheader. Delays If there is a weather delay, or delay for any other reason, it is imperative that Pac-12 Networks be kept in the loop on event timing. In particular, when changes due to a delay are being discussed on campus, it is important to provide timely updates to Pac-12 Networks personnel as outlined below. The necessary information in these situations is as follows: a) There may be a possible delay b) The reason for the delay c) When the decision to delay the start will be made d) Contact information for the event manager on-site (e-mail and cell phone) e) Finally, the projected time the contest will start If you do not have an exact start time, provide the best time frame that you can (i.e., will re-evaluate in 30 minutes). In addition, you will also need to consult with the officials and/or coaches prior to establishing a start time. If the producer or other television personnel are on site, please include them in the conversation. However, you are asked to also communicate via e-mail to these individuals: 1. If the event manager delegates this responsibility to someone else, please make sure that person has this information and is prepared to make contact with Pac-12 Networks, if needed. 118
Pac-12 Networks Force Majeure Policy Pac-12 Networks Policies Regarding the Failure to air a scheduled live event From time to time, circumstances may arise which make it impractical or impossible for Pac-12 Networks to air a live event scheduled: (a) to be held at a Pac-12 member Institution; and (b) to be aired on Pac-12 Networks. Depending upon the circumstances, Pac-12 Networks will treat such failure to air in one of the following ways: If for any reason whatsoever Pac-12 Networks is unable to air a scheduled event on a live basis, but ultimately airs the event on a delayed basis, no make good or other reimbursements by any party (including the featured Pac-12 Member Institution(s)) will be required. If the scheduled live event is not televised on a live or delayed basis because the event is cancelled or postponed due to force majeure condition(s) (weather related cancellations, labor strike, etc.), no make good or other reimbursements by any party (including the Pac-12 Member Institution(s)) will be required. If the failure to televise the scheduled event on a live or delayed basis is due to an error or omission on the part of Pac-12 Networks, and no force majeure provision is applicable, Pac-12 Networks and the home-host Member institution will cooperate in good faith to schedule, stage and televise a make-good live event at the home Pac-12 Member Institution. If the venue is not TV Ready for such event, Pac-12 Networks will incur the expense for making the venue TV Ready for that make-good event only. If a date and time to schedule, stage and televise a make-good event cannot be established, Pac-12 Networks will reimburse the home Pac-12 Member Institution for any facility-related costs the Institution incurred in making the venue TV Ready for the event that Pac-12 Networks did not initially televise due to its unexcused error or omission. If the home Pac-12 Member Institution is responsible for the event not being staged and/or televised, whether on a live or delayed basis, and no force majeure condition is applicable, Pac-12 Networks and the home Pac-12 Member Institution will cooperate in good faith to schedule, stage and televise a make-good event at the home Pac-12 Member Institution. If the venue is not TV Ready for such makegood event, the home Pac-12 Member Institution will incur the expense, if any, for making the venue TV Ready for that make-good event. 119
Digital/Live Streaming Policies Version 4.16.18 Goals Our live streaming goal continues to be to provide fans with a compelling branded experience for watching live Pac-12 content from each university across sports & events. Objectives include: 1. Quality production 2. Easy to produce 3. Single platform 4. Fan engagement 5. Low production costs Overview The institutions have the opportunity to stream any remaining events, distributed minimally via Pac- 12.com/Pac-12 Now under the Pac-12 Plus umbrella. These events must be produced using Pac-12 Plus graphics packages provided by Pac-12 Networks. The Pac-12 reserves the right to also stream these events through additional channels at its sole discretion. Promotion In order to provide fans with accurate information on our schedule pages and to facilitate programming and broadcast plans, schools should enter all events into the Pac-12 Uber Schedule as far in advance prior to the event as possible (minimally 1 week). Just before and during the live stream, promote the event to fans via the OAS, social media etc. Pac-12 Plus Simulcast Some Pac-12 Plus events will additionally be distributed on Facebook, Twitter or YouTube and may include the following sports: soccer, volleyball, gymnastics, baseball, ice hockey, swimming & diving, softball, track & field, wrestling, lacrosse, tennis, and water polo. These events will be produced by each campus and streamed through the Pac-12 Now App and Pac-12.com.
