ICSA Jersey Awards 2018 Judging Criteria and Nomination Guide The ICSA Jersey Awards are open to all Jersey-based ICSA members at any level, working for private, public and not-for-profit organisations. The Judges will accept nominations for both individuals and teams. Nominations may be self-nominated; or submitted by a colleague, line manager, client, or by a nominee s Board of Directors. The Awards for 2018 are: Company Secretarial Officer of the Year Corporate Services Team of the Year Administrator of the Year Administration Team of the Year Governance Award (Individual or Team) Risk and Compliance Award (Individual or Team) The One to Watch (Individual Award) Multiple entries: Multiple entries across a range of Awards categories are invited. Please be sure to enter information which is specific to the Award entered (so even when submitting multiple entries, please review the criteria of each and tailor your entry accordingly). Stand out from the crowd: The Judges will be looking for entries which stand out from the crowd with examples of where you have gone over and above technical excellence; this may be evidenced by client testimonials, or with a comment from colleagues or your manager. Your entry: The preparation of entries is straightforward. Please see overleaf for details of the Judging Criteria. More information is also provided in the accompanying Nomination Guide. Short-listed nominations will be announced w/c 28 th May 2018. The Judges will then decide on their Awards Winners, and runnersup these will be announced at the ICSA Jersey Annual Dinner, Awards & Graduation ceremony at the Royal Jersey Showground, Trinity, on Friday, 28 th September 2018.
Judging Criteria 1. The ICSA Jersey Company Secretarial Officer of the Year Award Individual Award This Award will be given to a company secretary/company secretarial officer who provides effective team and thought-leadership, shows mastery of the complex legal and regulatory environment and plays an added-value role in the governance of his or her organisation. practice in the pursuit of good governance. Applications are invited related to individuals working with private, public and not-for-profit organisations. 2. The ICSA Jersey Corporate Services Team of the Year Award Team Award This Award will be given to a corporate services team/company secretariat which provides effective team and thought-leadership, shows mastery of the complex legal and regulatory environment and plays an added-value role in the governance of its organisation. practice in the pursuit of good governance. Applications are invited in relation to teams working with private, public and not-for-profit organisations. In order to be eligible for this Award at least one fully qualified ICSA member should be part of the team. 3. The ICSA Jersey Administrator of the Year Award Individual Award This Award reflects some of the more specialised sectors, such as Trust, Company and Fund Administration. It will be awarded to a company, fund or trust administrator (individual) who demonstrates a mastery of the complex legal and regulatory environment and plays an added-value role in the governance of the organisation. practice in the pursuit of good governance in an administrative role. Applications are invited from all types of organisation, including charities, government, companies, trusts and fund structures. In order to be eligible for this Award, the Administrator should be a fully qualified or student ICSA member.

The ICSA Jersey Administration Team of the Year Award Team Award As for the Administrator of the Year Award, this Award reflects the more specialised sectors, such as Trust, Company and Fund Administration. It will be awarded to a company, fund or trust administration team which demonstrates a mastery of the complex legal and regulatory environment and plays an added-value role in the governance of the organisation. practice in the pursuit of good governance in an administrative role. Applications are invited from all types of organisation, including charities, government, companies, trusts and fund structures. In order to be eligible for this Award at least one fully qualified ICSA member should be part of the team. 5. The ICSA Jersey Governance Award of the Year Individual/Team The Judges will be looking for the best overall governance or ethics programme by an individual or team. Entrants should be able to show exceptional performance in advancing governance activities at their organisation. Areas of consideration include, but are not limited to: Board structure with emphasis on the allocation of responsibilities between main board and committees; also, stakeholder communications; annual reports (if applicable) or how the business demonstrates its performance and accountability to its stakeholders; sustainability development, and any other areas of the company s governance operations which are considered to be relevant. In order to be eligible for this Award at least one fully qualified ICSA member should be part of a team entry. 6. The ICSA Jersey Risk & Compliance Award of the Year Individual/Team The Judges will be looking for the best overall risk and compliance programme by an individual or small team. Entrants should be able to show exceptional performance in advancing risk management and compliance activities at their organisation. Areas of consideration include, but are not limited to: All areas of corporate compliance; and evidence of risk management including legal, regulatory, financial, human and reputational risk. Also, regulatory filings locally and internationally; annual reports (if applicable) or how the business demonstrates its performance and accountability to its stakeholders; sustainability development, and any other areas of the company s risk and compliance operations which are considered to be relevant. In order to be eligible for this Award at least one fully qualified ICSA member should be part of a team entry.
7. The ICSA Jersey One to Watch Award Individual Award This Award recognises both recent achievement and future potential in company secretaries and/or administrators who are still in the early stages of their career. The Judges will be looking at the impact that nominees have had in managing tasks, administration and related activities, and in contributing to performance overall. The likelihood is that the winner will be someone destined to be a top company secretary or administrator in the future. This Award is an Individual Award. 8. The ICSA Jersey Student Excellence Award 2018 Individual Award Please note, the winner of this Award will be determined from the IFA and DOFA examination results in the 2017 and 2018 sittings. It consolidates what used to be known as the former Best Completion (COFA/IFA and DOFA), Best Professional Completion, and Excellence Awards. Nominations are therefore not invited for this Award.
Nomination Guide Nominations are invited using the ICSA Jersey Nomination Form (please use a separate form for each nomination). This document will form the basis for the judging decisions. As well as asking for biographical information and a general statement in support of the nomination, the form encourages nominators to include specific examples / evidence of achievement across a range of areas related to company secretarial and/or administration practice. Supporting documentation may also be submitted. Categories of Achievement Examples and evidence of achievement are defined as follows: 1. Company Law, Regulation and Compliance: how the nominee meets their organisation s legal obligations and keeps on top of legislative development and change; examples of excellence in the design and maintenance of efficient and effective control systems for ensuring compliance. 2. Corporate Governance and Shareholder Relations: measures implemented to improve the effectiveness of corporate governance and shareholder communication within their organisation. 3. Corporate Restructuring: acquisitions, disposals and any other significant restructurings or transactions. 4. Information Management and Communication: examples of excellence in the management, retrieval and dissemination of information, including the harnessing of information technology to aid performance; evidence of timely and effective communication with both internal and external stakeholders. 5. Leadership and Management: evidence of circumstances where an individual has shown exemplary leadership and management. 6. Innovation: the examples of achievement should include evidence of the use of new thinking to solve issues and problems. Nominators are required to include some examples/evidence of achievement in at least two of the above categories.
