Texas Organization of Nurse Executives North Central Organization of Nurse Executives An Affiliate Chapter of Texas Organization of Nurse Executives BYLAWS Name Article I The name of this organization shall be North Central Organization of Nurse Executives, hereafter referred to as the NCONE. Objectives Article II The objectives for this association shall be to promote the implementation of progressively high standards of nursing practice and nursing administration in Tarrant County and the surrounding communities. The objectives will be met through the following: A. Providing a meeting and mechanism for the interchange of ideas and dissemination of information and materials relative to nurse executives/managers. B. Providing a platform within the health care field from which nurse executives/managers may speak on nursing and health care issues. C. Identifying and defining health care issues that affect nursing and establishing position statements on these issues. D. Promoting educational programs and activities to strengthen nursing executive/manager practice. E. Providing consultation for nursing education programs. F. Influencing legislative and public policy pertaining to nursing and health care issues. Membership Section I Eligibility Article III Candidate for membership must be currently licensed in the State of Texas as a registered nurse, the only exception being those with federal government immunity A) The nurse administrator(s) holding the highest level management position in nursing services or administrative/executive position in a health care organization and/or health care regulatory agency. B) A nurse holding line management position with operational responsibility, to include, but not limited to, patient care management, human resource management, education and fiscal and material resource management. C) Faculty in graduate nursing administration programs including deans and directors of schools of nursing. D) Entrepreneurs/consultants in nursing administration/management practice. E) Nurse educators and advance practice nurses are eligible for associate membership.
Membership in NCONE shall become effective upon approval of the membership committee of the board and payment of dues. Section II Classification of Membership Active Membership: A) Shall be granted to nurse administrators holding the highest level of management position in nursing services or administrative/executive position in a health care organization and/or health care regulatory agency, or a nurse holding line management positions with operational responsibility, to include, but not limited to, patient care management, human resource management, education and fiscal and material resource management. B) All members of NCONE must also be members of TONE C) Shall be eligible to vote. D) Shall be eligible to hold elected office. Associate Membership: A) May be granted to those individuals who are faculty in graduate nursing, deans and directors of schools of nursing, independent practitioners/entrepreneurs, consultants in health care/nursing administration/practice, employees of health care regulatory agencies (JCAHO, TDSHS, etc.), editors of professional nursing journals, directors of nursing agencies and nurses who are students enrolled in a relevant degree program with a career path in nursing administration. B) All members of NCONE must also be members of TONE C) Shall not be eligible to vote. D) Shall not be eligible to hold elected office. Section III Voting Each active member shall be entitled to vote in the election of officers and members of the Board of Directors and for any other matter presented to the membership for vote. Section IV Termination Failure to pay dues results in change in eligibility status. Meetings Section I Meetings of Membership Article IV A) There shall be a meeting every other month. B) The location of the meeting shall be in a central location or rotated among the group participants to ensure fairness in access to meetings from all areas represented. C) The secretary shall send a notice of the meeting to members at least one (1) week prior to the meeting.
Section II Meetings of the Board of Directors A) The Board of Directors shall meet at least two (2) times a year, which may include conference calls, upon receipt of notice. B) Additional meetings may be scheduled by the President. Section III Quorum of the Board of Directors A quorum shall be a simple majority of the Board Members, or their designee, present. Section IV Rules of Procedures When an order is not so provided and when it is not otherwise provided for by these bylaws, meetings shall be governed by Roberts Rules of Order. Section V Travel Travel expenses incurred by members for any NCONE, or TONE activities including board, chapter, and educational meetings, may not be reimbursed by NCONE. Any travel expenses reimbursed will require prior approval by the Chapter. Officers and Directors Section I Eligibility Article V Each elected officer or director shall be a member in good standing of state and local TONE chapters. Section II Officers A) The Officers shall be: 1. President 2. President-Elect 3. Secretary-Treasurer B) The Officers shall also function as Board Members. Section lii Board of Directors A) The Board of Directors will consist of the current President, Past President, President- Elect, and Secretary-Treasurer, and three (3) at-large members representative of the membership. B) The TONE Regional Director representative will be the President or another member of the Board and serve as an ex-officio member. Section IV Election of Officers & Directors A) A Secretary-Treasurer shall be elected each year for a one-year term. B) The nominating committee shall prepare a slate for Secretary-Treasurer and three (3) at-large board members. The slate listing the names of eligible candidates, together with the background information on each candidate shall be mailed to each member not less than 10 days prior to the annual meeting.
C) The elections shall be conducted anonymously with all ballots being returned to the Secretary who will tabulate the results and report to the Board Directors. The results of the election shall then be communicated to the membership. Section V Terms of Officers & Directors A) The President shall serve for a term of one (1) year and shall take office and assume the duties of President at the close of the annual meeting following a term as President-Elect. B) The Secretary-Treasurer shall serve for a term of one (1) year and shall take office at the close of the annual meeting following their election. C) At-large board members shall serve for a term of two (2) years. D) If a Board Member misses more than 50% of the annual meetings or does not fulfill the duties of the office, he/she may he dropped from the board and replaced upon recommendation from the other members of the Board. Section VI Duties of Officers A) PRESIDENT- The President shall be in charge of all business meetings and shall serve as the Chairman of the Board of Directors. B) PRESIDENT-ELECT- The President-Elect shall, in the absence of the President, perform all duties and assume all responsibilities of the President. He/She will conduct an orientation for new board members. C) SECRETARY-TREASURER - The Secretary-Treasurer shall prepare the written minutes of all meetings for inspection, maintain the membership and financial records, and shall perform such other duties as may be necessary to coordinate and advance the NCONE objectives. Responsible for distribution of pertinent information to membership during and between meetings, and presents a written report on the financial status of NCONE at every meeting. Section VII Vacancies Committees A) If the President is unable to fulfill the term of office of the President, the President- Elect shall act as President. B) If the President-Elect is unable to fulfill the term of office of the President-Elect, the Secretary-Treasurer will assume the responsibilities and a special election shall be held to select a Secretary-Treasurer to serve for the remaining portion of the unexpired and the succeeding term. C) If time precludes a special election; the Board shall appoint a Secretary-Treasurer from the Board to serve for the remaining portion of the unexpired term, so that the current Secretary-Treasurer can assume the responsibilities of the President-Elect. D) If the Secretary-Treasurer is unable to fulfill the term of the office of the Secretary- Treasurer, the same procedure will be applied as for President-Elect. Section I Nominating Committee Article VI The Nominating committee shall consist of three (3) active members appointed by the President in September of each year. At the July meeting, the Nominating committee will present the nominees, at which time the President will also accept nominations from the floor. The Membership will vote for the Secretary-Treasurer and board members to serve the coming term.
Section II - Special Committees Committees may be appointed by the President as required by any project or activity (ie: Membership, Program.) Dues Section I Rate of Dues Article VII A) Annual dues of the members of NCONE shall be determined by the Chapter members by consensus. B) The rate shall be reviewed annually following the selection of the annual chapter goals. Amendments Section I Voting Article VIII A) These bylaws may be altered, amended, or repealed by a simple majority vote of the Chapter members present at a regularly scheduled NCONE meeting. B) Prior to such vote, the proposed changes will be sent to all NCONE members, and shall be discussed as an agenda item. Adopted: July 2008
