Report to City Council TO: FROM: Mayor and City Council Allen Brock, Assistant City Manager AGENDA DATE: October 16, 2018 TITLE: RESOLUTION AMENDING THE SCOPE OF USE FOR THE MORENO VALLEY COMMUNITY FOUNDATION, A CALIFORNIA NON-PROFIT BENEFIT CORPORATION RECOMMENDED ACTION Recommendation: That the City Council, as the Board of the Moreno Valley Community Foundation 1. Adopt Resolution No.. A Resolution of the City Council of the City of Moreno Valley, California, Confirming the Scope of Use for the Moreno Valley Community Foundation to Allow All City Departments the Ability to Raise Funds on Behalf of Any Non-Profit Related Programs and Activities through the Moreno Valley Community Foundation. SUMMARY In August 2007, City Council approved the creation of the Moreno Valley Community Foundation (MVCF). The MVCF was established to assist with the fundraising efforts needed to raise capital for a new community library. Staff is requesting adoption of Resolution No., confirming the scope of use for the MVCF to include fundraising for any City sponsored non-profit related programs or activities. DISCUSSION In October 2006, City Council directed staff to retain a consultant with the primary focus of fundraising for a new community library. During that time, staff proposed the creation of the MVCF to be used as the catalyst for City fundraising efforts, including the library. In August 2007, staff returned to City Council for approval of the newly created foundation, and an unincorporated Library division with the purpose to enhance the efforts of raising needed capital for the new community library. During this action, City ID#3162 Page 1

Council also approved the formation of a Board of Directors of the MVCF, to act as the sole power of authority for the MVCF. The MVCF is a California Benefit Corporation that has exempt status with the Internal Revenue Service (IRS) and California Secretary of State (SOS). When the foundation was created, the scope of use of the foundation was created and later confirmed with an Amendment, to be used as a catalyst for fundraising through donations, gifts and solicited grants for any eligible City causes, including a new community library. Since many City divisions and departments run into obstacles when soliciting grants and donations for non-profit related activities, staff brings this item to confirm the overall purpose of the Foundation to be applicable to all other City divisions and departments engaging in non-profit related activities and programs to utilize the foundation as a tool to enhance its fundraising efforts. ALTERNATIVES 1. Approve the Resolution to confirm the scope of use of the Moreno Valley Community foundation. Staff recommends this alternative as it will create additional opportunities to support non-profit activities. 2. Do not approve the Resolution to confirm the scope of use of the Moreno Valley Community foundation. Staff does not recommend this alternative as it may impede or put into question the ability of the Foundation to support non-profit activities. FISCAL IMPACT There is no fiscal impact associated with this request. Attachment _ RESOLUTION NO. 2018- A RESOLUTION OF THE BOARD OF DIRECTORS OF THE MORENO VALLEY COMMUNITY FOUNDATION, A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION, CONFIRMING THE SCOPE OF PERMITTED ACTIVITIES WHEREAS, in October 2006, City Council directed staff to retain a consultant with the primary scope of fundraising for a new community library; and WHEREAS, as part of the consultant activity, the Moreno Valley Community Foundation ( Foundation ) was proposed; and WHEREAS, in August 2007, City Council approved the creation of the Foundation and approved the creation of the Board of Directors ( Board ), to act as the sole power of authority for the Foundation; and WHEREAS, some question exists as to the scope of the fundraising activities permitted under the current By-Laws; and WHEREAS, the Board of the Foundation has determined that the purpose for which the Foundation was formed included all eligible fundraising activities, and wishes to confirm the scope of use of the Foundation to be applicable to fundraising for any City of Moreno Valley ( City ) sponsored non-profit related program or activity; and WHEREAS, the adoption of this Resolution will have no direct effect on the exempt status held with the Internal Revenue Service or the California Secretary of State. NOW, THEREFORE, THE CITY COUNCIL AS THE BOARD OF DIRECTORS OF THE MORENO VALLEY COMMUNITY FOUNDATION OF THE CITY OF MORENO VALLEY, CALIFORNIA, DOES HEREBY RESOLVE AS FOLLOWS: The Board hereby confirms that the scope of activites of the Foundation includes fundraising for any City sponsored non-profit related programs and activities, in addition to the fundraising of the new community library, for which a separate division of the Foundation was formed.
