Sponsorship for Certification of PERIANESTHESIA NURSES of Canada TERMS AND CONDITIONS CERTIFICATION EXAMINATION: the development of the examination of which successful completion culminates in the specialty designation as an area of expertise for the PeriAnesthesia Nurses taking this exam NAPAN : the certification examination organizer CLIENT: Exhibitor or Sponsor Application for Sponsorship Application should be made with the enclosed NAPAN Certification Sponsorship registration form. Sponsorship/Exhibitor's Space at National Conferences Where Platinum, Gold or Silver sponsorship is confirmed, NAPAN will make every effort to match the Client's request for Sponsorship/Exhibition space at the National Conferences wherever possible; however, it cannot guarantee that selected stand/space options will be met. Booth space locations are assigned on level of sponsorship purchased. NAPAN reserves the right to revise exhibition stand/space layout. Prices and Rates Prices shall be those listed in 2012 NAPAN print or online sponsorship documents unless otherwise agreed to by NAPAN and the Client in writing. All fees are assessed in Canadian Dollars. Terms of Payment A 50% deposit of the total sponsorship fees will be invoiced when the attached booking form has been received by NAPAN. Full sponsorship will not be confirmed until a 100% payment is made. The final payment equaling 50% of the total sponsorship fee will be invoiced 2 months following receipt of the deposit. If the Client fails to submit the full payment, a 10% administration fee will be retained by NAPAN, and NAPAN may cancel the Client's involvement. Client priority in each category of exhibiting at the National Conferences will depend on the order in which the Client committed to participate and on prompt payment. The Client acknowledges and understands that all other expenses/costs incurred by the Client in connection with the sponsorship of Certification are the sole responsibility of the Client, even in the event of cancellation by either party. Payment Methods 1. Cheque calculated in a Canadian Dollar equivalent of Client's home currency on the day of submission. Cheque made payable to NAPAN 2. Credit card payment to be made by completion of appropriate payment section on this order form. Cancellation Policy Once the application form is completed and payment confirmed, cancellation will not be accepted. Intellectual Property Copyright and other intellectual property rights to all NAPAN publications and other products and/or services shall remain with NAPAN unless otherwise agreed to in writing. The rights granted by NAPAN are restricted and may not be assigned, transferred or sublicensed without the prior written permission of NAPAN. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY RELEVANT LAWS: (i) NAPAN shall not be liable for any losses arising by reason of any implied warranty or breach of these terms and conditions or any duty of any kind imposed on NAPAN by operation of law. (ii) Nothing in the terms and conditions shall be construed as creating an obligation to indemnify the other party against the other party's own negligence. (iii) To the maximum extent permitted by relevant laws NAPAN expressly excludes any liability for breach of any implied or express warranty of as to merchantability or fitness for a particular purpose. Nothing in this contract shall limit the client's existing legal or statutory rights where it is acting as a consumer.
