Page 2 BASF Team Chemistry Challenge Overview CHALLENGE DESCRIPTION Mass customization is the new frontier in business competition for both manufacturing and service industries. It puts the consumer in the driver s seat. We re seeing more and more options where you can customize items you buy from tennis shoes to phones to video chat services BASF wants to challenge you to see how this mass customization will affect the automotive industry and the car buying experience. The top teams or individuals that create the winning solutions are going to be rewarded with a total of $25,000. Simple challenge tough solution. There are numerous ways to approach this challenge. Your solution might involve design aspects for the car from exterior coatings to interior design to energy management to the manufacturing process or something completely different. The solution(s) can be large or small, but must reflect innovation, sustainability, collaboration and practicality. And bonus points if you are able to incorporate BASF technologies. Page 4 CHALLENGE CRITERIA Must be 17 years or older and a full time University of Michigan undergraduate or graduate student. You can work individually or on a team, but all team members must be a full time University of Michigan student. Must submit a written document on provided BASF Team Chemistry Challenge templates (Word doc and/or PowerPoint): The document must include your team name and name of members, how you decided on the problem, the problem you are trying to solve, your solution, and a detailed how it works blueprint for the execution of the idea. Must submit a short get -to-know-you video (3 minute maximum) demonstrating your personality; why you are competing in the challenge, the best moment of the challenge, why you should win the $20,000 first place prize and any additional information you find necessary. The team captain is responsible for submitting the team s written document and video. CHALLENGE DETAILS First, second, and third place winning teams will be selected. The first place team will be awarded $20,000. The second place team will be awarded $5,000. The third place team will beawarded a merchandise kit. At least one member of the winning teams MUST attend the awards ceremony in order to receive the prizes. BASF Team Chemistry Challenge Important Deadlines TUESDAY, FEBRUARY 11- Registration opens at 9:00am EST FRIDAY, FEBRUARY 21- Registration closes at 11:59pm EST MONDAY, MARCH 24- Final submissions are due no later than 11:59pm EST TUESDAY, APRIL 1- Winners notified (1st-3rd place teams) SATURDAY, APRIL 5 Awards ceremony/check presentation at the halftime of the University of Michigan Spring Football Game

Page 7 Legal Guidelines BASF Team Chemistry Challenge TERMS AND CONDITIONS NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT INCREASE CHANCES OF WINNING. THE BASF TEAM CHEMISTRY CHALLENGE (THE CHALLENGE ) IS A SKILL CONTEST WHERE ELIGIBLE UNIVERSITY OF MICHIGAN STUDENTS WILL BE INVITED TO SUBMIT THEIR CHEMISTRY PROJECTS ONLINE TO COMPETE FOR AWARDS. THE CHALLENGE WILL BE COMPRISED OF A REGISTRATION PERIOD, SUBMISSION PERIOD, AND THEN A JUDGING PERIOD TO DETERMINE THE AWARD RECIPIENTS. THE GRAND AWARD RECIPIENT(S) WILL RECEIVE THEIR AWARD DURING A LIVE CEREMONY AT THE UNIVERSITY OF MICHIGAN ON OR ABOUT APRIL 5, 2014. Registration Period: Eligible students and teams may apply to participate in the Challenge between 9:00 am Eastern Time ( ET ) on February 11, 2014 and 11:59 pm ET on February 21, 2014 (the Registration Period ). Submission Period: All eligible submissions must be uploaded between 9:00 am ET on Feb 22, 2013 and 11:59 pm ET on March 25, 2013 to be considered (the Submission Period ). Eligibility: The Challenge is open to full-time undergraduate or full-time graduate students at the University of Michigan who are legal residents of the fifty (50) United States or the District of Columbia (or a temporary resident possessing a valid student visa) and 17 years of age or older and at the time of registration (each, a Participant ). Eligible minors should obtain their parents or legal guardians consent prior to participating. Employees of BASF (the Promoter ), Octagon Sports Marketing, and their respective parents, subsidiaries, affiliates, retailers and advertising and promotion agencies, and each of their immediate family members (spouse, parent, child or sibling, and their respective spouses, regardless of where they reside) and individuals living in the same households of each of these individuals, whether or not related, are not eligible to enter or win. Challenge is subject to all applicable federal, state and local laws. How to Register: During the Registration Period, visit MGOBLUE.COM (the Website ) and follow the instructions provided to complete the registration form. Participants will have the option to register by themselves or as a team of up to eight (8) Participants (each, a Team ). Registration must be completed by 11:59 pm ET on February 21, 2014 to be eligible. If registering as a Team, each Team member must visit the Website and follow the directions provided to complete the registration form and review/accept these Terms and Conditions. Each Team must also choose one (1) Team member to be the contact person for their Team and authorized to make all decisions on behalf of the Team with respect to this Challenge (the Contact Person ).

Page 8 Participating in the Challenge: During the Submission Period, create an invention, idea or innovative solution to the stated challenge. Then, visit the website and follow the directions provided to upload a written document using approved templates explaining the practicality and feasibility of the invention, idea or innovative solution to a current problem along with a video in 3 minutes or less to support your research and documentation and submit (each, a Submission ). Videos must be submitted in MOV, MP4 or Quicktime format and cannot exceed 200 MB in size. Limit one (1) Submission per Participant or Team. Submissions received from any Participant or Team in excess of the limitation will be void. Requirements of Submissions: Submissions may not contain, as determined by the Promoter, in its sole discretion, any content that: is s e xua lly e xplicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity; promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Submissions; defames, misrepresents or contains disparaging remarks about other people or companies; contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission; contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; contains look-alikes of celebrities or other public or private figures, living or dead; communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or violates any law. Submissions must be the original work of the Participant or Team, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity, including the University of Michigan. If a Submission contains any material or elements that are not owned by the Participant or Team, and/or which are subject to the rights of third parties, the Participant and/or Team is responsible for obtaining, prior to uploading of the Submission, any and all releases and consents necessary to permit the use and exhibition of the Submission by Promoter in the manner set forth in these Terms and Conditions, including, without limitation, name and likeness permissions from any person who

Page 9 appears in or is identifiable in the Submission. Promoter reserves the right to request proof of these permissions in a form acceptable to Promoter from any Participant or Team at any time. Failure to provide such proof may, if requested, render Submission null and void. By providing a Submission, Participant and/or Team warrants and represents that he/she and any persons appearing or who are identifiable in the Submission consent to the submission and use of the Submission in the Contest and to its use as otherwise set forth herein. Submissions must (i) be Participant s or Teams own original work, (ii) be in English, (iii) cannot be previously published or submitted in connection with any other promotion, (iv) be in keeping with the Promoter s image and (v) not be offensive or inappropriate, as determined by the Promoter in its sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person s personal or property rights or any other third party rights. Promoter reserves the right to disqualify any Submission that it determines, in its sole discretion, is offensive or inappropriate, not in keeping with Promoter s image or that is otherwise not in compliance with these Terms and Conditions. By providing a Submission, Participant and/or Team acknowledges and agrees that Promoter may obtain many Submissions in connection with this Challenge and/or other promotions staged and/or promoted by the Promoter, and that such Submissions may be similar or identical in theme, idea, format or other respects to other Submissions submitted in connection with this Challenge and/or other promotions sponsored by the Promoter or submitted for other reasons or other materials developed by the Promoter. Participant and/or Team waives any and all claims they may have had, may have, and/or may have in the future, that any Submission and/or other works accepted, reviewed and/or used by the Participant and/or Team may be similar to their Submission, or that any compensation is due to Participant and/or Team in connection with such Submission or other works used by Promoter. Judging Period: All eligible Submissions received by Promoter will be judged by a panel of qualified judges based equally on the following criteria: neatness and clarity of text in the Submission; clarity and use of images, graphics, tables and graphs in the Submission; portrayal of BASF materials, the ability of Participant and/or Team to incorporate technology and innovative solutions in Submission; ability of Submission to display the anticipated benefit and measurable change for the automotive industry and the community; demonstration of originality or creativity in Submission; the provision of published research information to support Submission; and the overall practicality of the Submission. The one (1) Submission with the highest score will be deemed the potential Grand Award recipient. The one (1) Submission with the next highest score will be deemed the potential First Runner-up Award recipient. The one (1) Submission with the next highest score will be deemed the potential Second Runner-up Award recipient. In the event of a tie, an additional, tie-breaking judge will determine the recipient(s) based on the criteria listed herein. Promoter reserves the right not to provide all awards if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Awards are subject to verification of eligibility and compliance with these Terms and Conditions.

Page 10 Grand Award (1): $20,000 awarded in the form of check to be distributed evenly amongst all Team members (if applicable) which may be used towards school costs. Award will be provided during a live ceremony at the University of Michigan on or about April 5, 2014. Approximate Retail Value ( ARV ) of Grand Award: $20,000. First Runner-up Award (1): $5,000 awarded in the form of a check to be distributed evenly amongst all Team members (if applicable) ARV of First Runner-up Award: $5,000. Second Runner-up Award (1): BASF merchandise to be distributed evenly amongst all Team members (if applicable) (exact merchandise to be determined by Promoter, in its sole discretion). ARV of Second Runner-up Award: $200 per Team member. Award Conditions: All award details are at the sole discretion of the Promoter. No substitution or transfer of awards (or portion thereof) permitted by award recipients. Promoter reserves the right to substitute an award (or portion thereof) with one of comparable or greater value, at its sole discretion. All federal, state and local taxes, and all costs and expenses related to the acceptance and use of the awards not specified herein as being provided, including but not limited to any/all transportation to/from award ceremony are the sole responsibility of the award recipients. Awards will be provided as is with no warranty or guarantee, either expressed or implied by Promoter. Award Recipient Notification: Promoter s decisions are final and binding on all matters relating to this Challenge. Potential award recipients (or Contact Person if a Team) will be notified on or about April 1, 2014 by telephone, mail and/or email and will be required (including all other Team members (if applicable)) to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Promoter, which must be returned within 5 business days of date appearing on award notification. Return of award notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Promoter to contact a potential award recipient within a reasonable time period or noncompliance with these Terms and Conditions by any Participant may result in his/her Team s disqualification and, at Promoter s sole discretion, the award and may be provided to a runner-up Participant or Team. If any award recipient is an eligible minor in his/her jurisdiction of residence, Promoter reserves the right to provide award in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed herein. Award Ceremony Footage: Award recipients and their guests (if applicable) attending the award ceremony may be photographed, videotaped and otherwise recorded by Promoter (collectively, "Footage"). Footage will be owned by Promoter who has the right to use, edit, adapt, post, stream, copy and exploit such Footage and all elements embodied therein, including any names and likenesses embodied therein, in any and all media now known or hereafter devised throughout the world, in perpetuity, for advertising, promotional, trade and other purposes. Award recipients and their guests (if applicable) agree that their name and likeness and those of any other individuals present at the award ceremony may be included in the Footage, in Promoter s sole discretion. Award recipients agree to help Promoter retain necessary releases (as applicable) if requested by Promoter to do so.

Page 11 Ownership of Submissions/Grant of Rights: By participating in this Challenge, and to the extent allowed by law, Participants and/or Teams (i) agree, that all Submissions received (whether acceptable or not, regardless of the form they take, and including, without limitation, any and all copyrights, trademarks, contract and licensing rights, moral rights or droit moral, and other intellectual property and proprietary rights in Submissions) are irrevocably transferred to, assigned to, and conveyed to Promoter and will be owned exclusively by Promoter, (ii) agree that Promoter may license and assign all such rights to third-parties and others (collectively Licensees ), (iii) grant Promoter and Licensees the absolute right and permission to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, transmit, produce, publish, rent, lease, distribute (directly or indirectly through multiple tiers), post, broadcast, publicly perform or display, adapt, exhibit and/or otherwise use or reuse or exploit (without limitation as to when or to the number of times used) and use the content of and elements embodied in the Submissions and the Submissions themselves in perpetuity in any and all media including but not limited to digital and electronic media, television, cinema, computer, DVD, CD, Competition Site(s), print, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration or compensation to Participant or any third party, (iv) shall execute and deliver documents, at Promoter s expense, requested by Promoter or as may be necessary to vest in Promoter the rights and waivers provided herein, (v) agree that email may satisfy any writing requirement that may apply to the assignment, conveyance, transfer, license, or waiver of any of the aforementioned rights, (vi) waive and release Promoter from any and all claims that participants may now or hereafter have in any jurisdiction based on moral rights or droit moral or unfair competition with respect to Promoter s exploitation of Submissions without further compensation to participants of any kind, (vii) agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Promoter or Licensees, or any other person, on the grounds that any use of any Submission, or any derivative works, infringe or violate any of participants rights therein, and (viii) agree that Promoter and Licensees shall have the right and permission to use the name, photograph, or other likeness or personal exposition of a Participant or any Team member (and/or any edited portion thereof) for promotional, advertising and/or publicity purposes in any media, now or hereafter known throughout the world in perpetuity, without compensation or notice to, or further consent of, any participant to the extent permitted by law. Participants and/or Teams also agree that Promoter may have access to, may have created, or may in the future create designs, ideas and concepts that may have familiarities or similarities to his/her Submission, and that he/she will not be entitled to any compensation or right to negotiate with the Promoter because of these familiarities or similarities. General: By participating, participants agree (a) to be bound by these Terms and Conditions and the decisions of the Promoter and judges, which are final and binding in all matters; (b) to the use by Promoter and their designees of their names, cities and states of residence and likenesses for advertising, promotional and other purposes in any and all media now or hereafter known throughout the world in perpetuity without additional compensation, notification

Page 12 or permission, unless prohibited by law; and (c) to release, discharge and hold harmless Promoter, Octagon Sports Marketing, the University of Michigan and their respective parents, affiliates, subsidiaries, retailers, distributors, suppliers, advertising and promotion agencies, and any other individuals engaged in any way in the development, production, printing, distribution or execution of this Challenge, and the respective directors, officers, and employees of the foregoing (collectively, the Released Parties ) from any liability, claims, losses and damages arising out of or relating to their participation in this Challenge and the acceptance, use, misuse or possession of any award received (or any travel/activity related thereto). Released Parties are not responsible for lost, late, stolen, damaged, inaccurate, incomplete, or counterfeit registrations, Submissions, or data corruption, theft, destruction, unauthorized access to or alteration of registrations, Submissions, loss or otherwise. Released Parties are not responsible for any other errors, malfunctions or problems of any kind, whether printing, typographical, technical, human or otherwise, errors or problems relating to or in connection with this Challenge, including, without limitation, errors, malfunctions or problems which may occur in connection with the administration of the Challenge, the announcement of the awards, the processing of Submissions, or in any Challenge-related materials. Promoter reserves the right, at their sole discretion, to modify or terminate this Challenge, should any technical failures, unauthorized human intervention or other causes corrupt or affect the administration, security, fairness or proper conduct of the Challenge. Promoter reserves the right, at their sole discretion, to disqualify any Participant or Team from this Challenge or any other promotion conducted now or in the future by Promoter or any of their affiliates if their fraud or misconduct affects the integrity of the Challenge or who is otherwise in violation of these Terms and Conditions, as determined by Promoter in their sole discretion, and void all associated registrations or Submissions. You are not an award recipient until your eligibility has been verified, and it is determined that you have complied with all terms of these Terms and Conditions. ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, PROMOTER RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Arbitration: Except where prohibited by law, as a condition of participating in this Challenge, Participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Challenge, or any awards provided, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Challenge), and Participant further waives all rights to have damages multiplied or increased.

Page 13 Choice of Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of Participant and Promoter in connection with the Challenge, shall be governed by, and construed in accordance with, the substantive laws of the State of Michigan, USA.
