AGENCY PARTNERSHIP AGREEMENT Between United Way of Monroe County 135 Warner Dr., PO Box 790, Tannersville, PA, 18372 (Referred to hereinafter as UWMC) and {partner agency name} (Referred to hereinafter as the Partner Agency) For the inclusive period beginning June 30th, 2018 and ending June 29th, 2019 NOW THEREFORE, it is agreed as follows: Section I. BOTH UWMC AND THE PARTNER AGENCY AGREE: A. To maintain responsible management through written organizational by-laws and policies, and a representative governing board that serves without monetary compensation and meets at least four times a year. B. To maintain financial and legal policies and procedures, including those that govern conflicts of interest, to ensure compliance with the agency s mission and vision statements, its bylaws and with generally accepted accounting principles (GAAP). C. To comply with all applicable federal, state and local laws related to the agency s operations and to maintain all necessary licenses required to implement the agency s programs and services. D. To refuse to engage in or tolerate any form of discrimination or harassment; and as such, to offer opportunities for participation in programs, services, and policy designation, as well as volunteer, staff employment, and board representation to persons regardless of race, color, religion, creed, age, gender, national origin or ancestry, marital status, veteran status or disability. E. To cooperate with each other in eliminating duplication of effort, improving efficiency of administration and fundraising, by promoting and participating in the solicitation of funds for the annual UWMC campaign and interpreting the Partner Agency s services to the community in such a manner as to identify the Partner Agency s affiliation with UWMC. 1

F. To keep one another informed on all matters of common concern and to identify and report significant program and/or financial changes throughout the partnership period. G. That financial support decisions will be made by UWMC annually, and the Partner Agency must apply annually for such support, as per guidelines provided by UWMC. H. That any contribution received by UWMC that is designated by a donor for the benefit of the Partner Agency shall be considered as part of UWMC support of the Partner Agency and included in the allocation amount stated herein. Note also that the funds designated by donors would be given to the Partner Agency regardless of whether or not the Partner Agency chooses to sign on to this Agreement with UWMC - assuming the Partner Agency has completed the anti-terrorism requirements noted in section 5. I. That the commitments made in this Agreement by UWMC to the Partner Agency, and by the Partner Agency to UWMC are limited to the partnership period specified within this agreement and are conditioned upon UWMC providing financial support specified herein, and conditioned upon the Partner Agency providing full and complete semi-annual reporting, as per guidelines provided by UWMC. J. That the commitments made in this Agreement are specific to: 1. the following Partner Agency program(s), which are detailed in the Partner Agency s proposal submitted to UWMC, which the Partner Agency agrees to implement in full and to the best of its ability: {partner agency program name}: and 2. the below associated funding amounts (inclusive of donor designations), which UWMC agrees to distribute to the Partner Agency, as per the covenants stated herein: {partner agency grant amount} K. That the performance measurement indicators on which the Partner Agency will report may be amended based on mutual agreement of both parties. Section II. THE UWMC AGREES: A. To conduct a community-wide campaign to raise funds for community service programs and activities serving Monroe County, PA. B. To allocate and utilize funds raised for the purpose of Uniting People and Improving Lives in Monroe County, based on the needs and priorities of the community. C. To distribute to the Partner Agency its funding allocation(s) specified above in Section I.-J., divided into four equal portions and paid on a quarterly basis. D. To keep the public informed on funding allocations, uses and results. 2

E. To conduct an annual audit by an independent auditor. F. To communicate to the Partner Agency relevant opportunities to present their organization and programs to the public and to provide a network for technical assistance and coordination, and build the capacity of partner agencies, as feasible. G. That the Partner Agency is an autonomous agency and has the right, within the limitations it has voluntarily accepted in this Agreement, to determine its own policies and programs and to determine, administer and control its own budget. H. That the Partner Agency reserves the right to seek external monetary, in-kind and volunteer support to fund its programs and operations. Section III. THE PARTNER AGENCY AGREES: A. To immediately inform UWMC of any existing or new: tax liens, delinquent federal or state payroll taxes or past due payments governmental agencies, and/or any adverse actions against the Partner Agency by regulatory, licensing, or oversight agencies. The Partner Agency understands that such delinquencies may result in the termination of this agreement, at the sole discretion of the UWMC. B. To identify itself as a UWMC Partner Agency by: 1. Displaying the UWMC logo in a prominent location at its physical facilities; 2. Including the UWMC logo and/or the statement referencing partnership with UWMC within all external marketing materials related to the specific program for which UWMC is providing funds. This would include, but is not limited to: newsletters, brochures, printed advertising, special event materials, news releases, and websites. 3. Identifying itself as UWMC partner in any print, audio, video, online or live media events related to the specific program for which UWMC is providing funds. C. To provide and regularly update 2-1-1 with information about all available services in Monroe County. D. To provide the Pocono Community Calendar with information on all tentative and firm dates for fundraising and major public events in Monroe County for inclusion on the community calendar so as to minimize event/fundraising conflicts. E. To provide adequate records demonstrating that the funding provided by UWMC is directly benefiting Monroe County residents, including quarterly reports, as per UWMC guidelines. F. To dedicate (a) representative(s) to actively participate in the following events and meetings: 1. Campaign Kickoff Event; 2. Annual Day of Caring; 3. Community Investment Orientation Meeting; 4. Annual Campaign Appreciation Event; 5. Sector specific coordination meetings, the timing and regularity for which are to be determined by the UWMC (these meetings may be UWMC-led, or led by other partners or external agencies, as deemed most efficient and effective); and 6. UWMC Annual Meeting. 3

G. To not solicit funds from external employee groups whether by arranging for payroll deductions with employers, conducting employee campaigns with external agencies, engaging in employee workplace solicitation or by other similar means, including but not limited to, electronic solicitation of external employee groups for the purpose of establishing a workplace campaign or payroll deduction plan of any type. H. To assist in the annual campaign by: 1. providing tours, site visits and/or presentations and speakers from staff and/or clients to engage contributors and potential contributors on behalf of the UWMC; and 2. actively promoting a United Way workplace campaign with Partner Agency employees and volunteers. I. To accept the funding decisions noted herein, recognizing that funding allocations are determined by the Community Investment Volunteer Panels, Community Investment Committee and the UWMC Board of Directors. J. To conduct an annual independent audit by a CPA assessing the Partner Agency s compliance with general accepted accounting practices (GAAP), and make this audit available to UWMC. If the Partner Agency s annual revenue is less than $300,000, a financial review by a CPA is sufficient instead of a full audit. If the Partner Agency s annual revenue is less than $100,000, a financial compilation by a CPA is sufficient in the place of either an audit or a financial review. K. That the Partner Agency assumes responsibility for any and all operational deficits. L. That UWMC will not be held liable for any legal or illegal actions taken by the Partner Agency. M. That funding by UWMC is provided based, in part, on an agency being found in compliance with this Agreement and each of its covenants. Section IV. CHANGES AND TERMINATION A. Any changes to the terms of this agreement must be mutually agreed to, in writing, by both parties. B. UWMC or the Partner Agency may terminate the relationship created by this agreement on sixty (60) days of notice, which may be given at any time. Any such termination must be by written notification from the Board of Directors of the UWMC or the Partner Agency and funding shall cease on the effective date of the termination. All unspent funds shall be returned to the UWMC for redistribution. C. UWMC reserves the right to terminate the relationship created by this agreement without advance notice in the event the Participating Agency is found in breach of this Agreement or any of its covenants. 4

SECTION V. ANTI-TERRORISM COMPLIANCE AND CHARITABLE STATUS In compliance with the USA Patriot Act and other counterterrorism laws, the Partner Agency certifies the following: A. That all UWMC funds and donations will be used by the Partner Agency in compliance with all applicable anti-terrorist financing and asset control laws, statutes, and executive orders. B. That no substantial part of the activities of the Partner Agency shall be devoted to carrying on propaganda or otherwise attempting to influence legislation. C. That the Partner Agency is exempt from taxation pursuant to Internal Revenue Service Section 501(c)(3) and has a current Certificate of Registration from the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their duly authorized representative as of the date first set forth above.
