Deloitte Hackathon Event Regulation Creator and Organiser Deloitte Hackathon (hereinafter the Event ) is based on an idea by Deloitte Italy S.p.A, with registered office in Via Tortona, 25, 20144, Milan (hereinafter the Creator ) and organised in collaboration with Officine Innovazione S.r.l - Via Tortona 25, 20144 Milano (hereinafter Organiser ). Objective The Event is aimed to attract the most talented individuals in the designing and implementation of innovative solutions in different sectors, in order to realize new b2b products and services capable of supporting companies in the many different challenges arising from an era of great social and technological changes. The Event is not a prize contest, as defined by Art.6 (a) of the Italian D.P.R. n. 430/2001, where the participant submit projects/studies, in the commercial or industrial sector, where the consideration is represented by the award of a prize, an official recognition of its merit or an official endorsement by the public. Date and duration The Event will take place in Milan, at the MegaWatt Court, Giacomo Watt road, 25, zip code 20143, on 8 th and 9 th June 2018. The Event will officially start on Friday (8 June 2018) at 9:30 am and will end the next day (9 June 2018) around 4.30 pm. Admitted applicants The Event is addressed to talented individuals in the field of business and technology, with the ambition to design and implement entirely innovative b2b products and services, capable of meeting the new needs of companies and enterprises. Individuals can apply for free. Essential condition to apply are the legal age (18 years), at the time of filling in all documents required for the participation to the Event, and the possession of at least one of the following skills: -Software development (regardless of the programming language); -Interface Creator (UXCreator, UICreator, WebCreator, Frontend developer, Mobile Developer, Security developer); -Business and Marketing (marketing experts, business model experts, sales experts). -Branding and communication (graphic, brand creators); -Experts of new technologies (Internet of things, Cloud Computing, Blockchain, Artificial Intelligence, Big data);

-Industry Experts (in the manufacturing, fashion, automotive, tourism, energy, banking & insurance fields). DCM network independence The applicants acknowledge that the Organiser and the Creator are part of the DCM Network and that they are subject to the respect of independence as prescribed by the EU Regulation n. 537/2014 and other legislative and/or regulatory provisions and professional accounting principles applicable to particular circumstances concerning audit activities. The applicants declare that they are not members of any company statutory board, board of directors, advisory board, or similar, and that they do not have any managerial or leading position of any kind in a legal entity and that they do not hold shares for more than 10% of the corporate capital or equity interest of any kind in excess of 10%. Otherwise, they will be required to fill in the related section of the application form when registering to the Event and acknowledge that the Organiser might prevent their participation, in order to preserve the above independency requirements. How to apply The application form is available on the website of the Event www.deloittehackathon.it. Information in the application shall be correct, complete and truthful (hereinafter Correct Registration ). Applicants are also required to upload their resumes, in the most updated version. The deadline for submitting an application is 27/05/2018 at 11.59 pm (Italian time). The Organiser will select participants based on the evaluation of their resumes and the possession of the related skills, as listed above, also considering the kind of activities that will take place in connection with the Event. Selected applicants (hereinafter Participants ) will receive confirmation of their admission to the Event via email to the address indicated in the application form. In case of wrong address or the impossibility to deliver the email, the Participant will be automatically rejected. Along with the confirmation email, the Participants will receive the following documents: 1. Event regulation 2. Privacy Information notice and declaration of the assignment of rights of images. 3. Non-Disclosure Agreement (NDA) (concerning information about the Event) 4. Event participation Agreement 5. Declaration of official positions, shareholding and equity holding, and/or managerial or leading position in a company All these documents shall be printed and duly signed by the Participant. The Correct Registration to the Event and the submission of the above listed documents within the first day of the Event, are conditions for the

participation. The lack of these requirements will prevent the participation in the Event. On the first day, Participants must provide their ID cards and their fiscal code cards (or tesserino sanitario ) otherwise they shall be excluded. Structure of the Event The Event will be created with reference to 9 main subject areas, concerning particular problems/markets/services (hereinafter Brief ), related to diverse field and sector of activities. Each Brief will be assigned to at least three different teams (hereinafter Team ) that will be competing. At the end of the Event, the best Team for each Brief will be awarded a prize, for a total of 9 winners. Different phases of the Event The Event will be divided in 9 phases: 1) Registration: On 8th June at 9.30 am, all those receiving the confirmation email should reach the above indicated location to proceed with the registration. They shall communicate their personal details, show their ID cards and submit all the required documents, duly signed. 2) Brief appointment: After the registration, Participants will be appointed to a Brief. Each Brief will have a Deloitte representative as referent (hereinafter Innovator ), presenting the Brief to each Team. 3) Team creation: At around 11 am, the different Participants appointed to the same Brief will be grouped in multidisciplinary Teams. The Organiser will decide the composition/modification of each Team, composed of a maximum of 6 people. 4) Starting of the activities: The activities will officially start at 11.30 am. Each team will try to define and develop a project (hereinafter Project ) and the related modalities and organization. The Project shall consist in an innovative solution and the realization of a prototype to be submitted to a technical committee (hereinafter Committee ). The members of the Committee will be nominated by both the Creator and the Organiser. They must assess the different Projects and the final work of each Team. The Participants won t be provided with any equipment. They shall therefore use their own laptop, smartphone, and/or other hardware (e.g. prototyping tools) to develop their Projects. Participants will be only given access to the Wi Fi and electricity network. A food court will be available at the location and a light lunch will be served at 1.30 pm. Snacks, energy drinks and resting points will be also provided, accommodating the needs of the Participants. Dinner will be served at 8 pm. The activities of the Team can continue all night long. Breakfast will be served at 8.30 am of the next day (Saturday 9 June 2018). All the activities should stop at 12.30 am.

5) Project submission: Each Team shall submit the Project to the members of the Committee on the 9 th June at 12.30 am. 6) Final assessment: After having assisted to the different Project submissions, the Committee will select the best Project for each Brief, using different criteria as indicated in this Event regulation. At the end of the Event the Committee will award the winning Teams. Contents and Technical aspects Participants will be asked to design and develop their Projects around a specific Brief. The 9 Briefs are very diverse in terms of fields of interest and technology. Participants are free to use their preferred programming language. Once completed, the Project should be deposited in a shared external hardware, kept by the Team. Project assessment The members of the Committee shall assess the different Projects submitted by each Team. Depending of the total score awarded the different Team will be ranked within the 9 Brief. The first ranked Teams, one for each Brief, will be awarded a prize in the modality described in the following paragraph. The final assessment of the Committee is irrevocable. The members of the Committee shall not provide further reasons for their decisions, which can be considered adequately motivated on the basis of the points assigned.

Consideration of the Projects awarded The prize awarded to each of the 9 winning Teams consists in the sum of 3,300.00 EUR (three thousandthreehundred/00), that should be divided equally between the different members of the Team. If an ex aequo occurs in the same Brief area, each winning Team will receive anyway a sum of 3,300.00 EUR (three thousandthreehundred/00), that should be divided equally between the different members of the Team. Winners cannot object to the prize awarded, or obtain its substitution. Guarantees Each Participant to the Event shall assure that the Project developed: 1. Will be designed within the Event and will constitute an original work 2. Will not contain any trademark, logo or other signs protected by copyright or industrial property rights; 3. In case of IP rights of third persons on the Project, the Participant shall have obtained all the necessary licenses and authorizations and ensure that the licenses and authorizations above can be assigned to third parties; 4. Will not violate the rights of a third person, including patents, trade secrets, rights assigned from licenses and contracts, the right to advertisement and the right to privacy, moral rights and any other rights that shall be protected according to the law; 5. Has not been the object of a previous contract with a third party. 6. Does not contain any diffamatory, outrageous content or the representation or other elements that might potentially discrediting the name, honor and/or reputation of the Creator and the Organiser, other individuals and companies; 7. Does not contain any pornographic, sexual explicit and discriminatory content (especially discrimination based on race, gender, sexual orientation, religion, political orientation of individual/ groups) or that incite violence toward a living creature, or might be defined as offensive, obscene and inappropriate; 8. Does not contain any threatening or other intimidating, harassing and abusive content.; 9. Will not violate the applicable law or encourage unlawful behaviors The Participants declare that they and their successors will entirely indemnify the Creator and the Organiser against all third-parties claims, lodged against them in connection with the guarantees provided above. Intellectual Property Intellectual property rights on awarded Team Projects will be of exclusive property of Deloitte Italy S.p.A. Data processing and advertising

When filling in the application form, candidates will be required to authorize the processing of their personal data by the Organiser. Participants will be asked to provide their consent for the use of the images (photographs and video) realized within the Event, for purposes of communication and promotion of the Event. Miscellaneous The Creator and the Organiser might cancel, suspend and/or modify, even partly, the Event for reasons of force majeure such as earthquakes, fire, plague, floods, technical problems or any other reason that cannot considerably be predictable and controlled by them. Participants shall respect health and safety measures when provided by the Organiser. The Creator and the Organiser might expel, at their complete discretion, Participants 1) trying to hack the application process and the correct development of the Event 2) violating the Event regulation 3) having an inappropriate, unsportsmanlike, and disturbing attitude during the Event. The Event Regulation has been drafted, is governed and shall be construed according with the Italian Law. The Hackathon is divided in 9 Brief. Deloitte referent for each Brief, presenting the Brief to the Teams and becoming a reference within the Hackathon. Candidates selected by Creator and Organiser for the participation to the Hackathon. Selected candidates effectively admitted to participate Commission composed of members nominated by the Creator and the Organiser, responsible for assessing the prototypes developed by the different Teams. Pursuant to articles 1341 e 1342 of Italian Civil Code, the Participant acknowledge accept and specifically agree with the provisions concerning DCM Network Independence, Guarantees and Miscellaneous. Date Signature

Privacy Information notice under Section 13 of Italian Legislative Decree no. 196 of 30 June 2003 and Article 13 of the EU General Data Protection Regulation. Within the Event, the Controller will process personal data collected from successful and unsuccessful candidates and from the Participants to the Event. The personal data collected shall be those provided by the applicants when filling in the online application form and additional data gathered from Participants through the Event. By way of example, this personal data includes contact details such as name, email, address, telephone number; personal details including gender, hometown, date of birth, job position, degree and qualifications. Purpose of processing. The personal data shall be processed for the following purposes: a) to enable the participation of the applicants to the Event; b) management and organization of the Event, at all stages; c) to select winners and possibly award prizes; d) branding and promotion of the services of Deloitte Means of data processing. The personal data collected will be processed using computerized and transmission systems, specially designed to allow data storing, management and transmission. Personal data shall be processed fairly, lawfully and transparently, ensuring respect for the right to privacy and the other rights of the data subject. Mandatory or voluntary nature of data provision The providing of data is not mandatory, however it is strictly necessary for the participation to the Event. Failure to provide data or incomplete information will prevent the evaluation of the related applications by the Controller. Communication and release of Data, Data transfer. The personal data collected will be communicated, for the above listed purposes, to: - companies and other legal entities of the Deloitte Network - companies and/or natural persons providing services to Deloitte - third persons to whom access to personal data is granted by law, regulation and Community provisions, strictly according to law. Some of the data recipients might not be located in the European Union. The Controller shall ensure adequate protection for the transfer of personal data to Third countries, in accordance with the provisions laid down in the General Data Protection Regulation (GDPR), Chapter V (articles 44 to 49). This will include, among others, contractual means and the adoption of standard contractual clause. A list of data recipients located outside of the

European Union, shall be made available to the data subject at his or her request to the Data Protection Officer, at the address indicated below. Data storage Personal data shall be retained in accordance with applicable legal requirements for data protection through the duration of the Event and for as long as necessary to fulfill the purposes for which they are collected. Personal data necessary for compliance with fiscal and civil obligations will be retained to comply with the obligations concerned. Rights of the data subject With regard to the processing of personal data, the data subject might exercise all the Rights provided under Article 7 Italian Legislative Decree no. 196 of 30 June 2003 and articles 15 to 21 GDPR, including: Obtain confirmation as to whether or not personal data concerning him or her are being processed, and, where that is the case, access to the personal data (Right to access); Update, modify and/or correct his or her personal data (Right to rectification); Obtain the erasure and the restriction of processing of personal data (Right to be forgotten, Right to restriction); Object to the processing of personal data (Right to object); Withdraw his or her consent, without affecting the lawfulness of processing based on consent before its withdrawal. Lodge a complaint with the Supervisory Authority in case of violation of the data protection legislation; Receive the personal data concerning him or her, which he or she has provided to a controller, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller (Right to data portability). To exercise the rights listed above, the data subject shall submit a request to the address below. Data Controller The Data Controller is Deloitte Italy S.p.A., with registered office in Milan, via Tortona 25, 20144.
