PREAMBLE This document is intended to establish the general structure and layout of the NH Patriot Guard Riders and establish a means in which to clearly identify the two separate sides of the organization. Article I. ORGANIZATION Section 1.01 Name (a) The name of the organization shall be NH Patriot Guard Riders Inc. (hereafter referred to as NH PGR or NHPGR) and be governed by a Board of Directors (hereafter referred to as BoD). (b) The organization may, at its pleasure, by a unanimous vote of the Board of Directors change its name. Section 1.02 Seal (a) The organization shall have a seal, which shall be in the following form: Section 1.03 Website (a) The website shall be listed as www.nhpatriotguard.org unless otherwise specified by the Board of Directors. Article II. PURPOSE(S) The following are the purposes for which this organization has been organized: Section 2.01 Our Mission The NH Patriot Guard Riders is a 100% volunteer, charitable organization which ensures dignity and respect at memorial services honoring Fallen Military Heroes, First Responders and Honorably Discharged Veterans. Section 2.02 Our Vision The NH Patriot Guard Riders is a diverse amalgamation of riders from across the state. We have one thing in common besides motorcycles; we have an unwavering respect for those who risk their very lives NH PATRIOT GUARD RIDERS CONSTITUTION PAGE 3 OF 6

for America s freedom and security. This includes all Military Heroes, First Responders and Discharged Veterans. If you share this respect, please join us. We don t care what you ride or if you ride, what your political views are, or whether you re a hawk or a dove. It is not a requirement that you be a veteran. It doesn t matter where you re from or what your income is. The only prerequisite is Respect. Our main mission is to attend the funeral services of fallen American heroes as invited guests of the family. Each mission we undertake has two basic objectives: (a) Show sincere respect for fallen heroes, their families, and their communities. (b) Shield the mourning family and their friends from interruptions created by any protestor or group of protestors. We accomplish the latter through strictly legal and non-violent means. To those of you who are currently serving and fighting for the freedoms of others, at home and abroad, please know that we are backing you. We honor and support you with every mission we carry out, and we are praying for a safe return home for all. The NH Patriot Guard Riders participate in activities which honor and show respect for all military members and families of the military members, past and present as well as First Responders (Police, Fire & EMT s) and their families. This may include financial assistance, for charitable reasons, which these military, veteran military and First Responders families may need. In addition, organizations which assist the Heroes listed above, may be included provided they are 501(c)3 qualifying organizations. Article III. STRUCTURE The NH Patriot Guard Riders are made up of two separate management structures, each responsible for managing a different aspect of the NHPGR mission. Section 3.01 Board of Directors The Board of Directors is responsible to manage the financial and fundraising affairs of the NH Patriot Guard Riders and all business related to the maintenance of the 501(c)3. Section 3.02 Leadership Group The Leadership Group is responsible to manage the acceptance, planning, and execution of all missions undertaken by the NH Patriot Guard Riders. Article IV. MEMBERSHIP Section 4.01 Eligibility Regular membership in this organization shall be open to all American citizens and legal aliens who follow the mission statements and are in good standing with the Patriot Guard Riders Inc. Section 4.02 Classes (a) Regular Member: Anyone that meets the requirements of eligibility, as defined in Article III, Section 3.0.1, that has registered with the NH Patriot Guard Riders. (b) Leadership Group: Any regular member assigned as (but not limited to) a Senior Ride Captain, Ride Captain, Flag Line Captain or Ride Captain In-Training (c) Board of Directors: Those elected and/or appointed to govern the NH Patriot Guard Riders financial business. Section 4.03 Termination The Board of Directors may entertain a request from any state Ride Captain for the removal of a member for cause. Such regular member may be removed when sufficient cause exists and provided that a simple majority (51%) of the Board of Directors calls for such removal. The Secretary shall forward such removals to the National Patriot Guard Riders, Inc. for approval. The National Patriot Guard Riders, Inc. may only recommend removal for cause. Such removal will require a Board of Directors simple majority (51%) vote to remove such regular member. All property, intellectual or otherwise that belongs to the NH Patriot Guard Riders Inc. shall be turned over immediately upon request to a board officer by that member when terminated or upon leaving. Article V. DUES There will be no dues for members of this organization. Article VI. PROVISION FOR DISSOLUTION Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)3 of the Internal Revenue Code, or the corresponding section of any future tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose with priority given to organizations that primarily serve those whom we serve. Any such assets not so disposed of shall be disposed of by a court of Competent Jurisdiction of the county in which the principle office of the corporation is located, exclusively for such purposes or to such NH PATRIOT GUARD RIDERS CONSTITUTION PAGE 5 OF 6
