Matching Gifts Program GUIDELINES OVERVIEW The Matching Gifts Program is an important part our community investments strategy and one of the ways Tesoro, in partnership with the Tesoro Foundation, supports employees philanthropic efforts while strengthening the communities where we live and work. To maximize impact and empower employee giving, the Tesoro Foundation will match qualified employee gifts of $50 or more, dollar-fordollar, to: Accredited two- and four-year U.S. colleges and universities up to $5,000, collectively, per employee per calendar-year and Most 501(c)(3) non-profit organizations and accredited K-12 schools up to $5,000, collectively, per employee per calendar-year. For donations made via payroll deduction, the Tesoro Foundation will match one-time payroll deductions of $50 or more per organization and recurring payroll deductions of $10 or more per organization per pay period. It is the employee s responsibility to review the guidelines prior to making a gift. Becoming familiar with the guidelines will assure gift eligibility. Questions on the eligibility of specific gifts or organizations should be directed to the Community Affairs team. ELIGIBLE PARTICIPANTS The following individuals are eligible to participate in the Matching Gifts Program: Regular, full-time, U.S.-based employees of any of the direct or indirect wholly-owned subsidiaries of Tesoro Corporation or employees of Tesoro Logistics GP, LLC ( Tesoro employees ); and Current members of Tesoro Corporation s and Tesoro Logistics GP, LLC s Board of Directors. INELIGIBLE PARTICIPANTS The following individuals are ineligible to participate in the Matching Gifts Program: Retired Tesoro employees ( retirees ); Former members of the Tesoro Corporation s and Tesoro Logistics GP, LLC s Board of Directors; Spouses, surviving spouses and family members of Tesoro employees, retirees and directors; and Temporary and contract workers, terminated Tesoro employees and Tesoro employees on longterm disability or salary continuance (i.e., severance). 1

ELIGIBLE INSTITUTIONS To be eligible to receive matching funds, an organization must adhere to the following: Be located in the United States; and Be recognized as a non-profit organization by the Internal Revenue Service under Section 501(c)(3) of the U.S. Internal Revenue Code or as part of a federal, state, local or tribal government as provided by Section 170(c)(1) of the Code. Eligible organizations include, but are not limited to: accredited public and non-profit elementary and secondary schools, as well as two- and four-year colleges, community colleges, universities, trade and technical schools; civic, arts and culture, environmental, and health and human services agencies and organizations, including United Ways; and publicly-owned and operated museums, libraries, parks and zoos. Employees need not be members of the organizations or have attended the educational institutions to which they contribute. INELIGIBLE INSTITUTIONS The Tesoro Foundation will not provide matching funds to any of the following entities: Individuals; For-profit entities; Political parties, candidates and organizations; Fraternal, labor, athletic, alumni and social organizations, and their related foundations; Chambers of commerce and other business leagues or organizations; Private foundations and foundations classified as supporting organizations by the IRS; Organizations that do not comply with the USA Patriot Act; Churches, mosques, synagogues or other houses of worship; Organizations that discriminate against others based on age, gender, race, ethnicity, national origin, sexual-orientation, religious preference, mental and/or physical abilities, marital or parental status, military-veteran status, or any other status or condition protected by law; and Organizations that act in a manner inconsistent with the policies of, represent a conflict of interest with, or that may be harmful to the reputation or relationships of Tesoro or the Tesoro Foundation. ELIGIBLE GIFTS AND CONTRIBUTION LIMITS To be eligible for matching funds, employees gifts must meet the following conditions: Gifts must be paid and not merely pledged to an eligible organization; Gifts must be in the form of cash, including credit card, check and payroll deduction, or marketable securities; Payroll deductions will be withheld each pay period and transferred to the designated organizations and institutions on a monthly basis; 2

Securities must be transferred outright to recipient organizations and will be matched using the average of the high and low prices on the date of the transfer; Beginning in 2016, all requests for matching funds must be received by the Tesoro Foundation within three (3) months of the date of the contribution; The minimum one-time donation that will be matched by the Tesoro Foundation is $50; The minimum recurring payroll deduction that will be matched by the Tesoro Foundation is $10 per organization per pay period; Gifts to eligible two- and four-year colleges, community colleges, universities and trade and technical schools will be matched, collectively, dollar-for-dollar, up to $5,000 per eligible employee per calendar-year; The contributions to eligible 501(c)(3) non-profit organizations and K-12 schools will be matched, collectively, dollar-for-dollar, up to $5,000 per eligible employee per calendar-year; If an eligible employee s gift(s) exceeds the maximum match amount, the gift(s) will be matched up to the calendar-year maximum; and Gifts made in a calendar-year will be applied to an employee s matching gift maximum for that same calendar-year. Tesoro matching gifts will be processed monthly and checks will be sent directly to recipient organizations and institutions. INELIGIBLE GIFTS The Tesoro Foundation will not provide matching funds in support of the following: Gifts made prior to January 1, 2015; Gifts of real estate, personal property, works of art, in-kind contributions and donated labor; Gifts made from business accounts and a spouse s individual account; Grouped and pooled gifts (e.g., contributions made by a group of employees or other persons and claimed as one gift from a single eligible employee); Deferred gifts (e.g. annuities, charitable remainder trusts, etc.), bequests and insurance premiums that name the organization as beneficiary; Gifts made from or to donor advised funds, private foundations (e.g., family foundations) and personal charitable trusts; Gifts that result in any personal benefit or privilege to an employee, his/her immediate family members or another person(s) designated by the employee, including, but not limited to: subscriptions; memberships; tickets to athletic, cultural and charity events; charity benefit auction purchases; and charity golf tournament registrations, race admission fees or similar sports benefit events; Gifts in lieu of tuition (or that reduce tuition), loan repayments, books or student fees; Gifts made in lieu of pledges, tithes and other financial commitments; Gifts to support religious activities or programs; Gifts matched by other companies; Gifts to provide scholarships or financial aid to individuals designated by the employee or selected by anyone other than faculty or administrators of the institution; Gifts for scholarships with terms and conditions less stringent than those used by the institution in awarding scholarships out of its general scholarship fund; and 3

Gifts to support collegiate athletics, including, but not limited to: funds, foundations, facilities, scholarships or booster clubs. DISCLAIMER The Tesoro Foundation reserves the right to suspend, amend, revoke, modify or terminate, in whole or in part, the Matching Gifts Program at any time without prior notification. The interpretation of each application will be determined by the Foundation, and all decisions regarding match eligibility will be final. No obligation is imposed upon or accepted by Tesoro or the Tesoro Foundation as a result of accepting an application requesting a matching gift. The Tesoro Foundation may request additional information about any gift to verify eligibility. After review and authorization, payments will be made on a monthly basis and may be subject to calendaryear budgetary limitations. If a matching gift is at any time found to have been generated by an ineligible person, gift or organization, the Foundation will expect return of the matched funds. A matching gift from the Tesoro Foundation does not constitute an endorsement by the Foundation or Tesoro Corporation, its subsidiaries or its affiliates. FAQs Nearly 80 percent of the 1,800 corporate, refining and logistics employees who participated in the 2013 community investment survey requested greater choice in charitable giving and to have Tesoro match their donations. In response to this feedback, Tesoro has expanded the Matching Gifts Program and significantly increased the variety of non-profit and charitable organizations employees may contribute to and apply for matching gifts. MATCHING GIFTS PROGRAM General Questions What is a matching gift? Why does Tesoro support a matching gifts program? How does the Matching Gifts Program work? Will Tesoro match donations made thru payroll deduction? When will the new Matching Gifts Program go into effect? Why do K-12 schools, colleges and universities need to be accredited? 4

Can employees apply any/all of the $5,000 match for 501(c)(3) non-profit organizations and accredited K-12 schools to accredited U.S. colleges and universities? Will Tesoro match any type of donation to an eligible institution? Will my donation be matched if I designate how I would like the organization to use it? MATCHING GIFTS PROGRAM Process Questions How do I submit a request for matching gifts? Will a receipt be required when applying for matching gifts? Do separate donations made to the same institution need to be submitted separately when requesting matching gifts? Will Tesoro match donations to multiple organizations? Can gifts of less than $50 to the same eligible institution be bundled/combined and submitted for matching gifts from the Tesoro Foundation? How often are requests for matching gifts processed? How long do I have to submit my matching gifts request? If I make a donation at the end-of-the-year, and it is not matched until the following year, in which year will it count towards the calendar year limit? Will I be issued a receipt for tax purposes? Will a record of my donations show up on my paystub and/or W-2? I m participating in a fundraising event for an eligible charity and have collected donations from other Tesoro employees, as well as friends and family members. Will the Tesoro Foundation match these funds? As a teambuilding activity, my Tesoro co-workers and I decided to purchase items for a local nonprofit? Will the Tesoro Foundation provide a match based on the value of goods we purchased? Who is responsible for the guidelines? ONLINE GIVING & VOLUNTEERISM PORTAL What is the new online employee giving and volunteerism portal? Why did Tesoro create the online employee giving and volunteerism portal? Who will have access to the portal? How can employees access the giving portal? What will the portal allow employees to do? Will donations and/or payroll deductions made thru the online portal be matched automatically? Is there a cost involved in using the online portal? May I use the online portal to donate groups that do not comply with Tesoro s Charitable Contributions Policy (30.20.016) like my church or the Boy Scouts? Will the online portal allow me to designate how I would like a charity/organization to use my donation? UNITED WAY, WORKPLACE GIVING & PAYROLL DEDUCTION QUESTIONS Page 10 What is an open workplace giving campaign and how does it differ from a traditional United Way Campaign? 5

Why are we moving to an open workplace giving campaign? Will I still be able to donate to my local United Way? Will the Tesoro Foundation match my donation to the United Way? Why has Tesoro capped the amount it will match to United Ways and other eligible 501(c)(3) non-profit organizations? May I designate how I would like the United Way to use my donation? Will donations made to the United Way, or as part of the workplace giving campaign, be matched automatically? Will I be able to access and/or change my current United Way payroll deductions? When will new payroll deductions go into effect? Can I set, delay or postpone the date when I would like my new payroll deduction to begin? I currently make donations to charity (e.g., United Way) via payroll deduction. I would like to continue to donate to charity via payroll deduction in 2015, but I don t want to double-up between now and the end of the year. What should I do? MATCHING GIFTS PROGRAM General Questions Q. What is a matching gift? A. A matching gift is a grant made by the Tesoro Foundation to an eligible, tax exempt or charitable organization to match an eligible employee s donation to the same organization.\ Q. Why does Tesoro support a matching gifts program? A. As long as the employee, gift and charity/organization qualify under the Matching Gifts Program, the Tesoro Foundation will match one-time payroll deductions of $50 or more per organization and recurring payroll deductions of $10 or more per organization pay period. Q. When will the new Matching Gifts Program go into effect? A. In mid-september with the launch of the new online employee giving portal. 6

For 2015, eligible employees that made qualified donations as far back as January 1, 2014 may apply to have their donations retroactively matched. MATCHING GIFTS PROGRAM Eligibility Questions Q. Which employees are eligible to apply for matching gifts? A. Regular, full-time Tesoro and Tesoro Logistics employees. Please see the Matching Gift Program Guidelines for a detailed explanation of eligible and ineligible participants. Q. Is there a waiting period for new employees before they are eligible to participate? A. No. Q. Will Tesoro match donations made by spouses? A. No, but donations made from qualified joint accounts (e.g., checking, brokerage, credit card, etc.) will be matched as long as the employee qualifies under the program guidelines and is listed as a joint-owner on the account from which the donation is made. Q. Which organizations qualify for matching gifts? A. At a minimum, to qualify for matching funds, organizations must be incorporate in the United States and recognized as a non-profit organization by the Internal Revenue Service under Section 501(c)(3) of the U.S. Internal Revenue Code or as part of a federal, state, local or tribal government as provided by Section 170(c)(1) of the Code. Please see the Matching Gift Program Guidelines for a detailed explanation of eligible and ineligible institutions. Q. What is a 501(c)(3) non-profit organization? A. 501(c)(3) is a section of the Federal Tax Code which establishes the criteria for tax exempt charitable organizations. An organization must have 501(c)(3) status and be designated a public charity in order to receive matching funds from the Tesoro Foundation. The Foundation will also match eligible gifts to government entities under Section 170(c)(1) of the Code. Examples of government entities include, but are not limited to: public K-12 schools, colleges, community colleges and universities; public parks, libraries and museums; and government departments, bureaus and agencies, such as the Coast Guard, FEMA and the EPA. Q. Which organizations are ineligible to receive matching gifts? A. In accordance with Tesoro s Charitable Contributions Policy (30.20.016) and IRS guidelines, the Foundation will not match donations to: 7

Individuals; For-profit entities; Political parties, candidates and organizations; Fraternal, labor, athletic, alumni and social organizations, and their related foundations; Chambers of commerce and other business leagues or organizations; Private foundations and foundations classified as supporting organizations by the IRS; Organizations that do not comply with the USA Patriot Act; Churches, mosques, synagogues or other houses of worship; Organizations that discriminate against others based on age, gender, race, ethnicity, national origin, sexual-orientation, religious preference, mental and/or physical abilities, marital or parental status, military-veteran status, or any other status or condition protected by law; and Organizations that act in a manner inconsistent with the policies of, represent a conflict of interest with, or that may be harmful to the reputation or relationships of Tesoro or the Tesoro Foundation. Q. What does organizations that discriminate against others... mean? A. Organizations that operate in a manner inconsistent with the policies of Tesoro and the Tesoro Foundation including, but not limited to, Tesoro s Code of Business Conduct. Q. Which organizations and schools does Tesoro consider as discriminatory? A. The Tesoro Foundation will be reviewing groups on a case-by-case basis and making public, via the online employee giving and volunteerism portal, a list of groups that do not qualify for matching funds. Under the new program guidelines, the Foundation will not match donations to the Boy Scouts, as well as gifts to faith-based organizations and schools that require a statement of faith or adherence to a particular creed or religion to qualify for services or as a condition of enrollment/admission. Q. Why do K-12 schools, colleges and universities need to be accredited? A. Accreditation is required because it is an equitable and cost effective way for us to ensure the recipient schools meet and maintain an established standard of quality. Q. Can employees apply any/all of the $5,000 match for 501(c)(3) non-profit organizations and accredited K-12 schools to accredited U.S. colleges and universities? A. No. The match is intended for donations to 501(c)(3) non-profit organizations and K-12 schools, only. Q. Will Tesoro match any type of donation to an eligible institution? A. No. Donations by employees to eligible institutions must be 100 percent philanthropic in order to qualify for matching gifts. Neither employees nor family members may receive any personal or financial benefit, no matter how small, in exchange for a donation. Examples of personal and 8

tangible benefits include, but are not limited to: free or reduced event tickets, meals, tuition, subscriptions, publications, etc. Please refer to the Matching Gifts Program Guidelines for a detailed explanation of eligible and ineligible gifts. Q. Will my donation be matched if I designate how I would like it to be used by the organization? A. Yes, as long as the designation is consistent with Tesoro s Charitable Contributions Policy (30.20.016) and the Matching Gifts Program Guidelines. Please refer to the Matching Gifts Program Guidelines for a detailed explanation of eligible and ineligible institutions and gifts. MATCHING GIFTS PROGRAM Process Questions Q. How do I submit a request for matching gifts? A. Eligible employees must first make donations to eligible institutions prior to requesting matching gifts. Donations may be made off-line directly to an eligible organization in the form of cash, checks, credit cards or stocks/bonds/securities, or on-line by credit card or payroll deduction via the new online employee giving portal. Once the donation is made or payroll deductions scheduled, then employees can request matching gifts via the new portal. For 2015, employees may also request matching gifts (as well as payroll deductions) by completing a paper application and submitting it to Tesoro s Community Affairs team in San Antonio. Beginning in 2015, all workplace giving programs will be accessible via the online portal, only. Q. Will a receipt be required when applying for matching gifts? A. Yes. For off-line donations made in the form of cash, check, stocks/bonds/securities and credit card donations, employees will be required to submit documentation from the charity as proof of their donations. Q. Do separate donations made to the same institution need to be submitted separately when requesting matching gifts? A. Yes. This provides for consistent recordkeeping among employees, recipient institutions and the Tesoro Foundation, and complies with the Company s auditing standards. By requiring a form for every gift made, the Tesoro Foundation can ensure that every gift is matched appropriately. Each gift is considered a separate transaction and therefore must have appropriate documentation. Q. Will Tesoro match donations to multiple organizations? A. Yes. Tesoro will match all qualified gifts of $50 or more made by eligible employees to eligible institutions up to the respective per employee calendar-year maximums. If an employee were to make several qualified donations of at least $50 each to multiple U.S. colleges and/or universities, the Tesoro Foundation would match each donation until the collective 9

$5,000 calendar-year maximum was met. Similarly, if an employee were to make several qualified donations of at least $50 each to multiple 501(c)(3) non-profit organizations (including local United Ways) and/or accredited K-12 schools, the Tesoro Foundation would match each donation up to the collective $5,000 calendar-year maximum. Q. Can gifts of less than $50 to the same eligible institution be bundled/combined and submitted for matching gifts from the Tesoro Foundation? A. No. Q How often are requests for matching gifts processed? A. All off-line donations (i.e., cash, checks, credit cards, stocks/bonds/securities) that qualify for matching gifts, as well as credit card donations and payroll deductions made on-line via the new employee giving and volunteerism portal, will be processed on a monthly basis. Donations made via payroll deduction, whether one-time or recurring, will be withheld accordingly (i.e., one-time or every pay period) and funds, including qualified matching funds, will be disbursed on a monthly basis. Per IRS guidelines, the Tesoro Foundation is prohibited from matching pledges made by the Company and/or its employees. With respect to donations made via payroll deduction, the Foundation can only provide a match after funds have been withheld from employees paychecks and disbursed to a charitable organization. Q. How long do I have to submit my matching gifts request? A. Employees will have 90 days from the date of the donation to apply for matching gifts. For 2014 only, eligible employees that made qualified donations as far back as January 1, 2014 may apply to have their donations retroactively matched. Q. If I make a donation at the end-of-the-year, and it is not matched until the following year, in which year will it count towards the calendar year limit? A. The donation will count toward the year in which the donation was made on or before December 31, 2014 that is not processed until January 2015 will count toward the 2014 calendar year limit). Q. Will I be issued a receipt for tax purposes? A. Receipts for any off-line donations (i.e., cash, checks, credit cards, stocks/bonds/securities, etc.) made by employees directly to charitable organizations should be issued by said organizations directly to employees. For donations made via credit card or payroll deduction thru the online giving and volunteerism portal, employees will need to log-in to the portal and either download or print a record/receipt for each donation. The receipt will be issued by the United Way in partnership with Tesoro Foundation and YourCause, LLC who provides tax acknowledgements and disbursement of these funds and any/all 10

matching gifts. Q. Will a record of my donations show up on my paystub and/or W-2? A. If an employee chooses to donate via payroll deduction, only the total amount deducted per pay period will be displayed on his/her paystub and listed, generically, as Charitable Donations. The total amount deducted over the course of the entire calendar-year will also be displayed on the employee s W-2. Neither the name of the charity or charities an employee donates to via payroll deduction, nor a breakdown of donation amounts, will ever appear on an employee s paystub or W-2. Q. I m participating in a fundraising event for an eligible charity and have collected donations from other Tesoro employees, as well as friends and family members. Will the Tesoro Foundation match these funds? A. No. Pooled funds will not be matched by the Tesoro Foundation nor will donations made by persons other than eligible Tesoro employees. Q. As a teambuilding activity, my Tesoro co-workers and I decided to purchase items for a local nonprofit? Will the Tesoro Foundation provide a match based on the value of goods we purchased? A. No. The Tesoro Foundation will only match financial contributions made directly to eligible institutions by eligible, individual employees within the calendar-year limits. Q. Who is responsible for the guidelines? A. The guidelines for the program are established by the Tesoro Foundation. The Foundation reserves the right to suspend, amend, revoke, modify or terminate, in whole or in part, the Matching Gifts Program at any time without prior notification. The interpretation of each request for a matching gift will be determined by the Foundation, and all decisions regarding match eligibility will be final. No obligation is imposed upon or accepted by Tesoro or the Tesoro Foundation as a result of accepting an application requesting a matching gift. ONLINE GIVING PORTAL Q. What is the new online employee giving and volunteerism portal? A. The portal is a cloud-based tool designed by our vendor, YourCause, to increase giving and volunteerism by connecting employees with non-profit and community-based organizations in a streamlined, efficient and cost-effective manner. YourCause is a Software as a Service ( SaaS ) provider based in Carrollton, TX that provides a fully hosted and managed solution for community involvement programs. Q. Why did Tesoro create the online employee giving and volunteerism portal? A. The portal was created to empower employees by providing them with greater choice in giving, greater control in spending and tracking their charitable dollars, and the ability to find, participate in 11

and track volunteer opportunities and hours. Q. Who will have access to the portal? A. Only Tesoro employees and interns will have access to the online portal; contractors and temporary employees will not. Q. How can employees access the giving portal? A. At work, if employees have the ability to log-in to Tesoro s intranet site, they can access the employee giving and volunteerism portal via HR Connect and clicking on the Employee Giving & Matching Gifts link under the Pay and Incentives tab. From home or mobile devices, employees can access the portal by logging-in to HR Connect on Tesoro s Internet site (www.tsocorp.com) and, under the Pay and Incentives tab, clink on the Employee Giving & Matching Gifts link. Q. What will the portal allow employees to do? A. Beginning mid-september, employees will have the ability, 24-hours-a-day, seven-days-a-week, to: Find and research non-profit and charitable organizations; Record off-line donations of cash, checks, credit cards and stocks/bonds/securities; Make credit card donations to any 501(c)(3) non-profit organization or government entity; Start, stop and change payroll deductions to any 501(c)(3) non-profit organization or government entity; Apply for matching gifts; and Share information via social media. The portal will also allow employees to search to find, participate in and track volunteer opportunities and hours, and apply for grants to organizations where they volunteer. Q. Will donations and/or payroll deductions made thru the online portal be matched automatically? A. No. Employees will need to request which individual donations and/or payroll deductions they would like matched and the whether they would like all or a portion of their donation matched. Q. Is there a cost involved in using the online portal? A. There is no cost to employees to access the online portal, record off-line donations, apply for matching gifts or to find, participate in and track volunteer opportunities and hours, and apply for grants to organizations where they volunteer. For credit card donations made via the online giving portal, there is a processing fee of roughly 2.5 percent of the value of each donation. The fee is the responsibility of the employee making the donation and will be deducted from the amount donated to the charity/organization. 12

Tesoro has contracted with the YourCause to manage the disbursement of payroll deductions to the various charities/organizations. YourCause charges a monthly fee to disburse funds to each organization. Tesoro Foundation will pay the monthly processing fees associated with all donations made via payroll deduction that comply with the Company s Charitable Contributions Policy (30.20.016). For payroll deductions made to organizations that DO NOT comply with Tesoro s Charitable Contributions Policy, such as houses of worship, the processing fees will be deducted from the amount donated to the charity/organization. Processing fees may run as high as $4.50 per organization for one-time payroll deductions and $4.50 per quarter per organization for recurring payroll deductions. Q. May I use the online portal to donate groups that do not comply with Tesoro s Charitable Contributions Policy (30.20.016) like my church or the Boy Scouts? A. Yes. Employees may use the online employee giving and volunteerism tool to make credit card donations and/or payroll deductions to any active, 501(c)(3) non-profit organization on-file and in good standing with the IRS, even those that do not qualify for matching gifts or from the Tesoro Foundation. Processing fees may apply. Q. Will the online portal allow me to designate how I would like a charity/organization to use my donation? A. Yes, but designations must still adhere to the Matching Gifts Program Guidelines to qualify for matching gifts. The designation of payroll deduction-related donations must also comply with Tesoro s Charitable Contributions Policy (30.20.016). UNITED WAY, WORKPLACE GIVING & PAYROLL DEDUCTION QUESTIONS Q. What is an open workplace giving campaign and how does it differ from a traditional United Way Campaign? A. Within a traditional United Way Campaign, employees are typically restricted to donating only to their local United Ways and/or a handful of United Way-approved agencies. Thru an open workplace giving campaign, employees are afforded the opportunity to donate to the charities that matter to them most which may or may not include their local United Ways. Q. Why are we moving to an open workplace giving campaign? A. As part of the 2013 charitable giving and community involvement survey, employees requested greater choice in giving. Supporting open workplace giving campaigns is one way which Tesoro can provide greater choice to our employees. By providing employees with more choices, as well as the ability to apply for matching funds, Tesoro and its employees, together, will have a greater impact on the communities where we live and work. 13

Q. Will I still be able to donate to my local United Way? A. Yes. In many locations, the local United Way does an excellent job supporting the surrounding community, and is a fine steward of the charitable donations they receive. Part of giving employees greater choice is allowing them to continue to support existing organizations. Q. Will the Tesoro Foundation match my donation to the United Way? A. Yes. As part of the Matching Gifts Program, Tesoro will match employees donations, collectively, dollar-for-dollar, up to $5,000 per employee per calendar-year to most 501(c)(3) non-profit organizations, including local United Ways, and accredited K-12 schools. Employees that donate to their local United Ways may request that all or a portion of these donations be matched up to the collective calendar-year limit. Q. Why has Tesoro capped the amount it will match to United Ways and other eligible 501(c)(3) nonprofit organizations? A. By giving employees greater choice in giving and expanding the Matching Gifts Program, we anticipate both employee participation rates and average donation amounts will increase, significantly. The limits were established to ensure that the Foundation has sufficient funds to match qualified donations made by every eligible employee. We hope to increase the per employee calendar-year limit of $5,000 in future years based on corporate performance. Q. May I designate how I would like the United Way to use my donation? A. Yes, but designating all or a portion of your United Way donation and/or payroll deduction to one or more other organizations is frowned upon, given the fact that employees can give directly to those groups. Additionally, the Tesoro Foundation will not match employees donations or payroll deductions if any of designated funds will be used in a manner inconsistent with the Matching Gifts Program Guidelines. Q. Will donations made to the United Way, or as part of the workplace giving campaign, be matched automatically? A. No. Employees will need to request which donations and/or payroll deductions they would like matched and the whether they would like all or a portion of their donation matched. Q. Will I be able to access and/or change my current United Way payroll deductions? A. No. If you made any recurring donations via payroll deduction as part of the 2013 United Way campaign, those funds will continue to be deducted each pay period until the end of 2014. These pledges are not viewable thru the new employee giving and volunteerism portal, nor do employees have the ability to change these deductions. Beginning this year, all new charitable payroll deductions, whether created thru the new online portal or paper form, may be viewed and modified, year-round, through the portal. 14

Q. When will new payroll deductions go into effect? A. New donations made via payroll deduction will begin to be deducted from an employee s paycheck almost immediately; typically within one to two pay periods from the date when the employee sets-up the deduction through the new online giving and volunteerism portal. 15
