BPO CLUSTER PROPOSAL FOR ANY COUNTRY BOT MODEL

CLUSTER SIZE - An International voice BPO cluster, which can be scaled up to bigger ones as it grows, there is no limit for growth, this one is for a 100-seater x 100 cluster. - As we have seen, most of the Governments are taking lot of initiative to promote IT, but BPO cluster is the ideal entry level because of the availability of educated youth and can attract youth from other countries too. - Any business to make an impact has to be very visible; that is why cluster system would work better. When we are bringing 100 people together as investors and bringing 200 plus clients for every shift, there will be sizeable movement of people from source country and processing country which creates huge knowledge and culture exchange, which in turn generates more business opportunities. BUDGET - Budgetary allocation needed: 20000 USD per seat includes leased premises, consulting fee, training, pre-operatives and all other sundry expenses for the first 12 months; this is the benchmark, by then the project is expected to reach profitability hence no further investments on operational expenses. - Total budgetary allocation required: 200 million USD. HOW DO YOU DO THIS - We need to find 100 investors to be a part of this 100 voice BPO cluster. - Each one must have an allocation of 2 million USD for the first shift, 01 million USD for the second shift and 01 million USD for the third shift, totally 04 million USD in three phases. - We need to find a common hub of physical infrastructure of a million Sq.Ft. - We need to involve the Government because it creates huge employment opportunities, triggers other businesses like training, IT, education, travel, banking, insurance, automobile, retail, hospitality, domestic BPO industry, general exports, brand value of the Government. PROCESS - Once we are able to find investors, find physical infrastructure, then the same process holds good. - Implementation time: 60 90 days. - Minimum Earnings per hour per seat: 12USD (will reach 12USD by 9-10 months from the day of dialing). - Nature of business: outbound, inbound, email & chat support, non-voice, business consulting. - Operational breakeven: one year. - Training: 1-2 months. TRAINING ACADEMY - Instead of setting up training academy only for our business, we can set up a centralized training portal and franchise it to nook and corner of the country. - BPO training attracts youngsters because it provides an opportunity for youngsters to work in IT environment, earn salaries like IT professionals and provides opportunity to grow very quickly. - BPO training also triggers English education training because English is a very key factor in BPO. SCOPE OF CONSULTANCY - Guiding the investors in technology, setting-up facility, recruitment, training, providing business contract from US or CANADA or UK or AUSTRALIAN clients, coordinating with the clients, coordinating payments, guiding the investors throughout the MOU period. - Also guiding the investors to advise the Government on proper policy guidelines, identifying SEZ form of business, promoting IT, BPO initiative in respective countries. DURATION - Duration of MOU will be 05 years but it is spread out on yearly basis with renewal options. - The client agreements are normally for 01 year and renewable on mutually satisfying delivery of services. ATWORLD SOLUTIONS 10

SPACE - Space required for the project: Every seat needs 100 Sq.Ft. of space, that means the cluster needs a million Sq.Ft. of space which will be used for various voice BPO activities. - If we are able to find one common hub and name the full cluster as a special economic zone for BPO, which creates a huge impact on the clients and creates a big brand for the country and region. REVENUE GENERATION - On a 100-seater BPO x 100 cluster, 01-shift operation of 07 working hours, minimum expected revenue generation is to the tune of 950 million USD 01 billion USD at the end of 05 year time-frame. - Minimum profitability: 190 mil USD 200 mil USD in a timeframe of 05 years. GOVERNMENT S ROLE - This business should be treated as member of special economic zone and should be free of all income tax, excise, custom duty for 20 years. - We should be able to bring in all the IT, BPO and knowledge exporters; however small they are on the common platform and offer the same benefits as we are offering to SEZs and promote this as a powerful knowledge and opportunity generator for the people of that particular country. - 30000 people working creates close to 150000 support jobs in the country in a span of just 05 years which is a huge relief to the Government. Government need not do anything in terms of promoting business, if it can facilitate and provide free market for entrepreneurs, it can do wonders. ATWORLD SOLUTIONS 13

DUEDILIGENCE - Before signing the MOU, a due diligence visit will be made by senior personnel and the project will be discussed in detail with the investors and Government. - All the expenses for airfare, local transportation, stay during the visit should be organized by the investors. MOU - Once the promoter and Atworld Solutions agree to work together, MOU to that effect will be signed with first part of consulting fee which will be followed by identification of facility, recruitment of people, signing business contracts with offshore clients. SECOND & THIRD SHIFT - Once we implement one shift with 10000 people and set revenue is achieved, we shall repeat the same act for a second shift with 10000 people. With two shifts fully operational, revenue gets doubled. - Additional investments: 100 million USD towards working capital of shift two. - After completing two shifts, we shall attempt third shift with 10000 people. With three shifts operational, revenue gets tripled and profitability increases phenomenally because only people cost varies. - Additional investments: Another 100 million USD towards working capital of shift three. CONSULTING FEE- 1 - Consulting fee structure for a 100-seater x 100 cluster for first year: - 20 mil USD @ 2000USD per seat per annum payable in 10 equal parts. - The first part of 02 mil USD becomes the signing fee during the signing of MOU with Atworld Solutions. - The same arrangement shall continue for the next 04 years. - All the airfare, accommodation and local transportation has to be organized by the promoter during all the visits. REVENUE, EXPENDITURE, PROFITS - Total tentative revenue for 03 shifts, 05 years. - First shift - 60 months, second shift - 42 months, third shift - 24 months - Tentative total revenue: 1.8-1.9 billion USD - Tentative total expenditure: 1.2 billion USD - Tentative gross profit: 600 million USD ATWORLD SOLUTIONS 20
