ihub Limitel -3- September 4, 2012 ATTACHMENT 1) Paragraph one (1) of the Agreement is revised and hereby amended to read as follows: 'in response to the requestfor financial assistance made by ihub Limited, on behalf of the ihub Consortium ("Recipient"), I am pleased to inform you that the International Bank for Reconstruction and Development ("World Bank"), acting as administrator of grant funds provided by the infodev Multi- Donor Trust Fund, proposes to extend to the Recipient a grant in an amount not to exceed seven hundred ana twenty five United States Dollars (U.S.$725,000) ("Grant") on the terms and conditions set forth or referred to in this Grant Agreement ("Agreement"), which includes the attached Annex, to assist in the fincncing of the project described in the Annex ("Project").' 2) Paragraph 3.01 of Article II of the Annex of the Agreement is hereby amended to read as follows: '3.G:. Eligible Expenditures. The Droject consists of: 1) Establishment and operation of a regional Mobile Applications Laboratory (m:lab) 2) Source and nurture early stage innovators to develop and commercialize mobile applications, content and services by implementing cr serious of awareness and outreach efforts, innovation acceleration, and pre-incubation activities. 3) Strengthen competitiveness of rn:lab incubatees through quality and productivity management.

PART 2: Institutional Arrangements 1. The Recipient represents and warrants that it is duly registered in accordance with the laws of Kerya; that it is duly organized and authorized to conduct business pursuant to Memorandum of Understanding dated 14th September 2010 between the Consortium Partners ; that it has the authority to sign this Agreement; that it has full capacity to be bound by the obligations contained herein; and to carrv out, jointly and severally, the Project in accordance with Section2.02 of Article 1/ of the Annex to this 4greement. 2. Establish and maintain throughout the period of implementation of the Project, the ihub Cor.;rtium in accordance with the Memorandum of Understanding dated 1 4 th September 2010 and to the satisfaction of the World Bank; comprising (i) emobilis Mobile Training Academy (emobilis), (ii) University of Nairobi, School of Computing and Informatics, and (iii) The Web Foundation (collectively referred to as the 'Consortium Partners'). 3. The Recipient shall be vested with the overall responsibility for management and oversight of Pro4ect implementation; and shall carry out the Project through the Consortium Management Committee ('MCC'), in accordance with the World Bank's guidelines and procedures, which shall meet at least every six months and shall comprise a voting member from each of the Consortium Partners. PART 3: Project Scorecard The Intermediary Project deliverables are as follows: 1. ihub Limit(e -6- September 4, 2012 Activity 5.02: Bring on one other financial sponsor Activity 5.03: Collaboration with regioral labs and with South African winner Activity 6: Establish and implement a monitoring and evaluation framework and process Actidity 6.01: Development of an m:iab scorecard. In consultation with, and with advice from the steering committee and the World Bank, the Recipient will develop a scorecard to measure the outcomes and impacts of the m:lab, as well as the peiformance of the m:iab implementation process. Activity 6.02: An updated scorecard should be submitted at a semi-annual basis, at the end of the grant period and one year post-implementatcon. In order to monitor the implementation of the Project and to evaluate the outcomes, the indicators should be reported in a timely manner with a full summary at the completion of the Project.
