ihub Limitel -3- September 4, 2012 ATTACHMENT 1) Paragraph one (1) of the Agreement is revised and hereby amended to read as follows: 'in response to the requestfor financial assistance made by ihub Limited, on behalf of the ihub Consortium ("Recipient"), I am pleased to inform you that the International Bank for Reconstruction and Development ("World Bank"), acting as administrator of grant funds provided by the infodev Multi- Donor Trust Fund, proposes to extend to the Recipient a grant in an amount not to exceed seven hundred ana twenty five United States Dollars (U.S.$725,000) ("Grant") on the terms and conditions set forth or referred to in this Grant Agreement ("Agreement"), which includes the attached Annex, to assist in the fincncing of the project described in the Annex ("Project").' 2) Paragraph 3.01 of Article II of the Annex of the Agreement is hereby amended to read as follows: '3.G:. Eligible Expenditures. (a) The Recipient may withdraw the proceeds of the Grant in accordance with the provisions of (a) Article Ill of tf e Standard Conditions, (b) this Section, and (c) such additional instructions as the World Bank may specify by notice to the Recipient (including the "World Bank Disbursement Guidelines for Projects" dated May 2006, as revised from time to time by the World Bank ana 9s made applicable to this Agreement pursuant to such instructions), to finance [100%] (inclusive of Taxes) of Eligible Expenditures consistirg of goods, works, non-consulting services, consultants' services incl,ding audits, Workshops and Training, and Operating Costs; provided, however, that unless the Wo.-d Bank shall otherwise approve in writing, no more than 10% of the amount of the Grant may be usea to finance goods.' 3) Paragraph 3.03 of Article II of the Annex of the Agreement is hereby amended to read as follows: 'The Closing Date referred to in Section 3.06 (c) of the Standard Conditions is June 30, 2013.' 4) The Annex to the Agreement is revised and is hereby amended to read as follows: 'PA RT 1: Project Objective and Activities The objective of the Project is to increase the competitiveness of innovative enterprises in the mobile content and applications area. The Droject consists of: 1) Establishment and operation of a regional Mobile Applications Laboratory (m:lab) 2) Source and nurture early stage innovators to develop and commercialize mobile applications, content and services by implementing cr serious of awareness and outreach efforts, innovation acceleration, and pre-incubation activities. 3) Strengthen competitiveness of rn:lab incubatees through quality and productivity management.

ihub Limit:d -4- September 4, 2012 4) Stimulate local eco-system to icrease commercialization rate of mobile applications, products and services that have potentialfor significant development impact, and that target and have greater reach to disadvantaged and bottom of the pyramid populations. 5) Develop a business case for the m:lab to ensure that long term sustainability is prioritized. 6) Establish and implement a monitoring and evaluation framework and process. PART 2: Institutional Arrangements 1. The Recipient represents and warrants that it is duly registered in accordance with the laws of Kerya; that it is duly organized and authorized to conduct business pursuant to Memorandum of Understanding dated 14th September 2010 between the Consortium Partners ; that it has the authority to sign this Agreement; that it has full capacity to be bound by the obligations contained herein; and to carrv out, jointly and severally, the Project in accordance with Section2.02 of Article 1/ of the Annex to this 4greement. 2. Establish and maintain throughout the period of implementation of the Project, the ihub Cor.;rtium in accordance with the Memorandum of Understanding dated 1 4 th September 2010 and to the satisfaction of the World Bank; comprising (i) emobilis Mobile Training Academy (emobilis), (ii) University of Nairobi, School of Computing and Informatics, and (iii) The Web Foundation (collectively referred to as the 'Consortium Partners'). 3. The Recipient shall be vested with the overall responsibility for management and oversight of Pro4ect implementation; and shall carry out the Project through the Consortium Management Committee ('MCC'), in accordance with the World Bank's guidelines and procedures, which shall meet at least every six months and shall comprise a voting member from each of the Consortium Partners. PART 3: Project Scorecard The Intermediary Project deliverables are as follows: 1. ActAvity 1: Establish and launch a regional Mobile Applications Laboratory (m:iab) Act vty 1.01: m:ab space opened Act v. ty 1.02: m:ab Manager hired Act, vity 1.03: Mobile application testinq environment setup Act,vity 1.04: A virtual space: repository of articles, resources, database of application developers and helpful tools

Activity 2: Source and nurture early stage innovators to develop and commercialize mobile applications, content and services by implementing a serious of awareness and outreach efforts, innovation acceleration, and pre-incubation activities Act vity 2.01: Regional Pivot developer challenges organized in 2011 and 2012 Act vity 2.02: 3 outreach and capacity building workshops (bootcomps) reaching a minimum of 100 developers, held in Uganda, Tanzania, and Rwanda Act vity 2.03: 150 students trained in mobile app development, business & entrepreneurship training 3. Activity 3: Strengthen competitiveness of m:ab incubatees through quality and productivity management Act,vity 3.01: 15 trained incubatees brcught to the market, including at least 10 startups hosted within the m:/ab Act'vity 3.02: Up to two teams benefiting from a seed funding and support as a result of the m2work chav!enge Activity 4: Stimulate local eco-system to increase commercialization rate of mobile applications, products and services that have potential for significant development impact, and that target local and bottom of the pyramid populations Act'vity 4.01: 2 workshops on field rese2rch output organized ActIvity 4.02 : 2 research proposals for market and user studies developed Actvity 4.03: 1 primary research conducted and findings disseminated Act;vity 4.04: Include Inclusive Innovation aspects into other activities of the m:lab Activity 5: Develop a business case for the m:lab to ensure that long that term sustainability is prioritized Act'vity 5.01: Business plan for the m:lcb to be submitted annually at a date specified in the scorecard, and progress towards meeting sustainobility targets as specified in the scorecard. The business plan should include at least the following: * A Business model detailing product/service offering and key partnerships * A sustainability and revenue plan for the lab (to be submitted annually at a date specified in the scorecard) * Targets and Key Performance Indicators * Marketing Plan * Staffing Plan * Governance Structure

ihub Limit(e -6- September 4, 2012 Activity 5.02: Bring on one other financial sponsor Activity 5.03: Collaboration with regioral labs and with South African winner Activity 6: Establish and implement a monitoring and evaluation framework and process Actidity 6.01: Development of an m:iab scorecard. In consultation with, and with advice from the steering committee and the World Bank, the Recipient will develop a scorecard to measure the outcomes and impacts of the m:lab, as well as the peiformance of the m:iab implementation process. Activity 6.02: An updated scorecard should be submitted at a semi-annual basis, at the end of the grant period and one year post-implementatcon. In order to monitor the implementation of the Project and to evaluate the outcomes, the indicators should be reported in a timely manner with a full summary at the completion of the Project.
