The Beacon Page 3 On Friday January 9, JTHS Association of REALTORS held their 2015 Installation Banquet and Leadership Academy Graduation at the Buccaneer Yacht Club. We thank everyone who came out to the event. The night was filled with laughter, dancing, and live music. Memory Lane performed throughout the night. We would like to welcome our 2015 President-Nancy Lubeck, President Elect-Sue Gaieski, Vice President-Lynne Rifkin and Secretary/Treasurer-Julie Phillips, Past President-Bill Hall, Our Directors: Charlene Oakowsky, Barbara Fox, Lou Ludwig, Brad Westover, Kim Price, Karen Tyree, Kim Tuscani and Danny Poulos. These talented and eager members completed a rigorous program that ran from February to December, learning and making an impact on issues such as government affairs, teambuilding and developing leadership skills. They travelled to Tallahassee and Orlando and they partnered with the Realtor Association of Martin County leadership class. At the end of the program they presented a comprehensive class project that incorporated all that they had learned. Page 6 Changes to the Laws effective January 1, 2015 affecting the real estate industry Submitted by Anne Desormier-Cartwright, Esq. Under the Fair Labor Standards Act (FLSA), the current federal minimum wage is $7.25 per hour. But FLSA does not supersede any state or local laws that are more favorable to employees. In Florida, the new state minimum wage is $8.05. Because this is higher than the minimum federal rate, employers are now obligated to pay employees working in the Sunshine State a minimum of $8.05 for all hourly wage earners. Florida Revised Limited Liability Company Act Chapter 605 The New Florida Limited Liability Act ( New Act ) became effective January 1, 2014 and applies to all limited liability companies ( LLCs ) formed in the State of Florida on or after January 1, 2014. For those formed before that date, LLCs continued to operate under the existing Florida Limited Liability Act in Chapter 608 until 1-1-15. Or, you could have elected to be governed by the New Act by amending your governing documents to reflect the change. However, effective 1-1-2015, Chapter 608 is repealed and all Florida LLCs regardless of date they were formed are subject to the New Act. You can still override the New Act by stating in your operating agreement what provisions supersedes Chapter 605. But, there are additional provisions in the New Act that that could materially affect an LLC s operating agreement. Therefore, it is imperative that your operating agreement be comprehensive and cover all matters which the New Act could change in your situation. If not, the New Act s default provisions could apply. A summary of the changes are as follows: expansion of the non-waivable provisions; elimination of the Manager Member form of management; the power to disassociate as a member, Member and Manager liability for inaccurately filing information with the State, additional appraisal rights, new statement of authority and limitation of authority provisions and changes to the conflict of transactions standards to be more fair. Consult with your legal advisor to carefully review and evaluate the impact of the New Act to determine what amendments, if any are required to avoid the unintended consequences of this New Act.
