ABERDEEN RENEWABLE ENERGY GROUP: SUMMARY OF MEMBERSHIP TERMS The following is a summary of the terms of membership of the Aberdeen Renewable Energy Group ( AREG / The Company ). The full terms of membership and the conduct of the business of the Company can be found in the Articles of Association (copy available on application) AREG plays a key role in developing a sustainable renewable energy sector in Scotland and the UK through supporting our members and attracting investment. We want Aberdeen to be as famous for renewables as it is for oil and gas, renowned for the successful transfer of technology, skills and engineering expertise; its entrepreneurial approach and can-do attitude. AREG will achieve this vision by: Aligning opportunities with capabilities in the supply chain Supporting renewable energy businesses Facilitating the transfer of technology, skills and expertise from oil & gas Promoting the city and AREG members nationally and internationally Enabling, supporting and promoting local renewable projects Membership AREG is a company limited by guarantee. Ownership of the Company is limited to a maximum of four full members. Currently there is only one full member Aberdeen City Council. Management of AREG The business of AREG is managed by a board of directors ( the Board ) which has authority to exercise all the powers of the Company. The Board will from time to time change and develop the benefit structure and welcomes input from Associate Members in this respect. Subscription An Associate Member is required to pay the amount of annual subscription determined from time to by the Board. The current subscription is 275.00 per annum exclusive of VAT and is payable annually in advance. An invoice for the annual subscription will be raised on approval of an Associate Member s application for membership and annually thereafter whilst membership continues. The membership year begins 1st April. An Associate Member may terminate its membership at any time by giving one month s notice in writing to the Board at the registered office of the Company. There will be no entitlement to any refund of the subscription on such termination. If an Associate Member fails to pay in full the subscription within three months of the relevant due date they will automatically cease to be an Associate Member of AREG. The bulk of the remaining membership, to whom the benefits of AREG will be directed, will be made up of Associate Members. Associate Members will not be members of the company per se and will not be liable on a winding up of the Company. Associate Membership is generally open to individuals, companies, corporations, firms and other organisations who are engaged in or have an interest in the renewable energy industry. All applications for Associate Membership must be made in writing using the prescribed form.
