SECOND AMENDMENT TO CITY OF LOS ANGELES CONTRACT NUMBER C-120938 BETWEEN THE CITY OF LOS ANGELES AND RMI INTERNATIONAL, INC. FOR SECURITY GUARD SERVICES THIS SECOND AMENDMENT to Contract Number C-120938, ("Agreement"), is made and entered into by and between the City of Los Angeles, a municipal corporation (hereinafter referred to as the "City"), acting by and through the Los Angeles Police Department, (hereinafter referred to as the "LAPD"), and RMI International, Inc., (hereinafter referred to as the "Contractor"). WHEREAS, effective July 1, 2012, in an effort to consolidate citywide security functions and funding, regular authority and expenses were transferred from General Services Department (GSD) to the LAPD. The consolidation of security services to the LAPD provides for a more efficient and coordinated security presence throughout City buildings, grounds, and municipal facilities; and WHEREAS, on August 31, 2012, the City, acting by and through LAPD and Contractor entered into Contract No. C-120938; and WHEREAS, Contract No. C-120938 provides that the City has the option to extend the term of the Agreement for two (2) additional years in one (1) year increments; and WHEREAS, on January 17, 2014, the City exercised its right to extend the contract for the first year under the two year option effective September 1, 2013; and WHEREAS, the Contractor's services are of a professional and occasional nature and the Contractor has been providing satisfactory services; and WHEREAS, the City desires to exercise its right to extend the contract for the second year under the two year option; and WHEREAS, this Second Amendment is necessary and proper to continue or complete certain activities authorized under the Agreement. NOW THEREFORE, the City and Contractor agree that the Agreement be amended as follows: I. Section 3.0 of the Agreement, entitled "Term of Agreement," is hereby amended and revised to read as follows: City of Los Angeles (LAPD) RMI International, Inc. Page 1 Security Guard Services

"The term of this Agreement shall commence on September 1, 2014, and will terminate on August 31, 2015, unless terminated as provided under Section 20.0.10. Performance will not begin until the Contractor has obtained approval of insurance and have an approved contract with the City as required herein. II. Years of Experience Any and all references in the underlying Agreement as to years of experience required for any and all Security Officers, Post Commanders, or Supervisors, armed or unarmed, shall be amended to required twelve (12) months prior experience. III. Rate Increase Attachment "A" of the underlying Agreement, "Payment Schedule for Security Officer Services," shall be amended to reflect an hourly rate increase as specified in Attachment "A." IV. Ratification Due to the need for Contractor's services to be provided continuously on an ongoing basis, Contractor may have provided services prior to the execution of this Second Amendment. To the extent that said services were performed in accordance with the terms and conditions of the Agreement and this Second Amendment, those services are hereby ratified. Except as previously amended, all other terms and conditions of this Agreement shall remain in full force and effect. City of Los Angeles (LAPD) RMI International, Inc.
