Inviting Expression of Interest (EOI) for Development of Industrial Model Township (IMT) at Gohana (Sonipat District), Haryana 1.0 Background Haryana State Industrial & Infrastructure Development Corporation Limited (HSIIDC) is a Government Company constituted under Companies Act 1956 for development of industrial Infrastructure and industrial development in the State of Haryana. HSIIDC is the Nodal agency for development of Industrial Infrastructure in Haryana, thereby, catalysing all round economic growth in the state. HSIIDC has been successful in developing a number of Industrial Model Townships, Industrial Estates, Theme Parks at strategic locations all over the State. Prime amongst these are Industrial Model Townships at Rohtak, Manesar, Bawal & Faridabad; Industrial Estates at Kundli, Rai, Barhi, Bahadurgarh; and Theme Parks alike the Food Parks at Rai & Saha, Footwear Park at Bahadurgarh, Technology Parks at Manesar, Rai & Panchkula etc. A number of new projects planned/under implementation include new Industrial Model Townships at Rojka Meo (Mewat), Gohana and Khakhuda; Industrial Estates at Panipat; and Textile Park at Barhi, Food Park at Barhi, Green Electronics Manufacturing Cluster at Rohtak & Leather Cluster at Rojka Meo (Mewat) apart from expansion of existing Industrial Model Townships/Industrial Estates. While HSIIDC has developed a number of Industrial Model Townships, Industrial Estates and Theme Parks/Industry Cluster at various locations in the State, it is not been able to fully meet the demand of developed industrial space. It is becoming increasingly difficult to acquire a commensurate large land-bank on long term basis on account of the costs involved in holding the undeveloped land. Simultaneously, there is pressing need to disperse the availability of developed infrastructure in comparatively lesser developed areas so as to balance the developmental efforts in such areas. The Government also recognises the need for development of planned industrial infrastructure in industrially backward blocks in the hinterland, outside the controlled areas of towns. It also appreciates that it becomes extremely difficult for the Private Sector to accumulate/ purchase contiguous land in required proportions through direct negotiations. Taking cognizance of the situation, the State Government of Haryana announced for development of Industrial Model Townships under the Public Private Partnership (PPP) Model in its Industrial & Investment Policy, 2011. Carrying forward the vision of the policy, HSIIDC has envisioned developing an Industrial Model Township (IMT) at Bidhal Lath Gohana in District Sonipat over an area of approximately 6,000 acres though Public Private Partnership (PPP) Model. 2.0 Advantage HARYANA With a splendid economic growth, one of the highest per capita income index, sound industrial infrastructure, strong manufacturing base, advanced agriculture sector and vibrant service sector, Haryana is among the highly economically developed and

industrialised States of India. The State has its manufacturing stronghold particularly in sectors like automobile & auto components, light engineering goods, IT & ITES, textile & apparels and electrical & electronic goods. The State Government has always strived to create and maintain conducive environment for attracting investment through investor friendly rules & procedures and timely & smooth delivery of services. It has made sustained efforts in removal of any bottlenecks in smooth operation of industries. As a result of its investor friendly policies, Haryana has been successful in attracting huge investments. The State of Haryana was acknowledged as a leader in per capita investment for the year 2007 as per the CMIE report. Having emerged as a preferred investment destination for the domestic as well as international investors, Haryana today is home to a number of multinational companies and corporate houses. The State enjoys a number of advantages including proximity to the national capital of Delhi, excellent law & order situation, planned quality infrastructure, conducive policy environment, harmonious labour relations, trained & skilled manpower, responsive administration, etc. Haryana is a vibrant, fast growing State a perfect place for stable and profitable investment. 3.0 Project Recognising the need for development of planned industrial infrastructure in industrially backward blocks, HSIIDC has envisioned developing an Industrial Model Township (IMT) at Bidhal Lath Gohana in District Sonipat over an area of approximately 6,000 acres though Public Private Partnership (PPP) Model. The proposed Industrial Model Township (IMT) is envisaged to have campuses for large industries, industrial plots, flatted factories, residential facilities, labour housing, commercial and institutional areas, entertainment zones, skill development & health care facilities etc. The development will be of international standards with power, water supply, roads, sewerage, effluent disposal, storm water disposal, and solid waste management to enable enterprises to function in a pleasing environment. The proposed IMT shall be planned in an environment friendly so as to allow the hyper industrial activity integrate with the habitation zones and prevent possibilities of urban degradation. It is intended to develop IMT Gohana in a way that results with a World Class Industrial premise that shall attract National and International Investors. The concept shall be dynamic and vibrant suiting to the needs of end users. End users in this case could be defined in groups classified as Entrepreneurs, Employees, Industrial workers and Residents. The basic principle behind the IMT remains providing for a coherent living environment. IMT shall be planned and developed in a way that delivers vibrant, dynamic and efficient environment. It should be conducive for the users to switch to different activities of life. IMT shall be planned and developed to have strategic distribution of areas of habitation, work and leisure. Balance of the three activities shall be maintained by provisioning of pertinent infrastructure and adequate facilities.

Permissible Limits of Internal Land Uses: The percentage of different land uses permissible in the Industrial colony shall be as under: Sr. No. Land Use component Percentage of Gross Area of the colony 1 Roads, Infrastructure services, 35 Public Utilities and Open spaces 2 Plotted/Saleable Area 65 of which (a) Industrial Use 45 (minimum) (b) Residential/ 15 (maximum) Housing (c) Commercial 5 (maximum) Note: (i) Of the 15% area permissible for residential use, a minimum of 3% shall be used for industrial worker/labour housing. (ii) Plots/flats for Economically Weaker Sections (EWS) shall be reserved for allotment as per Rules/Policies of the Town & Country Planning Department issued from time to time, in respect of the General Housing over and above the prescribed limit of Industrial worker/labour housing. (iii) Density of population in permissible residential use shall be 100 PPA (with 20% variation on either side) in case of plotted colony and 100-400 PPA in case of group housing colony. (iv) The maximum size of the residential plot shall not exceed 500 sqm and minimum size of the flat shall not be less than 49 sqm., except EWS category flat of which the minimum size shall not be less than 18.58 sq.mtrs. (200 sq.ft.) (v) Supporting institutional uses shall be allotted within the different components as per the existing provisions/ composite norms of the Town & Country Planning Department, Haryana. Government has decided that the HSIIDC would acquire the entire land for the proposed Project and offer the same to the Private Sector Entity(ies) for development of industrial infrastructure i.e. Industrial Model Township. HSIIDC is willing to partner with a single entity for development of entire land as a single IMT or multiple entities

for modular development subject to market response and applicable approvals / clearances from the competent authority. As a further step in this regard, the State Government has already initiated the process for acquisition of land i.e. 6,000 acres for proposed Project. Notification under Section 6 of the Land Acquisition Act for land admeasuring approximately 3398 acres was issued on 31 st March 2014 and for land admeasuring approximately 2593 acres in May, 2014. 4.0 Location The parcel of land earmarked for the Industrial Model Township is located at Bidhal Lath in Gohana Tehsil of Sonipat district of Haryana. The land is situated on the southeast of the town of Gohana across the Western Yamuna Canal. It is at a distance of 23 kilometers from Sonepat district Headquarter, about 10 kilometers from Gohana, approximately 35 kilometers from IMT Rohtak; about 40 kilometers from Panipat and about 30 kilometers from Kharkhoda/KMP. A state highway, SH 11 and the Sonepat Jind Railway line under construction bisect the site horizontally and a railway line is also under construction towards the south of the site. Over the past few years, the subject region has gained prominence due to a number of infrastructure initiatives undertaken by the Government. These include 4 lane construction of Rohtak Gohana Panipat road (NH 71A), the under construction Rajiv Gandhi Education City, under construction Kundli-Manesar-Palwal (KMP) Expressway,

widening of NH-1, etc. These infrastructural developments are aimed at providing better connectivity to the subject site and are expected to result in an overall planned development of the region. Sonipat is the largest town close to the subject site and is located on NH1. Due to its proximity to Delhi and NH1 providing excellent connectivity, it has gained a lot of prominence in the recent years. Sonipat has become a hub for industrial development in the region. The entire land may be provided to a single entity under PPP concessional framework for development of the IMT or to multiple entities / developers for modular development of IMT. HSIIDC may also upscale or downscale the proposed development depending on the response of the market players to this EOI.

6.0 Present Industrial Profile of the Region Haryana has been providing a constant impetus to manufacturing activity over the past few years with the objective of developing the state as a major manufacturing / export hub of Northern India. The state government has been promoting industry specific infrastructure developments such as Export Promotion Parks, Food Parks, Apparel Parks, Auto Clusters, Engineering Clusters, etc. to provide manufacturers a level platform to successfully compete with both domestic and international counterparts. These initiatives have led to enhanced investments across a number of sectors, which are listed below. In addition, specific policies such as the Total Industrial Support policy have also been introduced to augment investment across specific sectors. 7.0 Demand Drivers Bidhal Lath itself is located amidst a well established industrial area of Sonipat with good connectivity through road or rail for transportation of raw materials or finished goods. Moreover, the area is also rich in agricultural produce such as wheat, sugarcane maize and rice. Based on an assessment of the existing industrial scenario and other critical factors, a set of industry segments have been identified for deriving potential opportunities at the subject development. The State Government shall make the water available for the project but the cost of transportation of water from the source to the

site would have to be borne by the SPV. The developer shall have to make provision for treatment and re-cycling of the waste water so as to target provision for zerodischarge. 9.0 Implementation of the Project The selected Developer(s) for IMT shall have right to design, finance, develop, operate and maintain the IMT through an Special Purpose Vehicle (SPV). The SPV shall have the concession to marketing the project, lease the plots / factories and other facilities in IMT and retain & appropriate the revenue from the same in form of sale of plots/land to the industrial units on the basis of the price of the land to be fixed by the SPV and user charges/ maintenance fee from the unit holders. HSIIDC shall hold a minimum of 11% equity stake in the SPV implementing the Project. The Project could be developed in single phase of 600 acres or in smaller parcels of minimum 1000 acres or above by a single developer/multiple developers. The project would be implemented through the Special Purpose Vehicle/Joint Venture Company (SPV/JV) to be incorporated jointly by HSIIDC and the selected Developer. The SPV shall bear the cost of land, cost of internal infrastructure development, construction and external infrastructure development. However, land required for development of external infrastructure shall be acquired by State Government / HSIIDC at its own cost. The basic objective of this EOI is to understand the market dynamics and formulate a project based on the inputs received from the interested parties / investors / infrastructure developers on the project sizing, project structure, commercial structure and the development model. The applicants are advised to go through the Chapter 7 (Infrastructure: Public Private Partnership) of the Industrial & Investment Policy 2011 of the Haryana Government before submitting their proposals. 10.0 Project Development Activities undertaken HSIIDC has appointed the consortium of CBRE South Asia Pvt Ltd and Innovest Advisory Services Pvt Ltd as Transaction Advisor for specialised advisory services of undertaking a strategic market assessment study and further provide relevant inputs for development of IMT on PPP format. The Transaction Advisors have completed the following Project Development activities: i. Acquisition of land: The acquisition of land is at an advanced stage. Notification under Section 6 of the Land Acquisition Act has been issued for the entire chunk of about 6000 acres. ii. Market Survey

Operate and Maintain the IMT in accordance with applicable rules / laws, good industry practice and terms of agreement signed with HSIIDC 12.0 Envisaged Role of HSIIDC/State Government: i. Acquisition of the land required for the Project, external infrastructure and connectivity ii. iii. Acquisition of land required for development of connectivity and external infrastructure Partner with the selected Developer(s) in the SPV

iv. Facilitate the developer in getting all necessary approvals from concerned departments for implementation of the Project 13.0 Who should submit EOI i. The applicant may be a national/international infrastructure developer / industrial infrastructure developer / real estate developer / with a proven track record in implementing large scale projects commensurate with the size and nature of proposed project. ii. The applicant may be a national/international large industrial house or established firm /company who are interested in setting up their facility within the proposed IMT. The objective of this EOI notice is to take feedback from the prospective developers / investors regarding project sizing, project structure, commercial structure and the development Model for the proposed project. HSIIDC shall also appreciate the feedback from the respondents on eligibility criteria, concessional framework of PPP model, bidding parameters & evaluation methodology, nature of thrust activities etc., to be finally included in the bid documents. However, HSIIDC shall be free to accept or reject any suggestion and its decision in this regard shall be final. Therefore, it would be desirable that only those companies / firms, which prima facie have technical and financial strength to undertake this Project, respond to this EOI. The total estimated cost of the proposed project spread over 6,000 acres is likely to be approximately Rs 5,000 crore. 14.0 Selection Process This EOI is published only with a purpose of collection of information from interested developers / industrial houses and HSIIDC reserves the right to proceed with the Project on PPP or public fund basis. However, the applications received shall be reviewed carefully and interactions with the applicants may be hosted before finalisation of the terms and conditions of the Project and further bidding process. 15.0 Purpose of the Expression of Interest (EoI): The basic objective of this EOI is to understand the market dynamics and formulate a project based on the inputs received from the interested parties / investors / infrastructure developers on the project sizing, project structure, commercial structure and the development Model.
