What is an Other Transaction Agreement? 7

WHAT IS AN OTA? Other Transaction Agreements is the term commonly used to refer to transactions other than contracts, grants, or cooperative agreements. The Department of Defense (DoD) has authority to award for prototype actions that are directly relevant to enhancing the mission effectiveness of military personnel and the supporting platforms, systems, components, or materials proposed to be acquired or developed by the Department of Defense, or to improvement of platforms, systems, components or materials in use by the Armed Forces. Such agreements are generally not subject to the same procurement laws and regulations, and allow for more flexible business arrangements to attract nontraditional defense contractors. Considered a Nontraditional Defense Contractor (NDC) if not subject to Cost Accounting Standards (CAS) 8

CONGRESSIONAL LANGUAGE Congressional Language In accordance with the provisions of 10 U.S.C. 2371b, Section 815 of the 2016 National Defense Authorization Act, Public Law 114-92, which provides the Department of Defense (DoD) authority to enter into transactions other than contracts, grants, or cooperative agreements, the Department of Defense (DoD) has the authority to make awards that are directly relevant to enhancing the mission effectiveness of military personnel and the supporting platforms, systems, components, or materials proposed to be acquired or developed by the Department of Defense, or the improvement of platforms, systems, components, or materials in use by the armed forces 10

FUNDING Funding types: Research, Development, Test & Evaluation (RDT&E) Procurement GOV $ sent through the OTA Management Office account are obligated and disbursed once the funding is provided to ACC - Days prior to sending funding to ACC, funding will be transferred to an AMC approved consolidated account Shorter Time to Award: First time award (funding/sow reviewed to award): Less than 120 days Incremental award: Less than 45 days e.g. if a SOW with a ceiling of $1m was funded up to $500k. If additional $200K is funded, it becomes available to the Consortium member within 45 days of sending it to OTA Management Office financial analyst Basket provision ( Basket proposal pulled out for award/sow received): less than 120 days Self sustaining: Current Fees: Total 6% 11

WHAT IS A SECTION 815 PROTOTYPE OTHER TRANSACTION AGREEMENT (OTA)? A Prototype OTA Is: For prototype projects that are directly relevant to enhancing the mission effectiveness of military personnel, platforms, systems, components or materials proposed to be acquired or developed by the DoD A legally binding instrument encouraging traditional and nontraditional defense contractor participation An instrument that allows for negotiation of intellectual property and flexible payment provisions (payable milestones) Customizable to fit desired acquisition strategy Initiatives awarded under the GVS OTA must be related to Ground Vehicles or Ground Vehicle Systems. Includes EMD, LRIP and production activity under an OTA A Prototype OTA Is Not: A FAR procurement contract, grant or cooperative agreement Constrained by previous Government contract practices and conventions Bound by GAO protest rules (no protests allowed) Subject to mandatory cost accounting standards 13

OTA REQUIREMENTS In accordance with provisions contained in 10 USC 2371 governing the use of OTA s, each NAMC Member Organization must have at least one nontraditional defense contractor participating to a significant extent in the performance of an awarded vehicle or robotics project or provide cost share of no less than one third of the value of the Project awarded to the Member Organization. Nontraditional Defense Contractor (NDC) Definition: An entity that is not currently performing and has not performed, for at least the one-year period preceding the issue date of the Request for Project Proposals (RPP), any contract or subcontract for the Department of Defense that is subject to full coverage under the cost accounting standards prescribed pursuant to Section 1502 of Title 41 and the regulations implementing such section Cost Share Definition: The resources expended by the award recipients on the proposed statement of work (SOW) and subject to the direction of the initiative management 14

OTA COST SHARE REQUIREMENT If a proposal does not contain at least one nontraditional defense contractor participating to a significant extent, then it is required that the proposal contain at least one third of the total Initiative s cost as cost share. There are two types of cost sharing: Cash: Outlays of funds to perform the Ordnance Technology Initiative. Cash includes labor, materials, new equipment, and relevant subcontractor efforts. Sources include new Independent Research & Development (IR&D) funds, profit or fee from another contract, overhead or capital equipment expense pool. New IR&D funds offered to be spent on the Ordnance Technology Initiative SOW and subject to the direction of the initiative management may be utilized as cost share In-Kind: Reasonable value of in-place equipment, materials or other property used in performance of the Ordnance Technology Initiative. All cash or in-kind cost sharing availability must be clearly and convincingly demonstrated by the Offeror. The Offeror will be required to provide financial reporting with appropriate visibility into expenditures of Government funds vs. private funds. Parallel research that might be related to the Ordnance Technology Initiative, but will not be part of the SOW or subject to the direction of the initiative management will not be considered for cost sharing. All costs, fees, profits, General & Administrative Expenses (G&A), bid and proposal costs, or intellectual property value incurred prior to the Ordnance Technology Initiative award will not be accepted Cost share requirements include: Proposals that contain cost share cannot include fee Cost Share may only be proposed on cost type agreements 15

TYPES OF CONTRACT AWARDS Annual Cycle These projects are solicited once per year and include the following year s projects of interest to the Government. Project requests can be planned funded or unfunded efforts. Unfunded will go into the basket for up to three years and may be funded if money becomes available and the proposal is selected. Ad Hoc Projects* These are special projects that do not fit into the Annual Cycle. They usually consist of high dollar amounts, military field requirements, or other special needs. They are not meant to replace the Annual Cycle; projects that do not fit into this category must wait for the Annual Cycle. Projects must have funding. SBIR Phase III Efforts These are continuation of SBIR projects that meet the OTA Management Office guidelines and can show a logical path from a previous DoD funded SBIR. $50M threshold without higher signature authority Task Requests A Task Request (TR) is awarded directly from the Government to the Consortium (NAMC) as an entity who performs the project as prime and involves NAMC members participating as subcontractors. NAMC is expected to take the lead and to advise the Government on the current state of Ground Vehicle System technology, as well as provide insight into identifying opportunities for prototyping that can be shared with and benefit industry. Basket Pull These are unfunded efforts that were placed in the basket. Projects can be pulled at anytime funding becomes available. *DA2 OTA only utilizes Ad Hoc Projects 19
