W I T N E S S E T H: WHEREAS, Act 44 of 2007, enacted July 18, 2007, established new provisions contained within the Public Transportation Law, Act No. 26 of 1991, as amended ( PTL ), and added 74 Pa. C. S. Chapter 15 as an entirely new chapter within the PTL, providing state financial assistance, including grants, for various public transportation programs, activities and services, and operating assistance; and, WHEREAS, Act 89 of 2013, enacted November 25, 2013, amended various sections of 74 Pa. C.S. Chapter 15; and, WHEREAS, 74 Pa. C.S. Chapter 15 establishes in Section 1506, as amended 74 Pa. C.S. 1506, a new funding source, the Public Transportation Trust Fund ( PTTF ), for state financial assistance for public transportation programs, activities and services, including reimbursement of operating expenses; and, WHEREAS, Section 2002 of the Administrative Code of 1929, added by the Act of May 6, 1970, P.L. 356, No. 120, 13 (71 P.S. 512) provides that it shall be the power and duty of the Department: "(2) to develop programs designed to foster efficient and economical public transportation services in the State"; and "(6) to coordinate the transportation activities of the Department with those of other public agencies and authorities"; and, WHEREAS, Section 1504(a) of the PTL, as amended, 74 Pa. C.S. 1504(a), authorizes the Department to provide financial assistance for the public transportation purposes and activities enumerated in Chapter 15; and, 1

WHEREAS, under the provisions of Section 904 of the State Lottery Law, 72 P.S. 3761-904, ( Lottery Law ), the Department is authorized to administer, utilizing a fixed amount of money from the Lottery Fund as appropriated by the General Assembly, a program providing shared-ride public transportation services for persons sixty-five years of age or older ( Shared-Ride Program for Older Adults or SRPOA ); and WHEREAS, the Grantee has, through an application ( Application ), submitted to the Department in conformity with Chapter 15 of the PTL, 74 Pa. C.S. Ch. 15., requested Department financial assistance toward the completion of a public transportation project(s), Project, which term shall refer to singular or multiple projects funded by this Agreement); and, WHEREAS, the Department has reviewed the Grantee's Application and has notified the Grantee that it has approved the Project as described in the Application, incorporated herein by reference as though physically attached hereto, and in Exhibit "A," attached hereto and made a part hereof; and, WHEREAS, this grant shall be funded with funds from the fiscal year identified in the Application; and WHEREAS, under the provisions of Section 5311 of the Federal Transit Laws, as Codified (49 U.S.C. 5301 et seq.), Federal financial assistance for public transportation projects is available through the Commonwealth; and WHEREAS, Section 1519(a) of the PTL, 74 Pa. C.S. Section 1519(a), permits the Department to make retroactive grant payments on projects funded under authority of the PTL and Section 905 of the Lottery Law, 72 P.S. 3761-905 permits the Department to make retroactive grant payments on projects funded under the Lottery Law; and, NOW, THEREFORE, for and in consideration of the foregoing premises and the mutual promises hereinafter set forth, the parties hereto agree, with the intention of being legally bound hereby, as follows: 1. Incorporation by Reference. The foregoing recitals are incorporated by reference as a material part of this Agreement. 2. Applicable Grant Programs and Funding Authorizations. Grantee will hereby receive grants for the following programs and projects, as indicated by an X next to the applicable financial assistance program listed below. By receiving funds through the programs indicated below, the Grantee agrees to the terms and conditions contained in the exhibit specified under each selected grant program set forth below: State Financial Assistance authorized by PTL Section 1513, in the amount of, $1,260,530.00 pursuant to the terms and conditions of Recipients of State Financial Assistance Authorized by PTL Section 1513 Funding, as detailed in the sub-sub- paragraphs below: State Financial Assistance for urban service providers, in the amount of, $0.00 pursuant to the terms and 2

State Financial Assistance for urban service providers funded by the PTTF in the amount of, pursuant to the terms and State Financial Assistance for urban service providers funded by the Public Transit Assistance Fund ( PTAF ), in the estimated amount of, pursuant to the terms and Grantee will provide a local match for the above identified operating assistance programs for urban service providers in the amount of, $0.00 pursuant to the terms and conditions of Recipients of State Financial Assistance Authorized by PTL Section 1513 Funding. State Financial Assistance for rural service providers in the amount of, $1,260,530.00 pursuant to the terms and State Financial Assistance for rural service providers funded by the PTTF, in the amount of, $1,260,530.00 pursuant to the terms and State Financial Assistance for rural service providers funded by the PTAF, in the estimated amount of, pursuant to the terms and Grantee will provide a local match for the above identified operating assistance programs for rural service providers in the amount of, $37,970.00 pursuant to the terms and conditions of Recipients of State Financial Assistance Authorized by PTL Section 1513 Funding. Federal Financial Assistance authorized by Section 5311 of the Federal Transit Laws, in the amount of, $275,000.00 pursuant to the terms and conditions of Recipients of Federal Financial Assistance Authorized by Section 5311 of the Federal Transit Laws. State Financial Assistance for pass-through programs authorized by PTL Sections 1506, as amended, and 1513, in the amount of, pursuant to the terms and conditions of Recipients of State Financial Assistance Funds for Pass-through Programs Authorized by PTL Sections 1506, as amended, & 1513. 3

State Financial Assistance for pass-through programs authorized by PTL Sections 1513(c.1), 1503, as amended, and 1506, as amended in the amount of, pursuant to the terms and conditions of State Financial Assistance Funds for Pass-through Programs Authorized by PTL Sections 1503, as amended, 1506, as amended, and 1513 (C.1). State Financial Assistance for Welfare to Work Programs authorized by PTL Section 1516, as amended in the amount of, pursuant to the terms and conditions of Recipients of Welfare to Work, JARC and /or New Freedom Program State Financial Assistance under PTL Section 1516.. State Financial Assistance for shared ride services for older adults as authorized by 72 P.S. 3761-904 ( Lottery Law ), in the amount of, $922,536.00 for pursuant to the terms and Funds for Shared Ride Services for Older Adults as Authorized by 72 P.S. 3761-904 ( Lottery Law ). State Financial Assistance for shared ride services for persons with disabilities as authorized by PTL Section 1516, as amended, in the amount of, $77,900.00 for pursuant to the terms and Funds for Shared ride Services for Persons with Disabilities Authorized by PTL Section 1516, as amended. 3. Payments. The total amounts set forth in Paragraph 2, and as detailed in Exhibit A, may be increased or decreased at the discretion of the Commonwealth. Payments on behalf of the Grant are conditioned upon the eligibility of Project costs for reimbursement under applicable Federal and Commonwealth laws and/or regulations and as provided in the applicable exhibit(s) referenced above. Payments shall be made pursuant to the schedule set forth in Exhibit A. Any changes in total reimbursement allowed at the discretion of the Department shall be made by letter adjustment signed by the Department representative. Any other changes to this Agreement will require a fully-executed amendment. 4. Standard Terms. The Grantee agrees to comply with the Department s Standard Terms and Conditions for Public Transportation Grants attached and, if Federal funds are included in the funds provided via this Agreement, Standard Terms and Conditions for State and Federal Funds, to this Agreement. 5. Coordination Requirement. In accordance with Section 1512 of the PTL, as amended, 74 Pa. C.S. 1512, if Grantee is located in a region where two or more recipients of financial assistance have services or activities for which financial assistance is being provided under Chapter 15 of the PTL, Grantee shall coordinate with other service providers to assure that the services or activities are provided efficiently and effectively. 6. Grant Provisions Right to Know Law. The Pennsylvania Right-to- Know Law, 65 P.S. 67.101 3104, applies to this Grant Agreement. Therefore, it is subject to, and the Grantee shall comply with, the clause entitled Grant Provisions Right to Know Law, attached and made a part of this Grant Agreement. 7. Use of Funds. In accordance with Section 1507(c) of the PTL, as amended, 74 Pa. C.S. 1507(c), financial assistance made available under this Agreement shall be used only for the activities that the Project comprises, as described in the Grantee s Application and approved revisions to it, unless the Department grants a waiver, pursuant to Department regulations, allowing the Grantee to use the funds for a different purpose. 8. Entire Agreement. This instrument and its attachments constitute the entire Agreement between the Department and the Grantee, and it shall not be amended, altered or changed except by a fully-executed amendment signed by the parties, except for changes in the amount of reimbursement by letter adjustment as provided for in Paragraph 3. 5

9. Federal Funding Accountability and Transparency Act of 2006 As a recipient of federal funding, the Grantee shall provide to the Commonwealth the information specified in Federal Funding Accountability and Transparency Act--Grantee Information, attached to and made part of this Agreement, to ensure that the Commonwealth can meet the reporting requirements of the Federal Funding Accountability and Transparency Act of 2006. 6
