1. Introduction Expressway Authority of Thailand (EXAT) realizes great benefits of Udonratthaya- Ayutthaya Expressway Project as the infrastructure development for transportation of Thailand. The beginning of the project is started at the end route of the existing Udonratthaya Expressway and the end of the project connects to highway No. 32 at Bang Pahan District in Ayutthaya Province. Total distance of project is 42 kilometer. The objective of the project is to develop the expressway network for the linkage of travelling and goods transportation between Bangkok and Ayutthaya Province and also including the provinces in the North of Thailand. According to the Act on Private Investment in State Undertaking B.E. 2556 (2013), EXAT would like to invite private sectors to participate in giving suggestions and opinions on the project investment forms. ket sounding of Udonratthaya-Ayutthaya Expressway Project is conducted to obtain suggestions and opinions in order to implement this project efficiently. The information obtained from investors will used for this project only. 2. Objectives The purpose of this market sounding is for market testing on private sectors interest of Udonratthaya-Ayutthaya Expressway Project s investments. The suggestions and recommendations from private investors will enhance successful implementation of the project. 3. 4. Project Details 4.1 Reason and Necessity The demand volume of cargo and passenger between Bangkok and Ayutthaya province has rapidly increased because of the development of land use such as Real Estate and Industrial Estate sections. At present there are very high traffic volumes on highway No. 32 which is the main road to service the demand volume and the traffic characteristic is not in good condition. Apart from that, Ayutthaya province is also the location of much tourist attraction such as Ayutthaya Historical Park, Bang Sai Arts and Crafts Centre, Bang Pa-In Palace etc. and every year there are a lot of tourists come to visit. So the expansion of transportation network is critical to serve that demand. 4.2 Alignment of Project (1) Main line The beginning of the main line of Udonratthaya-Ayutthaya Expressway Project is started at the end route of the existing Udonratthaya Expressway at Bang Pa-in District. The main line moves forward to the North and parallels with highway No. 347 in the west side. The main line is across Chaophaya River at Kao Koet District and after that it passes through the area of Ayutthaya Province. The main line will connect to the highway in Ayutthaya Province, such as highway No. 3442 highway No. 347 highway No. 356 highway No. 3263 highway No. 309 highway No. 329. The end of the main line will connects to highway No. 32 at Bang Pahan District and total distance of Udonratthaya- Ayutthaya Expressway Project is 42 km. as Figure 1. - 2 -

(2) Typical Section of Viaduct Structure The viaduct structure of Udonratthaya-Ayutthaya Expressway Project is design T-shaped column and I-Girder shape. It has 4-lane, (2-lane each direction). Each traffic lane is 3.50 meters wide with outer shoulder of 2.00 meters wide and inner shoulder of 0.50 meters wide as shown in Figure 2. 4.3 Traffic Volume The traffic volume forecasting of Udonratthaya-Ayutthaya Expressway Project show as follows: Year Traffic on the expressway (PCU/day) 2022 (Opening Year) 27,026 2026 31,153 2031 43,083 2036 55,176 2041 69,014 2046 78,906 2051 93,186 4.4 The toll collection Toll collection of the Udonratthaya-Ayutthaya Expressway Project is a close system based on 42 kilometers distance. 4.5 Project Implementation Plan Udonratthaya-Ayutthaya Expressway Project has a plan to implement during fiscal year 2014-2022 and opens to the traffic in 2022 as follows: - Feasibility Study Project 2014 2015 2016 2017 2018 2019 2020 9 months 2021 2022 2023 - Land acquisition 8 months - Construction (include detail design) 36 months - 7 -

4.6 Project Investment Costs An investment budget for Udonratthaya-Ayutthaya Expressway project is approximately 31,432.51 Million Baht consisting of: - Land acquisition cost 2,766.51 Million Baht - Construction cost 28,666.00 Million Baht (Including detailed design and consultants cost) 4.7 The Economic Feasibility Study Shows that the project will be worthwhile economically as follows: - Net Present Value (NPV) = 24,850.25 Million Baht (at the discount rate of 12%) - Economic Internal Rate of Return (EIRR) = 19.81 - Benefit Cost Ratio (B/C) = 2.22-8 -

5. Scopes of Investment The private sector who has been appointed by the EXAT as a concessionaire of Udonratthaya-Ayutthaya Expressway Project is obliged to carry out the following scopes of project investment and the EXAT is obliged to perform the following scopes of project investment: 5.1 The private sector who has been granted for a concession is committed to project investment and operation in 2 phases as follows: Phase 1 Expressway Design and Construction The concessionaire will be responsible for the design and construction costs of Udonratthaya-Ayutthaya Expressway Project and make it complied with the concession agreement as well as provide installation of Mechanical and Electrical system, toll collection system, communication system, traffic control system and any other systems as considered necessary. Phase 2 Expressway Operations and Maintenance The concessionaire will be responsible for the operation cost of the expressway so that it can render service to public in an effective way with safety according to the international standard and the expressway can be maintained in good condition throughout the concession period of the project. 5.2 The government will support for land acquisition cost in relation to the expressway construction project while the EXAT will assist in coordination with government sectors as well as give all the possible supports to the investor. So, it can be provided with maximum benefits according to the law of investment promotion. 5.3 Concession Period: The concession period of this project is 30 years beginning from the construction period. The concession holder obtains the right to receive the toll revenues generated from Udonratthaya-Ayutthaya Expressway Project and will have to pay a portion of the toll revenues to the government as mutually agreed in the concession agreement. 5.4 Project Operation Rules and Regulations for Udonratthaya-Ayutthaya Expressway Project, Ayutthaya Province will be according to the Private Investment in State Undertakings Policy Committee Act, B.E. 2556 (2013), the EXAT Act, B.E. 2550 (2007) and all the concerned rules, regulations and agreements. - 9 -

6. Private Partner Selection Criteria A selection of the private partner for Udonratthaya-Ayutthaya Expressway Project will follow the Public Private Partnership Act, B.E. 2556 (2013), while a Selection Committee will be nominated by the EXAT to set up initial selection criteria, as followed: 6.1 Qualifications of the Investor The concession holder must possess business management skill and a good financial status with at least 500 Million Baht paid-up registered capital. He/she should has experiences and records of the design construction, project management as well as operation and maintenance of the expressways. 6.2 Proposal Preparation The interesting private partners will prepare proposals in accordance with the requirements stipulated in the proposal preparation documentation, arranged by the Selection Committee of Udonratthaya-Ayutthaya Expressway Project, Ayutthaya Province. 6.3 Private Partner Selection Process for Build-Transfer-Operate (BTO) Concession This is a concession given to private partner to operate the expressway which will be in compliance with the Public Private Partnership Act, B.E. 2556 and the Expressway Authority of Thailand Act, B.E. 2550 (2007). - 10 -
